HomeMy WebLinkAboutR-81-0804RESOLUTION No. 81 - 8 O 4 A RESOLUTION AUTHORIZING THE CITY MANAGER TO NEGOTIATE A CONTRACT WITH FACILITY MANAGEMENT INCORPORATED FOR THE MANAGEMENT OF THE CONVEN- TION CENTER OF THE CITY OF MIAMI/UNIVERSITY OF MIAMI JAMES L. KNIGHT INTERNATIONAL CENTER. WHEREAS, the City of Miami/University of Miami James L. Knight International Center is scheduled for opening on April 27, 1982; and WHEREAS, the Lease and Agreement in existence between the City of Miami and Miami Center Associates, Ltd, Developer, requires that "The Excepted Premises, (excluding the University of Miami Conference Center) shall during the term (of the Lease and Agreement) be placed under a Management Agreement with a professional management firm, having at least five (5) years of experience in management of convention centers or civic facilities comparable to the Convention Center"; and WHEREAS, a national advertising for interested firms has been conducted;proposal forms were distributed to respondents, and proposals were received; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The City Manager is hereby authorized to negotiate a contract with Facility Management Incorporated for the management of the Convention Center of the City of Miami/University of Miami James L. Knight International Center subject to his consideration of the follmAng provisions and exceptions as recommended by the Advisory Committee of the City of Miami/University of Miami James L. Knight International Center, which Advisory Committee also served as an Evaluation Committee reviewing the Proposals: a. The term of the contract shall be contingent upon satisfactory performance reviews at the end of eighteen months and at the end of three and one- half years. ---- CITY COMMISSION ` MEETING OF SEP2 4 NWXTM No.. 8 4. 1 — 8 4 �wun� :............................ b. The substance of the City of Miami/University of Miami Agreement dated April 1, 1977 shall be incor- porated in the Contract. c. It shall be clearly stated that the Executive Director of the Center shall have absolute control of the bookings of events through the Central Reser- vations System that he will establish and that the System provide that the University of Miami be kept aware of the status of bookings. d. During the contract negotiations the University will be consulted for their input to insure that its con- cerns are fully addressed. e. The position of the Executive Director shall be so defined that it is clearly understood that he is the Chief Executive Officer of the Center to whom the Management Firm will be directly responsible. f. The contract shall contain very specific clauses with regard to conflict of interest whereby any such conflict can be easily revealed and identified. g. The contract shall contain a statement of the Univer- sity of Miami relationship with the Center's Hotel regarding room reservations. h. The contract shall clearly establish the role of the Advisory Committee in the proposed contractual relationship between the City and the Management Firm and in the operations of the Center, as prescribed by Resolution No. 79-56 of January 18, 1979. Knight International Center LAJ C-' It is recommended that the proposed `" Resolution be adopted authorizing the l City Manager to negotiate a contract with the firm, Facility Management Incorporated, for the management of the Convention Center of the City of Co Miami/University of Miami James L. Knight International Center. Since December 1980 the City has started three separate advertising/ selection programs for a professional management firm which is contractually required for the operation of the Convention Center of the James L. Knight International Center. We are now confronted with a projected opening of the Center on April 27, 1982. Hence, the need to form an internal organizational structure is critical. These initial selection programs were legally interpreted to be invalid based on the procedures required by the May 26 decision of the Third District Court of Appeal. At that time strong concerns were voiced by the University of Miami both directly and through their members on the Center's Advisory Committee. These concerns centered around the potential conflict of interest that would exist should Facility Management Incorporated of McLean, Virginia, a subsidiary of Hyatt Hotel Corporation, be a successful bidder for the management contract. This potentially injurious situation to the University, as well as the City, would be more intensified since the Hotel Developer, Miami Center Associates, Ltd., whose contract with the City requires the appointment of a professional management firm, had also been given the food and beverage concession for the entire complex and had subsequently subcontracted the concession to the Hyatt Hotel. A national readvertising effort was concluded and Bidding Specifications distributed to four responding companies. Of these firms requesting specifications, two submitted Bid Proposals; Facility Management Incorporated and Gladieux Corporation of Toledo, Ohio. 81-804 Howard V. Page 2 September Gary 1, 1981 The Advisory Committee of the City of Miami/University of Miami James L. Knight International Center joined by representatives of the University of Miami and the Hotel Developer, Miami Center Associates, Ltd., met August 17 and August 31 as the Evaluation Committee to consider the two proposals. This committee's recommendation that the City Manager consider negotiating a contract with Facility Management Incorporated subject to certain provisions and exceptions is contained in Section 2 of the proposed Resolution. It is recommended that the City Manager be authorized to negotiate a contract with Facility Management Incorporated for the management of the Convention Center of the City of Miami/University of Miami James L.
