A RESOLUTION PROVIDING A CASH ASSISTANCE
GRANT IN THE AMOUNT OF $25,000 IN SUPPORT
OF THE BIG ORANGE FESTIVAL WHICH WILL BE
CONDUCTED THROUGHOUT THE 'MONTH OF FEBRUARY,
1982, TO PERFORMING ARTS FOR COMMUNITY
AND EDUCATION (PACE), THE SPONSORING
ORGANIZATION. SAID MONIES TO BE ALLOCATED
FROM THE FISCAL YEAR 1981-82 SPECIAL PROGRAMS
AND ACCOUNTS, QUALITY OF LIFE PROGRAM -
COMMUNITY FESTIVAL FUND; AND FURTHER
AUTHORIZING THE CITY MANAGER TO EXECUTE
THE REQUIRED SUPPORT AGREEMENT SETTING FORTH
THE CONDITIONS UNDER WHICH THE CITY WILL
PROVIDE SAID CASH ASSISTANCE.
WHEREAS, the Performing Arts for Community and Education
(PACE) has requested assistance in connection with the Big Orange
Festival; and
WHEREAS, the Miami City Commission has shown support
for said Festival in past years by providing cash assistance and City
Services; and
WHEREAS, the Miami City Commission has established a policy,
via Resolution No. 81-189 to deal with requests to provide assistance
to festivals, cultural, and sporting events;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE
CITY OF MIAMI, FLORIDA:
Section 1. A sum of $25,000 is hereby allocated from
Special Programs and Accounts, Quality of Life Program -Community
Festivals, as a grant of cash assistance in support of the Big Orange
Festival, which will be conducted throughout the month of February,
1982, to the Performing Arts for Community and Education (PACE),
the sponsoring organization, subject to the requirements of City
Commission Policy 100-4, Resolution No. 81-189, and subject to the
provisions of any agreement required by that Policy.

Section 2. The City Manager is hereby authorized to execute
the necessary support agreement setting forth the conditions under
which the City will provide the above cash assistance.

Resolution Authorizing Cash
Assistance Grant to PACE

It is recommended that the City Commission
adopt a resolution providing a cash assis-
tance grant in the amount of $25,000 in sup-
port of the Big Orange Festival which will
be conducted throughout the month of Febru-
ary, 1982, to Performing Arts for Community
and Education (PACE), the sponsoring organ-
ization. Said monies to be allocated from
the Fiscal Year 1981-82 Special Programs
and Accounts, Quality of Life Program -Com-
munity Festivals Fund; and further autho-
rizing the City Manager to execute the nec-
essary support agreement setting forth the
conditions under which the City will pro-
vide said cash assistance, as per attached
resolution.
The Big Orange Festival is an annual event produced by Performing
Arts for Community and Education (PACE) and conducted primarily in
the month of February of each year. The Big Orange Festival will
be a month -long showcase of South Florida's talent and cultural
resources alongside internationally known performers.
All of the 35 to 40 concerts provided by PACE during the Big Orange
Festival will be free to the public and most will be presented in the
City of Miami parks. In addition, PACE will provide free publicity
for local arts organizations whose events occur during the celebration
of the Big Orange Festival.
In recent years past, the Miami City Commission has supported the Big
Orange Festival by providing cash assistance and by providing nominal
City Services such as police, fire and sanitation. For the 1982
Big Orange Festival, it is recommended that the City Commission provide
a cash assistance grant in the amount of $25,000 to be allocated from
the FY 1981-82 Special Programs and Account, Quality of Life Program -
Community festivals Fund, subject to the requirements of City Commission
Policy 100-4, Resolution 81-189, and subject to any agreement required
by that Policy.

It is further recommended that the City Commission authorize the
City Manager to execute the necessary support agreement with
Performing Arts for Community and Education (PACE), the sponsoring
organization, setting forth the conditions under which the City
will provide the above mentioned cash assistance.

AN AGREEMENT made this day of , 1931,
by and between the City of ?Miami, a Municipal Corporation of the State
of Florida (hereinafter referred to as "CITY"), and
with main offices at
(hereinafter referred
to as "GRANTEE").
WITNESSETH
WHEREAS, the City of Miami desires to enhance and to promote the
quality of cultural life in the City of Miami; and
WHEREAS, the City Commission via Ordinance No. voted
to provide funding for community -run festivals from the Fiscal Year
1981-82 Quality of Life Account -City Wide Events and Community Festival;
and
WHEREAS, proposals for said community -run festivals were received
and processed for the allocation of funds; and
WHEREAS, Resolution No. 81-421 requires the execution of an Agree-
ment embodying the terms of the grant and stipulating the conditions under
which the award is to be made;
NOLI, THEREFORE, in consideration of the mutual covenants and con-
ditions hereing contained, it is agreed by the parties hereto as follows:
THE GRANTEE AGREES:
1. To conduct the following festival on the following dates:

received from the CITY and to furnish to the CITY a complete
financial statement of this festival shoving all receipts,
expenditures and disposition of profits (if any).
3. To provide the CITY a copy of the GRANTEE'S accounts, audited
for the cut -rent fiscal year, as per City Commission Policy 100-4.
4. To hold said festival before September 30, 1982.
5. To earmark percent of the total allocated City funds
for local talent fees.
6. That all police, fire, publicity, sho,;;nobiles, city and park
facilities, clean-up costs and insurance shall no longer be

allocated as in -kind services by the CITY, but must be
defraved from the GRANTEE'S total allocation to their
budget.
7. That the GRANTEE shall comply with Equal Opportunity
Employment laws as set forth by Federal,State and Local
governments.
8. That the CITY reserves the right to monitor any and all
festival activities and that any breach of agreements
made with the CITY shall be reported by the Department
of Leisure Services, Cultural Division, to the City Manager
for appropriate action under the circumstances. CITY
reserves the right to terminate this Agreement at any time
and for any cause upon notice of termination to the GRANTEE.
9. That the GRANTEE is solely liable and responsible for
damages which might arise out of the acts or omissions
of the GRANTEE, its officers, employees, agents or persons
under its direction and control and to the City of Miami,
its agents, servants, employees and officers who may be
named in a suit which arises out of the acts or omissions
of the GRANTEE, its officers, employees, agents or persons
under its direction or control, the GRANTEE shall indemnify,
defend and forever hold the CITY, its agents, servants,
employees and officers harmless from and against any and
all damages, penalties, fines or judgments.

and a line item budget for said festival shall be attached
to this Agreement and shall bernme a part of this
Agreement herein.
