HomeMy WebLinkAboutR-81-0951RESOLUTION NO. ry le✓ A RESOLUTION AUTHORIZING THE CITY MANAGER TO EXECUTE AN AGREEMENT, IN SUBSTANTIALLY THE FORM ATTACHED HERETO, BETWEEN THE CITY OF MIAMI AND BARNETT BANK OF SOUTH FLORIDA, N.A. FOR THE PURPOSE OF ACCEPTING THEIR FINANCIAL PARTICIPATION IN THE AMOUNT OF $10,000 TOWARD THE PRODUC- TION COSTS OF THE PUBLICATION ENTITLED MIAMI BUSINESS REPORT 1982. WHEREAS, the Department of Trade & Commerce Development has published the MIAMI BUSINESS REPORT 1981 and the business community's acceptance of the same was most favorable; and WHEREAS, the Department of Trade & Commerce Development will publish the MIAMI 'BUSINESS REPORT 1982; and WHEREAS, the Barnett Bank of South Florida, N. A. has expressed interest in sharing the cost of the production of said publication with the provision that proper acknowledgement be given for their financial participation. NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The City Manager is hereby authorized to execute an agreement, in substantially the form attached hereto, between the City of Miami and Barnett Bank of South Florida, N.A., for the purpose of accepting their financial participation in the amount of $10,000 toward the production costs of the publication entitled MIAMI BUSINESS REPORT 1982. Castano, Director Dept. of Trade & Commerce e elopment "It is recommended that the attached Resolution be adopted by the City Commission authorizing the City Manager to execute an agreement between the City of Miami and Barnett Bank of South Florida, N. A. for the purpose of accept- ing their financial participation in the amount of $10,000 toward defraying the cost of the publication entitled Miami Business Report 1982" Last February, the Department of Trade & Commerce Development introduced the publication entitled Miami Business Report 1981 to the Greater Miami business community. This publication produced by the Department of Trade & Commerce Development contained in- depth analyses of the Greater Miami area as well as detailed demo- graphics and other invaluable statistics. The reception and acceptance of this publication by the business community was tre- mendous and inquiries for copies of the publication were eventually received from all over the U. S. as well as some countries in Latin America, the Caribbean, and Europe. To this end, the Department of Trade & Commerce Development will publish the second edition of the Miami Business Report. This year, however, we have received the financial support of the private sector, namely, Barnett Bank of South Florida with their contribu- tion in the amount of $10,000 toward defraying the cost of the production of this publication. In return, the publication will include an acknowledgement page giving proper credit to the Barnett Bank of South Florida, N. Sianaturies I b. si-951 V41 w r+r�r�r�•rr.•tm r The City of Miami and the Barnett Banks of Miami entered into this Memorandum of Agreement this day of 1981, as a basis of understanding for the financial participation by the Barnett Banks of 1,iiami toward the preparation and production costs of the MIPFU BUSINESS REPORT 1982. WITNESSETH, that the City of Miami has entered into an agreement with the Barnett Banks of Miami for their financial participation toward the production costs of the publication entitled MIM11 BUSINESS REPORT 1982. NOI9, THEREFORE, the City of Miami and the Barnett Banks of Miami do mutually agree as follows: I. UNDERSTANDINGS A. It is understood that through the execution of this Agreement the CITY accepts the amount of $10,000 for the purpose of preparing and producing the REPORT, while the CITY maintains overall' supervision through • the DTCD as to the contents, preparation and production of the REPORT. B. The purpose of the P•EPORT shall be: 1. Analyze the industrial base and the overall economic activities of the Greater Miami area. 2. `To provide businesspersons in the Greater Miami area with relevant statistics for their decision -making processes. t951 C_ In addition, the CITY agrees to provide BB1. 'l with a copy of the R.EPORT's manuscript two weeks prior to the scheduled press data for their review. D. Furthermore, the CITY agrees that BB.-1 will be given credit for their financial participation to the REPORT in an acknowledgement page as follows: "This publication has been published with the assistance of the Barnett Hanks of Miami." III. 11AXIMUM CO:!PENSAT ION/IlETHOU OF PAY11ENT For the rights and benefits realized through this agreement BBM will pay the CITY an amount not to exceed $10,000 for the preparation, production costs and supervision of the REPORT. The above amount is to be paid to the CITY upon complete execution of this Agreement and publishing of the REPORT. IV. TI11E OF PERFORI.IANCE The REPORT is scheduled for printing by March 1, 1982. In the event that the production of the REPORT is cancelled or postponed, the BBI-: has the option to renegotiate or terminate this Agreement. V . PSIEN DI.IENTS Either party may, at its discretion, amend this Agreement at any time to conform with any contingencies which may require such anendrient. Amendments,` if required, shall be ' incorporated in viriting to this Agreement upon review, approval and execution of the parties hereto. VI. COf iPLIANCE WITH FEDEP-AL , STATE AND LOCAL LAMS Both parties shall comply with all applicable laws, ordinances and codes of the federal, state and local governments. VII. EQUAL OPPORTUNITY The CITY agrees that there will be no discrimination against any employee or person served on account of race, color, sex, religious creed, ancestry, or national origin in its performance of this Agreement; and it is expressly understood that upon the receipt of evidence of such discrimination, the BBM shall have the right to terminate this Agreement. VIII. CONFLICT OF INTERESTS No official or employee of the CITY or BBII may be admitted directly or indirectly to any share or part of this Agreement, . or to any benefit to arise from the same, nor own, or acquire any personal interest in any property, contract or proposed contract which would conflict with or relate to the oer- formance, their duties or responsibilities under this, Agreement. If any such person presently or in the future acquires, owns or controls any such share, benefit, or personal interest-, he shall immediately disclose such share, benefit, or personal interest to the CITY and BBM. Upon such disclosure, such person shall not continue his participation if such participation is contrary to public interest. The CITY will comply with all Federal, state, and local conflict of interest laws and requirements. IX. OPPORTUNITIES FOR SMALL AND MINORITY BUSINESSES The CITY in the procurement of supplies, equipment, construction, or services to implement this project shall make a positive effort to utilize small business and minority -owned business sources of supplies and services, and provide these sources the maximum feasible opportunity to compete for contracts to be performed pursuant to this Vemorandum of Agreement. ff K - DURAT JON OF AGRI':LME-NT This Agreement will be in effect upon execution of the Agreement by both parties and will continue through the presentation of the REPORT. r.
