A RESOLUTION AUTHORIZING THE CITY MANAGER TO EXECUTE AN AGREEMENT, IN SUBSTANTIALLY THE _ FORM ATTACHED HERETO, WITH MIAMI-DADE COMMUNITY COLLEGE FOR THE PURPOSE OF PROVIDING PROFESSIONAL TRAINING SERVICES IN THE AREA OF CLERICAL SKILLS FOR THE CITY OF MIAMI'S CETA TITLE II-B PARTICI- PANTS AND TO EXERCISE THE TERMINATION PROVISIONS AND AMENDMENTS CONTAINED THEREIN, WITH FUNDS EXPENDED FOR THE COST OF SAID AGREEMENT TO BE REIMBURSED UNDER THE CITY OF MIAMI'S CONTRACT WITH THE SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM. WHEREAS, the City of Miami is desirous of complying with the regulations governing the operations of CETA on providing training for CETA participants; and WHEREAS, there has been a need demonstrated for training and instruction in the area of clerical skills; and WHEREAS, the aforementioned skills are necessary to allow participants to be placed in unsubsidized employment; and WHEREAS, the funds necessary for the execution of this agreement are reimbursed under the City's CETA Title II-B Program; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The City Manager is hereby authorized to execute an agreement, in substantially the form attached hereto, with Miami -Dade Community College for the purpose of providing professional training service in the area of cleri- cal skills for the City of Miami's CETA Title II-B partici- pants and to exercise the termination provisions and amend- ments contained therein. Section 2. Funds expended for the cost of the herein agreement are to be reimbursed under the City of Miami's contract with the South Florida Employment and Training Consortium. Krause Director Dqpartnant of Human Resources C" l ' ,-A a "It is recommended that the City enter into professional services contract with Miami -Dade Community College for obtaining a training program in Clerical Skills for c' the City of Miami's CETA participants as provided for in the City's contract with the South Florida Employment and Training Consortium, per the attached Resolution." The Federal Employment Division has concluded the process of evalua- ting a series of 17 proposals submitted to provide training for participants in the upcoming Title II-B Clerical Training Program. Information regarding these proposals is contained in the enclosed chart. The program was originally designed for 900 hours of classroom in- struction. Subsequently, it was modified to 700 hours because Consor- tium staff insisted that the cost per participant be reduced. The first column on the chart following the names of the training institutions shows the cost per participant bid by each institution for 700 hours. Please note that only four bidders came under $1,000 per participant. The guidelines for Fiscal 1982 in terms of required cost effectiveness automatically rule out all the bids over $1,000. The only bids under $1,000 were from: Miami -Dade Community College, Dorsey Skills Center, Miami Skills Center and Opportunities Indus- trialization Center (O.I.C.). After a thorough evaluation of these four proposals, the one we are recommending for subcontract is Miami -Dade Community College because it is the only institution that meets both of the following key criteria: 1. Centrally located facilities, conveniently accessible to residents from all areas of the City of Miami. 2. Able to accommodate 120 to 150 projected participants. PAGE 1 of 2 81-945 1 Howard V. Gary City Manager October 22, 1981 Miami -Dade Community College will also provide participants who suc- cessfully complete their program with academic credits. This is an additional desirable feature not present in the other proposals. Last year (Fiscal 1981) the City was able to subcontract with 12 training institutions because we had almost a million dollars avail- able for that purpose within our Public Service Employment (PSE) funds. For Fiscal 1982 the PSE programs have been eliminated and we have lost about 900 of the CETA dollars for training subcontracts. Consequently, our funds will be so limited that we cannot afford the higher costs of private schools. Therefore, to accomplish our objective, it is recommended that the City Manager be authorized to enter into the proposed contract, per the attached resolution. E. Second Avenue, Miami, Florida states condition and convenants for the rendering of Professional Training Services by said PROVIDER, to the City of Miami Human Resources Department's Federal Employment Division (hereinafter referred to 3 as "DIVISIO:F") at a cost not to exceed one hundred and twenty thousand dollars ($12.O,C00) f-).-c the period of December 1, 1981 through September 30, 1982. WITNESSETH WHEREAS, the CITY has entered into a contract with Miami -Dade Community College to ensure training for City of Miami's CETA participants for the purpose of improving the employability of the participants; and WHEREAS, the PROVIDER has developed and provides service as described else�•:here herein which have proven of value to the Community and has demonstrated effectiveness and qualifications to provide these services; and MIEREAS, the CITY is desirous of obtaining such services of the PROVIDER an.' the PROVIDER is desirous of furnishing such services NOt4, THEP,EFORE, in consideration of the mutual convenants and agreements hereinafter set forth, the parties hereto convenant and agree as follows: ARTICLE I: SCOPE OF SERVICES It is understood that the PROVIDER will provide the following services for the CITY in conjunction with the CITY's CETA Training Program: A. To provide a program of training in Clerical Skills that will enable the participants to improve their employability. B. To provide educational counseling services with regards to their course performance to CETA participants enrolled in training programs. C. To provide all available placement services of PROVIDER for I utilization by CETA participants enrolled in training programs. 81-945 L-:r I' iVAINDUi T PAYABLE i 2. Compar.ison of Training .Service Cast The City's CETA cost per participant is $800 ha ec3 on 25 participants per group and $20,000 poi. group. j' The cost for non-CETA participants is $923 based on tuition, textbooks and supplies, and additional expenditures incurred in the preparation of documentation (such as daily attendance, book sign -off, etc.) required by funding sources. If this extensive, reporting was not necessary both costs for CETA and Non-CETA participants would decrease accordingly. In addition, icon-CETA participants would have to generate their own adrai.nssions and registration at the College, attend all courses based on seat availability (resulting in CETA students being dispursed throughout many different classes, rooms, days and times), purchase their own supplies, pay their own fees, etc., all of which are facilitated for the City's CETA participants. B. MAXIMUM EXPE1MITURE The PROVIDER and the CITY hereby agree that the maximum amount payable under this contract shall not exceed one hundred and t�-.enty thousand dollars($120,000) and that either party may im:mudiately and at any time terminate this agreement when the aggregate training service cost and instructional material cost here and above provided reaches one hundred and twenty thousand dollars($120,000). C. DESIGNATION OF AMOUNT OF FUNDS FOR PAYMENT Costs for class hour training and instructional materials shall be payable one hundred percent (100%) from CETA Title II-B Funds. ARTICLE V: METHOD OF PAYMENT Payment shall be made in accordance with those procedures as outlined below: The CITY agrees to compensate the PROVIDER for services rendered on a monthly basis in connection with this Agreement and billing should be made at the end of each month to the DIVISION. All invoices shall include the following information: 1) Decription of services provided. 2) Date and time services were provided. 3) Total hours worked for period of invoices. 4) t,ames of the participants receiving services. 5) Copy of original invoices for materials. G) Additional information as requested by Division. Invoices shall be provided to the DIVISION on a monthly basis for class hour training and for cost of instructional materials. PAGE 3 D. To provide all training by qualified instructors with ,C minimum requirements of a Bachelor's Degree from an accredited college or university and with significant teaching experience in the field of their subject matter. i G. To provide an initial assessment of each participant at the 'ime of enrollment to evaluate the present educational level of the student in the respective area of study. If. To provide periodic attendance and progress reports as outlined in Article VII. ARTICLE II: DELIVERY OF SERVICES s_+ Both parties agree to comply with those stipulations which are outlined in the "Work Statement" narrative which is attached hereto and incorporated herein. ARTICLE III: EFFECTIVE TEF.I•; Both parties agree that the effective term of this Agreement shall be made from December 1, 1981 through September 30, 1982. ARTICLE IV: AMOUNT PAYABLE A. COSTS OF TRAINING AND COURSE MATERIAL For any professional training services rendered and for expenses incurred for such services the CITY shall pay the PROVIDER in accordance with the following terms, conditions and schedule: 1. Training Service Cost The CITY agrees to reimburse the PROVIDER for actual costs incurred while providing services as described in the "Wor}: Statement" and the reimbursement amount shall inot exceed $20,000 per. group. E. 2nd Avenue Miami, Florida 33132 ARTICLE VII: MONITORING AND REPORTING The PROVIDER agrees to permit the DIVISION and authorized Federal Personnel to monitor the program which is the subject of this agreement according to applicable terms of the agreement. The PROVIDER agrees to maintain attendance records of the participants in the program as required and furnished by the DIVISION and to provide periodic academic progress reports to the DIVISION upon request. All original copies of reports and records shall become the property of the CITY -DIVISION. ARTICLE VIII: AMENDMENTS The CITY may at its discretion, amend the Agreement to conform with changes in applicable, City, County, State and Federal laws, directives, guidelines and objectives. No amendments to this Agreement shall be binding on either party unless in writing and signed by both parties. Such amendments shall be incorporated as a part of this Agreement upon review, approval and execution by the parties hereto. PAGE 4 fSECTION I If the S.F.E.T.C. awards funcis to the CITY at a reduced imount or if such funds are reduced during the Fiscal year due to Dcpartwent of Labor action, the CITY may terminate this agreement ny giving at least tcrcnt.y-four (24) hOUrs advance notice, in writing, to the PROVIDER. The PROVIDEf? has no right t-o appeal a termination under this section, and the elate of termination shall be the date of receipt of the letter. SL•:CTION II The CITY retains the right to terminate at its discretion this Agreement by written notice to the PROVIDER of such intent to terminate at least thirty (30) days prior to the effective date of such termination. Such right to terminate prior to the completic,n of the effective term of Agreement _.hall be without penalty to the CITY. SECTION III If through any cause, the PROVIDER shall fail to fullfill in timely and proper manner its obligations under this Agreement, or shall violate any of the convenants, agreements, conditions or stipulations thereof as determined by the DIVISION, the CITY shall thereupon have the right to terminate this Agreement by giving written notice to the PROVIDER of such intent to terminate at least five (5) days prior to the effective date of such termination payment. ARTICLE X: SUB -CONTRACT The PROVIDER agrees that no assignments or Sub -Contracts will be made or let in connenction with the Agreement without the prior written approval of the CITY and that all such Sub -Contracts or assignee shall be governed by the terms and intent of this Agreement. ARTICLE XI: CIVIL RIGHTS The PROVIDER agrees to abide by all applicable municipal, county, state and federal laws dealing with non-discrimination in regards to employment, educational opportunities and persons served. In carrying out the contract, the PROVIDER shall not discriminate against any employee or applicant for employment because of race, color, religion, sex, age, handicap, marital status or national origin. The PROVIDER shall take affirmative action to insure that applicants for employment are employed, and that employees are treated during employment, without regard to their race, color, religion, sex, age, handicap, marital status or national origin. Such action shall include, but not limited to, the following: employment, upgrading, demotion, or transfer; recruitment or recruitment advertising; layoff or termination; rates of pay or other forms of compensation; and selection for training, including apprentice- ship. The PROVIDER shall lost in conspicuous places, available to employees and applica: for employment, notices setting forth the provisiuns of this non-discrimination clause. It is expressly understood that upon receipt of evidence and determination by the CITY of such discrimination, in regards to employment, educational opportunities and persons served, the CITY shall. have the right to terminate said contract. ARTICLE; XII: CLASS IIOUR { I "Class t.o:: for the purpose of this contract shall be defined as a period of instruction to a group consisting of at least fifty (50) minutes training time. ARTICLE XIII: INDEIdNIFICATION The PROVIDER hereby convenants and agrees to defend, indemnify and save harmless the CITY against any and all claims, suits, actions for damages, o_- causes of action arising during the term of this agreement, for any personal injury, loss of life, or damages to property, sustained by reason of, or as a result of the PROVIDER'S, (its agents, employees or workmen) carelessness or negligence; from and against any orders, judgements, or decrees, which may be entered thereon; and from and against all costs, attorney's fees, expenses and liabilities incurred in the defense of any such claims and the investigation thereof. ARTICLE XIV: CONSTRUCTION OF AGREEMENT The parties hereto agree that this agreement shall be constructed and enforced according to the laws and statutes of the State of Florida. ARTICLE XV : WORK STATF14ENT SECTION I Miami -Dade Community College shall provide professional instructional services in Clerical Skills 'Training to the City's CETA participants and in accordance with the outline contained in Section II. City's CETA participants and the mayimu:r. enrollment in any group shall be twenty-eight(28) participants. Each group shall. meet for seven hundred (700) class hours, five (5) class hours a day, four- (4) day, a week for two (2) consecutive terms of fifteen (15) weeks each. The scheduling of instructional hours and participants shall be by mutual agreement. Participants who successfully complete credit producing COUrses will receive said credits.
