HomeMy WebLinkAboutR-81-1022w y *, .__ RESOLUTION NO, - A RESOLUTION AUTHORIZING THE CITY MANAGER TO A EXECUTE AN AGREEMENT, IN SUBSTANTIALLY THE FORM ATTACHED HERETO, WITH SYSTEMS IN EDUCATION TRAINING CORPORATION, FOR THE PURPOSE OF PRO= VIDING PROFESSIONAL TRAINING SERVICES IN THE CONSTRUCTION TRADE AREAS OF CARPENTRY, MASONRY AND PAINTING FOR CITY OF MIAMI CETA IIB PARTICIPANTS IN THE OVERTOWN EX -OFFENDER PROGRAM WITH FUNDS EXPENDED FOR THE COST OF SAID AGREE- MENT TO BE REIMBURSED UNDER THE CITY OF MIAMI'S CONTRACT WITH THE SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM, WHEREAS, it is necessary for the City of Miami to comply with the regulations governing CETA on providing training for CETA participants; and WHEREAS, there has been demonstrated a need for training and instruction in the area of construction trades; and WHEREAS, the aforementioned skills are necessary to allow participants to be placed in unsubsidized employment; and WHEREAS, the funds necessary for the execution of this agree- ment are reimbursed under the City of Miami's CETA Title II-B Overtown Ex -offender Program; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The City Manager is hereby authorized to execute an agreement, in substantially the form attached hereto, with Systems in Education Training Corporation for the purpose of pro- viding professional training services in the construction trade areas of carpentry, masonry and painting for City of Miami CETA II-B participants in the Overtown Ex -offender Program, with funds expended for the cost of said agreement to be reimbursed under the City of Miami's contract with the South Florida Employment and Training Consortium. KNO , JR.ITY ATTORNEY —2— $ 1022 FROM Dena Spillman, Director Commmity Development Department CETA Training Pec ended Professional Services Contract (for Commission Action) REFERENCES City Commission Agenda December 10, 1981 ENCLOSURES, "It is recommended that the City enter into a professional services contract with Systems in Education & Training Corporation for obtaining a vocational training program in Carpentry, Masonry and Painting for the CETA participants of Overtown as provided for in the City's contract with the South Florida Employment and Training Consortium, per the attached Resolution." The Commmity Programs Division has publicly advertised the City's need for a training institution to provide training for the two (2) upcoming Title II-B Carpentry, Painting and Masonry Training Programs. The two (2) Title II-B Programs are the Overtown Ex -Offender Program and the Overton Underenployed Program. There were only two (2) respondents to the advertisement. A Selection Committee decided to divide the contract between the two (2) training institutions because they rated equally. Based on Systems in Education & Training Corporation's prior experience with Ex -Offenders, they were selected to provide 500 hours of training for forty- eight (48) Overtown Ex -Offenders in Carpentry, Masonry and Painting. The cost for the training is $81,000.00 The Consortium has approved $257,276.00 for the Overtown Ex -Offender Program. Therefore, to accomplish our objectives, it is recommended that the City Manager be authorized to enter into the proposal contract, per the attached resolution. DS:rd CO OW - 1-0 2 2 Stato :, of Florida (hereinafter referred to as the "CITY") and SyqItVp IN t4,ATIoj4 and TW=VO CORPORATION, a Vocational Training Institute, (hereinafter referred to as "PROVIDER") having a principal office at 5535 N.W. 7th Avenue, Miami, Florida states condition and covenants for the rendering of Professional Training Services by said PROVIDER, to the City of Miami Department of Community Developnent's Community Programs Division (hereinafter referred to as "DIVISION") at a cost not to exceed eighty-one thousand dollars ($81,000.00) for the period'of January•4, 1982 to May 14,•1982. WITNESSETH WHEREAS, the CITY has entered into a contract with Svstems in Education and Training Corporation to ensure training for City of Miami's CETA participants for the purpose of inproving the employability of the participants; and VMREAS, the PROVIDER has developed and provided service as described elsewhere herein which have proven of value to the Community and has demonstrated effectiveness and qualifications to provide these services; and WHEREAS, the CITY is desirous of obtaining such services of the P.WArMER and the PROVIDER is desirous of furnishing such services. NCW, THEREFORE, in consideration of the mutual covenants and agrements hereinafter set forth, the parties hereto covenant and agree as follows: PFTICIE'I: SCOPE OF SERVICES It is understood that the PROVIDER will provide the followinq services for the CITY in conjunction with the CITY'S CETA Traininq Program: A. To provide a program of training in Carpentry, Painting and Brick Masonry that will enable the participants to improve their emloyability. B. To provide educational counseling services with regards to their cniirse performance to CETA participants enrolled in training programs. C. To provide all training by qualified instructors With miniftn requirements of a 13achelor Degree or Journeyman'sLicense from an accredited college or acceptable agency and with significant teaching experience in the field of their subject matter. G. To provide an initial assessment of each participant at the time of enrollment to evaluate the present educational level of the student in the respective area of study. H. To provide periodic attendance and progress reports as outlined in Article VII. I. To provide written proof of an attempt to get Labor Unions to approve curriculum. ARTICLE II: DELIVERY OF SERVICES Both parties agree to comply with those stipulations which are outlined in the "Work Statement" narrative contained in Article XV, Section II. ARTICLE III: EF'FECrIVE TERM Both parties agree that the effective term of this Agreement shall be made from January 4, 1982 to May 14, 1982. ARTICLE IV: AMOUNT PAYABLE �.• • y;: i�l�i�e���IZ��:i1.��7'ui�l��i�i� For any professional training services rendered and for expenses incurred for such services the CITY shall pay the PROVIDER in accordance with the following terms, conditions and schedule: 1. Training Service Cost The CITY agrees to reimburse the PROVIDER for actual costs incurred while providing services as described in the "Work Statement" and the reimbursement amount shall not exceed $81,000.00 . This reimbursement shall include compensation for all services provided under the Scope of Services in Article I of this contract. PAGE 2. i i Y The City's =A cost per participant is $1,500 based on 1 participants �r group and $24r000 per group. The cost of non-C'ETA participants is $1,900 based on tuitionr textbo6ka and supplies, and additional expenditures incurred in the preparation of documentation (such -as daily attendance, book sign -off, etc.) required by funding sources. B. MAXD= EXPENDITURE The PROVIDER and the City hereby agree that the maximum amount payable under this contract shall riot exceed eighty-one thousand dollars ($81,&0.00y and that either party may immediately and at ;may :'acne terminate this agreement when the aggregate training service cost and instructional material cost here and above provided reaches eighty-one thousand dollars ($81,000.00). C. All invoices shall include the following information: 1) Description of services provided. 2) Date and time services were provided. 3) Total hours worked for period of invoices. 4) Names of the participants receiving services. 5) Copy of original invoices for materials. 6) Additional information as requested by Division. Invoices shall be provided to the DIVISION on a monthly basis for class hour 4 training and for cost of instructional materials. Unless the invoice is questioned by DIVISION as provided for above, pant shall be made in full by the CITY within thirty (30) clays after receipt of invoice from PROVIDER. The PROVIDER agrees to maintain attendance records of the participants in the program as required and furnished by the DIVISION and to provide periodic academic progress reports to the DIVISION upon request. All original copies of reports and records shall become the property of the CITY -DIVISION. ARTICLE VIII: AMENDMENTS The CITY may at its discretion, amend the Agreement to conform with changes in applicable, City, County, State and Federal Laws, directives, guidelines and objectives. No amendments to this Agreement shall be binding on either party unless in writing and signed by both parties. Such arencb ents shall be incorporated as a part of this Agreement upon review, approval and execution by the parties hereto. ME 4, 4 r SECTIC� I n. If the 5.M-T.C. awards funds to the CITY at a reduced amount or if such funds are k6dULed during the Viscal year due to Department of labor action, the CITY tray terminate this Agreement by giving at least twenty-four (24) hours advance notice, in writing, to the PWVIt)DR. The PROVIDER has no right to appeal a termination under this section, and the date of termination shall be the date of receipt of the letter. 5EC'rIC�1 II The CITY retains the right to terminate at its discretion this Agreement by written notice to the PROVIDER of such intent to terminate at least thirty (30) days prior to the effective date of such termination. Such right to terminate prior to the completion of the effective term of Agreement shall be without penalty to the CITY. SECTION III If through any cause, the PROVIDER shall fail to fulfill in timely and proper manner its obligations under this Agreement, or shall violate any of the covenants, agreements, conditions or stipulations thereof as determined by the DIZTISIG'N, the CITY shall thereupon have the right to terminate this Agreement b_y giving written notice to the PROVIDER of such intent to terminate at least five (5) days prior to the effective date of such termination payment. ARTICLE X: SUE-CCNITRACT The PROVIDER agrees that no assignments or Sub -Contracts will be made or let in connection with the Agreement without the prior written approvial of the CITY. and that all such Sub -Contracts or assignee shall be governed by the terms and intent of this Agreement. ARTICLE XI: CIVIL RIGHTS The PROVIDER agrees to abide by all applicable Municipal, County, State and Federal Laws dealing with non-discrimination in regards to employment, educational opportunities and persons served. In carrying out the contract, the PROVIDER shall not discriminate against any employee or applicant for employment because of race, color, religion, sex, age, handicap, marital status or national origin. the PF07MEP shall take affirmative action to insure that applicants for employment are employed, and that employees are treated during employment, without regard to their race, color, religion, sex, age, handicap, marital status or national origin. Such action shall include, but not limited to the following: employment, upgrading, demotion, or transfer; recruitment or recruitment advertising; layoff or termination; rates of pay or other fortes of compensation; and selection for training, including apprentice- ship. The PROVIDER shall post in conspicuous places, available to employees and applicants for employment, notices setting forth the provisions, of this non-discrir+.ination clause, pi,,op, 5, w 81 " 1022 the pR shall state t all civaiifiedt�lat wai +i3sideY`ation . for employment without regard to races color, religions set+ ace, handicapstitarital tatus or national origin, it is expressly understood that upon receipt of evidence and determination it the CITY of such discrimination, in regards to attploycirnt# educational Opportunities and persons seated, the _CITY shall have the right to terminate said contract-. c i zrICLE XII: CLASS 'HOUR "Class Hour" for the purpose of this contract shall be defined as a period of instruction to a group consisting of at least fifty (50) minutes traininq time. - ARTICLE XIII:-INDEMIFICATION The PROVIDER hereby covenants and agrees to defend, indemnify and save harmless the CITY against any and all claims, suits, actions for damages, or causes of action arising during the term of this Agreement, for any personal injury, loss of life, or damages to property, sustained by reason of, or as a result of the PROVIDER'S, (its agents, employees or workmen) carelessness or negligence; from i and against any orders, judgements, or decrees, which may be entered thereon; and from and against all costs, attorney's fees, expenses and liabilities incurred in the defense of any such claims and the investigation thereof._ ARTICLE XIV: CONSTRUCTION 'OF P`lT The parties hereto agree that this Agreement shall be constructed and enforced according to the laws and statutes of the State of Florida. Each group shall meet for five hundred (500) class hours, six (6) hours a day, five (5) days a meek for seventeen (17) - . weeks. The scheduling of instructional hours and participants shall be by mutual agreement. Enrollment and/or replacement of participants shall be allowed at any time during the course.
