A RESOLUTION AUTHORIZING THE CITY MANAGER
TO EXECUTE A RETROACTIVE AGREEMENT, SUB-
STANTIALLY IN THE FORM OF THE ATTACHED
AMENDMENT NO. 3 AMENDING THE EXISTING
AGREEMENT BETWEEN METROPOLITAN DADE COUNTY
AND THE CITY OF MIAMI FOR ECONOMIC PLANNING
ACTIVITIES TO BE RENDERED BY THE DEPARTMENTS
OF PLANNING AND TRADE AND CONDIERCE DEVELOP-
MENT; BY EXTENDING THE TIME OF PERFORMANCE
TO DECEMBER 31, 1981; BY INCREASING THE
AGREEMENT AMOUNT TO $191,630 PLUS A 34.1
PERCENT LOCAL MATCH; IN ORDER TO ACCEPT AN
AWARD OF FUNDS FROM AN ECONOMIC DEVELOPMENT
ADMINISTRATION 302 PLANNING GRANT THROUGH .
METROPOLITAN DADE COUNTY FOR THE PURPOSE
OF ESTABLISHING AN ECONOMIC DEVELOPMENT
PLANNING AND IMPLEMENTING CAPACITY; FURTHER
DIRECTING THE CITY CLERK TO IMMEDIATELY
FORWARD A COPY OF TIiIS RESOLUTION TO THE
COUNTY CLERK.
WHEREAS, by Board of County Commissioners' Resolution
R-39-80; January 8, 1980 and City Commission Resolution
79-880; December 27, 1979, execution of a City/County
Agreement for $75,000 plus a 25% local match was authorized
for Department of Planning and Trade and Commerce Develop-
ment economic development planning services for Fiscal Year
1979-1980 funded through an Economic Development Administration
302 Planning Grant to Metropolitan Dade County; and
WHEREAS, by Board of County Commissioners' Resolution R-1322-80;
October 7, 1980 and City Commission Resolution 80-S02; November
6, 1980 execution of contract amendment No. 1 was authorized
which a) amended the personnel table; b) extended the time of
performance to December 31, 1980 and c) increased the contract
amount by $19,280 to $94,280 plus the local match to be provided
by personnel working on other grants; and
WHEREAS, by Board of Country Commissioners' Resolution R-841-81
June 2, 1981 and City Commission Resolution 81-478; May 28, 1981
execution of contract -unendment No. 2 was authorized which

a) amended the personnel table; b) extended the time of

amount by $17,815 to $112,095 plus the local match to he
provided by personnel working on other grants; and
WHEREAS, the Economic Development Administration, US Depart-
ment of Commerce by letter of August 31, 1981 has made a grant
offer to Metropolitan Dade County, part of which will be
passed through to the City; and
WHEREAS, the Board of County Commissioners is expected to
accept the grant award and to authorize the County 'Manager to
execute contract amendments; and
WHEREAS, the City Commission wishes to foster economic
development throughout the City by fostering economic develop-
ment planning and implementing capacity;
N0W, THEREFORE, BE IT RESOLVED BY THE COJMMISSION' OF THE
CITY OF DMIATMI , FLORIDA:
Section 1. The City Manager is hereby authorized to execute
an agreement, substantially in the form of the attached amend-
ment No. 3, amending the existing agreement between lbMetropoli^
tan Dade County and the City of Miami for economic planning
activities to be rendered by the Departments of Planning and
Trade and Commerce Development; by extending; the time of per-
formance to December 31, 1981 and by increasing the agreement
amount to $191,630 plus a 34.1 percent local match, in order
to accept an award of funds from the Economic Development
Administration 302 Planning Grant through Metropolitan Dade
County, for the purpose of establishing economic development
planning and implementing capacity.
Section 2. Tho City is directed to immediately forward
a copy of this Resolution to Richard P. Brinker, Clerk of

OF AGREEMENT BETWEEN THE CITY OF MIAMI
AND METROPOLITAN DADE COUNTY FOR ECON0111C
DEVELOPMENT PLANNING ACTIVITIES.
This retroactive AMENDMENT of AGREEMENT made and
entered in the 29th day of December , 1981, by
and between the City of Miami , hereinafter called "CITY"
and Metropolitan Dade County, hereinafter referred to as
"COUNTY", both political subdivisions of the State of
Florida.
WITNESSETH
11:IIEREAS , the COUNTY has heretofore entered into an
Agreement with the CITY, effective October 1, 1979 for the
implementation of economic development planning activities
by the CITY, funded through a US Department of Commerce,
Economic Development Administration 302 Planning Grant to
the COUNTY pursuant to County Resolution R-39-80 adopted
January 8, 1980; Resolution R-1322-80 adopted October 7, 1980;
and Resolution R-841-81 adopted June 2, 1981, and the CITY has

ratified the Agreement by Resolution 79-880 adopted December
271 1979; Resolution 80-802 adopted November 6, 1980 and Reso-
lution 81-478 adopted May 28, 19S1; and
I'7HEREAS, this Agreement is in full force and effect, and;
WHEREAS, the parties are desirous of entering into this
Amendment of Agreement to accomplish the purposes outlined
herein as allowed by the procedure in Section VI of the Agree-
ment.
NOW, THEREFORE, the parties do mutually agree as follows:
1. Existing paragraph 1 of Section I is hereby deleted and
a new paragraph 1 of Section 1 is hereby substituted

in lieu thereof to read as follows:
"1. to solicit and accept the amount of $191 ,630
f ran the US Department of Commerce for and
in behalf of the City of Miami's economic
development efforts."
2. A new paragraph 8a is hereby added to paragraph
8 of Section II to read as follows:
118a. MAXIMUM COMPENSATION
The CITY agrees to accept as full payment for
services rendered in manner to the COUNTY Office
of Community and Economic Development, the actual
amount of budgeted, eligible and approved expendi-
tures and encumbrances made by the City of Miami
for the purposes of carrying out the services here-
under during the period of this Amended Agreement.
It is expressly understood and agreed that in no
event shall the total compensation and/or reimburse-
ment to be paid hereunder exceed the maximum sum of
$191 ,630 of Economic Development funds for the period

October 1, 1979 through December 31, 1981."
3.A new paragraph 9a is hereby added to paragraph 9 of
Section II to read as follows:
"9a.Matching funds required total $99,006 (or 34,10) of the
budget of $290,636."
4.Existing Section V is liereby deleted and a new Section V
is hereby substituted in lieu thereof to read as follows:
"V. TIME OF PERFORMANCE
This Agreement shall be deemed effected as of October
1, 1979. The services of the CITY shall commence
upon execution and receipt of notification from the
COUNTY Office of Community and Economic Development,
whichever is later and shall be undertaken and com-

pleted in light of the purposes of this
Agreement within the budgeted amount
authorized but in any event all services
required hereunder shall be completed by
December 31, 1981.
IN WITNESS WHEREOF, the City of Miami and Metropolitan
Dade County have entered into this AGREE"DENT as .of the date
first above written.

WITNESSETII
►w'N_REAS. the U. S Department of Commerce, in response to a City of
Miami Economic Development proposal under Section 302(a), has
expressed a willingness to offer financial assistance to the

WHEREAS, the U. S. Department of Commerce would like to funnel those
fends through Metropolitan Dade County; and
WHEREAS, the City of Miami authorized a contract with Metropolitan
Dade County by Resolution No. _ passed and adopted on
, 1979, and said resolution is incorporated by reference;
and
WHEREAS, 1letropolitan Dade County authorized a contract with the
City'of hiami by Resolution No. _ passed and adopted on
, 19,'9, and said resolution*is incorporated by reference;
NOW, THEREFORE, in consideration of the mutual agreement contained
herein the'parties hereto agree as follows:
1. COUNTY AGREES
1. o solicit and accept tale amount of $75,000 from the U. S.
Department of Commerce for and in behalf of the City of
Miami's economic development efforts.
2. To pay those funds to the City of Miami for the provision
of economic development planning activities.

It is recommended that the Commission
accept a grant award; that the Manager
be authorized to negotiate and subse-
quently execute a retroactive amendment
to the existing City/County contract
for the EDA 302 Planning Grant, extend-
ing the contract to December 31, 1981
and increasing the contract amount to
$191,630 per the attached resolution.
Per Board of County Commissioners Resolution R-39-80; January 8,
1980 and City Commission Resolution 79-880; December 27, 1979
execution of a City/County contract for $75,000 plus a 25% local
match was authorized for Planning Department and Department of
Trade and Commerce Development economic development planning
services for FY '79-180 funded through an Economic Development
Administration 302 Planning Graiit to Metropolitan Dade County.
Per Board of County Commissioners Resolution R-1322-80; October
7, 1980 and City Commission Resolution 80-802; November G, 1980
execution of a contract amendment was authorized which a) amended
the personnel table; b) extended the time of performance to
December 31, 1980 and c) increased the contract amount by $19,280
plus the local match to be provided by personnel working on other
grants.
Per Board of County Commissioners Resolution R-841-81; June 2,
1981 and City Commission Resolution 81-478; May 28, 1981 execution
of contract amendment No. 2 was authorized which a) amended the
personnel table; b) extended the time of performance to March 31,
1981 and increased the contract amount by $17,815 to a total of
$112,095 plus the local match to be provided by personnel working
on other grants.

Per the attached correspondence, the Economic Development
Administration, US Department of Commerce has made a grant
offer to Metropolitan Dade County, part of which will be
passed through to the City. The Board of County Commission-
ers is expected to accept the grant and to authorize the
County Manager to execute contract amendments.
It is recommended that the Commission accept the grant and
that the Manager be authorized to negotiate and execute an
amendment to the existing agreement extending the time of
performance to December 31, 1981 and increasing the contract
amount to a total of $191,630 plus the local match to be pro-
vided by personnel working on other grants.
It is further requested that this item be placed in the City
Commission agenda.
