A RESOLUTION AUTHORIZING THE CITY MANAGER TO
EXECUTE AN AGREEMENT, IN SUBSTANTIALLY THE
FORM ATTACHED HERETO, WITH METROPOLITAN DADE
COUNTY TO ACCEPT $55,000 IN DIRECT PAYMENTS
AND $45,000 IN ADVERTISING CREDITS IN CON-
SIDERATION OF THE CITY PROVIDING COUNTYWIDE
CONVENTION SERVICES THROUGH ITS CONVENTION
BUREAU FOR FISCAL YEAR 1981-82.
WHEREAS, Metropolitan Dade County has requested that
the City provide Convention services to the County in FISCAL YEAR
81-82, for a consideration of $55,000 in direct payments and $45,000
in advertising credits for a total value of $100,000; and
WHEREAS, the City agrees to provide the aforementioned convention
services through its Convention Bureau; and
WHEREAS, the County has prepared an Agreement for execution
with the City;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE
CITY OF MIAMI, FLORIDA:
Section 1. The City Manager is hereby authorized to execute
an agreement, in substantially the form attached hereto, with
Metropolitan Dade County to accept $55,000 in direct payments and
$45,000 in advertising credits for a total value of $100,000 as
consideration for convention services to be provided to the County
by the City through its Convention Bureau during FISCAL YEAR 1981-82.

Dade County
It is recommended that the proposed
resolution be adopted by the City
Commission authorizing the City "Tanager
to enter into an agreement with Metropolitan
Dade County to accent $100,000 in direct
payments and advertisinc credits in return
for the City providing; countywide con•ention
services through its Convention Bureau.
The Tourist Development Council of Metropolitan Dade County and
s the Board of County Commissioners have approved an allocation
of $100,000 to be included in the F.Y. 1931-82 budget of the
City's Convention Bureau. The allocation takes the following form:
1. $55,000 to be a direct payment to the City for oD_eratina
expenses of the Convention Bureau.
2. $45,000 to be in the form of advertising credits with
Beber Silverstien and Partners. All advertising to be
initiated and approved by Convention Bureau.
The City, through its Convention Bureau must provide full convention
services to all interested parties, countywide, with the exception
of Miami Beach, Surfside and Bal Harbor. Services are defined as:
1. Solicitation and formal presentations to mectinq planners.
2. Promotion of convention events.
3. Provide registration and housing assistance to conventions.
4. Submission of budgetary plans and quarterly reports to
Dade County Tourism Department.

C. Distribution of brochures and promotional material to
prospective conventions and conventions in progress.
d. Provide registration assistance to conventions.
e. Provide hotel and housing assistance.
2. To perform specific presentations as required before the
Tourist Development Council.
3. That this $100,000.00 contribution from the Metro -Dade
Department of Tourism shall be divided as follows:
a. $55,000.00 for general operating and support expenses
of the City of Miami's Convention Bureau incurred in
the provision of the services outlined above.
b. $45,000.00 for expenses incurred in the production of
collateral brochures and promotional pieces and/br the
placement of media advertisements. Funds for this
purpose shall be included as an addition to the Metro -
Dade Department of Tourism's budget and shall be paid
to the advertising agency under contract with the
Department of Tourism upon presentation of itemized
bills for advertising services authorized and approved
by the City of Miami's Convention Bureau..
It is understood that none of these conditions shall be
interpreted to limit the City of Miami Convention Bureau
from spending operating funds allocated herein for adver-
tising support or collateral material above the $45,000.00
required contractual limit if the City should deem necessary
or appropriate.
4. To submit, annually prior to the commencement of this
agreement to the Department of Tourism a proposed budget
identifying by category expected expenditures. The
Department shall specifically..approved the budget prior to
making any expenditures.
5. To submit written quarterly reports to the Director, or more
frequently if requested by the County, of expenditures made
by the City in executing this Letter of Agreement. The County
reserves the right to require additional reports as the County
deems necessary.
6. To provide quarterly Activity Reports detailing number of
conventions held, number of participants, duration, extended
expenditures, and anticipated return outlook.
III. CITY AND COUNTY AGREE
1. To assist, complement and support each other in the coordina-
tion of the Convention program.
2. The CITY does hereby acknowledge and agree that any and all
operation of the programs implemented by the City of Miami
Convention Bureau which utilizes the funds provided hereunder
are the sole and complete reponsibility of said CITY and all
persons hired by the CITY hereunder are the employees, agents
or officers of said CITY and not that of the COUNTY.
In this connection, the C'•ITY aknowledges and agrees that
it is solely liable and responsible for damages which
might arise out of the acts or omissions of the CITY, its
officers, employees, agents or persons under its direction
and control, and to the extent that the COUNTY may be named
in a suit which arises out of the acts or may be named in
a suit which arises out of the acts or omissions of the
CITY, its officers, employees, agents or persons under its
direction and control, the CITY shall indemnify, defend

NOW THEREFORE IN CONSIDERATION of the mutual agreement

and hold the COUNTY harmless; however, liability under
this clause is governed by the limits and to the extent
provided in Section 768.28, Florida Statutes, the partial
waiver of sovereign immunity.
3. That all reports, plansr maps, brochures and other material
developed as a result of this Agreement shall become the
property of both parties and may be used by either party.
4. All files, records, and other information developed by the
City as a result either directly or indirectly of this
contract shall be the property of the County regardless of
location.
IV. TERMINATION

This Agreement may be terminated by either party at any time upon
submission of sixty (60) days written notice if there is:
1. Failure to comply with any or all of the terms of the
contract.
2. Submission of incorrect or incomplete reports or non -submission.
3. A deficiency of actual tourist development tax collections
over official budgetary projections.
V. TIME OF PERFORMANCE
This Agreement shall be deemed effective as of the date of
execution of this agreement and shall terminate on September
30, 1982.
VI. AMENDMENTS
The CITY and the COUNTY may, at their discretion and by mutual
agreement of both parties, amend this Agreement at any time to
.conform with any contingencies which may require such amendment.
Amendments, if required, shall be incorporated in writing to
this Agreement, upon review, approval and execution by the parties
hereto.
VII. SIGNATORIES
IN WITNESS WHEREOF, Metropolitan Dade County and the City of
Miami have entered into this Agreement on this day of
