HomeMy WebLinkAboutR-82-0310i RESOLUTION NO. 8 2` 3 1 U A RESOLUTION AUTHORIZING THE CITY MANAGER TO EXECUTE AN AGREEMENT, IN SUBSTANTIALLY THE FORM ATTACHED HERETO, WITH THE HISTORICAL ASSOCIATION OF SOUTHERN FLORIDA FOR THE TRANS- FER OF ANTIQUE FIRE CONTROL ARTIFACTS AND PHOTO- GRAPHS TO SAID ASSOCIATION, AS A CONDITIONAL GIFT FROM THE CITY OF MIAMI FOR PURPOSES OF MAINTENANCE, ACCESSIONING AND DISPLAY AT THE MIAMI FIRE -RESCUE TRAINING CENTER OR THE HISTORICAL ASSOCIATION MUSEUM. WHEREAS, the City and the Historical Association of Southern Florida are mutually interested in and concerned with the identification and preservation of antique fire control artifacts and photographs for public use and benefit, and for education of present and future generations; and WHEREAS, the City has several antique objects, such as alarm boxes, helmets, life support equipment, photos, etc; and WHEREAS, the Historical Association has the facilities for cleaning, maintenance and accessioning the antique objects; and WHEREAS, the Historical. Association will, at its own cost and expense, make all restoration, repairs and provide all main- tenance necessary to keep the antique objects in good condition; and WHEREAS, the gift of antique objects is made upon the ex- press condition that the objects may be used by the City for exhibition at the New Fire -Rescue Training Center and such right of display is to be given precedence over all other uses and for as long as the City desires; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The City Manager is hereby authorized to execute an agreement, in substantially the form attached hereto, with the Historical Association of Southern Florida, providing for the transfer of antique fire control artifacts to the CITY COMMISSION MEETING OF APR 1 i�a2 82-31 I�Nr'rMwN r.w •. • Mwr4j� Historical Museum, subject to the terms and conditions set forth in said agreement. Brice, Director = For City Commission Meeting Department of Fire of April 1, 1982 It is recommended that the City Manager be authorized to execute agreement with the��Historical Association of Southern Florida;, providing for conditional gift of antique fire control artifacts and photographs to the Historical Associa- tion of Southern Florida for their future maintenance, assessioning and display. The City of Miami Fire Department and the Historical Associa- tion of Southern Florida have worked out an agreement whereby antique fire control artifacts, such as alarm boxes, helmets, life support equipment, and photographs would be given on a conditional basis to the Historical Association. The artifacts would become part of the Historical Association's permanent collection and, as such, be available on a loan basis for exhibits sponsored by the Miami Fire Department as well as by other institutions. In this regard, the Historical Associa- tion will, at its own expense, make all restoration repairs and provide all maintenance necessary to keep the objects in good condition. The City will be given precedence in right of dis- play over all other uses and for periods as long as it desires. It is anticipated that this donation will not only serve to protect those objects currently in hand for future public use and educational benefit, but also serve as an impetus for donations of fire service artifacts from private individuals in the future. Objects, as they become available, may be donated by amendment to the proposed agreement. M .NMETRI 82-310 AGREEMENT FOR CONDITIONAL GIFT OF ANTIQUE OBJECTS TO THE HISTORICAL ASSOCIATION OF SOUTH FLORIDA FROM THE CITY OF MIAMI Agreement made this day of ., 1981, between the HISTORICAL ASSOCIATION OF SOUTH FLORIDA, herein called "THE HISTORICAL ASSOCIATION", and the CITY OF MIAMI, a municipal corporation of the State of Florida in Dade County, herein called the "CITY OF MIAMI", with respect to some antique fire control artifacts and photographs herein called "ANTIQUE OBJECTS": W I T N E S S E T H: 1. That the HISTORICAL ASSOCIATION acknowledges re- ceipt of the following ANTIQUE OBJECTS as a conditional gift from the CITY OF MIAMI. 2. That description of the 4NITIQUE OBJECTS to be donated shall be listed in a separate appendix to this agreement. (Appendix A). In the event the CITY OF MIAMI decides to donate additional ANTIQUE OBJECTS in the future, as they become avail- able, it shall do so by a separate amendment to this agreement. 3. That the common objective is to identify and pre- serve the ANTIQUE OBJECTS for the public use and benefit and for education of present and future generations. 4. The HISTORICAL ASSOCIATION is to perform curatorial functions in regards to the ANTIQUE OBJECTS and is to clean and repair the ANTIQUE OBJECTS when it becomes necessary and be re- sponsible for storage and safekeeping of such ANTIQUE OBJECTS. 5. The CITY OF MIAMI has donated the ANTIQUE OBJECTS to the HISTORICAL ASSOCIATION as a conditional gift and the HISTORICAL ASSOCIATION has accepted the same subject to the following terms and conditions: a. The HISTORICAL ASSOCIATION shall, at its own cost and expense, make all restoration, repairs and provide all maintenance necessary to keep the ANTIQUE OBJECTS in good condition. Items needing repair and restoration will be P82-310 r processed according to time, finance and potential use of the items at the discretion of the HISTORICAL ASSOCIATION. b. The above described ANTIQUE OBJECTS shall be used for the purposes of exhibition, education, publicity and related activities. C. The HISTORICAL ASSOCIATION shall have the right to examine the ANTIQUE OBJECTS for authenticity by any standard procedure used to determine such authenticity and to photo- graph or otherwise reproduce it in any medium for purposes Of record, education or publicity under the same rules and regulations as those now or hereafter pertaining to objects in the HISTORICAL ASSOCIATION's own collection. d. The HISTORICAL ASSOCIATION shall provide security and fire detection protection for selected items at the HISTORICAL ASSOCIATION's discretion and selected ANTIQUE OBJECTS shall be insured by the HISTORICAL ASSOCIATION. Such insurance shall cover only those risks against which the HISTORICAL ASSOCIATION insures the rest of its property. e. The HISTORICAL ASSOCIATION is to clean and repair the objects when it becomes necessary and be respon- sible for the storage and safety of the ANTIQUE OBJECTS. However, the HISTORICAL ASSOCIATION shall not be responsible for the preservation and safekeeping of the ANTIQUE OBJECTS beyond the taking of such precautions as it ordinarily exer- cises in the preservation and safekeeping of the rest of its property. f. The HISTORICAL ASSOCIATION shall not assign the duties and responsibilities, under any circumstances without the written consent of the CITY OF MIAMI. g. The HISTORICAL ASSOCIATION shall not sell, pledge, or mortgage or attempt to sell, pledge or mortgage, or remove from the Museum's control any of the ANTIQUE OBJECTS without the written consent of the CITY OF MIAMI. L 0 h. If at any time the HISTORICAL ASSOCIATION decides to sell, pledge or remove from its permanent collection any ANTIQUE OBJECTS, donated by the City, it shall first give the CITY OF MIAMI ninety days written notice of said decision, and upon receipt of said notice, the CITY OF MIAMI shall have the option to either have the ANTIQUE OBJECTS returned to its possession for the total sum of One Dollar ($1.00) or to approve and consent to said sale, pledge, or removal of the ANTIQUE OBJECTS. i. This gift is made upon the express condition that the above described ANTIQUE OBJECTS may be used by the CITY OF MIAMI for exhibition, at the Fire Rescue Training Center Museum for educational and related activities. Prior to the date of the intended use, the CITY OF MIAMI shall give the HISTORICAL ASSOCIATION thirty (30) days written notice of its intention to use the ANTIQUE OBJECTS. Such right to dis- play said ANTIQUE OBJECTS by the CITY shall be given precedence over all other uses of the items and shall continue for as long as the CITY OF MIAMI desires. j. ANTIQUE OBJECTS turned over to the HISTORICAL ASSOCIATION shall become part of the permanent collection and available for study and exhibition at the Hiami Fire Rescue Training Center or the HISTORICAL ASSOCIATION Museum. These ANTIQUE OBJECTS, though owned by the HISTORICAL ASSOCIA- TION, will be held in public trust for the use and enjoyment of the public. ' 6. The HISTORICAL ASSOCIATION agrees to the conditions set forth above and recognizes that this disposition by the CITY is a conditional gift. 7. The HISTORICAL ASSOCIATIO14 shall have the right to retain title of the above described ANTIQUE OBJECTS so long as it complies with the conditions set forth above. If at any time, the above described ANTIQUE OBJECTS cease to be used in a manner consistent with the stated purposes of the '"82-310 gift or if any of the conditions stated in the contract are breached, the title of the ANTIQUE OBJECTS, together with all improvements thereon shall revert and vest in the CITY OF MIAMI. IN WITNESS WHEREOF, the CITY OF MIAMI has caused this Agreement to be executed in its name in the manner required by Law and the HISTORICAL ASSOCIATION has caused this Agreement to be executed in its name by its President, and caused its corporate seal to be affixed, attested by its Secretary, pursuant to authorization.
