RESOLUTION NO 8 2 3 8 U
A RE80LUTION CONDITIONALLY AUTHORIZING THE CITY
MANAGER TO EXPEND UP TO $270,500 FOR THE PRINCIPAL'S
FEES (50% OF NEGOTIATED FEE OF $541,000) FOR _
ADDITIONAL PHASES OF THE WORK BY FULLER AND SADAO,
P.C. IN CONNECTION WITH BAYFRONT PARK REDEVELOPMENT
PROJECT; AND FURTHER AUTHORIZING THE CITY MANAGER
TO EXECUTE THE ATTACHED AMENDMEUT TO THE PROFESSIONAL
AND TECHNICAL SERVICES AGREEMENT WITH FULLER AND -
SADAO, P.C. DATED 1/19/82 IN CONNECTION WITH SAID
PROJECT.
BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,. FLORIDA:
Section 1. The City Manager is hereby conditionally
authorized to expend up to $270,500 for the prin-ipal`s fee (50%
of negotiated fee of $541,000) for additional phases of the work
by Fuller and Sadao, P.C.. to be performed on the Bayfront Park
Redevelopment Project.
Section 2. The City Manager is further authorized to
execute the attached amendment reflecting changes to the Bayfront
Park Redevelopment Project and the Professional and Technical
Services Agreement with the principals dated January 19, 1982,
and the amendments thereto dated March 1, 1982.
Section 3. The authorization set forth in Section 1
hereof is subject to the condition that a minority business firm
whose annual net earnings are less than $250.000 be engaged by the
firm of Fuller and Sadao, P.C. to perform 20% of the technical
services in connection with the technical aspects authorized by
the herein funding.

AMENDMENT II
THIS AGREEMENT by and between THE CITY OF MIAMI, a municipal
corporation in the State of Florida (the "City"), and FULLER AND SADAO.
P.C., hereinafter called the PRINCIPAL, dated 1982.
W I T N E S S E T H
WHEREAS, the City by Resolution 81-829 on September 24, 1981,
has retained Fuller and Sadao, P.C., to provide professional and
technical services for the Redevelopment of Bayfront Park; and,
WHEREAS, the City by Resolution 82-78 on 1/28/82 has expanded
the project area to include the remaining approximate 10 acres to the
north; and
WHEREAS, the City has designated 5979,300 in Capital Improvement
Program funds to be used for the Bayfront Park Redevelopment Project; and
WHEREAS, circumstances since the execution of the original agreement
have changed so that the parties desire to hereby amend the professional
services contract so as more fully to insure that the public purpose will
be served.
NOW THEREFORE, the parties agree to amend the AGREEMENT as
follows:

1. SECTION I - GENERAL: amend sub -section F as follows:_
F. The City has initially budgeted the amount of $600,000 for this
AGREEMENT. This amount includes the following:
1. $566,000 for professional and technical services including:
a) The lump sum fee of $541,000 for the PRINCIPAL
b) $2.5,000 to cover the costs of special consultants
2. SECTION I - GENERAL: amend sub -section G as follows:
G. It is the intent of the CITY to seek funds for the construction of
t the PROJECT. It is estimated that the construction cost of the WORK
under this AGREEMENT will be generally in the order of
Eleven Million Dollars ($11,000,000).
3. SECTION I - GENERAL: amend sub -section H as follows:
H. The CITY agress to pay and the PRINCIPAL agrees to accept as
payment in full for all professional and technical services
rendered, as outlined in SECTION II - PROFESSIONAL SERVICES
hereof, the LUMP SUM FEE OF FIVE HUNDRED FORTY ONE THOUSAND DOLLARS
($54),000).
4. SECTION II - DEFINITIONS: add Sub-Sectlons..0 S P.as follows:
0. MATRIX PLAN is hereby defined as all the park re -development
with the exceptions of the portion of the Baywalk
and Bulkhead to be performed by the U.S. Corps of
Engineers, and any aggregate elements.
P. AGGREGATE ELEMENTS is hereby defined as the Sea Fountain and
the Light Tower as located on the Matrix Plan,

and any other subsequent additional elements.

5. SECTION V - COMPENSATION FOR SERVICES: amend sub -section A as follows:
A. For professional and technical services of the PROJECT, as
outlined in SECTION III hereof, the CITY agrees to pay,
and the PRINCIPAL agrees to accept, as a full payment for his
services, the LUMP SUM FEE OF FIVE HUNDRED FORTY ONE THOUSAND
DOLLARS ($541,000).
The LUMP SUM FEE will hereinafter be called the BASIC FEE. This
payment will be made monthly in proportion to the services
performed, so that the compensation at the completion of each Part
shall equal the following amounts of the
total BASIC FEE.

6. SECTION V - COMPENSATION FOR SERVICES: delete sub -section C.
IT IS FURTHER UNDERSTOOD AND AGREED THAT ALL OTHER CONDITIONS OUTLINED UNDER
THE ORIGINAL AGREEMENT REMAIN IN FULL FORCE AND EFFECT WITHOUT MODIFICATION.

Please schedule the following items for the City Commission
meeting of May 13, 1982.
1. As a presentation item on the Committee of the Whole Agenda:
1) Schematic Design for the Bayfront Park Redevelopment
Project by Lester Pancoast, AIA.
2) Schematic Design of the Baywalk portion of the project
by Joseph Middlebrooks, AIA.
If at all possible, we request this presentation be held at
9:00 AM.
2. An amendment to the contract with Fuller/Sadao, consultants
on the Bayfront Park Redevelopment Project. The amendment,
resolution and cover memorandum will be forthcoming.
