A RESOLUTION APPOINTING CERTAIN INDIVIDUALS
TO SERVE ON THE INITIAL BOARD OF DIRECTORS
OE THE MIAMI CABLE ACCESS COPPORATION FOR A
TERM OF OFFICE TO BE DETERMINED AT THE TIME
THE ARTICLES OF INCORPORATION AND BY-LAWS
ARE ADOPTED BY THE CITE` COMMISSION.
WHEREAS, on April 1, 1982 the City Commission adopted Res-
olution No. 82-303 which established an independent nonprofit com-
munity access corporation to be known as the "Miami Cable Access
Corporation" ("MCAC") to manage and allocate the use of the non -
municipal public television system; and
WHEREAS, said Resolution No. 82-303 provided for the initial
appointment of a five member board composed of individuals repre-
senting certain designated educational institutions who shall con-
sider the minority, ethnic and community needs of the City of
Miami and understand the value that cable communications can be to
the civic, cultural and educational growth of the community; and
WHEREAS, said Resolution No. 82-303 provides that the ini-
tial board of directors of the MCAC shall be comprised of five (5)
individuals as follows: the President or Vice -President or Chair-
man of the Board or Members of the Board of each of the following
educational institutions: Barry University, Biscayne College,
Florida International University, Florida Memorial College and the
University of Miami; and
WHEREAS, Resolution No82=525 adopted on June 17, 1982 in-
creased the representation on the initial board to seven (7) mem-
bers to include Miami -Dade Community College and the Dade County
Public School system; and
WHEREAS, responses have been received from the seven (7)
designated educational institutions listing their respective re-
presentatives;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA;

the initial Board of Directors of the Miami
Cable Access Corporation for a term of of-
fice to be determined at the time the Arti-
Iles of Incorporation and By -Laws are adopt-
ed by the City Commission."
j On April 1, 1982 the City Commission adopted Resolution No. 82-303
! which established the Miami Cable Access Corporation and an initial
Board of Directors. This resolution outlined the purpose of the
Board of Directors as provided for in Section 402(b) of the Cable
License Ordinance No. 9332.
Each of the educational institutions that are to be represented on the
initial Board of Directors has indicated their suggested representa-
tive for appointment by the City Commission as follows:

considered by the respective institution to be at the
vice president or top executive level.
Letters from the institutions and lists of their presidents, vice
presidents and board of directors (trustees) are attached for Corn -
mission review.
The responsibilities of the initial board will be to develop the Articles
of Incorporation and By -Laws that will be presented to the City Commis=
sion for approval. Consulting services will be obtained to assist in
the development of these articles and by-laws. ordinance No. 9405 appro-
priates $50,000 from the $200,000 start-up fee for this purpose and is to
be paid by the cable licensee for the Miami Cable Access Corporation.

Sequence of Events
1. Appointment of Initial Board of Directors by the City Commission.
2. Initial Board of Directors hires consultant and develops Articles
of Incorporation and By -Laws.
3. Articles of Incorporation and By -Laws submitted for Commission
approval.
4. Commission appointment of remaining members of Board of Directors.
5. Miami Cable Access Corporation files with the Florida Secretary
of State as a corporation not for profit.
6. Within 9 months Miami Cable Access Corporation presents a
three-year plan for providing public access in Miami.

I understand that at its meeting of June 91 the Miami City Commission will consider a
resolution which would provide representation on the Miami Cable Access Corporation for
the Dade County Public Schools. I certainly agree, as you have indicated in your letter of
May 3, that the creation of the Miami Cable Access Corporation is an important
milestone in the development of public access cable television services.
Personally, and on behalf of the school system, I welcome this opportunity to support your
efforts and the efforts of the Commission to develop a meaningful cable service.
If the resolution is approved, I will be pleased to serve as the school system's
representative and to designate .Mr. Don MacCullough, Director of Media Programs for
the school system, to serve in my place as may be needed.
I do appreciate the expression of confidence in the school system implicit in this offer.
