A RESOLUTION AUTHORIZING THE CITY MANAGER TO EXECUTE AN
AGREEMENT, IN SUBSTANTIALLY THE FORM ATTACHED HERETO,
FOR PARTICIPATION WITH THE HOTEL DEVELOPER, MIAMI CENTER
ASSOCIATES LTD., AND THE UNIVERSITY OF MIAMI IN THE JOINT
PURCHASE OF A TELEPHONE SYSTEM FOR THE CITY OF MIAMI/
UNIVERSITY OF MIAMI JAMES L. KNIGHT INTERNATIONAL CENTER.
WHEREAS, the City of Miami/University of Miami James L. Knight
International Center is scheduled to open in 1982; and
WHEREAS, the Hotel Developer, Miami Center Associates, Ltd.,
has completed a thorough bidding procedure and has accepted the
lowest bid; and
WHEREAS, the City will benefit the public interest more by
purchasing the City's share from the Hotel Developer's
lowest bidder; and
WHEREAS, the efficient and functional operation of the City
of Miami Convention Center is more greatly served by its telephone
system being part of a fully integrated, interconnecting system for
the entire City of Miami/University of Miami James L. Knight
International Center;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE
CITY OF MIAMI, FLORIDA:
Section 1. The City Manager is hereby authorized to execute
an agreement, in substantially the form attached hereto, for
participation with the Hotel Developer, Miami Center Associates, Ltd.
and the University of Miami in the joint purchase of a telephone system
for the City of Miami/University of Miami James L. Knight
International Center.

It is recommended the proposed Resolution be
adopted authorizing the City Manager to execute
an Agreement, in substantially the form attached
Hereto, with Miami Center Associates Ltd., Hotel
Developer, for participation in the purchase of
joint telephone system for the City of Miami/
University of Miami James L. Kniaht International
Center.
Purpose:
Provide terms of agreement and allocate funds for City's
share in purchase of joint telephone system for City of
Miami/University of Miami James L. Knight International Center.
Funding:
Funds allocated from the proceeds of the City of Miami
Convention Center and Parking Garage Revenue Bonds.
Agreement
Summary:
A. Breakdown of purchase costs (with percentages).
B. Breakdown of maintenance costs commencing third
year of agreement (with percentages).

2. City's interest in the Center's telephone system
represents only 13o as opposed to the hotel

3. Only by participating in the identical system
with the Developer and the University can the
City be assured of an integrated and efficient
convention center operation. Fully inter-
connecting capability is possible only through
use of identical equipment. Without this inter-
connecting capability the functional operation
of the Convention Center as well as the remainder
of the complex would be, greatly impaired.
It is, therefore, recommended the City Manager be authorized to execute
an Agreement, substantially in the form attached, for participation
in the purchase of a joint telephone system along with the Hotel
Developer, Miami Center Associates, Ltd., and the University of Miami
for use in the City of Miami/University of Miami James L. Knight
International Center.

specifications of the Equipment, the specific features of the Syst•_-n, the conEguration
of the Equipment and a listing of functions to be: performed by the System. The
Specifications also describe the: various-. stagy u of development and implementation of the
System and the Phase Completion Dates.
2.02 Intent. The intent of this Contract is to include all labor, materials and
servic:as required to compl=tee the System. All such labor, materials and services as

3.01 Equipment. The System shall consist of all Equipment as well as such.other
Materials and equipment necessary for the efficient operation of the System. The

Equipment shall be arranged in the configuration set forth in the Specifications.
• 3.02 Eauioment Manuals. Seller shall provide Owner with sufficient copies of (a)

Operation 'ManuaL-, (b) application Nlanuals, (c) Installation Nlanuals and (d) Maintenance
blanuals for the Equipment being purchased hereunder. Such manuals shall describe

Equipment. Seller agrees that all future documentation and manuals and revisions of

exisiing documentation and man-als developed with respect to the Equipment or the

'3.03 Use of Equipment. Owner may use the Equiptnhen: and the System purchased
hereunder for any purpose whatsoever without restriction, including without limitation,
the right to sell or transfer Equipment or the System or tie use thereof, with or :vit"out
charge, and whether or not such sale, tran3fer or use may nosy or hareaf ter compete with

the businass of Seller.
3.04 Location of Eauioment. Oivner may locate the Equipment anywhere in the
world without restriction, provided :;net during the warranity period set forth in Section
10.01 such relocation is carried out ;with due care under the supervision of Seller or by
gttali ied maintenance personnel approved by Seller, which approval shall not be unreason-
ably withrleid or delayad. Seller shall not be obligated to repair any dama;a to the
Equi. ;dent caused solely as a result of such r eloe.i' ion. unless such relocation is parlor+ned
by or at the direction and under the su?ervision of Seiler.

1.08 Risk of Loss. Any risk of loss to the Equipment prior..to delivery to Owner's
premises shall be borne by Seller. Seller shall bear risk of loss for any damage to or
destruction of the Equipment or any portion after delivery if said loss is due to Seller's
• acts or omissions. Owner shall otherwise bear the risk of loss of ter delivery to its
premises. _

" ` • 4.01 Seller's Work. Seller shall provide the Equipment as well as all labor,
professional and nonprofessional services, materials, cable, wire, supplies, tools and other -
equipment and shall perform all acts and supply all other things necessary for the proper
Installation and completion of the System. The Work, to be performed by Seller hereunder
shall consist of the obligations imposed upon Seller by this Section 4.01 as :yell as all other
obli;atiors created by this Contract. Seller warrants that all work shall be performed in
• a first class and workmanlike manner and shall conform to all applicable codes. In t.",e
event tha` the Work is being performed defectively, in an imprcper manner, or with
Equipment other than that to be delivered hereunder, such event shall 5e deemed a
default.
4.02 C000eration. At all times durins the term of this Contract, Seller shall
cooperate with O.rne., Hyatt, the Architect, the General Contractor and the (Consultants
to coordinate Seller's Work with the work of such parties for the most efffcient,
espeditioas and economical completion of the Hotel. Seller shall review the plans and
specifications of the Hotel in order to advise and maka recommendations with respect to
any matter within the scope of Seller's obligations pursuant to this Contract and assist in
the coordination of all seellons of the said drawings and specifications relative thereto.
Seller shall not commence the ;Vora;, order the EquiFn=;lt or ta'<C any action other than as
set forth above in this Section 4.02 urtil receipt of :+ri:tin notice from Owner to proceed.
At any time prior to receipt by Seller of tt;e Notlee to Coinrnen,'e, Owner ;-lay terminate
this Contract upon written notice to Seller at which timid this Contract shall become null
and -void. In the event t: at Seller does not receive the Notice to Commence within sixty
(60) days of t, a date hereof, it shall be conclusively presumed that Owner has exerciscd

4.03 Lien T'irthts. From time to time, at Owner's request, Seller agrees to

of any of said insurance shall not be interpreted as relieving Seller from any obligation
under this Contract.
Seller shall maintain Contractors Equipment Floater Insurance for owned or ;
leased equipment under his care, custody and control as required for the performance of ,
: Seller's duties. .
An insured loss is to be adjusted with the Owner and made payable to the Owner _
` as trustee for the insureds, as their interests may appear, subject to the requirements of
any Mortgagee 'of Owner and of this Cent- act. The Owner as trustee shall have power to
«. `�.j adjust and settle any loss with the insurers unless one of the parties in interest shall
object in writing within five (5) days after the Owner notifies the parties in interest of
its exercise of this power in writing, and if such objection be made, arbitrators shall be
chosen. The Owner as trustee shall, in that case, make settlement with the insurers in
accordance with the directions of such arbitrators. If distribution of the insurance
proceeds by arbitration is required, the arbitrators will direct such distribution.

5.01 Substantial Comoletion. Seller will notify Owner in writing wher, all of
the following have occurred: (1) the System is installed and is fully able to perform
substantially in accordance with Exhibit B • (Specification), (2) all necessary permits
related to the Systern have been obtained, (3) the System is provid;ng substantially all of
- the "features as set forth in the Specifications, and (T) all completed areas of the Hotel

5.02 Testing
A. Within five (5) days after receipt by O%vner of the notice described
in Section 5.01, Seller, in the presencc of an authorized representative of Owner, shall
perform tests acceptable to Owner with respect to the System as then constituted to
determine wh•_ther:

• C. Seller shall repeat the aforesaid acceptance tests thrirty (30) days
after the satisfactory completion of the acceptance test described in Section 3.02 A.

Deficiency.
' A. If any portion of the Acceptance Tests disclose any deficiency caused
by Seller, Seller shall, within ten (10) days, correct such deficiencies at its sole cost and
expense. :
B. Within ten (10) days after correction of any such deficiency, the
testing procedure required by the provisions of this Article V shall be repeated. Failure
-to satisfy said retesting shall be deemed a default of Seller hereunder, except where such

C. Seller agrees to have on the premises at least one member of its
regular repair crew at all times between 3:00 am and 5:00 pm, Mona/ through Sunday,
during the period starting at Cutover Date, and continuing for not less than three days
following Cutover Date and on any subsequent date through the Final Acceptance Date
on whit`: a Ma;or Malfunction or repetitive Minar Mal -Function occurs and continuing -
until such Malfunction shall have been cured to the satisfaction of the Cwner.
3.04 Final Acceptance. Possession, title to and ownership of the Equipment
and the System snail h-- transf-arred to Owner upon Final Acceptance and payment in full
by the Owner of the Contract Sum. Final Acceptance shall be deemed to occur on the
thirtieth day of the testing described in Section 5.02C provided all deficiencies, other
than those considered minor and not System affecting and agreed to by both Seller and

Owner shall withhold ten (10%) percent of the sum amounts described in (b)--(d) as a
' retention. The retention shall be withheld by Owner until Final Acceptance of the
System, at which time such retention shall be paid to Seller.
• 6.03 Work Changes. Changes in the Work, change orders and any resulting
increases or decreases in the Contract Sum shall require written change orders approved
and executed by Owner. Owner shall either pay or receive a credit, as the case may be,
for the chance order on the date the next payment is due after the date of the change
order.

7.01 Qualifications. All employees assigned to work on the System. including,
but not limited to t:,e maintenance personnel, shall be fully qualified and experienced in
the area of their assi;nment and shall be full-time employees of Seller assigned to the
project herein described on a full-time basis. Seller shall provide a full -tile Project
Supervisor, effective at the date of Notice to Commence. The Project Supervisor shall bb
subject to Owner's prior approval, whose zooroval shall not be unreasonably withheld, and
shall be responsible for overall supervision of the Work and to prepare all reports and to
be available for the consultation required under Article IX. Seller shall supply a sufficient
number of employees to prov.de the services required hereunder .and to meet the Agreed
Cutover Date. Both parties hereto agree not to employ any employees of the other party
without the prior ;vritten consent of the chief cperatin; officer o► tine other party.

9.02 Progress Reoorts. Until Final Acceptance, Seller shall submit monthly :
progress reports to owner not more than seven (7) days after the close of each and every
calendar month sicrned by an officer of Seller or the Project Supervisor. Each pro. ess
report shall describe the status of Seller's performance since the precedinr report, • :
Including Equipment delivered, and the progress expected to be made in the ne:ct
succeeding month. The progress reports shall describe Seller's activities by reference to -
the staves described in the Specifications and shall, if applicable, indicate methods of
overcoming past delays. All progress reports shall be prepared in a form approved by

' .9.03 Consultations. Not more often than once per calendar month until the
' Cutover Data, at the option of Owner, a consultation shall take place between Owner and -

B. Seller agrees to offer maintenance to Owner on an annual basis for
• ' eight (3) years after the two (2) year warranty period at Owner's sole option. The
.maintenance shall be provided under the provisions of the maintenance agreement
• attached hereto as Exhibit "D" and by this reference incorporated herein. The
obligations of Seller to Owner with respect to said !Maintenance ,agreement shall be the
same as those for the two (2) year warranty period, subject to the provisions of
Paragraph "F" of Exhibit "D". The cost to Owner based upon the System configuration
_ .; sold hereunder shall be $19,799.00 for the first year after the warranty expires. Seller
warrants that so tong as Owner renews said maintenance agreement continuously, the
subsequent annual maintenance charges shall not increase by more than the increase by
which the "Consumer Price Index (Urban) - All Items" increased from the index for the
prior year plus changes resulting from changes in the System configuration. In no event
will the charges be higher than those charged to any other of Seller's customers having
similarly sized systems and similar terms ,and conditions in the greater Miami metro-
politan area. In the event of a conflict between the terms of this Agreement and Exhibit
D, the terms of this Agreement shall govern.
C. During the two (2) year warranty period, in the event that the System
is unavailable for use due to a defect or deficiency or the failure of the System to
function in good order in accordance with the Specifications and it is reasonably
anticipated that the time necessary to make the correction or adjustments will exceed
48 hours, Seller will provide Owner, at Owner's option, with substitute equipment,
without charge, within twenty-four (24) hours. The substitute equipment shall consist of
a eonfiguratien of sufficient size to enable Owner to operate an emergency system
necessary to maintain effective operation of Owners business. Such substitute installa-
tion may be utilized for as long as Owner's equi?v ment is unaailable for use. Seller and
its Nlanufacturers will make every effort to restore the System to 100°6 perfor-mance in
S the shortest reasonable period of time. Top manufacturing priority will be assigned to
the replacement System and production line equipment will be utilized if necessary.
D. In the event Seller fails to provid2 service within one (1) hour of
Owner's second Request for ,Majer Malfun: Lien service, in accordance with the
require-ments set forth abov=, Seller snail be liable to Ov/ner as a result of such eelav as fol!ows:
For the first instance of delay in cornmencing !rncrgericy service in any one year period
folicwing the Cutover Date or any anniver sary thereof, SeL'er shall credit Owner $50.00
for each hour of delay by Seller, to be applied agai•ist any outstanding bills or future bills
for move, add or change. work performed by Seller. For the soccrid and each successiv-_
instance of any such delay within any such one year period, damages shall �Ne $100.00 par
hour for each hour of delay by Seller.* ,
E. If any Ssytcrn malfuncti-in is deterrnin�d to be the fault of the
Common carrier, Seller will so notify said carrier and redu`st appropriate repairs or
alterations. If it is determined that the System malfunction is attributable to Sc!lcr's
Installation wort: or the System or any part thereof, Seller will pay all costs of carrier's
service call.

as to enable it to meet all of its obligations hereunder. Seller shall notify Owner in
writing 'in the event of any' actual or anticipated material change in its financial
condition.
10.05 Nie.'/ Evu*orient. Seller warrants and represents that all the Equipment %vill
be new and of on rlal manufacture and, as such, that portion of the Equipment
manufactured in the United States of America shall be eligible for the investment tax
credit under the Internal Revenue Code Section 38.
10.07 Statutes. Regulations and Ordinances. Seller warrants and represents that it
has complied with all statutes, rules, regulations and ordinances of the United States, the
State where the motel is located and all local or municipW)ities in connection with the
manufacture and sale of the Equipment and the installation of the System.
10.08 Good Title. Seiler warrants and represents that it will be the owner off and
have good and marxetadle title to the System, and will have full power and authoi lty to
transfer title and rose-:sion thereto to 0•,ttner, :vit.hout the consent of any other person or
entity. Upon the aforesaid transfer, Owner Nil' be the sole o finer of tha System free
from any encumbrances, liens, security intarests, charges, claims or any inte,ests
whatsoever. Sellar hereby agrees to inde.'nrify and hold Owner harrnless from and against
any liability, less or expanse (Including recoverable attorre,-Is fees arising out of a `)raach

crime, or (vii) if Seller performs the Work with Equipment other than that being
purchased hereunder, then, provided the event of default as described above is not cured
within thirty (30) days after written notice from Owner to Seller, Owner may declare
.t;. Seller to be in default hereunder and exercise, as its sole and exclusive remedy
hereunder, the remedy described in Section 11.03.
11.02 Default by Owner. In the event Owner shall fail to perform its obligation
pursuant to this Contract and such failure shall continue for fourteen (14) days after
written notice from Seller to Owner, Seller may declare Owner to be in default
hereunder and exercise, as its sole and exclusive remedy hereunder, the remedy
described in Section 11.04.
` 11.03 Remedies of Owner due to Seller Default. If Seller is in default under any
: - provision of this Contract, Owner may, after giving Seller the written notice prescribed
In Section 11.01 therof, terminate the employment of Seller and take possession of the
' Equipment and may finish the installation of the System by whatever method Owner may
deem expedient. Seller shall be liable to Owner for the • reasonable expenses of
completion, up to the amount of the Purchase price. In the event of any default of Seller
hereunder, Seller shall not be entitled to receive any further payment until such default
is cured or completed by Owner. Failure of Owner to terminate shall be deemed a
waiver of Owner's rights under this Agreement, as to that particular default, but not as to any other default.
11.04 Remedies of Seller due to Cwner Default. Should Owner default in its
obligations hereumder and shoo'ld i7 fail to cure same :vithin the time provided in Section
11.02 hereof, Seller may terminate this Contract. Upon such a termination, Seller may
pursue any action available to it to recover from Owner damages in an amount equal to
full payment for all work theretofore performed by Seller hereunder plus any proven loss
sustained by Seller upon any materials or Equipment :heretofore su?pli�-d by Seller.
11.05 Transfers on Termination. In the event of any ;✓ termination of this
Contract, pursuant to the provisions of this Artic!e XI or any other provisions of this
Contract each party shalt, except as set forth in Section 11.03, forthwith return to the
other all papers, materials and other properties of the other held by each for purposes of
performance of the oblio_l:ions created by this Cont.-act. In adzlition, each pa: tv will
assist the other party in orderly termination of this Contract and the transfer of all
aspects hereof, tangih,,!e and intangible, as may be necessary for the ordarly, nor,-
disrupt•A business continuation of each party.

Owner's Responsibility
13.01 The owner shall, at its expense, on the date of delivery of the Equipment
to the Owner's premises, and at all times thereafter during the period of installation t
services hereunder.
A. Allow employees or representatives of Seller freq access to premises
and facilities where the Equipment is to be installed at hours consistent with the - -
requirements of the installation.
B. Assure that the premises will meet temperature, humidity controlled,
air-conditioning, and other environmental requirements set forth in the applicable
Equipment Specifications, and will be dry and free from dust and in such condition as not
to be injurious to the employees or representatives of Seller or the Equipment to be
'installed.
C. Provide necessary openings and ducts for cable and conductors in
floors and walls.
D. Provide electric current for any necessary purpose with suitable
terminals in rooms where it is required. -
E. Provide installed metallic ground or 'ground as required.
's F. Provide suitable and easily accessible .`loor si.ace to per,,mit storing
adjacent to where Equipment wil! be used, and for secure stor age of tools, test sets,
loci;ers and employees' personal effects.
G. Owner shall provide to Seller a letter of as^nc•: allo,.ving Seller to
receive information from the Southern Bell Telephone Company ar•:d to act in Owner's
behal: wito respect to certain orders that must be placed,

'-•.Owner is not a partner or joint venturer of Seller and that Seller is not an employee or
agent of Owner. The parties agree to hold each other harmless and indemnify each other
from any and all damages resulting from any contrary construction of the, relationship of

14.04 Assignment. Seller may not transfer, pledge, hypothecate or in any way
alienate or assign its interest in this Contract or Exhibit D or any obligation to be
performed by it hereunder, without the advance written consent of Owner, such consent
not to be unreasonably withheld. Nothing herein contained shall prohibit Owner from
assignment of all or any portion of this Contract or the rights granted to it; provided,
however, no such assignment shall relieve Owner of any obligation hereunder.
14.05 Non -Disclosure Clause. Seller, Owner, Architect and Consultants shall
..not disclose, duplicate, copy of use for any purpose other than the performance of this
Agreement, and shall treat as confidential and as proprietary to the other all information
which relates to the other's research, development, trade secrets or business affairs;
however, , the obligation to treat as proprietary and confidential shal! not apply to
information which shall be publicly available, or shall be obtained rightfully from a third
party.
14.06 Notices. Notices, requests or demands by either party shall, unless -
otherwise provided herein, be in writing and shall be personally served or be given by
registered or certified mail, return receipt requested, postage prepaid, and addressed to

14.10 lull Contract. Each party acknowleges its tut! understanding of this
Contract and that there are no verbal promises, undertakings or agreements in
connection herewith and that this Contract may be modified only by a written agreement
Signed by all parties hereto. All previous negotiations and agreements bet•veen the
parties hereto, with respect to the transaction set forth herin, are merged in this '
instrument which fully and completely express the parties' rights and obligations, and the
Covenants herein shall be binding upon and inure to the benefit of the parties hereto and
their respective heirs, legal representatives, successors and assigns.
14.11 Illegality, to the event that any of the covenants, agreements, terms or
'' provisions contained in this Contract shall be deemed invalid, illegal or unenforceable in
any respect, the validity of the remaining covenants, agreements, terms or provisions
contained herein shall be in no way affected, pre;udiced or disturbed thereby.
14.12 Several. The terms, provisions, representations and warranties contained
this Contract shalt' survive the Final Acceptance of the 5ystem.
14'.13 Authority. Each party executing this Agreement represents and warrants
that it' holds full power and authority to enter into this Contract, that all necessary
action and approvals precedent thereto has been taken or granted, and that the officers
so executing this Contract are authorized to bind zheir respective corporations.
14.14 Recognition of Mortgagee R=cui-aments. Notwithstanding the provisions .
of this Contract to the contrary, I+Aiami Center associates and General Dynamics
recognize tht financing lenders may requc, t certain requirements and condit ors prior to
funding which may not be totally consis*ent with the previsions hereof. Accordingly,
Mia ni Center Associates and eneral Dvnartics agree that in such event each shall be
jobligated to accept changes which are commercially reascnzble, and agree to amend this
Contract to conform thereto.

• TRAIINING PROPOSAL
Proper telephone training for all personnel will assure James L. Knight Inter-
national Center of not only understanding; but also acceptance. Preparation for
training James L. Knight International Center employees will begin two months
prior to system cutover. At this time, the GDCC Customer Trainer will meet with
the James L. Knight International Center Coordinator to formulate a logicaLly
thought-out training plan. During this meeting, the Trainer and Hotel Coordinator
determine which features are most applicable to James L. Knight international
Center's various departments. For example, administrative personnel will be
trained more comprehensively on a wider variety of features than say the
maintenance staffs. James L. Knight International Center will be brok-en down by
departments and only those features applicable will be trained.
Once the training objective and approach has been agreed upon, the Customer
Trainer will suggest her recom ,lendations for a training implementation, schedule.
Working with James L. Knight International Center's Coordinator, the GDCC
Trainer can determine the most ef:ective schedule to insure training to all hotel
personnel during their regular working hour-0 in the shortest amount of time. Our
goal is to educate the station user thoroughly withcut any interruption to normFll
hotel routine.

TRAINING
General Dynamics Communications Company includes, as part of the basic system,the
totowing training customized to your particular requirements. The training will be
held at the Hotel facility prior to system cutover. In addition, as your communications
requirements increase or change, we will continue to provide training services as part
of cur full maintenance agreement.
1. ,PABX ATTENDANT/OPERATOR INSTRUCTION
A qualified PABX instructor will train both your regular and relief operators on
the operation of your new console. To insure maximum retention of presented
material, attendant training is scheduled as close to cutover as is reasonably
possible. Operators are trained individually, during their regular scheduled
hours, paying specific attention to their individual requirements. Working
seonscies are utilized when instructing the operators. Each operator receives a
trainin4 package complete with training manual, feature instructions, and a
broc`ur e on telephone etiquette. To insure full understar;di,g of the UNFOTRAN -
System, we recommend that prior to receiving the consoie ins;ructiv is, the -
operators attend a station user training session. This will provide the operators
with a comprehensive view of the INFOTRAN System,, its functions and
capabilities, and how these functions relate to the operator.
2. STATION USER INSTRUCTION
Station user training is conducted one to three weeks before syw!rn cutover.
Round-the-clock training is provided so as not ;o disrupt the normal operation of
the Hotel facility. Station sessions are arranged in a classr, cm type setting with
approximately fifteen to thirty hotel personnel participa;ir.o in each session. All
Station features applicable to a Particular group a'('. intro-'=,d, discus, -ad, and
demonstrated on wcrk*,rg telephones. Each Hotel :mpfcyce is presented with a
tra:nirg pacli.-.aoe includirb a feature Guide summary and cperation sheet, a
tele.hone courtesy booklet, a nev., heel direct:,ry, and any other pertaining
material.

Upon contract award, GDCC will designate an overall Project 'Manager and appoint
an Installation Supervisor to coordinate this important project. ?he local District
.service staff and Headquarters personnel will function as a support force to
insure timely installation and smooth cutover of your proposed system.

background and is fully qualified to manage the various activities related to project

Switching Technology
The INFOTRAN design incorporates the best of all available technologies. Stored
program control in s distributed processin; ccnfi,-uration, distributes the workload
of the main processor reducing real time involvement of the CPU which relates to
: higher call handling ability. Time Division Multiplex (TD?.l) sampling break each
conversation into bits of information which are further adapted into a Pulse Code
Modulation (PCNI) signal. The PC,`,'1 conversion provides an industry standard
format in a binary (computerized) language that is utilized to sinplify the
= connection between ports.

Due to the port oriented structure and "time" switching network confib ration of
the INFOTRAN, every port can communicate with every other port. This is

grade of service in any configuration.

Redundant C.P.U.
On systems provided with redundant CPU and memory, the backupCPU is held in a
f'warm" standby. Warm standby, defined, refers to the fact that both CPU's are on-
line. When a call is established, it is established by both CPU's. As new calls are
originated, only one CPU processes the information but once the call is established
the main CPU could fail without causing a loss or cut off of the established call.
Only those calls in the process of being established would be lost. The indication to
the caller would be a busy tone or "high and dry" situation, prompting the caller to
reoriginate.
In the event of major power failure involving loss of battery power, the system has
the ability to reload and reinitialize itself from the magnetic tape cassette which
has all software programs stored specifically for reload capability.
Auto and Manual Dia?nostic Routines
INFOTRA2: software provides continuous, cyclic diagnostic supervision, as well as,
event related diagnostics. Software prod, arras are capable of "routiniZing" the
system for the purpose of evaluating both hard•r;are status and so_'t:':ar a sanity.
This is accomplished through on-line cyclic "parity" checks and built in alarm
detection circuitry. It an alarm condition is identified, the alarm lamp at the
console is illuminated. Simultaneously, a direct printout of the specific alarm
occurs at all on-line terminals whether local or remote.

The DTFOTRAN is available in either a commercial AC or ' a batter•: DC

Console
The INFOTRAN attendant console provides the best of both technologies. The
console is both switched loop and released loop. The operator has the option of
answerirg calls on a working loop or a specific trunk group loop button. Once
answered the attendant can put the call into a supervisory loop which maintains the
trunk at the console. Otherwise, the call is switched off the Ioop key. There u no
way to tie up the call processing loops of the console.
Planned Enhancements
.Generally, subsequent feature enhancements will be expanding the capabilities of '
existing features, such as, Least Cost Routing, in addition to providing new feature
option capabilities. The anticipated releases will provide both enhanced and
expanded business features, as well as, the so called 'office of the future."
Soft,va_re Imorovernents -
Currently, software enhancements are being made to enhance those systenns -
presently installed. Generally, these are improvements in generic areas of
t software and are being perforn-ned at no charge. However, as the -product matures,
these generic enhancements will probably disappear. During the plaenred life of the
prcduct, new featur,: releases are scheduled and will be made available to the
James L. Knight international Center. Since there have been no such enhance-
ments to date and others are in the development stares, it is premature to quote
either int_rvais of release or pricing. All subsequent releases will be compatible
with a :istinr systems. The software i5 suppot ted during the entire life of the
equipment.

In DUOTRAN installation incorporating a battery backup
system, the following considerations are reebm:rrended: '

order to provide their optimum se; vice life.

batteries rather than lead antimony to provide extended
service lift, reduced maintenance and to minimize

Visual alarm indications, which result from many system failure types, are provided
at the attendant console and at the system maintenance panel.
Data Base Alteration '
Authcrized maintenance personnel, having access to the INFOTRAN, can alter the
data base using the terminal printer.
Diagnostics
System maintenance and ad., ini;tration is supported by dis ncstic software that is
stored off-line on the mao atic tape unit. When required, the individual diao^cstic
programs can be called upon by way of a terminal either at the IN= OTR N or,
optionally, at a remote location.
Individual Trunk Access for Test

Trouble Printouts
Trouble records can be printed out onto the system teleprinter both locally and,
Optionally, at a remote location. Trouble records can also be printed on a demand -
only basis according to category by keying appropriate codes into the system from
the data terminal.
Typical trouble categories include alarm conditions, line and trunk permanents,
maintenance -busy circuits (trunks and common equipment), system faults detected by
diagnostic routines, and redundant equipment switchovers resulting from power —
failures or faults.
Trunk Busvinz
The INFO TRAN attendant console or data terminal teleprinter can be used to place a
trunk in maintenance and busy status or restore it to traffic status. Nlaint(,.enance-
busv status makes a trun:< busy to out-oirg calls and marks it busy toward the traffic
measuring system.
Trunk T<•oubl? Identif! cat ion
A trunk held by a station can be identified by the attendant. There' ca, a staticn
having the Call Holding feature can place a connected trun% on hold and call the
attendant if trouble is encountered. Once the trunk is identified and the station has

Provides outgoing trunk circuit usage information to allow analysis of
trunk calling pattern. The data in the form of completed call records is
output to a printer at the completion of a call. (Identifies the station

A dual common control is available for the INFOTRAN. With this option,
a failure of the on-line unit initiates an automatic transfer to the
alternate common control so that the INFOTRAN can return to service
quickly. When such a failure occurs, fault diagnostics are performed

console, the maintenance panel and the dais terminal printer. .

This option is offered as a combination of universal night answer,
preassigned night answer and/or zoned universal night answer. Individual -
stations may be assigned to answer calls or an audible night signal may be
• activated to advise of an incoming call.
Paging Access
• This option allows an individual station access to the customer provided
paging system. The system is capable of allowing access up to a
maximum of five zones or combinations of zones.
A Speed Calling
Speed calling allows stations to use abbreviated codes to reach frequently
called numbers. Speed calling is programmed by the user for a two- or
three-dicrit address code (a number assigned to each called number to be
reached by abbreviated dialing). The 2- dr 3-digit arrangement allovrs a
station access to a maximum of 8, 16, or 32 abbreviated dialing numbers,
on a class of service basis.

This option provides the INFOTBLAN with capability to be equipped with
tone dial (DTNIF) station instruments. With this option, the system can
have a mixture of tore dial and rotary dial station equipment.

GENERAL
The System Century INFOTRAN is a stored program, pulse code modulated (PC&i),
digital switching system providing enhanced PABX communication services for
general business application, while also providing features for hospitals, hotels and
other similar specialized applications. '
The INFOTRAN equipment is housed in computer -styled cabinets with unitized frame
construction. The number of cabinets required depends on the line and trunk mix, and
feature arrangement of the system. A single cabinet system can accommodate up to
: 490 ports; a two cabinet. system up to 960 ports and a three cabinet system up to 1344
parts. -
The above -mentioned ports are universal. This means they can accommodate either
'lines or trmts, depending on the interface circuit. equipped at each port. Trunk and
off premise lines are packaged with three (3) circuits per printed wiring board
assembly (PWBA). The basic line interface circuit is packaged with six (6) circuits
per P �$ i A.
An initial dual CPU irsta Uaticn can be equipped with twelve (IZ) attendant. consoles
and the total of lines and trunks cannot exceed the system':; 1,344 port capacity.

MAINTENANCE
The INFOTRAN utilizes a considerable amount of automatic maintenance diagnostic
software, and hardware to achieve a high reliability standard unparalleled in the
Industry. The primary function performed by this hardware/software combination is
to automatically detect a system fault, then minimize the time necessary to recover
from the fault condition. Interface between •the INFOTRA.N and the craftsperson is
achieved through a maintenance panel and local or cptional remote data terminal. In
addition to providing the capability for performing administrative -type functions
(data base changes, traffic data collection, etc.) the maintenance hardware enables
the system maintenance circuitry to print out periodic reports of system status. The
traft.sperson, in turn, can initiate tests, make repai s- and also verify that the repair
. procedure was valid.

1. Digital Switching Network
Each Timeslot Interchange (TSI) has 256 send and 256 receive timeslots.*
A send and receive timeslot is required for each conversation. A fuL'y-
equirped system has 8 TSr-s and; therefore, has 2045 send and 2048
receive timeslots. These timeslots are used by lines, trunks, attendants
and service circuits in the INFOTRAN. .Since the network provides full
" t acce,- from any originating port to any terminating port, the network is
capable of carrying 672 simultaneous conversations for 1344 ports.
Therefore, the network can be treated as virtually non -blocking. If all
1344 ports were equipped and had an average occupancy of 32CCS per
port, the network would block less than one call out of ten thousand
(P.0001). Thus to realisticay-ly determine the traffic handlIns capacity of
the s-.stem, the common cont:ol Busy Hou; Call procasscrg capacity
be considered.
2. System Traffic Capacity
The •system traffic capacity of the INFOTRALI-1200 is based on the Busy
Hou: Call (BHC) processing ability of the common control. The
INFOTRAN-1200 is capable of handling a minimum of 5,000 SriC. This
figure does not include false starts and load peaks, which the s_:stem. ca:1
also handle.

Calling between stations of the INFOTRAN is standard. Temporary restriction of
station -to -station calling can be applied by attendants or other control points. Other
restrictions are a function of originating station or terminating station class of
service. -
Tandem Tie -Line Dialing
The INFOTR AN can act as a dial-thru intermediate switching point for traffic
between other PABX, or centrex systems.
Termination of All Calls _
The INFOTRAN terminates or completes each call type; no call type is ever left in a
