RESOLUTION NO.
A RESOLUTION APPROVING, RATIFYING AND CONFIRMING THE
ACTION OF THE CITY MANAGER IN AGREEING TO EXTEND THE
TERM OF THE AGREEMENT WITH THE PUBLIC HEALTH TRUST
OF DADE COUNTY WHICH OPERATES JACKSON MEMORIAL HOSPITAL,
AND THE UNIVERSITY OF MIAMI FOR THE COORDINATION OF
EMERGENCY MEDICAL SERVICES, WHICH AGREEMENT WAS IN
EFFECT FROM JULY 1, 1981 THROUGH JUNE 30, 1982, AND
WHICH IS BEING EXTENDED FROM JULY 1, 1982 THROUGH
SEPTEMBER 30, 1982, AT THE SAME QUARTERLY RATE OF
$2,500, IN ACCORDANCE WITH THE TERMS AND
CONDITIONS SET FORTH IN THE ORIrINPL AGREEMENT; WITH
FUNDS THEREFOR ALLOCATED IN THE FIRE DEPARTMENT'S
GENERAL OPERATING BUDGET
WHEREAS, the City of Miami, the Public Health Trust of Dade County,
and the University of Miami desire to cooperate to provide services in connec-
tion with the Emergency Medical Services provided by the Rescue Division of
the City of Miami Fire Department; and
WHEREAS, the Agreement for these services was in effect from July
1, 1981 through June 30, 1982; and
WHEREAS, the Public Health Trust, through Jackson Memorial Hospital,
has agreed to extend the terms of the Agreement from July 1, 1982 through
September 30, 1982 in accordance with the terms and conditions as set forth
in the original Agreement at the same quarterly rate of $2,500; and
WHEREAS, the funds are allocated in the Fire Department's General
Operating Budget; and
WHEREAS, the City Manager has justifiably agreed to extend the
terms of the Agreement from July 1, 1982 through September 30, 1982 in accord-
ance with the terms and conditions as set forth in the original Agreement at
the same quarterly rate of $2,500;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The City Commission does hereby approve, ratify and
confirm the action of the City Manager in justifiably agreeing to extend the
terms of the Agreement with the Public Health Trust of Dade County which
operates Jackson Memorial Hospital, and the University of Miami for services

1982 through September 30, 1982, at the same quarterly rate of $2,500, in
accordance with the terms and conditions as set forth in the original

Amendment to Rescue Agreement
(Extension)

It is recommended that the City Commission
ratify the action of the City Manager in ex-
tending the term of the Agreement with the
Public Health Trust of Dade County which
operates Jackson Memorial Hospital, and the
University of Miami for the coordination of
Emergency Medical Services, which Agreement
was ih3effect from July 1, 1981 through June
30, 1982, and which will be extended by an
Amendment to the original Agreement from
July 1► 1982 through September 30, 1982 at the
same quarterly rate of $2,500, substantially
in accordance with the terms and conditions
set forth in the original Agreement; with funds
allocated in the Fire Department's General Oper-
ating Budget, as per the attached Resolution.
The enclosed Amendment extends the term of the original Agreement from
July 1, 1982 through September 30, 1982 at the same quarterly rate of
$2,500. These funds are already allocated in our current budget and
additional funds will not be required.
We have been advised that the compensation in the new Agreement will
be increased from $10,000 to $15,000 and therefore, we have provided
the $15,000'in our 1982/83 Budget Request. However, inasmuch as the
balance in our current object code is only 52,500 (based on the annual
$10,000 compensation) the parties have agreed to extend the current
contract for an additional 3 months, through September 30, 1982. This
is to our advantage in that we would not now require additional funding
and also, this extension will allow us to write a new Agreement to run
with the fiscal year period October 1, 1982 through September 30, 1983.
The appropriate Resolution, also enclosed, has been reviewed and
approved by the Law Department. A copy of the original Agreement which
ratified by the City Commission July 23, 1981, is made an attachment to
the Resolution together with a copy of the Amendment.

AMENDMENT ,
An AMEND?,PENT to a contract dated July 13, 1981 between the City of
Miami (hereinafter referred to as the "CITY"), the Public Health Trust of
Dade County, Florida, ari agency and instrumentality of Dade County, Florida
(hereinafter referred to as the "TRUST") which operates Jackson Memorial
Hospital (hereinafter referred to as the "HOSPITAL") and the University of
Miami (hereinafter referred to as the "UNIVERSITY"):
WHEREAS, the parties above had entered into an agreement dated July
13,•1981 for providing certain services in connection with the Emergency
Medical Services provided by the Rescue Division, City of Miami Fire
Department, and
WHEREAS, the parties agreed that changes to the contract would be
mutually agreed upon and incorporated in writing to the agreement and
signed by all parties hereto, and
WHEREAS, the parties desire to extend the term of the agreement from
July 1, 1982 through September 30, 1982 and at the same quarterly rate of
$2,500 for the term,
THEREFORE, the agreement between the parties is amended as follows:
1. The term of the Agreement is extended until September 30, 1982
and the services under the original agreement and the extended work herein
authorized will be completed no later than September 30, 1982.
2. The CITY agrees to pay an additional amount of compensation to
the UNIVERSITY in the amount of Two Thousand Five Hundred Dollars ($2,500.00)
(hereinafter referred to as ADDITIONAL AMOUNT), which is over and above the
original amount of compensation of Ten Thousand Dollars ($10,000.00). The
ADDITIONAL AIMOUNT for the ertcnded services shall be payable after Execution
and approval by all parties.

It is understood that all other terms and conditions outlined under the
original agreement of July 13, 1981 remain in full force and effect without
modification.

Request to Extend Rescue Agreement

The current one-year Agreement with the Public Health Trust of Dade County,
which operates Jackson Memorial Hospital, and the Universitv of Miami for
the coordination of Emergency Medical Services, commenced July 1, 1981 and
expires today, June 30, 1982. The annual compensation under this Agreement
was $10,000.
We have been advised'.;i,,nat the compensation will be increased in the new
Agreement from $10,000 to $15,000 and therefore, we have provided $15,000
in our 1982/83 Budget Request. However, inasmuch as the balance in this
object code which is allocated for this Agreement is only $2,500 (based on
the annual $10,000 compensation) Jackson Memorial Hospital has agreed to
extend the current contract for an additional 3 months, through September
30, 1982.
This is a twofold advantage for us in that we would not now require addi-
tional funding and also, this extension will allow us to write a new Agree-
ment to run with the fiscal year period, October 1, 1982 through September
30, 1983.
Your approval is requested to extend the current Agreement for an additional
three months at the current cost of $2,500 per quarter.

Dear Ed,
The renewal date on the aforementioned agreement has been changed in
response to your request to extend it for three months.
The renewed agreement period would be: July'l, 1982 to September 30, 198&
Thereafter the yearly agreement period would be from September to September
of each fiscal year.
Once the present agreement for renewal is signed, this period is in
effect unless othen-iise requested.

THIS AGREEMENT, entered into this day of�. 19,
by and betweeen the City of Miami, a mucorporation of the State of Flor1 a7,
(hereinafter referred to as the "CITY") the Public Health Trust of Dade County,
Florida, an agency and instrumentality of Dade County, Florida (hereinafter
referred to as the "TRUST") which operates Jackson Memorial Hospital (hereinafter
referred to as "HOSPITAL"), and the University of Miami (hereinafter referred to
as the. "UNIVERSITY").
H'ITNESSETH

WHEREAS, the CITY, the TRUST, and the UNIVERSITY desire to cooperate to
provide certain services in connection with the Emergency F4edical Services provided
by the Rescue Division, City of Miami Fire Department.
NOW THEREFORE, in consideration of the promises and the m-utual covenants
and agreements herein contained, the parties hereto agree as follows:
A. The TRUST agrees:
1. To provide support in the for,., of licensed house staff members from
HOSPITAL, each of whom is qualified to practice medicine at HOSPITAL
and is fluent in the English ianguace. Said physicians will be
available on a 24-hour basis for prompt response to emergency medical
radio transmissions from CITY Fire Department Rescue Units.
2. ' To support the Medical Director by providing the resources and
facilities to provide training for system paramedics.
B. The UNIVERSITY agrees:
1. To provide a qualified Medical Director, acceptable to the CITY and
TRUST, to provide support in accordance with State of Florida laws and
regulations to the Emergency Medical System of the CITY. Said Medical
Director (or his alternate, as provided for in paragraph B.2.) shall
supervise house staff members of HOSPITAL who are provided by the
TRUST for prompt response to emergency medical radio transmissions
from CITY Fire Department Rescue Units.
2. To support the Medical Director by nrovidino the resources and
facilities to provide training for system paramedics.

3. To provide all physicians, acceptable to the Medical Director,
TRUST, and to CITY, in order to endeavor to insure that qualified
relief supervision is always provided during the Medical Director's
absence from the system.
4. That the Medical Director and•his alternates shall be fluent in the
English language and qualified to practice medicine at HOSPITAL.
5. To provide legal services as may be required by the Medical Director
in the performance of his responsibilities.
C. The CITY agrees:
1. To pay to the UNIVERSITY as compensation for services, the annual sum
of Ten Thousand Dollars (S10,000.00) payable in equal quarterly
installments, to be used as deemed appropriate by the UNIVERSITY.
2.. That all paramedical personnel assigned to advanced life support
vehicles will be approved by the Medical Director and the Fire
Chief of the Rescue Division.
3. To provide to�he'Medical Director a list of equipment carried on the
advanced life support vehicles which list shall be in accordance with
the equipment required by regulations of the Department of Health and
Rehabilitative Services and the State of Florida Statutes 401.
4. To carry said equipment on all fire rescue vehicles used. In the
event that the Medical Director determines that the equipment listed
does not meet the requirements of theregulations, the CITY agrees
that it will immediately take the necessary action to bring the
equipment carried on the advanced life support vehicles into compliance
with the regulations.
D. All parties agree that:
1. The CITY, as allowed by law, shall indemnify and hold harmless the
UNIVERSITY, Dade County and the TRUST against any and all liabilities
arising out of the negligence by employees and/or personnel of the
CITY which may arise during the period that care, custody and control
of a patient is in the hands of a rescue squad of the Rescue Division
and, at its own cost and expenses shall defend Dade County, the
UNIVERSITY, the TRUST, and any of their respective officers, trustees
or employees against any such claim brought against any of them.
2. The UNIVERSITY agrees to indemnify and hold harmless the CITY, Dade
County and the TRUST against any and all liabilities arising out of
the negligence by employees and/or personnel of the UNIVERSITY which
may arise during the period that care, custody and control of -a patient
is in the hands of a rescue squad of the Rescue Division and at its
own cost and expense, shall defend the CITY, Dade County, and TRUST and
any of their respective officers, trustees or employees against any
such claim brought against any of them.

3. The TRUST, as allowed by law, agrees to indemnify and hold harmless the
CITY, Dade County, and the UNI ERSI7Y acainst any and all liabilities
arising out of the neolicence by employees and/or personnel of the TRUST
which may arise during the period that care, custody and control of a
patient is in the hands of a rescue squad of the Rescue Division and,

UNIVERSITY and any of their respective officers, trustees or employees
against any such --claim brought acainst any of them.
4. It is further provided that in no event shall the agents, contractors,
officers, servants or emplo}lees of the CITY be considered to be agents,
officers, servants or employees of the TRUST or UNIVERSITY.
It is further provided that in no event shall the agents, contractors,
officers, servants or employees of the TRUST or UNIVERSITY be considered
to be agents, officers, servants or employees of the CITY.
5. All parties will comply with Florida Statutes, Sect ions. 401.21 through
401.47 and the implementing regulations promulgated by the Department
of Health and Rehabilitative Services.

6. That this Agreement shall co:--,ence on July 1, 190u1 and shall terminate
on June 30, 19S2; provided however, that any party may cancel the
Agreement by giving sixty (60) days notice in writing to all other
parties by certified mail, return receipt requested. Notice is
effective upon receipt.
7. Every notice provided for in this Agreement shall be in writing and
delivered by certified mail to all parties at their respective addresses
as follows:
