A RESOLUTION AUTHORIZING THE CITY MANAGER TO
SOLICIT BIDS FOR THE RENTAL OF ELECTRIC GOLF
CARTS AND OPERATION OF THE PRO -SHOP AND
DRIVING RANGE AT THE CITY OF MIAMI SPRINGS
GOLF COURSE AND FURTHER AUTHORIZING THE CITY
MANAGER TO EXECUTE THE NECESSARY CONTRACT(S)
AND/OR AGREEMENT(S) TO IMPLEMENT THIS PROGRAM.
WHEREAS, the existing contract with the golf professional
at Miami Springs will conclude on September 30, 1982; and
WHEREAS, the electric golf carts, and pro shop facili-
ties can be improved through City operation; and
WHEREAS, the City has professionally demonstrated a suc-
cessful cart operation at Melreese Golf Course; and
WHEREAS, additional revenue will be forthcoming by having
a cart storage shed constructed at the Miami Springs Golf Course
and using the existing area for enlarged dining facilities;
and
WHEREAS, the City can anticipate a minimum increase in
revenue at the Miami Springs Golf Course of $60,000; and
WHEREAS, the City will have direct control of the operation;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE
CITY OF MIAMI, FLORIDA:
Section 1. The City Manager is hereby authorized to
solicit bids for the rental of electric carts and opera-
tion of the driving range at the City of Miami Springs Golf
Course and the City Manager is hereby further authorized to
execute the necessary contract(s) and/or agreement(s) to
implement this prorgram

It is recommended that solicitation be made
allowing the City to rent electric carts and
operate the golf pro -shop and driving range
at the Miami Springs Golf Course.
The Miami Springs golf professional is presently responsi-
ble for the operation of the electric golf carts, pro shop
and driving range. This contract will expire on September
30, 1982.
The Department of Recreation is proposing the City now man-
age and operate the pro shop, driving range and rent carts
through an appropriate leasing company.
Therefore, it is the recommendation of the Department of
Recreation that bid solicitation be approved via the attached
resolution.

The present contract, at Miami Springs Golf Course, will expire on
September 30, 1982. At that time the City will be able to assume the
electric carts, pro shop and driving range from Mr. Ralph Allen. This
will then allow us to simulate the Melreese Golf operation which has
been economically successful.
At the present time the Pro, Mr. Allen, owns the golf carts at Miami
Springs. He pays the City 40% of gross and for the fiscal year 1982
returned $71,000 to the City. Since Mr. Allen has 61 carts and usually
only 50-55 are operable, our revenue is srialler than at Melreese. At
Melreese we own and operate 72 carts and our gross revenue was $202,000.
Now that we have the opportunity to increase our revenue, without large
fee increases, it would be expedient to determine the most efficient
operation producing the greatest revenue for Miami Springs. In this
regard I recommend we solicit bids for the following proposal:.
Leasing of 65-75 carts
Construction of cart shed $63 - 75,000
Leasing of driving range 15% - 2596 to City
Construction of pro shop on driving range Option of bidder
(contingent on lighting approval)

added net profit without costly capital expenses, I am recommending the
enclosed solicitation package and request your approval below for imme-
diate processing.

INSTRUCTIONS TO PROPOSERS
Section 6. Performance Bond/Security Deposit - It is
beyond the scope of this review to ascertain the appropriateness
,.ram of the insurance and bonding requirements. Mr. Dunlap, Risk
Management should be consulted for that.
PROPOSAL (A)
Please make certain that the first three pages of this
document are clearly identified as Proposal A. Additionally, all
pages of the complete document need to be numbered.
There should be a transitional paragraph at the end of
Proposal (A) directing the bidder's attention to the fact that
�- their bids will be considered complete if they comply with all
I' the requirements of Proposal (A) or if they comply with all the
requirements of Proposal (B), or if they comply with requirements
of both (A) and (B) .

(1-1 it must be clarified that the bidder need not bid for both the

RFP regardina the City of Miami Country Club.
In that the City Administration has decided upon City con-
trol of the operations (i.e. electric carts rental) an ex-
peditious review is essential for forwarding, processing
and implementation, for an October 1, 1982 start-up.
In addition, please be advised that we are aware of the
proposed charter amendments affecting the City's bidding
process, but desire to proceed under current regulations.

TO WHOM IT MAY CONCERN:
Invitation to Submit Proposals for the below described entities; as specified
herein, of the City of Miami Country Club in Miami Springs, located on the
property commonly known as 650 Curtiss Parkway, Miami Springs, Florida 331G6.
The City of Miami is hereby soliciting interested parties to enter into agree-
ment for (A) the leasing of sixty-five (65) electric golf carts to the Depart-
ment of Recreation as specified herein and to include construction of an
electric cart storage facility on the premises with a value of not less than
$65,000, and/or (B) the lease and operation of a driving range, with optional
pro shop facility, as described herein, at the City of Miami Country Club in
Miami Springs. This request contains pertinent information relating to the
preparation and filing of proposed minimum requirements established by the
City; basic data to be used in completing a proposal, and the forms to be
used in making a proposal.
The forms included in this request have been designed to furnish all the per-
tinent data that will be used by the City in making its evaluation of pro-
posals. All applicants must use only the page on the official application
forms (or identical extensions of item pages if, for example, more room is
needed to list extended information). The official forms have been designed
to facilitate comparison of proposals. Any inquiry for further information
should be addressed to: Albert H. Howard, Director, City of Miami, Department

Proposals must be received by the City Manager no later than _

NOTICE OF PUBLIC PROPOSALS
Sealed proposals for the leasing to the City of sixty-five (65)
new electric golf carts and/or the lease and operation of a
driving range with optional pro shop facility, located on the
property commonly known as 650 Curtiss Parkway, Miami Springs,
Florida, will be received by the City Manager of the City of
Miami, Florida, at , on the , day of
19 , in the City Clerk's office, 1st floor of the Miami City
Hall_, 3500 Pan American Drive, Dinner Key, Miami, FL 33133.
Applicants must complete the enclosed forms which request per-
tinent information relating to the lease and operation of the
facilities and will be used by the City in making its evaluation
and proposals. All proposals shall be submitted in accordance
with the instructions to proposers and the bid proposed speci-
fications. Additional copies are available from the Purchasing
Division, 1145 N.W. 11 Street, Miami, FL 33142.

INSTRUCTIONS TO PROPOSERS
1. SUBMISSION OF PROPOSAL: Submit Proposal (consisting of "DECLARATIG::"
and "PROPOSAL") on one set of the forms as furnished in the Proposers
envelope, together with the forms entitled "Professional and Quali-
fying Information" and "Individual or Corporate Financial Statement".
Submit the aforementioned documents in the envelope provided, which
shall be sealed and marked so as to clearly indicate its contents and
the name of the Proposer.
Whether forwarded by mail or personally delivered, the above -mentioned
envelope must be received by the Office of the City 24anager, Miami City
Hall, 3500 Pan American Drive, Miami, Florida 33133, prior to the date
and time stated in the Advertisement for Proposals.
2. QUALIFICATIONS: Prospective Proposers shall disclose any record of
pending lawsuits, criminal activities, etc., and shall not have con-
flicts of interest under Section 2-301 of the City Code of the City of
Miami and are aware of the conflict of interest laws of the City of
Miami (City Code, Chapter 2, Article V) Dade County, Florida (Dade
County Codes, Section 2.11.1) and the Florida Statutes and agrees that
they will fully comply in all respects with the terms of said laws.
This latter qualification may be satisfied by submission of a notarized
affidavit to that effect with the proposal submission.
3. ONE PROPOSAL: Only one Proposal from legal entity will be considered.
If it is found that a Proposer is interested in more than one Proposal,
all Proposals in which such a Proposer is interested will be rejected.
4. PRICE PROPOSAL: Prices shall be stated in both words and figures in
the appropriate places in the Proposal form. In the event that there
is a discrepancy between the price written in words and the price
written in figures, the former shall govern.
5. SIGNATURE OF PROPOSER: The Proposer must sign the Proposal in the
spaces provided for signatures.
If the Proposer is an individual, the words "Sole Owner" shall appear
after his signature.
If the Proposer is a partnership, the word "Partner" shall appear after
the signature of one of the partners.
If the Proposer is a corporation, the signature required is the officer,
officers, or individual authorized by its by-laws or the Board of
Directors, with official corporate seal affixed thereto.

6. PERFORMANCE BOND/SECURITY DEPOSIT: The bidder agrees, should he/her
be successful in award of any part or all of this proposal, to furnish
the City, within ten consecutive calendar days after final execution
of this agreement(s), a performance bond in the penal sum of "Part A" -
one hundred fifty thousand dollars ($150,000.00) and/or "Part B" -
twenty-five thousand dollars ($25,000.00) which shall bind him/herself
for the faithful performance of the written agreement. A cash deposit
with the City will suffice to meet this requirement, but if the Lesser
does not desire to make a cash deposit then the form of the performance
bond shall be as required by the City.
Each Proposal shall be accompanied by a Bid Security, which may be a
Certified Check or a Bid Bond, and shall be in the amount of $1,000.
The City of Miami reserves the right to reject any and all security ten-
dered to the City. Certified checks will be returned within ten (10)
days after the City of Miami and the accepted proposer have executed the
written contract.
Failure to execute a Contract and file the required Performance Bond, as
provided herein, within ten (10) days after written notice of award has
been given, shall be just cause for the annulment of the award and the
_ forfeiture of the Bid Security to the City of Niami, Florida, which for-
feiture shall be considered, not as a penalty, but in liquidation, of
damaves sustained. Award may then be made to the next ranked responsi-
ble Bidder or all bids may be rejected.
7. REJECTION OR ACCEPTANCE OR PROPOSALS: The right is reserved by the City
of Miami to accept any Proposal deemed to be in the best interest of the
City, to waive any irregularities in any Proposals, to reject any or all
proposals, or to readvertise for proposals, if desired. In making such
determination, the City's consideration shall include but not be limited
to the following:
A) Financial qualifications
B) Experience, and professional reputation of proposers
C) Capital Improvement
D) Consideration to City
E) Maintenance and operational program
The successful proposer will receive an official letter from the City of
Miami notifying him of acceptance of his proposal and awarding him the
privilege of executing a contract to be prepared by the City.
Any proposal which is incomplete, conditional, obscure or which contains
irregularities of any kind, may be cause for rejection of the proposal.
Tn the event of default of the successful proposer, or his refusal to
enter into the City of Miami contract, the City reserves the right to
accept the proposal of any other proposer or to readvertise using the
same or revised documentation, at its sole discretion.

9. IIITERPRETATIO_N OF PROP_OS`,L_D_OCJ:tEtiTS: Each prof-cser shall thoroughly
examine the Proposal Docum',�nts, and judge for himself all matters rclatinj
to the location and the character of the services he agrees to perform.
If the proposer should be of the opinion that the meaning of any part of
the Proposal Documents is doubtful, or obscure, or City ?tanager at least
ten (10) days before the date of formal opening of proposal, in order that
appropriate addenda may be issued by the City :•;anager, if necessary, to
all prospective proposers before Proposals are filed with the City ,Manager
of Miami. The City Manager will not be responsible for oral interpreta-
tion given either by himself or members of his staff; the issuance of a
written addendum being the only official method whereby such interpreta-
tion will be given.
10. PROTECTION OF RIGHTS OF CITY: The City tanager reserves the right to
include in any contract document such terms and conditions as he deems
necessary for the proper protection of the rights of the City of Miami.

PROPOSAL (A)
(A) For lease to the City of Miami, Department of Recreation, Golf Division, (65)
sixty-five new electric golf carts as per the below listed specifications,
and to include, the construction of a golf cart storage facility of a value
no less than $65,000.
The term of the Contract between the City and the successful proposer shall
be for either five (5) years, with an additional five (5) year option or (7)
seven years with an additional three (3) year option; and the successful
proposer agrees to make available said electric carts for use as of October
1, 1982.
GOLF CARTS AND ACCESSORIES
TYPE - two -passenger, electrically powered, equipped with batteries, charger,
beverage and scorecard holders, straps to hold golf bag securely, and sun canopy,
wrap around bumper or front and van bumpers, automotive steering wheels, deep
well for ladies purses, appropriate attachment to secure said trap rakes, in ad-
dition to the standard compartment, an additional compartment to store sweater,
etc. Seats to be foam padded with vinyl plastic covery. Frame will be of fiber-
glass or galvanized metal.
Powered electrically capable of providing a minimum 36 holes of daily service
without recharging battery.
Batteries will be of a type specifically design for golf carts with a minute rating
of 110, be able to hold a 60-minute charge on a battery discharging machine at all
times, and will be replaced annually.
K2.� on all carts keyed alike with three sets of keys for each. Each key will be
identified by a number which corresponds with the cart.
Tires shall be flotation type for use on turf and approved by the City, 18 X 850
X 8 (oversized pneumatics).
Design stability of carts shall remain constant during maximum turns and shall
have steering wheels furnished.
Color all carts furnished shall be matching color throughout the contract period,
as selected from standard colors available to City.
Age carts furnished shall be new, current models, demonstrators or rebuilt not
acceptable, and each shall be replaced with new cart every three years, or sooner,
if needed.
IDENTIFICATION
Any and all carts furnished shall be assigned and marked with a fleet number and
the plate or device denoting the manufacturing model or serial number shall be
affixed to each cart so as to be easily accessible for identification purposes.
Keys shall also have fleet numbers affixed.

Service and Parts a service and parts center must be maintained within a 100-mile
radius of Dade County, containing a complete supply of parts for speedy repair.
Should a cart become inoperable, the daily rental fee assessed the patrons by the
City shall be duducted from the monthly lease fee and shall be effected for each
and every cart disabled. The proposer agrees to substitute or have repaired any
disabled cart by the following weekend day i.e., Saturday/Sunday.
The City reserve the right to close the golf course either for normal, usual or
for major renovation, or for any other reason, when necessary, and upon written
notice to the proposer shall be exempt from rental payment for designated time
and/or designated reduction of member of carts used.
The proposer shall provide, at its expense, all batteries, battery charges and
all other parts necessary to keep the golf carts in good repair. All carts must
be in top condition at all times, as determined by the City, and unacceptable
carts must be replaced within ten (10) days.
The City shall not be responsible for any loss to the golf carts by fire or theft,
for ordinary wear and tear, or for any damage which occurs.
EMPLOYEES
All employees) of the proposer shall be considered to be at all times the sole
employees) of the proposer under his sole direction and not an employee or agent
of the City. The proposer shall supply competent and physically capable employees
and the City may require the contractor to remove an employee it deems careless,
incompetent, insubordinate, or otherwise objectionable and whose continued employ-
ment on City property is not in the best interest of the City. Each employee
shall have visible, at all times, proper identification and a suitable uniform to
identify the employer as a non -City employee.
These employees shall be factory -trained and shall perform all services which may
be necessary to insure the proper level of operation of the fleet. Said employee
(s) shall be available at least 15 minutes prior to course opening or unless re-
quested to report earlier for special events, by the City, and at all times while
carts are in use and course is open.
As a general rule, the course is open for business one-half hour after sunrise,
and play normally ends at dusk. The proposer shall not permit employees under the
age of 16 to operate carts. In the event the proposer employees fails to report
to work as scheduled, the proposer shall reimburse the City for labor and time
spent in performing the proposer's employee's duties.
In addition to the maintenance mechanic, the Lessor will also provide an employee
who will be responsible to deliver the golf carts to the starting point at each
golf course, and secure the carts in the evening. This employee will also per-
form the following preventative maintenance.

a. Clean carts - wash down inside and outside.
b. Clean maintenance shed where carts are stored.
c. wash battery surfaces and terminals to prevent corrosion.
d. Tighten nuts, when loose, on front axle on three (3) wheel model carts.
e. All damage to the carts will be the responsibility of the Lessor.
INDEA141IFICATION AND INSURANCE
The Proposer shall carry and maintain in full force and effect, at all times during
his operations on City property, a comprehensive general liability insurance policy,
including contingent liability and products liability in amounts not less than a
combined single limit of $1,000,000 per occurrence for bodily injury and property
damage. Said insurance policy shall provide that the City be given at least ninety
(90) days prior written notice of substantial changes to, or cancellation of, said
policy. The City of Miami shall be named as an additional insured. The policy
and the insurance carrier must be acceptable to the City of ;;iami Risk Management
Division, and a copy of the insurance policy shall be on file with the Lease
Manager, City of Miami Finance Department, P.O. Box 330708, Miami, Florida 33133,
before the lessee can open for business. All insurance policies required shall
be issued in companies authorized to do business under the laws of the State of
Florida. Minimum qualifications cf the insurance company are that it be rated no
less than "A" as to manaq_ement and no less than Class 10 as to strength by the
latest edition of Best's Insurance Guide, published by Alfred M. Best Co., Inc.,
75 Fulton Street, New York, N. Y.
The Proposer shall indemnify and save harmless the City against any and all claims,
suits, actions, damages or causes or action arising during the term of the agree-
ment for any personal injury, loss of life, or damage to property sustained in or
on the operator's premises by reason of or as a result of operator's use, activi-
ties, and operations thereon; from and against any orders, judgements, or decrees
which may be entered thereon; and from and against all costs, attorney's feed,
expenses, and liabilities incurred in the defense of any such claim and the in-
vestigation thereof.
GOLF CART STORAGE FACILITY
The Proposer agrees as a part of this Agreement, to construct, at his/her sole cost
and expense, a golf cart storage facility, consisting of a roofed structure with
rerimeter fencing and gates, and electrical requirements, as approved by the City,
with a value of no less than $65,000, and suitable for storage of a minimum of (75)
seventy-five carts.

The City reserves the right, to expand the number of leased electric carts to (75)
seventy-five, under the same rental rate and terms and conditions, upon a thrity
day written notice to proposer.
Bid for proposal (A) is separate and distinct from proposal (B). If all require-
ments are complied with proposal (A) will be considered complete. Bidder may also
bid on proposal (B) complying with all requirements.

PROPOSAL (B)
For the right to lease and operate a driving range with optional pro shop facility,
to be located on the City of Miami Country Club in Miami Springs property commonly
known as the driving range.
The term of the Agreement between the City and successful proposer shall be concur-
rent or same as stipulated in part (A) of this proposal and such operations will
commence no later than ninety (90) days upon execution of said agreement.
This shall be for the sole purpose of operating a driving range (pro shop facility)
at the Country Club of Miami in Miami Springs. The successful Proposer will be
responsible for:
1. Pursue and if possible, install lighting system for driving_ range at his/her
sole cost and expense.
2. If option is exercised, "construction" of a pro shop, as approved by the City,
on the driving range area, at his/her sole cost and expense.
3. Retain service of golf teaching professional for instructional purposes.
4. Shall staff facility hour same as Golf course (and driving range) open to public.
5. All utilities for driving range and pro shop.
6. obtain, carry in effect required insurance coverage as stated in part (A) of
this proposal.
7. Provide security if necessary.
B. Be solely responsible for maintenance of driving range/pro shop facility.
9. Shall furnish to the City within ten (10) working day a performance bond in
the amount of $25,000.

The term "gross receipts" is understood to mean all income collected or accrued,
derived by the lessee under the privileges granted by his agreement or other docu-
ment entered into with the City, excluding amounts of any Federal, State, or City
sales tax, or other tax, collected by the lessee from customers and required by
law to be remitted to the taxing authority. It is also understood that the 4%
Florida State Sales and Use Tax on rental payments shall be added to the lessee's
rental payment and forwarded to the City as a part of said payment. It is the
intent of the City that it is to receive the proposal rental amount as net, free
and clear of all costs and charges arising from or relating to said demised premises.
NOTE: Percentage proposals may be quoted to the nearest tenth of one percent.
(Example: 16.5%).
The lessee understands that he shall file, on or before the 15th of each month, a
statement of the gross income received during the preceeding month, and shall sub-
mit, together with the monthly statement, payment of the monthly amount due to the
City. Any adjustment due as a result of the annual rental guarantee shall take
place within thirty (30) days after the end of each year of use.

The Proposer certifies that this proposal, part A, B, or both is based upon all
conditions as listed in these proposal documents and that he has made no changes
in the proposal documents as received. He further proposes and agrees, if his
proposal is accepted, to execute an appropriate agreement or contract for the
purpose of establishing a formal contractual relationship between him and the
City of Miami, Florida, for the performance of all requirements to which this
proposal pertains.
