A RESOLUTION AUTHORIZING THE CITY MANAGER TO
ENTER INTO AN AGREEMENT OF COOPERATION, IN
ESSENTIALLY THE FORM ATTACHED HERETO, WITH
METROPOLITAN DADE COUNTY FOR THE PURPOSE OF
IMPLEMENTING THE AFFORDABLE RENTAL HOUSING
DEVELOPMENT PROGRAM; AND, ALLOCATING AN
AMOUNT, NOT TO EXCEED FIFTY THREE THOUSAND
DOLLARS ($53,000) IN GENERAL OBLIGATION
HOUSING BOND FUNDS FOR SERVICES PROVIDED
UNDER SAID AGREEMENT.
WHEI:EAS, the Commission of the City of Miami has deter-
mined that there exists a shortage of rental housing in the
City affordable to low and moderate income families and
persons, including the elderly; and
WHEREAS, to assist housing in the alleviation of this
rental shortage, the Commission of the City of Miami, through
Resolution No. 81-843, approved implementation guidelines
for the Affordable Rental Housing Development Program; and
KHEREAS, the City proposes to finance the development
site acquisition component of the Program with proceeds
of General Obligation Housing Bonds; and
WHEREAS, the use of General Obligation Housing Bond
proceeds for site acquisition is contingent upon the partici-
pation of Metropolitan Dade County in program implementation;
and
WHEREAS, the terms and conditions of Metropolitan Dade
County's participation have been set forth in an Agreement
of Cooperation, attached hereto, consistent with the re-
quirements of the General Obligation Housing Bond validation
judgment.
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE
CITY OF MIAMI, FLORIDA:
Section 1. The City Manager is hereby authorized to
enter into an Agreement of Cooperation, in essentially the
form attached hereto, with Metropolitan Dade County for the
purpose of implementing the Affordable Rental Housing ---

Section 2. General Obligation Housing Bond funds
in an amount not to exceed Fifty Three Thousand Dollars
($53,000) are hereby allocated to fund the services to be
provided by Metropolitan Dade County under the terms of
the Agreement.

AGREEMENT OF COOPERATION BETWEEN THE CITY
OF MIAMI AND METROPOLITAN DADE COUNTY
DEFINING THE ROLES AND RESPONSIBILITIES
OF THE CITY OF MIAMI AND METROPOLITAN
DADE COUNTY IN THE IMPLEMENTATION OF THE
AFFORDABLE RENTAL HOUSING DEVELOPMENT
PROGRAM.

of Florida (hereinafter
called the
"CITY") and
METROPOLITAN
DADE COUNTY, FLORIDA, a
political
subdivision
of the State
of Florida (hereinafter
called the
"COUNTY");
W I T N E S S E T H;
WHEREAS, the Commission of the City on the 4th day of
February, 1976, adopted Ordinance No. 8514 (Exhibit "A")
authorizing the issuance of $25,000,000 in housing bonds of
the CITY for the purpose of providing housing in the CITY
for families and persons, including the elderly, of low or
moderate income, by assisting the COUNTY in financing the
cost thereof; and
WHEREAS, the Commission of the CITY on the 4th day of
February, 1976 adopted Ordinance No. 8515 (Exhibit "B")
providing for the holding of a special bond election in the
CITY on March 9, 1976, on the question of whether the CITY
should issue $25,000,000 in housing bonds as authorized by
Ordinance No. 8514; and
WHEREAS, the qualified electors of the CITY at such
election held on March 9, 1976, approved the issuance of
$25,000,000 in housing bonds of the CITY; and
WHEREAS, the City Commission adopted Resolution No.
76-339 on the 25th day of March, 1976 (a true copy of
which is attached hereto and marked Exhibit "C"); and
WHEREAS, Ordinance No. 8514 (hereinafter referred to as
the "Ordinance") provides, among other things, that the CITY
shall enter into one or more Agreements with the COUNTY with

regard to the application of the proceeds of said bonds in
accordance with the provisions of the Ordinance; and
WHEREAS, the CITY desires to enter into such Agreement
or Agreements with the COUNTY for the purpose of providing
housing in the City of Miami pursuant to applicable law and
the provisions of the Ordinance; and
WHEREAS, the Commission of the CITY desires to enter
into an Agreement with the COUNTY pursuant to Ordinance No.
8514 for the purpose of implementing a program to provide
housing in the CITY for families and individuals of low and
moderate income, such program being defined herein as the
"Affordable Rental Housing Development Program" (hereinafter
referred to as the "Program") as described below:
NOW, THEREFORE, in consideration of the Covenants and
Agreements herein contained to be performed by the CITY and
the COUNTY, it is hereby agreed by and between the CITY and
the COUNTY, as follows:
SECTION I. DEFINITIONS
In addition to the words and terms elsewhere defined in
this Agreement, the following words and terms as used in
this Agreement shall have the following meanings:
A. "LOW INCOME FAMILIES/INDIVIDUALS" - shall mean
families and persons, including the elderly whose
gross income does not exceed 80% of the median
income for the Metropolitan Dade County Standard
Metropolitan Statistical Area (hereinafter
referred to as "SMSA") nor fall below 50% of the
median income for the SMSA.
B. "MODERATE INCOME FAMILIES/INDIVIDUALS" - shall
mean families and persons, including the elderly
whose gross income does not exceed 150% of the
median income for the SMSA and whose adjusted
gross income does not fall below 80% of the median
income for the SMSA.

C. "AFFORDABLE RENT" - shall mean base rent, includ-
ing basic utility costs, not exceeding 30% of
adjusted gross income by family size.
D. "BASIC UTILITY COSTS" - are defined as the costs
associated with the operation of food preparation
equipment, lighting, and personal hygiene equip-
ment.
E. "G.O. HOUSING BONDS" - shall mean the City of
Miami general obligation housing bonds authorized
pursuant to City of Miami Ordinance No. 8514 and
City of Miami Resolution No. 76-339.
F. "MORTGAGE REVENUE BONDS" - shall mean the revenue
bonds to be issued by the CITY pursuant to the
Constitution and Statutes of the State of Florida
and the Charter of the City of Miami subject to
the requirements of Section 103 (b)(4)(a) of the
Internal Revenue Code of 1954, as amended by
Section 1103 of the Omnibus Reconciliation Act of
1980 (Pub. L. 96-499,94 Stat. 2669).
G. "PROJECT" - shall mean a rental housing project or
projects financed through the Affordable Rental
Housing Development Program.
H. "PROJECT SPONSOR" - shall mean the legal entity or
entities selected to develop, own, and manage a
project.
I. "PROJECT DEVELOPMENT SITES" - shall mean those
sites upon which Projects are constructed.
J. "RENT REGULATORY AGREEMENT" - shall mean an agree-
ment executed by and between a Project Sponsor and
the CITY governing the management of a project
including but not limited to annual rents, rental
rate increases, and income/occupancy requirements
for the duration of Project financing.

K. "D.C. HUD" - shall mean the Metropolitan Dade
County Department of Housing and Urban Develop-
ment.
L. "DEPARTMENT OF COMMUNITY DEVELOPMENT" - shall mean
the City of Miami Department of Community Develop-
ment.
SECTION II. PROGRAM DESCRIPTION
A. PROGRAM OBJECTIVE - the objective of the Program
is to increase the inventory of privately owned
and operated rental housing units located in the
City of Miami affordable by low and moderate
income families and persons, including the elderly.
B. PROGRAM PRODUCTION GOAL - the program production
goal is approximately 1,000 rental housing units
to be constructed within the City of Miami.
C. PROGRAM FINANCING - the program will be financed
through a combination of public and private funds,
including:
1) General Obligation Housing Bonds (see
Section I, E)-Site Acquisition.
2) Mortgage Revenue Bonds (see Section I,F)
-Project financing.
3) Private Capital (equity investment) -Pro-
ject Sponsor equity.
D. PROGRAM DESIGN - to achieve the Program's objec-
tive and production goal, the CITY and COUNTY will
work cooperatively to:
1) Identify and acquire, with the proceeds
of General Obligation Housing Bonds,
Project Development Sites suitable for
the development of approximately 1,000
rental dwelling units within the CITY.
2) Select, on the basis of competitive

proposals in accordance with state law,
Project Sponsors.
3)
Convey acquired Project Development
Sites to selected Project Sponsors in
accordance with State Law.
4)
Provide selected Project Sponsors with
long term project financing capacity
through the issuance of tax exempt
Mortgage Revenue Bonds subject to rent
regulatory and occupancy limitation
agreements.
The specific
roles and responsibilities of the CITY and
the COUNTY in implementing
the program are defined in Sec-
tion III, Scope of
Services:
CITY/COUNTY
SECTION III. SCOPE OF SERVICES
The CITY and
the COUNTY will have the following roles
and responsibilities
in implementing the program:
A. PROJECT
DEVELOPMENT SITE ACQUISITION
1)
SITE IDENTIFICATION/SELECTION - the CITY
will be responsible for the identifica-
tion and selection of Project Develop-
ment Sites.
2)
SITE ACQUISITION APPRAISALS - the CITY
will be responsible for securing acqui-
sition appraisals for all Project Devel-
opment Sites. Acquisition appraisals
will be conducted by professional real
property appraisers holding M.A.I. cer-
tification. Appraisal reports will be
provided to the COUNTY by the CITY. In
the event condemnation of any Project
Development site becomes necessary, the

CITY will seek COUNTY approval of pro-
posed Appraisals.
3) SITE ACQUISITION - the COUNTY will be
responsible for initiating and complet-
ing the acquisition of Project Develop-
ment Sites upon receipt of a written
order to proceed from the CITY. The
COUNTY will then attempt to negotiate
the purchase and shall consult with the
CITY throughout the negotiations. The
City Commission shall approve each
negotiated purchase.
In the event that condemnation is
necessary to secure a Project Develop-
ment Site, the COUNTY will notify the
CITY in writing of the necessity of such
action. The COUNTY will hold all condem-
nation actions in abeyance pending a
written authorization to proceed issued
by the CITY. Title to all Project
Development Sites will be vested in the
COUNTY.
B. RELOCATION - residential/commercial relocation
activities necessary for the preparation of ac-
quired development sites will be administered by
the COUNTY. The requirements of the COUNTY's
Relocation Payment Plan, approved May 2, 1978.
C. SITE CLEARANCE - the COUNTY will be responsible
for any site clearance activities necessary to the
preparation of Project Development Sites. Demoli-
tion and site clearance shall be undertaken and
completed in accordance with specifications for
site preparation for new development.

D. INTERIM PROPERTY MANAGEMENT - the COUNTY will be
responsible for the interim management of all
Project Development Sites. Any net revenues
generated from the interim management of Project
Development Sites will be returned monthly to the
CITY by the COUNTY. Interim leases for Project
Development Sites will be transmitted by the
COUNTY to the CITY for the CITY's approval prior
to execution by the COUNTY. At the termination of
the interim management period for any Project
Development Site the COUNTY will provide the CITY
detailed income and expense statements thereof.
E. ZONING/REPLATTING - the CITY will be responsible
for securing all site surveys, zoning changes or
zoning variances, and any replatting required
incident to project development.
F. SITE RE -USE APPRAISALS - the CITY will be respon-
sible for obtaining re -use appraisals of all
selected Project Development Sites. These
appraisals will be transmitted to the COUNTY.
G. PROPERTY DISPOSITION
1) Disposition for Project development. The
COUNTY upon satisfaction of COUNTY property
disposition requirements, pursuant to State
Law, will transfer Project Development Sites
to Project Sponsors to carry out Projects.
(See Project Sponsor Selection).
2) Disposition for general resale. In the event
acquired Project Development Sites are de-
clared surplus by the CITY, the COUNTY will
dispose of such Sites in accordance with
State Law upon the CITY's written authoriza-
tion. The proceeds of such sale(s) will be

returned to the General Obligation Housing
Bond Fund.
ti. PROJECT SPONSOR SELECTION - The CITY will recom-
mend the selection of Project Sponsors. Project
Sponsors will be selected on the basis of competi-
tive proposals submitted in accordance with the
COUNTY's legal requirements for competitive bid-
ding pursuant to Sec. 125.35 F1a.Stat. (1981).
The Invitation for Proposals issued by the City
will be subject to review and approval by the
COUNTY prior to publication. The Invitation will
incorporate competitive bidding requirements for
identified Project Development sites pursuant to
Sec. 125.35 Fla. Stat. (1981).
The COUNTY Commission will convey acquired
project development sites to the selected project
sponsors, provided the provisions of Section
125.35 Fla. Stat. (1982) have been adhered to by
the CITY.
I. PROJECT FINANCING - The CITY will be responsible
for financing Projects constructed through the
Program (See Section III).
J. ADMINISTERING AGENT: CITY - The City Department of
Community Development will be responsible for
coordinating the program through the office of the
Director of Community Development.
K. ADMINISTERING AGENT: COUNTY - The County Depart-
ment of Housing and Urban Development will be
responsible for implementing the activities for
which the COUNTY has responsibility under the
terms of this Agreement through the office of the
Executive Director.

L. COMPENSATION FOR ADMINISTRATIVE SERVICES PROVIDED:
COUNTY - For the services performed by the County
under Section III, Part A-3, Part B, Part C, Part
D, and Part G, the CITY will reimburse the County
in an amount not to exceed $53,000. (See Compen-
sation Schedule, Exhibit D).
Upon execution, a copy of this Agreement will
be filed with the CITY and COUNTY Offices of
Finance in order to establish the maximum level at
which the COUNTY, in carrying out the activities
listed in Section 7II may be reimbursed for
administrative services. Itemized vouchers for
payment should be prepared by the COUNTY by speci-
fic activity and submitted to the CITY when
partial or full payment for such services is
required in the course of implementing the activi-
ties in Section III. The total to be paid to the
COUNTY shall not exceed the above mentioned
amount.
M. FUNDING FOR ACQUISITION AND RELATED SITE PREPARA-
TION COSTS - Funding for acquisition and related
site preparation costs including but not limited
to the purchase of Project Development Sites,
relocation, demolition, and disposition will be
provided by the CITY through the proceeds of
General Obligation Housing Bonds.
N. TIME OF PERFORMANCE - The COUNTY will undertake
the activities enumerated in Section III of this
Agreement upon its execution and proceed to com-
plete them in a timely and efficient manner in
light of the objective of the Program.
O. ASSURANCES AND CERTIFICATIONS - No person in the
United States shall, on the grounds of race,
color, creed, national origin, sex, marital status

or physical handicap, be excluded from participa-
tion in, be denied the benefits of, or be other-
wise subjected to discrimination under this Agree-
ment and will immediately take any measure neces-
sary to correct any such discrimination and to
insure that such discrimination cannot occur in
the future.
P. AUDITS AND INSPECTIONS - at any time during normal
business hours and as often as the CITY may deem
necessary, there shall be made available to the
CITY, for examination all its records with respect
to all matters covered by this Agreement and the
County will permit the CITY, to audit, examine and
make audits of all contracts, invoices, materials,
payroll, record of personnel conditions of employ-
ment and other data relating to all matters
covered by this Agreement. The CITY reserves the
right to require the COUNTY to submit, at the
request of the CITY, to an audit by an auditor of
the CITY's choosing. The cost of said audit shall
be borne by the CITY. Said documents and records
shall be maintained by the COUNTY no less than
three (3) years after the termination of this
Agreement.
IN WITNESS WHEREOF, the CITY OF MIAMI, FLORIDA, has
caused this Cooperative Agreement to be executed in its name
and behalf by its City Manager and its official seal to be
hereunto duly authorized; and DADE COUNTY, FLORIDA, has
caused this Cooperative Agreement to be executed in its name
and behalf by its County Manager and the official seal of
the Board of County Commissioners to be hereunto affixed and
attested by the Clerk or a Deputy Clerk of said Board there-

It is recommended that the City
Commission approve a resolution
authorizing the City Manager to
enter into an Agreement of
Cooperation with Metropolitan
Dade County for the purpose of
implementing the Affordable
Rental Housing Development
Program.
On July 22, 1982, through Resolution No. 82-678, the City Commission approved
certain development sites for the Affordable Rental Housing Development Program,
authorized the use of up to $500,000 in Capital Funds for the purpose of securing
site options and authorized Dade County's Department of Housing and Urban Develop-
ment to proceed with option negotiations.
The Agreement of Cooperation accompanying this memorandum must be approved by the
Miami City Commission and the Metropolitan Dade County Board of Commissioners
prior to the initiation of option negotiations by Dade County HUD.
In addition to providing Dade County with authorization to initiate option negoti-
ations, the Agreement, which is mandated by the City's General Obligation Housing
Bond validation judgement, defines the roles and responsibilities of both units
of government in carrying out the broader range of activities required to imple-
ment the Program, including relocation, site clearance, property management and
property disposition and developer selection.
Funding for the services to be provided by the Dade County Department of Housing
and Urban Development under the terms of the Agreement will be provided from the
City's General Obligation Housing Bond Fund in an amount not to exceed $53,000.
The Agreement will be forwarded to the Dade County Board of Commissioners for
approval subsequent to City Commission action.
Commission approval is recommended,
