RESOLUTION NO. 82-1142
A RESOLUTION AUTHORIZING THE CITY MANAGER
TO EXECUTE THE NEGOTIATED AGREEMENT, IN
SUBSTANTIALLY THE FOW4 ATTACHED HERETO,
BETWEEN THE CITY OF MIAMI AND SYNTERRA,
LTD. TO PROVIDE LANDSCAPE ARCHITECTURAL,
ARCHITECTURAL AND ENGINEERING SERVICES
RELATED TO THE DEVELOPMENT OF VIRGINIA
KEY, USING PREVIOUSLY ALLOCATED FUNDS TO
COVER THE COST OF SUCH SERVICES.
WHEREAS, the City Commission approved, by Resolution No.
82-1024 passed November 4, 1982, the Competitive Selection Committee's
selection of firms most qualified to provide professional landscape
architectural, architectural and engineering related services re-
lated to the development of Virginia Key; and
WHEREAS, it is in the best interest of the City of Miami
to begin the renovation of Virginia Key as soon as possible; and
WHEREAS, by the aforesaid resolution the City Commission
authorized the City Manager to negotiate a professional services
agreement on behalf of the City; and
WHEREAS, the attached Agreement between the City and
Synterra, Ltd. was negotiated and is, in the City Manager's opinion,
fair, competitive and reasonable; and
WHEREAS, said Resolution No. 82-1024 directed the City
Manager to present the negotiated Agreement to the City Commission
for its approval;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE
CITY OF MIAMI, FLORIDA:
Section 1. The City Manager is hereby authorized to
execute the negotiated Agreement, in substantially the form at-
tached hereto, between the City of Miami and Synterra, Ltd., to pro-
vide professional landscape architectural, architectural and engi-
neering services related to the Virginia Key Park Development Project,
using previously allocated funds to cover the cost of such services.

"It is recommended that the attached
resolution authorizing the City Mana-
ger to execute the negotiated agree-
ment, in substantially the form at-
tached hereto, between the City of
Miami and Synterra, Ltd. to provide
Landscape Architectural, Architectur-
al and Engineering Services for the
development of Virginia Key as a re-
source -based Park, be approved."
The City Commission, by Resolution No. 82-1024, authorized the City
Manager to negotiate a fair, competitive and reasonable contract with
a firm found most qualified to provide professional landscape archi-
tectural, architectural and engineering services for the Virginia Key
Park Development Project. This task having been fulfilled with the
first rank ordered firm, Synterra, Ltd., it is now appropriate to
have the City Commission authorize the City Manager to execute the
negotiated agreement which states that Synterra, Ltd., will deliver,
within 120 days, a preliminary master plan, development program and
a camera ready copy for a marketing brochure. Construction documents
for Phase I of the development program will also be provided. In re-
turn, the City will pay Synterra, Ltd. a lump sum fee of $100,000 for
the preliminary master plan, development program and brochure, and
another $35,000 for the construction documents for a total fee of
$135,000.
The preliminary master plan and development program, or Stage I, will
include the following:
1. The identification and evaluation of potential funding sources
(City, State, Federal, Private) for entire project (both hard and soft
costs) .
2. The refinement of financial projections for concessions and
evaluations of options for private sector development and operation.
3. The identification and evaluation of existing site conditions
and natural systems.

4. The identification and evaluation of existing structures and
facilities and adaptive use potential, feasibility and cost of rehabi-
litation.
5. The identification and evaluation of the need for additional
structures and facilities as it relates to user requirements.
6. The identification and evaluation of off/on site factors af-
fecting development.
7. The identification and evaluation of regulatory requirements
that would impact development (City, State, Federal, private interest
groups) .
8. The preparation of the preliminary master plan and develop-
ment program for entire project.
9. The preparation of a marketing brochure incorporating pre-
liminary master plan.
10. To insure input from community user groups and environmental-
ists, two workshop meetings will be held to address:
a. Project orientation/issues and opportunities
b Review of development program
Stage II, the construction documents stage, will consist of the pre-
paration of : a) schematic design, b) design development, c) construc-
tion and bidding documents, and d) construction administration on items
for Virginia Key, identified as a result of Stage I. Typical examples
may include:
• Control booth/entire area
• Access improvements for vehicular traffic to beach/picnic fa-
cilities
• Parking improvements for beach/picnic facilities
• Beach/picnic access for pedestrians and service vehicles
• Bathhouse(s)
• Life guard station (s)
• Overall site improvements and amenities for beach/picnic de-
velopment
• Picnic areas

& Jernigan, Inc., as the team of firms most qualified to provide
professional services for the PROJECT, and authorizing the City
Manager to negotiate and enter into a professional service contract
on behalf of the CITY OF MIAMI; and
WHER7AS, the City desires to engage the Landscape Architectural
firm of Synterra Ltd. to render along with their consultants the
necessary professional and technical services, hereinafter called the
WORK for design and construction consultation of the PROJECT upon the
terms, conditions and provisions hereinafter set forth,
NOW, THEREFORE, the CITY and the PRINCIPAL, for the
considerations hereinafter set forth, agree and convenant, one
unto the other as follows:
SECTION I - GENERAL
A. The PRINCIPAL and the CITY are fully aware of the project
schedule requirements and will therefore proceed with all diligence
to carry out the �%ORK to meet such requirements. The PRINCCPAL
shall proceed with all applicable dispatch in a sound, economical,
efficient, and professional manner, to the timely preparation of
all necessary documents for the construction of the PROJECT.
B. The PRINCIPAL shall perform the professional services as
hereinafter set forth and in general accordance with the instruc-
tions of the CITY.
C. The CITY has budgeted the amount of $450,000 for Phase I
of this project. This amount includes the following:
1. Lump sum fee for the PRINCIPAL of $135,000 to provide pro-
fessional services as follows:
a) Stage I: Preliiainary Master Plan and Development
Program as outlined on page 5 ($100,000)
b) Stage II: Construction Documents for Phase I Develop-
ment as outlined on page 11 ($35,000)
2. $315,000 for the Construction Cost Phase I of the PROJECT.
3. Surveys, and related services.
4. Permits.
5. Administration, reproduction and related services.
6. Project contingencies.
7. No monies for art work have been allocated for Stage I.
Subesquent stages shall have 1.5 of the cost of building allocated
for art work.
D. The PRINCIPAL shall design Stage I of the PROJECT within
the funds available to the CITY for the Construction Cost of Phase
I of the PROJECT.
E. The overall construction cost for the entire PROJECT shall
be determined at the end of the Stage III Final Master Plan, and shall
upon acceptance by the CITY become a part of this Agreement. The
PRINCIPAL shall design all the Project Elements within the overall
construction cost of the entire PROJECT.
F. The PRINCIPAL shall at the request of the CITY increase

PROFESSIONAT. SERVICES, hereof.
M. PROJECT 1r;11NAGER - is hereby defined as the Manager of the
PROJECT for the CITY.
N. DIRECT TECI:NICAL SALARY EXPENSE - is hereby defined as
the hourly cost Of salaries and those mandatory and customary be-
nefits such as statutory employee benefits, insurance, sick leave,
holidays, pensions, vacations, and similar benefits. The DIRECT
TECHNICAL SALARY EXPENSE charned against the PROJECT for design and
construction services provided by the PRINCIPAL shall not exceed
THIRTY DOLLARS ($30.00) per hour plus payroll burden which shall
not exceed twenty-five percent (25%).
SECTION III - PROFESSIONAL SERVICES
A. The PRINCIPAL in close coordination with the CITY shall

STAGE I - PRELIMINARY MASTER PLAN AND DEVELOPMENT PROGRAM
1. Identify and evaluate potential funding sources (City, State,
Federal, Private) for entire PROJECT (both hard and soft costs).
2. Refine financial projections for concessions and evaluate
options for private sector development and operation.
3. Identify and evaluate existing site conditions and natural
systems (i.e. overall condition, bearing capacity, life expectancy,
feasibility and cost of revegetation, value to prospective park
users) .
4. Identify and evaluate existing structures and facilities
(i.e. same as No. 3, above, and adaptive use potential, feasibility
and cost of rehabilitation).
5. Identify and evaluate need for additional structures and
facilities as it relates to user requirements.
6. Identify and evaluate off/on site factors affecting develop-
ment (i.e. sewer plant, roads).
7. Identify and evaluate regulatory requirements that would
impact development (City, State, Federal, private interest groups).
8. Prepare preliminary mas.c.r plan and level-)-wTent program for
entire project.
9. Prepare marketing brochure incorporating preliminary master
plan.
10. To insure input from community user groups and environmen-
talists,two workshop meetings :ill be held to address:
a. Project orientation/issues and opportunities.
b. Review of development program.
Stacie I deliverables will include: (1) preliminary master plan
and (I.evelopment program; and (2) marketing brochure incorporating
preliminary master plan. The PRINCIPAL will provide camera ready copy
for the marketing brochure.
STAGE II - CONSTRUCTION DOCUMENTS FOR PHASE I DEVELOPMENT
The scope of services .,ill consist of the preparation of : a) sche-
matic design, b) design development, c) construction documents, d) bidding
documents, and e) construction administration. Typical examples may include:
• Control booth/entire area
• Access improvements for vehicular traffic to beach/picnic
facilities
• Parking improvements for beach/picnic facilities
• Beach/picnic access for pedestrians and service vehicles
• Bathhouse(s)
• Lifc guard station(s)

SECTION XX - CONSULTANTS
The PRINCIPAL was selected as part of a team of firms to
provide Landscape Architectural, Architectural, and Engineering
services for the PROJECT. Those team members to act as Consultants
to the PRINCIPAL are:

The PRINCIPAL shall furnish the CITY with a copy of each of
the subcontract agreements.
The PRINCIPAL shall not exclude any of the above mentioned
subconsultants or subcontract for other consulting services
without prior written aoiDroval of the CITY.
SECTION XXI - CONSTRUCTION OF AGREEMENT
The parties hereto agree that this Agreement shall be construed
and enforced according to the laws, statutes and case law of the
State of Florida.

Ratification and approval of
Agreement with Synterra, Ltd. for
the purpose of ueveloping Virginia Key
as a Resource -Based Park.
For the City Commission meeting
of December 9, 1982
"It is recommended that the attached
Resolution be approved ratifying
agreement between the City and
Svnterra, Ltd., for the purpose
of developing Virginia Key as a
resource -based park."
The City Commission, by Resolution No. 82-1024, authorized the
City Manager to negotiate and enter into a fair, competitive
and reasonable contract with a firm found most qualified to
provide professional landscape architectural, architectural,
and engineering services for the Virginia Key Park Development
Project.
This task having been fulfilled with a first rank ordered
firm, Synterra, Ltd., it is now appropriate to have the City
Commission ratify and approve the attached executed agreement.
