HomeMy WebLinkAboutR-82-1126J-82-133 i RESOLUTION NO. 82-1126 A RESOLUTION AUTHORIZING THE CITY MANAGER TO ENTER INTO AN AGREEMENT WITH THE UNIVERSITY OF MIAMI TO PROVIDE CERTAIN SERVICES IN CONNECTION WITH THE EMERGENCY MEDICAL SERVICES PROVIDED BY THE RESCUE DIVISION, CITY OF MIAMI FIRE, RESCUE A14D INSPECTION SERVICES DEPARTMENT, SUBSTANTIALLY IN ACCORD- ANCE WITH THE TERMS AND CONDITIONS SET FORTH IN THE ATTACHED AGREEMENT, FOR A PERIOD OF THREE (3) YEARS COMMENCING OCTOBER 1, 1982 AND TERMINATING SEPTEMBER 30, 1985, FOR AN ANNUAL COMPENSATION OF ONE ($1.00) DOLLAR; WITH FUNDS ALLOCATED FROM THE FIRE, RESCUE AND INSPECTION SERVICES DEPARTMENT'S GENERAL OPERATING BUDGET WHEREAS, the City of Miami and the University of Miami desire to cooperate to provide certain services in connection with the Emergency Medical Services provided by the Rescue Division, City of Miami Fire, Rescue and Inspection Services Department; and WHEREAS, the annual compensation for such services is One ($1.00) Dollar, with funds provided in the Fire, Rescue and Inspection Services Department's General Operating Budget; and WHEREAS, the City Manager recommends approval; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The City Manager is hereby authorized to enter into an Agreement with the University of Miami for services in connection with the Emergency Medical Services provided by the Rescue Division, City of Miami Fire, Rescue and Inspection Services Department, for the annual com- pensation of One ($1.00) Dollar, substantially in accordance with the terms and conditions as set forth in the attached Agreement, for a period of three (3) years, commencing October 1, 1982 and terminating September 30, 1985. Brice, Director-�` REFERENCES Agreement between City of Miami Fire, Rescue and Inspection Services and University of Miami ENCLOSURES Copy of Resolution, 5 copies/Contract It is recommended that the City Commission authorize the City Manager to enter into an Agreement with the University of Miami to provide certain services in connection with the Emergency Medical Services provided by the Rescue Division, City of Miami Fire, Rescue and Inspection Services Department, for a period of three (3) years commencing October 1, 1982 and terminating September 30, 1985, for an annual compensation of One ($1.00) Dollar with funds allocated in the Department's General Operating Budget, substantially in accordance with the terms and conditions as set forth in the attached Agreement, as per the attached Resolution. The Agreement forwarded herewith provides that the University of Miami furnish resources and facilities for training of paramedics, and also to provide us with information from any research activities conducted by the University in the areas of Emergency Medical Services. In return, the City pays to the University an annual cmpensation of One ($1.00) Dollar. As a point of information, the Agreement with the Public Health Trust (which operates Jackson Memorial Hospital) which has already been approved, provides the services of a Medical Director and staff to be available on a 24-hour basis for prompt response to emergency medical radio transmissions from our Rescue Units. 82-112t; t • A G R E E M E N T BETWEEN CITY OF MIA -MI AND UNIVERSITY OF MIAIMI THIS AGREEMIENT, entered into this day of , 19 by and between the City of Miami, a municipal corporation of the State of Florida, (hereinafter referred to as the "CITY") and the University of Miami (hereinafter referred to as the "UNIVERSITY"). W I T N E S S E T H WHEREAS, the CITY and the UNIVERSIT'' desire to cooperate to provide certain services in connection with the Emergency Medical Services provided by the Rescue Division, City of Miami Fire Department. NOW THEREFORE, in consideration of the promises and the mutual covenants and agreements herein contained, the parties hereto agree as follows: THE UNIVERSITY agrees: 1. To provide the resources and facilities for training of system paramedics; 2. To provide information from any research activities that are conducted by the University in the areas of Emergency Medical Services. The CITY agrees: 3. To pay to the University as compensation for services, the annual sum of One Dollar ($1.00). 82-1126 - 2 - The parties agree: 4. The CITY, as allowed by law, shall indemnify and hold harmless the UNIVERSITY against any and all liabilities arising out of the negligence by employees and/or personnel of the CITY which arise out of or during the performance of this agreement and no other, and at its own cost and expenses shall defend the UNIVERSITY and any of its respective officers, trustees or employees against any such claim brought against any of them. 5. The University agrees to indemnify and hold harmle s the CITY against any and all liabilities arising out of the negligence by employees and/or personnel of the UNIVERSITY which may arise out of or during the performance of this agreement and no other, and at its own costs and expense, shall defend the CITY and any of its respective officers, trustees or employees against any such claim brought against any of them arising out of or during the performance of this agreement and no other. 6. It is further provided that in no event shall the agents, contractors, officers, servants or employees of the CITY be considered to be agents, officers, servants or employees of the UNIVERSITY. 7. It is further provided that in no event shall the agents, contractors, officers, servants or employees of the UNIVERSITY be considered to be agents, officers, servants or employees of the CITY. B. That this Agreement shall commence on October 1, 1982, and shall terminate on September 30, 1985; provided however, that any party may cancel the Agreement by giving sixty (60) days 82-1126 s a, - 3 - notice in writing to all other parties by certified mail, return receipt requested. Notice is effective upon receipt. 9. Every notice provided for in this Agreement shall be in writing and delivered by certified mail to both parties at their respective addresses as follows: As to the CITY: City Manager City of Miami City Hall - Dinner Key Miami, Florida 33133 As to the UNIVERSITY: Assoc. The parties agree that this Agreement contains the entire Agreement of the parties and that there are no conditions or limitations to this undertaking except those stated herein. After the execution hereof, no alteration, change or modification hereof shall be binding or effective unless executed in writing and signed by both parties hereto. IN WITNESS WHEREOF, the parties have caused this Agreement to be executed by their respective duly authorized officers.
