IT IS RECOMMENDED THAT THE CITY COMMISSION

CONTRACT WITH AUTOMATED RESOURCES MANAGEMENT
CONSULTANTS INCORPORATED, HEREINAFTER REFERRED
TO AS "ARMAC" FOR THE PURPOSE OF PROVIDING
PROFESSIONAL ON -CALL PROGRAMMING AND ANALYTICAL
SERVICES FOR THE DEPARTMENT OF COMPUTERS NOT
TO EXCEED $98,500 PER YEAR.
Under Task I, the Booz-Allen & Hamilton Corporation completed an
extensive survey of computer operations and recommended twenty-
one specific corrective actions. Implementation has been com-
pleted on those items that could be completed within the time
available. On other items, by their very nature, considerable
additional time and effort will be necessary. "ARMAC" was a
sub -contractor with Booz-Allen & Hamilton on Task I. Personnel
from "ARMAC" were extremely valuable in implementing corrective
action and providing other support services. It is requested that
we continue our relationship with "ARMAC" to specifically complete
the following:
1. Implement Configuration Management: Defined procedures
for the management and control of production versus test
libraries.
2. Define a run book standard for computer operations and
document all production and new applications to that
standard.
3. Review the tape library function and define and implement
a better method of handling tape processing.
4. Rewrite (program) the Retiree Payroll/Pension System for
the B-6800 computer and make the necessary changes per the
new IRS ruling.
5. Do the required analysis and feasibility reviews of City
departments requesting new data processing support, in-
cluding certain requests for mini or micro computers.

By virtue of the fact that "ARMAC" has been very involved with
the City, it would be cost effective for the City to continue
their efforts on the aforementioned specified projects. Existing
available City staff is committed to definite work programs and
will not be available for assignment to the aforementioned pro-
jects in the immediate future.
The City has a history of utilizing outside professional staff
in data processing. in 1981, the expenditure amounted to
$148,000.; in 1982, the expenditure was $112,000. We do have
funds available in the Department of Computers Budget for this
service.

PROFESSIONAL SERVICES AGREEMENT
This Agreement entered into as of the day of ,
1982, by and between the City of Miami, a municipal corporation
of Dade County, Florida, hereinafter referred to as "the City"
and Automated Resources Management Consultants Incorporated, here-
inafter referred to as "ARMAC."
WHEREAS the City wish to contract for the professional
on -call programming/analytical services .for its computer oper-
ations, and
WHEREAS, "ARMAC" has the capability to provide such ser-
vices and desires to perform the services required by the City,
and
WHEREAS the City Commission of the City of Miami has
authorized the execution of a professional services agreement
with "ARMAC" to perform the services required by the City.
NOW THEREFORE, in consideration of the payments hereinafter
agreed to be made and the mutual covenants hereinafter set forth,
the parties hereto do mutually agree as follows:
ARTICLE I -- SCOPE OF WORK
A. ARMAC, as an independent contractor and not as an agent of
the City, shall provide on -call programming and analytical
support services to the Department of Computers. ARMAC shall
perform the services specified in the Statement of Work, at-
tached hereto as Exhibit A and incorporated herein.
B. All of the services to be performed hereunder by ARMAC shall
be under the control and approval of the City and shall be
performed in accordance with the guidance of the City.
ARTICLE II -- PERIOD OF PERFORMANCE
This agreement shall commence upon execution by the City
Manager and shall continue for one (1) year with an option
to extend on a monthly basis for a period not to exceed
twelve (12) months and at the hourly rates prescribed in
Section three (3) of this agreement.
ARTICLE III - CONSIDERATION AND PAYMENT

A. In consideration of the performance of services pursuant to
Article I above, the City shall pay the following rates for
staff provided:
Programmer ------------------------ $30 per hour
Lead Programmer/Project Analyst --- 35 " of
Senior Consultant/Principal------- 70 " of

B. The total cost of this contract shall not exceed $98,500
per year unless this agreement is amended in writing by
the City Manager to include services not specified in
Exhibit A.
C. ARMAC shall submit monthly invoices in accordance with
the aforementioned billing rates showing hours worked and
total amount due. Such billings shall be paid by the City
upon submission. The City shall require time records and
shall have the right to review and audit time records and
related records of ARMAC pertaining to any such billings.
D. The City agrees to provide space, working tools, computer
time and staff assistance as required to ARMAC employees
in the performance of their services.
E. The City shall have the right to refuse any consultant
(programmer/analyst) that it considers not qualified or
otherwise unacceptable.
ARTICLE IV -- CHANGES
The City may at any time, by written order, make changes
in the Statement of Work, Exhibit A, provided such changes
are within the general scope of services provided by ARMAC.
The City and ARMAC shall mutually determine whether the
ordered changes can be accomplished within the total contract
price.
ARTICLE V -- TERMINATION OF CONTRACT
The City retains the right to terminate this Agreement at
any time during the term of this contract without penalty
to the City. In'that event, notice of termination of this
contract shall be in writing to ARMAC who shall be paid for
all work performed prior to the date of receipt of the
notice of termination.
ARTICLE VI -- SUB -CONTRACTS
No sub -contract, assignment or transfer of this Agreement
shall be made by "ARMAC" for the furnishing of any of the
work herein contracted for without the written approval of
the City.
ARTICLE VII -- OWNERSHIP OF DOCUMENTS
All plans, proposals, reports, documents, research materials
and other data developed as a result of this Agreement shall
become the property of the City without restriction or limit-
ation on their use. It is further stipulated that all info-
rmation developed as a part of the project $hall not be used
by "ARMAC" without prior submittal to the City and written
approval from the City.

ARTICLE VII -- OWNERSHIP OF DOCUMENTS (CONT'D.)
It is further understood by and between the parties that
any information, plans, reports, documents or other matter
whatsoever, which is given by the City to "ARMAC" pursuant
to the Agreement shall at all times remain the property of
the City and shall not be used by "ARMAC" for any other purpose
whatsoever without the written consent of the City.'
ARTICLE VIII -- PUBLIC RECORDS LAW
"ARMAC" agrees that all documents and reports prepared
and maintained by "ARMAC", under the contract shall be
subject to provisions of the Public Records Law, Chapter
119, Florida Statutes.
ARTICLE IX -- INDEMNIFICATION
"ARMAC" shall defend, indemnify and save harmless the City
against any and all claims, suits, actions for damages or
action arising during the term of this agreement, for any
personal injury, loss of life, or damage to property sus-
tained by reason of or as a result of "ARMAC" (its agents,
employees or workmen) carelessness or negligence from and
against any orders, judgments or decrees which may be
entered thereof; and from and against all cost, attorneys
fees, expenses and liabilities incurred in the defense of
any such claims and the investigation thereof.
ARTICLE X -- CbNSTRUCTION AGREEMENT
The parties hereto agree that this Agreement shall be
construed and enforced according to the laws and statutes of the State of Florida.
ARTICLE XI -- ENTIRE -AGREEMENT
The foregoing Agreement, including Exhibit A attached
hereto, constitute the entire Agreement between the
parties as related to the services to be provided hereunder.

Agreement as of the day and year first above written.

For the past six months, DOC has undergone extensive evaluation
and review in an effort to be more responsive to the needs of
the City of Miami. In particular, the firms of Booz Allen and
Hamilton and ARMAC Corporation were contracted to conduct the
review in three areas of Computer Center operations:
1. The internal management and control of the computer center
and its hardware resource.
2. The programming and development support provided to Users,
both current and projected support for the next five years.
3. The ability of DOC's current staff to implement corrective
measures and user requirements.
The results of the review have identified much work to be
accomplished over the next year to improve the productivity and
performance of the computer systems and to enhance DOC's
support to the City's using departments (USERS). The review
also highlighted a staffing imbalance within the existing DOC
environment. This imbalance is due in part to an almost one
hundred per cent turnover of management and staff within the
Development Division of DOC within the past year.
Because of the additional volume of work and resource required
to implement corrective measures recommended by Booz Allen
while maintaining and improving support to USERS; and because
of the staffing imbalance mentioned above, it is necessary for
DOC to acquire the services of an external contractor to
provide programming and analytical support services on an 'as
required' basis for an extended period of time.
In particular, there are several projects recommended by Booz
Allen that require immediate follow up actions.
1. Implement Configuration Management: Defined procedures for
the management and control of production versus test
libraries.
2. Define a run book standard for computer operations and
document all production and new applications to that
•standard.
3. Review the tape library function and define and implement a
better method of handling tape processing.
4. Rewrite (program) the Retiree Payroll/Pension System for the
B-6800 computer and make the necessary changes per the new

5. Do the requirement analysis and feasibility reviews of City
departments requesting new data processing support,
including certain requests for mini or micro computers.
ARMAC proposes to provide consultant staff to perform the
services described above, with the approval and guidance of the
City.
