RESOLUTION NO,
A RESOLUTION WAIVING THE REQUIREMENTS AND
PROHIBITION CONTAINED IN CITY CODE
SECTION 2-3026 AUTHORIZING THE CITY
MANAGER TO ENTER INTO AN AGREEMENT,
SUBJECT TO THE CITY ATTORNEY'S APPROVAL
AS TO FORM AND CORRECTNESS; FOR
PROFESSIONAL CONSULTANT SERVICES WITH
VINCENT E. GRIMM, JR., PRIMAR.ILY IN
CONNECTION WITH THE WORLD TRADE CENTER
TOWER PROJECT, FOR A PERIOD OF 2 YEARS
COMMENCING FEBRUARY 1, 1983 THROUGH
JANUARY 31, 1985 WITH A PROVISION THEREIN
FOR EXTENSION THROUGH JULY 31, 1985, SAID
AGREEMENT ESTABLISHING A FIXED MONTHLY
PAYMENT FOR SAID SERVICES; ALLOCATING
MONIES THEREFOR FROM PREVIOUSLY
APPROPRIATED FUNDS.
WHEREAS, Assistant City Manager Vincent E. Grimm, Jr.
will retire from the City of Miami on January 17, 1983 after
many years of faithful and effective service; and
WHEREAS, the City of Miami, as well as the Dade Savings
and Loan Association, has a vital interest in the completion
of the World Trade Center Tower Project; and
WHEREAS, Mr. Grimm has been involved with this Project
since its inception; and
WHEREAS, it is to the best interest of the City that
this Project involvement by Mr. Grimm be preserved, continued
and maintained;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE
CITY OF MIAMI, FLORIDA:
Section 1. The authorization set forth in Section 3
hereof is based upon the following findings:
(a) The services of Vincent E. Grimm, Jr. are
unique in character as they relate to
certain pending Capital Improvement
Projects of the City of Miami which
projects will be the primacy object of
his services under the herein agreement.
(b) The City of Miami cannot avail itself of
such services without entering into the
herein proposed agreement, the execution
of which would be in violation of City
Code Section 2-302 were there not a
waiver of the requirements and the
prohibition contained in said Section
2-302.

(c) The herein proposed agreement will be to
the best interest of the City of Miami.
Section 2. Based upon the findings set forth in
Section 1 hereof, the requirements and prohibition contained
in Section 2-302 of the City Code are hereby waived.
Section 3. The City Manager is hereby authorized to
enter into an agreement, subject to the City Attorney's
approval as to form and correctness, for professional
consultant services with Vincent E. Grimm, Jr., primarily in
connection with the World Trade Center Tower Project for a
period of 2 years commencing February 1, 1983 through
January 31, 1985 with a provision therein for extension
through July 31, 1985, said agreement establishing a fixed
monthly payment of $2,500 for said services.
Section 4. Monies for the herein agreement are hereby
allocated from funds previously appropriated for the World
Trade Center Tower and the Miami Convention Center Parking
Garaqe Projects.

An acireement entered into between Vincent E. Grimm, Jr. and the
City of Miami for a period of two years with an effective starting date
of February 1, 1983, and a termination date of January 31, 1985. This
Agreement may tY' e-%tended to July 31, 1985, if determined necessary by
the City %tanager.
This acrreement is for the purpose of providing professional services
to the City 'through the City Manager for special projects, specifically
for L-he Tr�:,.i Center to be constructed on top of the City of Miami
Convention Center Parking Garage.
For the pui-T)osc of this Agreement, Mr. Grime shall be deemed to be
an indepen:?ont contractor, and not an agent or employee of the CITY, and
shall not attain any rights or benefits under the Civil Service or
Pension Ordinance of the CITY, or any rights generally afforded classified
or unclassified csnployees; further he shall not be deemed entitled to
Florida worim-k-n's Compensation benefits as an employee of the CITY.
There will be no expenses paid to Mr. Grimm in addition to the
monthly es:x)lirKnt, unless these e-:penses are incurred in direct relationship
to this arreerient for e.,gDenses and travel outside of Dade County in
which case all such axpenses will be fully reimbursed.
Payment will be $2500 per month and will be made on the first
business day of each month, for the previous month.
In the oA,ont that secretarial services are necessary for the preparation
of any memoranda or reports, said services will be provided at the
discretion of the City Manager, but it is further understood these
services will be provided at City offices.
:•tr. Grimm will also be available on call at the discretion of the
City %tanager. It is understood, however, that it is not the intention
of this agreem--nt that Mr. Grimm work a full 90-hour week and that the
time he %,aor}. will be dependent on the do hands of the job. It is
ustiinatud t fut this work will require approximatoly 25 hours a month.
t ecau5e of the coirq)lexity of this project and its association with
the c.•onvc:ntion center, it is agreed that there could be subsequent lecjal
actions either by the City or other parties involved. In the event any
action is t l-en against the City or Air. Griiirn, as related to this agreement,
the City will provide full legal liability against such actions.

It is agreed sir. Grir-m will be able to participate in other personal
ser✓ices agree��ts with any agency or individual which does not create
any inferred conflict of interest with the City of Aiami.
It is further agreed that this agreanent may be altered, extended
and amended only upon the written consent of both parties hereto. iicwever,
this agreanent may be cancelled by either party with 30-days written
notice.

it is recommended that the City Commission
authorize the City Manager to enter into•a
professional services agreement with
Vincent E. Grimm, Jr. for a period of
two years commencing February 1, 1983
through January 31, 1985 with provision
for time extension through July 31, 1985.
The attached resolution and agreement will authorize the City Manager
to enter into a professional services agreement with Vincent E.
Grimm, Jr. for a period of two years with provision for an
extension of time through July 31, 1985. Although the Convention
Center has not been presented to the City Commission for final
approval, it is in the final stages with punch list items being
corrected by the contractor. The World Trade Center Tower has
not yet begun. The relationship between the City of Miami, Dade
Savings and the U. S. Department of Housing and Urban Development
regarding this project has been established primarily by Mr. Grimm.
It is important to the best interest of the City that this continuity
be preserved. Unfortunately Mr. Grimm is retiring on January 17, 1983.
This contract will allow the City to still have his services available.
The contract is broad enough that the City can assign to Mr. Grimm
other special projects, if necessary or desirable. The contract
provides for a fixed monthly payment of $2,500. Funds for this
contract are available in the Convention Center parking garage and
World Trade Center account.
