AN ORDINANCE AMENDING; SECTIONS 2-237,
2-233, 2-239, 2-239.1 AND SUBSECTION (5)
OF SECTION 2-239.2 OF THE CODE OF THE
CITY OF MIAMI, FLORIDA, AS AMENDED,
DEALING WITH THE MIAMI AUDIT ADVISORY
COMMITTEE' BY ENLARGING THE COMMITTEE'S
MEMBERSHIP FROM 5 TO 6 MEMBERS, 5 MEMBERS
BEING APPOINTED BY THE CITY COMMISSION
AND 1 MEMBER BEING APPOINTED BY THE CITY
MANAGER AND WITH ALL MEMBERS SERVING AT
THE WILL OF THE APPOINTING AUTHORITY;
CHANGING THE ORGANIZATIONAL/OPERATING
STRUCTURE OF SAID COMMITTEE AND SETTING
FORTH THE BASIC RESPONSIBILITY OF THE
COMMITTEE; CONTAINING A REPEALER
PROVISION AND A SEVERABILITY CLAUSE.
BE IT ORDAINED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. Sections 2-237, 2-238, 2-239, 2-239.1 and
Subsection (5) of Section 2-239.2 of the Code of the City of
Miami, Florida, as amended, are hereby further amended in the
following particulars:l
"Sec. 2-237. Created; number of members;
duties function.
A Miami Audit Advisory Committee is hereby
created consisting of f}ve-fS+ six (6) persons. it

assist the eitp eomm}ssion to improve the
efftilness-of-the-eitpls-audit
proeedures and programs and to diseharge the

basic function of the committee is to assist the
city commission and the city manager in fulfilling
their fiduciary responsibilities relating to
accounting, auditing and financial reporting. The
Committee shall:
(1) Review the annual audit of city
accounts performed by the independent
aIldi t-or_
(2) Review the annual management_ letter
developed by the independent auditor.
(3) Review the system of internal control
utilized by the city.
(4) Review the city's compliance with the
MFOA2 guidelines and requirements.

Sec. 2-238. Composition; terms.
The composition of the Miami Audit Advisory
Committee shall be as follows:

The committee shall elect its own chair-
person who shall:
(a) call and conduct all meetings;
(b) be responsible to insure that notes of
all meetings are maintained.
(c) be responsible that the notes of
all meetings are forwarded to the city
commission and the city manager in a
timely fashion.
Sec. 2-239.1. Liaison and support services.
It shall be the duty of the city manager, or of
the-eity-emp}epee-designated-by-the--eitp-manager-te
serve-en-the-eemmittee; to provide liaison with the
committee and support service from the
administration.
Sec. 2-239.2. Duties.

Section 2. All ordinances or parts of ordinances in
conflict herewith, insofar as they are in conflict, are
hereby repealed.
Section 3. If any section, part of section, paragraph,
clause, phrase, or word of this ordinance is declared
invalid, the remaining provisions of this ordinance shall not
be affected.

BACKGROUND:
In the last several years, the role of the ".Audit Committee" has
changed and taken on a much greater importance within the organi-
zational structure. In the private sector, audit committees have
become recognized as official "watchdogs" for corporate boards of
directors. In a recent report by Coopers -Lybrand, it is stated
"...corporate directors are increasingly recognizing the value of
an audit committee as an instrument of control as well as a means
of enhancing the quality and acceptability of a company's financial
reporting practices." The report further states "when properly
structured, audit committees provide directors with a vehicle to
transform the audit function into a more constructive tool in the
implementation of their reponsibilities."
The basic function of the audit advisory committee is to assist
the City Commission and the City Manager in fulfilling their
fiduciary responsibility relating to accounting, auditing and
financial reporting. The present City Code defining the duties
of the audit advisory committee focus rather narrowly on the selec-
tion of an independent auditor and monitoring his work. The changes
that are recommended in the attached ordinance broadens the scope
of the audit advisory committee by requiring that the committee shall:

(1) Review the annual audit of the city accounts
performed by the independent auditor.
(2) Review the annual management letter developed
by the independent auditor.
(3) Review the system of internal control utilized
by the City.
(4) Review the city's compliance with the Municipal
Finance Officers Association's guidelines and
requirements.
(5) Review internal audit reports where it is felt
by the internal auditors that fraud or criminal
conduct may be involved to the extent that it
does not compromise criminal investigations.
(6) Review the City Manager's recommendation for the
selection of an independent auditor.
(7) Review such other financial matters as requested
by the City Manager or as directed by resolution
of the City Commission.
It is also recommended that the Committee shall meet four
times per year. This will coincide with the issuance of
Quarterly Financial Statements by the Department of Finance.

AN ORDINANCE AMENDING SECTIONS 2.237, 2.238, 2.239,
2.239.1 AND SUBSECTION (5) OF SECTION 2.239.2 OF THE
CODE OF THE CITY OF MIAMI, DEALING WITH THE MIAMI
AUDIT ADVISORY COMMITTEE BY ENLARGING THE
COMMITTEE'S MEMBERSHIP FROM 5 TO 6 MEMBERS, 5
MEMBERS BEING APPOINTED BY THE CITY COMMISSION
AND 1 MEMBER BEING APPOINTED BY THE CITY MAN-
AGER AND WITH ALL MEMBERS SERVING AT THE WILL OF
THE APPOINTING AUTHORITY; CHANGING THE
ORGAN IZATIONAUOPERATING STRUCTURE OF SAID COM-
MITTEE AND SETTING FORTH THE BASIC RESPONSIBIL-
ITY OF THE COMMITTEE; CONTAINING A REPEALER PRO.
VISION AND A SEVERABILITY CLAUSE.
Said proposed ordinance(s) may be inspected by the public at the
office of the City Clerk, 3500 Pan American Drive, Miami, Florida,
Monday through Friday, excluding holidays, during the hours of 8:00
a.m. to 5:00 p.m.
All interested parties may appear at the meeting and be heard with
respect to the proposed ordinance(s).
Should any person desire to appeal any decision of the City Com-
mission with respect to any matter to be considered at this meeting,
that person shall ensure that a verbatim record of the proceedings is
made including all testimony and evidence upon which any appeal
may be based.
