HomeMy WebLinkAboutO-09575J-32-141 rr ORDINANCE NO. 9575 AN ORDINANCE AMENDING; SECTIONS 2-237, 2-233, 2-239, 2-239.1 AND SUBSECTION (5) OF SECTION 2-239.2 OF THE CODE OF THE CITY OF MIAMI, FLORIDA, AS AMENDED, DEALING WITH THE MIAMI AUDIT ADVISORY COMMITTEE' BY ENLARGING THE COMMITTEE'S MEMBERSHIP FROM 5 TO 6 MEMBERS, 5 MEMBERS BEING APPOINTED BY THE CITY COMMISSION AND 1 MEMBER BEING APPOINTED BY THE CITY MANAGER AND WITH ALL MEMBERS SERVING AT THE WILL OF THE APPOINTING AUTHORITY; CHANGING THE ORGANIZATIONAL/OPERATING STRUCTURE OF SAID COMMITTEE AND SETTING FORTH THE BASIC RESPONSIBILITY OF THE COMMITTEE; CONTAINING A REPEALER PROVISION AND A SEVERABILITY CLAUSE. BE IT ORDAINED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. Sections 2-237, 2-238, 2-239, 2-239.1 and Subsection (5) of Section 2-239.2 of the Code of the City of Miami, Florida, as amended, are hereby further amended in the following particulars:l "Sec. 2-237. Created; number of members; duties function. A Miami Audit Advisory Committee is hereby created consisting of f}ve-fS+ six (6) persons. it sha}}-be-the-dutp-ef-the- eotnmittee-te-ad�aise-and assist the eitp eomm}ssion to improve the efftilness-of-the-eitpls-audit proeedures and programs and to diseharge the eb}igatien-te-seeure-annua}-audits-ef-the-eitpls finaneia}-reeks-and-reeerds-as-recu#red-hp-}aw- The basic function of the committee is to assist the city commission and the city manager in fulfilling their fiduciary responsibilities relating to accounting, auditing and financial reporting. The Committee shall: (1) Review the annual audit of city accounts performed by the independent aIldi t-or_ (2) Review the annual management_ letter developed by the independent auditor. (3) Review the system of internal control utilized by the city. (4) Review the city's compliance with the MFOA2 guidelines and requirements. 1 Words and/or figures stricken through shall be deleted. Underscored words and/or figures shall be added. Remaining provisions are now in effect and remain unchanged. 2 Asterisks indicate omitted and unchanged material. This acronym stands for "Municipal Finance Officers Association. (5) Review internal audit _rei,)orts where it is felt by the internal auditor that fraud or criminal conduct ma_y b_e_ involved. - (6) Review the city manager's recommendation or the selection of an ,independent auditor. (7) Review the city manager's recommendation requested by the city manager_ or as directed by resolution of the city commission. Sec. 2-238. Composition; terms. The composition of the Miami Audit Advisory Committee shall be as follows: f}} Ane-f}�--member--ef-the--eity--eemmissien des-igmated-annua}}y--ley-off 3e4al-aet}en ef-the-eity-eemmissien;-and f2-} Tl�e--efty--�nanae3er--er--a--eftp--er�pleyee from the offiee of the eity manager designated-annually-by-the-eity-manager; and f3� Three-f3}--resielent--eitizens-ef-the-eity designated by effieial aetion of the eity-eemmissien:--The-three-h3�-eitizens shall -be -qualified -and -distinguished -by their edueation; experienee and attainments-in-the-aeeeunting-profession; the-praetiee-ef-law;-ban3cing-er-bus#Hess management.- The original eitizen designations-by-the-eity-eemmissien-sha}} be-as-fellet�s:--8ne-f}�-for-one-fl}-year; one-f}}-for-two-f2}-years;-and-one-f}} for-three-f3�-years.--Thereafter;-eitizen designatiens shall be for three -pear (1) Each Each city commissioner shall recom- mend one (1) member subject to appointment by the city commission. one (1) nonvoting member shall be appointed by the city manager. (2) All the city commission appointments shall serve at the pleasure of the city commission. The city manager appointee shall serve at the pleasure of the city manager. (3) The internal city auditor and the director of finance shall not be members — of the committee but shall be informed of and invited to attend each committee meeting. (4) All members shall be qualified and distinguished by their education, _ experience and attainments i11 the iiccountin profession, the practice of law, banking or business management. -2- ( 5 ) Review internal audit reports_ _where the auditor believes that fraud or criminal conduct may be involved, such review to be2erf_ormed to the extent that it not compromise any criminal investigation. (c) be responsible that the notes of all meetings are forwarded to the city commission and the city manager in a timely fashion. Sec. 2-239.1. Liaison and support services. It shall be the duty of the city manager, or of the-eity-emp}epee-designated-by-the--eitp-manager-te serve-en-the-eemmittee; to provide liaison with the committee and support service from the administration. Sec. 2-239.2. Duties. MIM 9575 (5) Meeting at ].east 5-ix-f6j four (4) times annually in the discharge of its duties. One meeting shall be with the city commission to review the .Findings and results of the annual independent audit report, for or against retention of the independent auditor, and appropriate follow-up action on the findings of the annual independent audit report." Section 2. All ordinances or parts of ordinances in conflict herewith, insofar as they are in conflict, are hereby repealed. Section 3. If any section, part of section, paragraph, clause, phrase, or word of this ordinance is declared invalid, the remaining provisions of this ordinance shall not be affected. BACKGROUND: In the last several years, the role of the ".Audit Committee" has changed and taken on a much greater importance within the organi- zational structure. In the private sector, audit committees have become recognized as official "watchdogs" for corporate boards of directors. In a recent report by Coopers -Lybrand, it is stated "...corporate directors are increasingly recognizing the value of an audit committee as an instrument of control as well as a means of enhancing the quality and acceptability of a company's financial reporting practices." The report further states "when properly structured, audit committees provide directors with a vehicle to transform the audit function into a more constructive tool in the implementation of their reponsibilities." The basic function of the audit advisory committee is to assist the City Commission and the City Manager in fulfilling their fiduciary responsibility relating to accounting, auditing and financial reporting. The present City Code defining the duties of the audit advisory committee focus rather narrowly on the selec- tion of an independent auditor and monitoring his work. The changes that are recommended in the attached ordinance broadens the scope of the audit advisory committee by requiring that the committee shall: -Page 1 of 2- 9575 To: Howard V. (7) Review such other financial matters as requested by the City Manager or as directed by resolution of the City Commission. It is also recommended that the Committee shall meet four times per year.
