Dear Mr. Gary:
Please be advised that our lay, firm represents PRS
International Consulting, of Key Biscayne, Florida relative to
their intent to propose to the City of Miami providing the City
faith time and temperature readings on Omega street clocks
located in certain city approved public right of ways.
The purpose of this letter, is to respectfully request
that this proposal be submitted to the City of Miami Commission
at their upcoming May 12, 1983 meeting.
It is our objective to discuss this proposal with your
staff prior to the May 12th meeting and provide you with all of
the information that we possess which may be helpful to you in
evaluating a recommendation to the City Commission.
Officially, our law firm represents PRS International
Consulting, Electronic Time, Inc., the owner of the designs,
under patent of the subject structures and Omega Electronic
Equipment (Switzerland).

PROPOSAL FOR MIAMI SHOPPING CENTER

Holland Consulting, Inc., under contract as a paid developer for the U. S.
Small Business Administration, will develop a neighborhood shopping center
(anchored by a chain supermarket) identical to the Virginia Park Community
Plaza, which HCI developed under contract in Detroit, Michigan. The Plaza is
O owned by an LDC which HCI organized, which is comprised of 300 community resi-
a dents. This $5,500,000 project (on 5 acres with 70,650 sq. ft. GLA) has the

The Miami project will be patterned along the same lines, and the HCI-SBA
contract has five major steps which NCI will complete:

Part I
Target Cities

O HCI shall establish five substantial minority -owned neighborhood shopping
centers or commercial complexes in major cities, with significant job and econo-
mic impact. The projects will use existing, proven programs, especially the SBA
w Local Development Company (502-503) program, combined with existing community,
private, and government resources. Each neighborhood shopping center must pro-
vide critical consumer goods, such as food and medicines, which presently are
a not available at competitive prices in urban minority communities. The projects
shall be located in Chicago, Illinois; San Antonio, Texas; Miami, Florida;
z Philadelphia, Pennsylvania; and St. Thomas, Virgin Islands.

Part II
Feasibility Study
HCI will select, through a process of demographic analysis, the ideal loca-
tion in each city for the development. It will then prepare a comprehensive
feasibility study defining the project, and present this study to merchants
defined in the study, to the community group in the area (this group will be
established by HCI if one does not exist), and to the other local and private
interests defined in the study as essential to the development. This phase of
the study shall positively identify what commercial facilities are available and
the extent to which the community is "under -stored".
Part III
Financing
HCI shall establish the local development company (LDC), prepare its
prospectus, conduct its capital funds drive, and help the LDC to retain an
architect to provide the schematic phase of the design of the project, whether
it be a new center, a strip center, or a rehab. After the LDC has obtained the
land through purchase or an option to purchase, HCI shall complete the capital
funds drive, obtain additional equity through MESBICs or venture capital firms,
obtain commitments for matching grants based upon the success of the capital
funds drive, and provide the financial packaging for the difference between this
total capital structure and the required project funding through a first mort-
gage. This mortgage shall be based on Letters of Intent signed by the merchants
who will locate in the complex (The merchants must be opening branches of suc-
cessful operations, or relocating to the complex).
Part IV
Anchor Tenant
HCI shall obtain a Letter of Intent from the anchor tenant defined in each
feasibility study for lease of the space designated in the study for said anchor
tenant. The anchor tenant shall be credit -worthy to the extent the Letter of
Intent will generate both Letters of Intent from ancillary merchants and the
First Mortgage commitment.
Part V
Ancillary Tenants
HCI shall obtain Letters of Intent from the ancillary merchants defined in
each feasibility study for lease of the space designated in the study for said
ancillary merchants. Minority and 8(a) firms shall be used to the maximum
extent practicable.
Construction of the Miami project will commence once the five steps above
are completed, at which time the Miami LDC which HCI will organize, will take
control of the developed project.
