FOR THE ACQUISITION OF A TRAINING AND EDUCATIONAL SIMULATOR FOR THE CITY OF MIAMI POLICE DEPARTMENT AT A BASE COST OF $500,000 WITH MONIES THERPFOR ALLOCATED FROM THE LAW ENFORCEMENT TRUST FUND, SAID AUTHORIZATION BEING SUBJECT TO THE AVAILABILITY OF FUNDS; PROVIDING; THAT THE ACQUISITION OF THE SIMULATOR HE AUGMENTED BY (a) FURTHER IMPROVEMENT IN THE PROGRAM OF PSYCHOLOGICAL TESTING TO SCREEN OUT VIOLENCE -PRONE CANDIDATES FOR EMPLOYMENT AS POLICE OFFICERS, (b) IMPLEMENTATION OF A. POLICE AND COMMUNITY SENSITIVITY TRAINING PROGRAM, AND (c) ESTABLISHMENT OF STRESS CENTERS SEPARATE FROM AND OUTSIDE OF POLICE DEPARTMENT ADMINISTRATION FOR COUNSELLING OF POLICE OFFICERS; FURTHER PROVIDING FOR THE ADOPTION OF THE. FINDINGS AND CONCLUSIONS SET FORTH Itq "PHE PREAMBLE OF THIS RESOLUTION. WHEREAS, September and Associates Fast, Inc. (September) has developed a training and education simulator to enhance and develop the skills of law enforcement personnel in threat recognition, risk assessment and officer survival; and WHEREAS, the training simulator, known as the Synthesized Media Environment System (System), has proven to be unique and extremely effective in developing the skills of law enforcement personnel; and WHEREAS, the City desires that September custom design and produce such a simulator System for use by City of Miami law enforcement personnel; and WHEREAS, the City Manager has ;Wade a written finding that the use of the competitive sealed bidding method for the award of the herein procurement contract is not practicable or advantageous due to the fact that the System is not available from any source other than September; and C:Ti' COMMISSION P:'i,l_'TjrgC vF !.'AY 121 1033 FUNIARKS: 6 0 WHEREAS, the City Commission, after a properly advertised public hearintlr accepts and ratifies the City Manager's finding of unavailability; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The f.indin,ls and conclusions set forth in the preamble to this Resolution are hereby adopted as if fully set forth in this Section. Section 2. The acquisition of the herein authorized training anti education simulator shall be augmented by the following: (a) further improvement in the program of psychological testing to screen out violence -prone candidates for employment as a police officer, (b) implementation of a police and community sensitivity training program, and (c) establishment of stress centers separate from and outside of Police Department administration for counselling of police officers, with the City Manager scheduling a report anti discussion of the progress in this regard before the City Commission within 90 days from the date hereof. Section 3. The requirement of competitive sealed bidding is hereby waived and the City Manager is hereby authorized and directed to execute an agreement, substantially in the form attached, with September and Associates East, Inc. for the acquisition of a training and education simulator, known as the Synthesized Media Environment System, for the City of Miami Police Department at a base cost of $500,000 with funds therefor hereby allocated from the Law Enforcement Trust Fund, said authorizing being subject to the availability of funds. Gary P City Manager Stress Training Simulator �l ��- ck Eads Special Assistant E•;C�CSUREZ to the City Manager (2) It is recommended that the attached proposed resolution and agreement be presented to the City Commission on April 6, 1983 to authorize and direct the City Manager to enter into an agreement with September and Associates East, Inc. for the acquisition of a police stress training simulator. At the March 24, 1983 City Commission meeting the Commission authorized the administration to negotiate with September and Associates East, Inc. ..for the acquisition of a training simulator known as the Synthesized, Media Environment System. At your direction, I contacted Mr. Lafayette Patterson, Chairman of September and Associates, and negotiated the agreement included with this memorandum. That agreement provides for the acquisition of the simulator at a base cost to the City of $500,000. Additionally, the City has at its option seven (7) additions to the base contract. Those options are: Option #1: An additional scenario pertaining to civil disorder, terrorist, bombing, and other events relating to SWAT operations. Also, officers' families and youth gatherings. ($45,000.00) Option #2: Provides a public information demonstration and operation relating to the use of the simulator. ($15,000.00) Option #3: Two (2) 16mm projectors in addition to the base equipment. ($8,000.00) Option #4: A Bio-Feeback system that will monitor the heart rate and respiration of participants. ($14,500.00) Option #5: Provides for maintenance agreement. ($15,250.00) Option #6: Provides for maintenance agreement. ($24,450.00) Option #7: Provides for the training of additional personnel at $35.70 per individual. F113 — - 83 11 i -2- Payment to September and Associates for execution of the agreement is based upon a graduated scale and is accomplished over the 240 days it will take for contract performance. Recognizing the significance and positive stand taken by the City in the acquisition of the simulator and possible future sales to other local law enforcement agencies, September and Associates will provide a royalty to the City for each local sale. The City may, at its option, make the simulator available to other agencies for training without penalty. This is a fair and equitable agreement and provides the City with required safeguards and assurances of performance by September and Associates. It is recommended that this be placed on the April 28, 1983 agenda for Commission . consideration. S3-366 4 El THIS AGREEIMENT made this day of 1983 by and between CITY OF MIAMI, a municipal corporation of the State of Florida, hereinafter referred to as "MIAN11" and SEPTEMBEP AND ASSOCIATES EAST, INC., a Michigan corporation, of Suite 2000, 126 West Kearsley Street Flint, Michigan, 48502, hereinafter referred to as "SEPTEMBER". WHEREAS, SEPTEMBER has developed a training and education simulator to enhance and develop the skills of law enforcement personnel in threat recognition, risk assessment and officer survival; and WHEREAS, the training simulator, known as the Synthesized Media Environment System, hereinafter "Simulator", has proven to be extremely effective in developing the skills of law enforcement personnel; and WHEREAS, Miami desires that SEPTEMBER custom design and produce such a Simulator for use by the Miami law enforcement personnel. NOW, THEREFORE, MIAMI and SEPTEMBER, intendino to be legally bound, covenant agree as follows: 1. Purchase and License. MIAMI agrees to purchase, acquire and license from SEPTEMBER AND SEPTEMBER agrees to provide a custom designed Simulator, related equipment, programs and software and to provide training of MIAMI personnel in the operation and maintenance of said system, in accordance with the terms and conditions of this Agreement. 2. Objectives. The objectives of this Agreement, the Simulator and the related equipment and training to be provided by SEPTEMBER. are as follows: (a) To refine the decision making process as it relates to the use of firearms by MIAMI law enforcement personnel; (b) To enhance the quality of communications and awareness between the MIAMI Police Agency and the community at large; (c) To create and develop a higher level of skill in the area of threat recognition, risk assessment, officer survival, use of covet-, and problem solving under stress within the MIAMI Police Agency through the use of the Simulator; (d) To train selected personnel in the operation and routine maintenance of the Simulator and related equipment. 813 - 63 3. Requirements of SEPTEMBER. SEPTEMBER shall provide all professional, technical and clerical personnel, equipment and materials, necessary to design, develop and produce for MIAMI a Simulator meetinq the objectives set forth in paragraph 2 of this Agreement. The equipment and materials to be provided by SEPTEMBER are set forth in Exhibit B. In addition, SEPTEMBER shall provide all necessary training of personnel for the proper and continued operation and maintenance of the Simulator and related equipment. SEPTEMBER shall complete its responsibilities under the specified tasks designated and in accordance with the schedule set forth in Exhibit A to this Agreement. 4. Confidential Information. MIAMI acknowledges that the operating system and software for the Simulator is licensed to SEPTEMBER, which has the right to license the use of such software to MIAMI. MIAMI further acknowledges that development of the Simulator and in particular the software and proprietary information contained therein, has required substantial creative effort and financial investment. Miami covenants and agrees that it will, at all times, use its due diligence to maintain the confidentiality of such operating system and software, (including any improvements and updating) and will not, unless required by law, without the prior written consent of SEPTEMBER disclose, or permit to be disclosed, the operating system or software to any other person, or entity. 5. Production Chanqes. SEPTEMBER reserves the right, without prior approval or notice to MIAMI to modify, change, improve or update the Simulator at no extra cost to MIAMI provided that such changes (a) do not affect the physical or functional interchangeability or performance of the system, (b) are required for purposes of safety, or (c) are required to meet product specifications. SEPTEMBER agrees that the Simulator provided to MIAMI will include the presently available state of the art technology until such Simulator is installed, operational and accepted by MIAMI; provided that the determination to incorporate any advanced technology shall be made solely by SEPTEMBER to insure that such changes or modifications do not affect the operation and reliability of the Simulator. (2) 83--�t33 6. Warranties. (a) The equipment and materials provided by SEPTEMBER as set forth in Exhibit B, are warranted for the earlier of (1) nine thousand (9000) runs or (2) one year from the Acceptance Date. SEPTEMBER'S sole responsibility under this warranty shall he to repair or replace, at SEPTEMBER'S option, any component which fails during the warranty period, because of a defect in workmanship and/or material. The replacement of any parts or components shall be with the presently available state of the art technology provided that SEPTEMBER shall determine whether such parts or components are compatible to the operation and realiability of the Simulator. (b) The software package and operating system provided by SEPTEMBER is warranted to conform to the description provided by SEPTEMBER in Exhibit B to this Aqreement. The sole obligation of SEPTEMBER for the software package and operating system shall be to remedy any noncomforrnance reported to SEPTEMBER in writing, durinq the warranty period described above. (c) The warranties provided herein are contingent upon proper use of the Simulator and shall not apply if (i) adjustment, repair or parts replacement is required because of accident, unusual physical, electrical, magnetic, electromagnetic stress, neglect or misuse, (ii) serial numbers or warranty date decals have been removed or altered, (iii) the products, equipment, materials or parts are missing, (iv) the products, equipment, materials or parts have been installed by t.1IAMI, or (v) the Simulator has been moved, modified, relocated, or installed by MIAMI without the direct supervision of or prior written approval by SEPTEMBER. 7. Royalty. SEPTEMBER agrees that in the event of a sale or lease of a simulator, as herein defined in Exhibit B, by September, to Dade, Broward or Monroe Counties, Florida or• any municipality in Dade, Broward or Monroe, SEPTEMBER agrees to award the City of Miami a royalty of 5 percent of the gross aggregate amount of that sale_ or• lease but not less than $28,000 per sale or lease. ( 3 ) S3- 3s s 3. Limitation of Liability. SEPTEMBER shall not he in breach of this Agreement by reason of any failure which results from, direct Iv or - indirectly, fire, explosions, strike, freinht embargo, act of God, war, civil disturbance, act of any government, material or labor shortages, transportation contingencies, unusually severe weather, default of any manufacturer, or supplier or sub -contractor, quarantine restriction, epidemic, catastrophy, or otherwise, arising out of causes beyond the direct control of SEPTEMBER. 9. Waiver. MIAMI agrees that because of the simulated realism created by the Simulator which can cause physical and mental stress that any person participatinq in the Simulator proqram, other than authorized law enforcement personnel shall be required to sign a Waiver and Release of Liability on such form as shall be prepared by MIAMI and approved by SEPTEMBER. 10. Requirements of MUAMI. IMIX-11 agrees to Provide the site, information and other materials as set forth in Exhibit C. 11. Approvals by MIAMI. SEPTEMBER has undertaken to perform its obligations under this hgreement in accordance with the schedule set forth in Exhibit A. 'MIAMI acknowledges that completion of the Simulator according to such schedule requires prompt and timely review of scripts and production r�aterial by its designated representatives. SEPTEMBER shall not be in default by reason of any failure of MIAMI to promptly and timely review and approve such materials. 12. Successors and Assigns. This Agreement shall be binding upon each of the parties hereto, their respective successors and assigns, provided that neither party shall assign or transfer their interest under the terms of this Agreement without the prior written consent of the other party. 13. Extensions of Time. In the event that SEPTEMBER shall be delayed in commencement of this Agreement or completion of any portion by reason of any work stoppage by MIAMI personnel, because of a public emergency or necessity, or in the event of a modification to this Agreement, SEPTEMBER shall be granted a reasonable Oxtension of time for completion of its obligations under the terms of this Agreement. ( 4 ) S3-36J 14. Insurance. SEPTEMBER shall comply with all insurance requirements of the City of MIAMI. 15. Nondiscrimination. SEPTEMBER agrees not to discriminate in performance of its obligations under this Agreement on account of race, color, sex, religious creed, ancestry or national origin. In the event of a determination of such discrimination by arbitrators selected in accordance with the terms of Paragraph 17 hereof, MIAMI shall have the right to terminate this Agreement. 16. Contract Price. (a) MIAMI agrees to pay to SEPTEMBER a Basic Contract Price in accordance with the terms of this Agreement, exclusive of any of the possible Options, the sum of Five Hundred Thousand ($500,000) Dollars, (b) The following Options to the agreement are available and shall be a part of this Agreement if indicated below: MIAMI OPTION 1: Scenario No. 4 as described in Task Three of Exhibit A to this Agreement. MIAMI OPTION 3: SEPTEMBER shall provide two (2) 16mm motion picture projectors in addition to By: the equipment described in Exhibit B to this as to Option 3 Agreement to maximize Simulator operation. The Contract Price for this Option 3 is Eight Thousand (S8,000.00) Dollars. MIAMI OPTION 4: SEPTEMBER shall provide a Bio- Feedback system to monitor heart rate and By: respiration of each trainee prior to entering as to Option 4 and after departing the Simulator. The Contract Price for this Option 4 is Fourteen Thousand Five Hundred ($14,500.00) Dollars. MIAMI OPTION 5: SEPTEMBER shall provide maintenance of the Simulator for a period of one By: (1) year following the earlier of (1) nine as to Option 5 thousand (9000) runs or (2) one (1) year from the Acceptance Date (as provided in Paragraph 6) Maintenance shall include replacement of all magnet software. replacement of 16mm software, reallignment of the entire system, complete reconditioning of the slide projectors, and cleaning of all slides. The Contract Price for this Option 5 is Fifteen Thousand Two Hundred Fifty (S15,250.00) Dollars. ( 5 ) 83--363 MIAMI By: as to option 6 OPTION 6: SEPTEiMBER shall provide maintenance of the Simulator following the expiration of the maintenance provided in Option 5 for a period terminating upon the earlier of (1) nine thousand (9060) runs or (2) one (1) year following the expiratin of Option 5. Such maintenance shall include replacement of all magnet software, replace- ment of 16mrn software, reallignment of the entire system, complete reconditioning of the 16mm projectors, cleaning of all slides, re- placement of twenty-four (24) slide projectors with updated Kodak units. The Contract Price for this Option 6 is Twenty-four Thousand Four Hundred Fifty ($24,450.00) D011ars. MIAMI OPTION 7: SEPTEMBER shall process and train through the Simulator all of the MIAMI By: Police Department personnel under Task One in as to Option 7 order to comply with MIAMP S desire to provide rapid utilization of the Simulator. The Contract Price for this Option 7 shall be the sum of Forty-eight and 50/100 (S48.50) Dollars for each person processed throuqh the Simulator. If Option 7 is exercised, Task One of Exhibit A shall be extended by thirty (30) days and each of the remaining Tasks shall likewise he extended for an additional thirty (30) day period. (c) The Total Contract Price under the terms of this Aqreement, being the Basic Contract as provided in subparagraph (1) above and the following Options: follows: , is (d) The Total Contract Price shall be paid to SEPTEMBER as (1) Thirty (30%) percent of the Total Contract Price within fourteen (14) days following execution of this Agreement; (2) Ten (10103) percent of the Total Contract Price upon completion of Task One; (3) Ten (10%) percent of the Total Contract Price upon completion of Task Two: (4) Ten (10%) percent of the Total Contract Price upon completion of Tasks Three and Four; (5) Ten (10`1) percent of the total Contract Price upon completion of Task Five; and (6) The balance of all sums upon acceptance of the Simulator by MIAMI. L7 4 17. Termination. This Agreement ma.v be terminated by i•1IANI ipon delivery by registered mail of a written notice of terminatinn. The termination of this Aqreement shall be effective fourteen (14) days frnm the date of receipt of such termination by SEPTEMBER unless otherwise - agreed by the parties hereto. Such date shall hereafter be referred to as Termination Date. In the event of termination, SEPTEMBER shall be paid for all services provided prior to the date of receipt of notice of termination. In no case however, will SEPTEMBER be paid an amount in excess of the total sum provided by this Agreement. It is understood by the parties hereto that any payment made in accordance with this section to SEPTEMBER, shall be made only if SEPTEMBEP is not in default under the terms of this Agreement. If SEPTEMBER is in default under the terms of this Agreement, MIAMI shall in no way be obligated and shall not pay to SEPTEMBER any sum whatsoever. 18. Arbitration. All claims, counterclaims, disputes ana other matters in question between the parties hereto arising, out of or relating to this Agreement or the breach thereof shall be decided by arbitration, The agreement to arbitrate shall be specifically enforceable under the prevailing law of any court having jurisdiction to hear such matters. Such arbitration shall be subject to the following provisions: (a) Notice of demand for arbitration must be submitted to the other party in writing within a reasonable time after the claim, dispute or other matter in question has arisen. A reasonable time is hereby determined to be fourteen (14) days from the date the party demanding arbitration knows or should have known the facts giving rise to his claim, dispute or question. In no event may the demand for arbitration be made after the time when institution of legal or eauitable proceedings based on such claim, dispute or other matters in question would be barred by the applicable statute of limitations. (b) Within fourteen (14) days from the date demand for arbitration is received by the other party, each party shall submit to the other the name of one person to serve as an arbitrator. Tile two arbitrators together shall then select a third person. The three tooether shall then serve as a panel in all proceedings. Any decision concurred in by a majority of the three shall be a final decision. Any such proceedings shall be subject to the final then applicable rules of Liw. The costs :af such arbitration shall be borne equally t)y MIAMI and SEPTEMBER. SI's-38 /71 6 G (c) The final decision rendered by said arbitrators shall be binding and conclusive and shall be subject to specific enforcement by a court of competent jurisdiction. 19. Entire Agreement. This Agreement together with Exhibits A, B and C attached hereto contains the entire Agreement between MIAMI and SEPTEMBER with respect to the transactions contemplated hereby and supersedes all previous written or oral negotiations, commitments, representations and agreements. 20. Execution in Counterparts. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, but all of which shall constitute one in the same instrument. 21. Disclosure. MIAMI agrees that SEPTEMBER may inform and disclose to its customers or potential customers the terms and provisions of this Agreement. 22. Miscellaneous. (a) Contract Date shall mean the later of the date of execution of this Agreement by MIAMI, or the date of initial payment of the purchase price by MIAMI. (b) Acceptance Date shall mean the date the Simulator is installed and operating on site in MIAMI, Florida and is accepted by the MIAMI CITY COMMISSION. 23. Construction of Agreement. The parties hereto agree that this Agreement shall be construed and enforced according to the laws, statutes and case laws of the State of Florida. 24. Indemnification. SEPTEMBER shall indemnify and save the CITY harmless from and against any and all claims, liabilities, losses and cause of action, which may arise out of SEPTEMBER's activities under this contract, including all other SO- -363 acts or omissions to act an the part of SEP,PE,MBER or any of them, including any person acting for or on his or their behalf, and, from and against any orders, judgments or decrees which may be entered and from and aqainst all costs attorney's fees expenses and liabilities incurred in the defense of any such claims, or in the investigation thereof, except as provided by Sections 8 and 9, herein. TO !AGREEMENT BETWEEN MIAMI AND SEPTU-iBER MIAMI agrees to provide, under the terms of this 41reement, the following: (a) A permanent site for the installatinn, maintenance and operation of the Simulator. The Simulator site shall have good air filtration system that meets or exceeds OSHA standards. It is acknowledged and understood that the air filtration requirement is to minimize concentrations of mercury and lead oxide which can disrupt and impede the operation of the Simulator. The site shall be environmentally secure, with a minimum temperature of 45 F. and a maximum temperature of :'0 F; (b) To provide SEPTEMBER with data baselines concerning the shooting and firearm history of the MIAMI Police Department. It is acknowledged that this information is for reference only and not for the purpose of identification of specific personnel. Such data, includina the date, time of day, description of situation, weapons involved, assailant and relative distances will be used to develop the traininq scenarios in accordance with Exhibit A. (c) To at all times during the term of this agreement provide a high level of cooperation between the INIAMI law enforcement personnel and SEPTEMBER. (d) To provide a liason person from the MIAMI Police Department for coordinating all elements of completion and implementation of this Aqreement. (e) To provide necessary personnel for the data source document acquisition, uniformed personnel, and vehicles for production of the training scenario. ( f ) To techinical support, firearms, and blank cartridges as necessary for production for the training scenarios. (g) To provide radio communication access during the training and production portions of this Agreement, subject to reasonable restrictions which may be imposed by law or other agencies beyond the control of MIAMI. (h) To provide a high level of security and confidentiality for the Simulator while on site in HIAMI in accordance with the terms of this Agreement. S�� 3S 13
