R-83-821 1 1-2 DISCUSSION 1 2-7 MINUTES OF SPECIAL MEETING OF THE CITY COMMISSION OF MIAMI, FLORIDA On the 8th day of September, 1983, the City Commission of Miami, Florida, met at its regular meeting place in said City in Special Session to consider business of public import, namely, continuation of a public hearing for consideration of the Lincoln%Hasher Project. The meeting was called to order at 2:40 P.M., by Vice Mayor J.L. Plummer, Jr. with the following members of the Commission present: ALSO PRESENT: Commissioner Demetrio Perez, Jr. Commissioner Miller J. Dawkins Vice Mayor J.L. Plummer, Jr. Howard V. Gary, City Manager Jose Garcia -Pedrosa, City Attorney Ralph G. Ongie, City Clerk An Invocation was delivered by Commissioner Miller Dawkins, who then led those present in a pledge of allegiance to the flag. 1. CONTINUE PUBLIC HEARING. DEVELOPMENT ORDER LINCOLN/NASHER PROJECT 623-799 BRICKELL AVENUE. Mr. Plummer: Ladies and gentlemen, under the rules of the Charter, this is a special call meeting, and as such there can only be discussed those items which are in the call. The call is as follows. It is a resolution continuing the public hearing for consideration of the issuance of a development order for the Lincoln/Nasher Project, 623-799 Brickell Avenue, a develpment of regional impact. The City Manager recommends that it be continued till when? Mr. Gary: 2:30 P.M. Thursday, September 29, 1983. Mr. Plummer: Is there such a motion? First of all, does the Administration wish to make any comments for or against the continuation? Mr. Gary: We support it. Mr. Plummer: You speak for the departments as well? Mr. Gary: If that's in doubt, we both are in trouble. Mr. Plummer: That's nothing unusual. Mr. Gary: Some folks have some doubts. Mr. Plummer: Does any member of the Commission have any questions? Hearing none, what is your pleasure. Mr. Dawkins: Move. Mr. Plummer: It is moved by Commissioner Dawkins. Seconded by Commissioner Perez. Let the record reflect that copies were made available to the public. Any further discussion? Motion understood, call the roll. sl �� SEP g 1963 The following resolution was introduced by Commissioner Dawkins, who moved its adoption: RESOLUTION NO. 83-821 A RESOLUTION CONTINUING THE PUBLIC HEARING FOR CONSIDE- RATION OF ISSUANCE OF A DEVELOPMENT ORDER FOR THE LINCOLN/ NASHER PROJECT, 623-799 BRICKELL AVENUE, A DEVELOPMENT OF REGIONAL IMPACT, FROM THE MEETING OF SEPTEMBER 8, 1983, TO 2:30 P.M., THURSDAY, SEPTEMBER 29, 1983. (Here follows body of resolution, omitted herein and on file in the Office of the Clerk). Upon being seconded by Commissioner Perez, the resolution was passed and adopted by the following vote: AYES: * Commissioner Joe Carollo *NOTE: Commissioner Carollo, though Commissioner Demetrio Perez, Jr. absent on roll call, later requested Commissioner Miller J. Dawkins of the Clerk to be shown as voting Vice Mayor J.L. Plummer, Jr. with the motion. NOES: None. ABSENT: Mayor Maurice A. Ferre 2. DISCUSSION OF SPECIAL MEETING: (NOT CALLED) MISS. U.S.A. PAGEANT Mr. Plummer: Is there any other matter to come forth to this Commission, Mr. Manager? Mr. Dawkins: You just said, we could not hear it. Mr. Plummer: Excuse me, sir, under the rules of the Charter we cannot. If there is a request, three members of this Commission can call a special meeting. Would you like to hear that he got you a trip, all expenses paid, to Las Vegas? Would you like to vote on that? Mr. Dawkins: Hold off my leaving. Mr. Plummer: Unfortunately, it's only ... no, that's not unfortunately. In one way you'd love that. Mr. Manager, do you have anything that three members of this Commission might consider calling another special meeting for? Mr. Gary: Yes. Mr. Plummer: The Mayor by himself, or any three members of the Commission at any time can call a special meeting. Mr. Garcia -Pedrosa: Can I look at that? Mr. Plummer: Yes, you can look at it, sir. When you find out I'm correct, I'll take a referral fee. Mr. Manager, do you have any.... LAUGHTER Mr. Plummer: Mr. Manager, I will ask for the third and last time. Mr. Gary: Yes, I have an item. Mr. Plummer: An item to be concidered for three votes of this Commission to call. U2 sl . S E P 81983 Mr. Gary: Yes. Mr. Plummer: What is your item? Mr. Gary: The item.... Mr. Plummer: Excuse me, under the law and the Charter of the City of Miami, the special session called by the Mayor in relation to Lincoln/Nasher Project has been continued and this session is now officially closed. We will now consider conversation to whether or not we call another special meeting. Mr. Gary: Basically, Mr. Vice Mayor, I need further authorization from this body with regard to the Miss Universe Pageant. Excuse me, before you jump to a conclusion. This body voted in principle for the expenditure of $188,000 plus a guarantee of $500,000. We have an addendum to the agreement which would consumate the agreement in terms of what was agreed upon by the unanimous body yesterday of the City Commission. However, you did it in principle. Mr. Plummer: Excuse me, what was unanimous by the Commission? Mr. Gary: What was unanimous by the Commission was that you would pay $125,000 plus.... Mr. Dawkins: No way! No way! It was three to two. Mr. Plummer: Mr. Gary, you are a little wrong. Mr. Dawkins: No, very much wrong! Now, go right ahead. Mr. Plummer: You are twice wrong. Go ahead. Mr. Gary: $125,000 plus another $63,000 guarantee, which came up to $188,000 guarantee, cash, up —front with a bond guarantee or a guarantee of $500,000 if the other amounts of money were not raised by other sources. Mr. Plummer: And those sources were outlined. Mr. Gary: Exactly. Now, the issue before us today, or before me is that you did it in principle. You did it by motion. I need authorization to expend the $188,000 to be decided from a source by me from looking at our available resources. In addition I will need a potential authorization for another $125,000, which would be paid from the Dade County ... Is that October 1st? Is that from that General Fund budget? What is the fund coming from? And I was correct yesterday that the money from Dade County is coming from the Bed Tax. That money allocation begins October 1st. Therefore, they do not have the money right now. They will have it October 1st. What I am trying to do is to get a signed agreement from Merritt Stierheim that says that they have allocated money, beginning October 1st. They will pay us back. Therefore, the City of Miami can go ahead and allocate $125,000 and be repaid from Dade County October 1st. So I need authorization in the amount of, what is that...? $125,000 and and $138,000? $188,000. I need authorization of $188,000 and $125,000, of which $125,000 will be repaid to us and the $188,000 is our contribution. In addition I need authorization... Well, I guess I can do this on my own; $500 for the purchase of the bond for the $500,000 guarantee. Mr. Plummer: What is the reason of urgency? Mr. Gary: The reason for urgency is that the pageant... Well, Cesar, tell them the reason of urgency, so I won't.... 03 SEP 81983 sl INAUDIBLE BACKGROUND STATEMENTS NOT ENTERED INTO THE PUBLIC RECORD. Mr. Cesar Odio: There is no urgency as far as we are concerned. But the representative of the pageant is here and he has to fly back to New York with a signed addendum so that Mr. Glasser will sign it. Once that is executed, in order for the agreement to become effective, the check has to be up -front. That was part of the agreement that was raised yesterday by Mr. Pantin with the pageant. Mr. Gary: There are two issues. He has to leave town. He will only consumate a deal when he leaves town, he has a sign;7�d contract plus what we agreed to yesterday with a check in the amount of...it's really $300,000. Mr. Plummer: The only question I have to ask is, you know, that is fine to take Dade County off the hook. You told us yesterday you had no available money. Who is going to take us off the hook? ----------------------------------------------------------------------------- NOTE FOR THE RECORD: Commissioner Joe Carollo entered the meeting at 2:50 P.M. ----------------------------------------------------------------------------- Mr. Leslie Pantin: Here is what I did. On the original agreement, we had somebody, the host committee or whomever, had to pay $100,000 with the agreement. The $400,000 that we pay him cash, we have to pay in four installments before December 1st. So, when we came down here yesterday, I thought I was through with this. LAUGHTER And we said, O.K., the guarantee, instead of being $1,000,000, it is going to be $500,000. I went back to Mr. Glasser, as an enticement for the change, as they say. We will pay you, we will accelerate the payments as soon as we can. Instead of paying $100,000 now, $100,000 a month, $100,000 in November, we will pay you out of the $400,000, we will pay you $300,000 now and $100,000 December 1st. Mr. Dawkins: Mr. Gary and Mr. Vice Mayor Plummer, the only way I could buy this is that they have let Dade County off the hook for $125,000, which they expect the City of Miami to put up. I do not mind the City of Miami putting it up if they pay us 10% interest for the time that they have it. Mr. Plummer: Well, I think you ought to add to that, of that $125,000 that will be coming from the Bed Tax, 40% of that comes from the City of Miami. Mr. Dawkins: So really and truly, 40% of $125,000 is what, Mr. Gary? Mr. Gary: No, you can't do 40%. You have to do it on the interest that would be earned. Mr. Dawkins: No, I said 40% of $125,000 is what? $50,000? ---------------------------------------------------------------------------- NOTE FOR THE RECORD: Mayor Ferre entered the meeting at 2:55 P.M. ---------------------------------------------------------------------------- Mayor Ferre: Ladies and gentlemen, I apologize for being late. I made a commitment on behalf of you and all of us to the Jewish community, to Janet Cooper, to several people that have discussed this with me, that we would not do any business today. It is against regulations of the Jewish faith. We have a lot of Jewish people that live in this town. The only reason we are meeting today is that we are forced to, because of an inadvertent mistake of putting this on the calendar inadvertently. So there is nothing that we can really do at this time. Mr. Plummer: Then we have to undo, because we have already done the Nasher. That is finished and over with. Mayor Ferre: I think what we need to do is to say that we are meeting to comply for the advertised regulation; that this meeting is continued to when, Mr. Manager? 9 sl SEP 81983 Mr. Gary: We did that. Mayor Ferre: When are we continuing to? Mr. Garcia -Pedrosa: You have it in front of you, Mr. Mayor. Mr. Dawkins: Hold it! Mr. Clerk, read back what we did, please. Mayor Ferre: I'm sorry, I didn't know.... Mr. Ralph Ongie: We have done what you said, Mr. Mayor. Mayor Ferre: Then, I guess, is there a motion to adjourn? Mr. Gary: We adjourned. Mr. Ongie: Then they called a special. Mr. Plummer: No, we have not called. We are entering into a discussion to see whether or not we would call a special meeting. Mayor Ferre: Leslie, we can't do anything. I'm sorry. I hope you don't have a problem. Mr. Gary: Well, we do have a problem. Mr. Dawkins: No, we don't. They do. Mr. Gary: M,-. Mayor, I don't want to be accused of trying to jeopardize this project. We have a critical issue that I have to bring before this Commission. That is that the agreement that they were able to work out yesterday with the pageant is coming to a head because the lawyer for the pageant has to leave town today.... Mayor Ferre: What's the problem? Mr. Gary: He has to leave town with a signed agreement and a check. Now, if you recall, he needs a check for $300,000. We are only guaranteeing $188,000.... Mayor Ferre: Today? Mr. Gary: Today. Mayor Ferre: We guaranteed how much? Mr. Gary: $188,000 cash, up -front, with a bond for $500,000 as a guarantee. Mayor Ferre: That's right. Mr. Gary: Our $188,000 is obviously not $300,000. Dade County has approved $125,000. But that money doesn't come into effect until October 1st, because the money comes from the Bed Tax. Mr. Plummer: Hey, look, we can't talk about Nasher. We can't talk about anything. Mayor Ferre: That's right. Mr. Plummer: The man made a commitment. That's it. Mayor Ferre: The man made a commitment to what? Mr. Plummer: Made a commitment to the Jewish community we would not transact business. Mayor Ferre: That is absolutely correct. sl 05 SEP 8 1983 . Mr. Plummer: Nasher was not dollars. Now you are talking about shekels in the house of the Lord. Mayor Ferre: I tell you, if the attorney cannot wait until after the religious holiday, then I'm afraid we don't have a deal. I'm sorry. You are just going to have to wait until after the holidays. I'm not Jewish. But to the Jewish community, this is evidently a serious matter. Three members of this Commission can do something, absolutely. We're not playing games here, Plummer. At least Maurice Ferre is not playing games. INAUDIBLE BACKGROUND COKIENTS NOT ENTERED INTO THE PUBLIC RECORD. Mayor Ferre: Now, the question, Howard, is that there is nothing we can do. about it. Mr. Gary: I also need authorization.... Mayor Ferre: You need authorization for what? Mr. Gary: You passed a motion in principle for the $188,000. We don't have a resolution in terms of where it is going to come from, etc. I need authorization from this Commission, based on its unanimous policy, to spend $188,000. Mayor Ferre: Not unanimous, you need three votes. You need three votes. You, sir, as I understand it, were authorized yesterday.... Mr. Gary: I'm sorry, three to two vote, majority vote. Mayor Ferre: You yesterday were authorized to spend $188,000 for the purposes of bringing Miss Universe here, period. If you have to give them the check today, I have no problems with that. O.K.? Into the record. Now that is one voice out of five. Mr. Gary: What about you, Commissioner Carollo? Mr. Carollo: Howard, we made it more than clear on our vote yesterday. I know it was not a unanimous vote, but I certainly don't find any misunderstanding with what three members of this Commission voted upon. Mr. Gary: There is a point here I don't want to bring out. The reason I need that is that issues have been raised in terms of following the proper procedure to expend money. Mayor Ferre: I think you have to follow the proper procedure to spend money. Mr. Carollo: Always. Mayor Ferre: I wouldn't want you to do anything but the proper procedure. If we don't have a contract finished, and you are not satisfied with the contract, I wouldn't expect you to give them $188,000. Frankly, I don't see how in the world they can expect for us to approve it one day and for the next day for you to have a contract ready to sign! How can you give them $188,000 without a contract? Mr. Plummer: Mr. Pantin made a commitment on behalf of this community that they would get $300,000 today and $100,000 on the first of December. That is what he just said into the record. Mayor Ferre: Go ahead, Leslie. We haven't signed a contract. How can the Manager give $188,000? Mr. Pantin: In exchange for the different guarantee we came up with, I told Mr. Glasser, we would accelerate his payments. We have to pay $400,000; $100,000 any way when we sign the contract, whatever terms you use, $100,000 next month, $100,000 the other month, like that before December 1st. sl 06 SEP 8 1083 • 0 L Mayor Ferre: Pantin, I have no problems accelerating the payment, because frankly, I'm surprised that we have the deal that we did. I never expected Glasser to accept the half a million guarantee. But I want to tell you, there is no way that this Manager.... Mr. Pantin: I understand. Mayor Ferre: ....in proper manager managerial/administrative procedure, can give anybody a check for $188,000 until he has read the contract. There is no way he can tell me that he has a contract ready to sign today, when we agreed to do it yesterday. Mr. Plummer: Maurice:, it's worse than that. The truth of the matter is that Metro —their money is not coming from Metro General Fund, as I was told. It is coming from T.D.C. They will not have any funds available until October 1st, and they have asked Mr. Gary to advance $125,000. Mr. Dawkins: Not Mr. Gary, the City of Miami. Mr. Plummer: The City of Miami. Mr. Dawkins: An additional $125,000. Mr. Plummer: That is also part of the $313,000. Mayor Ferre: Look, you have the good will, I think, of this whole Commission. You have a three to two vote in favor of expenditure. The Manager is under instructions by the majority of this Commission to fulfill this. But it has to be as a natural manner of business. We cannot shot -gun this. I mean, this is the government! This is not an individual that is going to stick a hand into his pocket and pull out $300,000. If Mr. Glasser doesn't understand that, well then I'm very sorry. We want you badly here, but it has to be in an orderly, reasonable, business -like fashion. We have to have a contract. We have to come to an agreement on the specifications of the contract. I don't mind accelerating from $100,000 to $300,000. But I think it has to be done in an orderly procedure. We stand adjourned. We cannot transact business today. ADJOURNMENT: There being no further business to come before the City Commission, on motion duly made and seconded, the meeting was adjourned at 3:00 P.M..
