C Eads r • REFERENCES Assistant ity Manager .. _ ENCLOSURES: ,This memorandum is to provide you with the current status of the ..-stress training simulator acquisition by the City of Miami. On May 17, 1983 a contract was executed between the City and September and Associates East for the simulator acquisition. That contract outlined six tasks to take place over an estimated 240 day period. Concurrent with the development of the simu- lator by September and Associates the City was to prepare a permanent physical facility for the simulator. Total compensation to September for the simulator was set at $592,494• You will recall that you obtained and the City accepted a grant of $300,000 from the McKnight Foundation for the simulator acquisition and the balance of the $292,494 plus the cost, of building modifications was allocated from Law Enforcement Forfeiture Funds thereby taking the burden off the General Fund for the acquisition. To date the City has paid September and Associates $355,494 in conformance with the provisions of the contract, leaving a balance of $237,000. �. Additionally the City, through the Public Works Department, has undertaken modifications to former Fire Station #16 located at 2301 N. W. 23 Street. Upon completion that facility will be utilized to house the simulator and conduct evaluations and training. The City has experienced delays with modifications to the simulatior building due primarily to asbestos being discovered in the ceiling that has to be removed prior to con- tinuing construction. Present estimates indicate that the simulator building will be complete and available for installa- tion by the week of May 20, 1984. Initial work undertaken relating to the simulator development by September and Associates includes the following elements: Data Collection and Analysis Involved screening approximately 700 City of Miami police officers to develop base line measurements to be uti- lized in creating Miami scenarios. This task has been completed. As a matter of fact, September and Associates exceeded the contractual requirements by screening 400 more police officers than required under the contract. Gary Page 2 Acquisition and Supervision of Hardware e contract between the city and September provided 24 slide projectors. September elected to provide the City 30 slide projectors. September's election, as provided in Paragraph 5 of the contract, entitled "Production Changes" improves the resolution of the scenario that will be viewed by police officers on the simulator to the benefit of the City. This task has been completed. Not only is the task complete, but September and Associates exceeded its contractual obligation by providing six more slide projectors than required. This addition will pro- vide a better quality system. Software Development and Production ncludes filming of the four scenarios (felony, suspicious circumstances, rape and robbery) on location in Miami using local talent. These scenarios were developed as a result of the exclusive survey of the Miami Police Department needs and an analysis of current crime trends in the City of Miami. Scenario script writing and film production -was conducted under the direct supervision of Miami Police Department training personnel. This task is 90 days late but 90% complete. The delay has been caused by: (1) Scheduling the use of the Bayfront Auditorium to conduct the needs assessment of the Miami Police De artment. One month's inclement weather that delayed the filming of the scenarios in the City of Miami. (3) Production delays of September and Associates. On Friday, March 23, 1984, Chief Breslow, Major Witt and I conducted an on site evaluation of the simulator status in Flint, Michigan with September and Associates principals. During that visit we viewed the Flint simulator utilizing the same scenario that was shown at public presentations in Miami and also used in conducting the needs assessment of the Miami Police Department. That same scenario was run on the City of Miami hardware. It's our unanimous conclusion that the increase from 24 to 30 projectors significantly improved the quality of the projected image. It is anticipated that by the end of May (concurrent with build- ing modification completion) the stress training simulator will be on site in Miami and will begin installation on site. ENCLOSURES: ._ At your re est I have reviewed the contract between the city and September and Associates East, Inc. ["September"]. I have also spoken with the City Manager's office in connection with any uncompleted performance by September of its contractual obligations. The contract consists of six Tasks, the last of which was to have been completed within 240 days of the contract date, May 17, 1983. I am advised that that Task, which consists of "Final " Delivery and Fine Tuning" has not been completed because the city ` has not provided the site for the permanent installation of the simulator. Apparently, the site chosen by the city is a fire s'.ation in which the presence of asbestos has been detected, which has necessitated a delay. In addition, I am advised by the City Manager's office that Task 51 consisting of "Documentation and Training", h.s also not been completed within the required.200 days from May 17, 1983, and that September has stated it is nearing completion of that Task. With respect to the basis upon which to cancel the contract, please be advised that paragraph 17 of the contract (entitled "Termination"), permits the city at any time to cancel the contract, regardless of the performance or lack thereof by September. Accordingly, it would be possible simply to give notice of termination, which notice becomes effective 14 days from the date of receipt. In that event, September is to be paid for all services provided prior to the date of receipt of the notice of termination. It should be noted, however, that terminating the agreement might jeopardize the warranties contained in paragraph 6 of the contract, particularly in light of the fact that the warranties do not apply if the simulator has been installed by the city without the direct supervision of or prior written approval by September. cc: The Honorable Mayor and other Members of the City Commission Howard V. CITY �►� i►s��; �• AGREEMENT FOR SYNTHESIZED MEDIA ENVIRONMENT SYSTEM BETWEEN THE CITY OF MIAMI AND SEPTEMBER AND ASSOCIATES EAST, INC. �is6ussloA/ 114-337.1 THIS AGREEMENT made this 17_ day of May , 1983 by and between CITY OF MIAMI, a municipal corporation of the State of Florida, hereinafter referred to as "MIAMI" and SEPTEMBER AND ASSOCIATES EAST, INC., a Michigan corporation, of Suite 2000, 126 West Kearsley Street Flint, Michigan, 48502, hereinafter referred to as "SEPTEMBER". WHEREAS, SEPTEMBER has developed a training and education simulator to enhance and develop the skills of law enforcement personnel in threat recognition, risk assessment and officer survival; and WHEREAS, the training simulator, known as the Synthesized Media Environment System, hereinafter "Simulator", has proven to be extremely effective in developing the skills of law enforcement personnel; and WHEREAS, Miami desires that SEPTEMBER custom design and produce such a Simulator for use by the Miami law enforcement personnel. f NOW, THEREFORE, MIAMI and SEPTEMBER, intending to be legally bound, covenant agree as follows: 1. Purchase and License. MIAMI agrees to purchase, acquire and license from SEPTEMBER AND SEPTEMBER agrees to provide a custom designed Simulator, related equipment, programs and software and to provide training of MIAMI personnel in the operation and maintenance of said system, in accordance with the terms and conditions of this Agreement. 2. Objectives. The objectives of this Agreement, the Simulator and the related equipment and training to be provided by SEPTEMBER are as follows: (a) To refine the decision making process as it relates to the use of firearms by MIAMI law enforcement personnel; (b) To enhance the quality of communications and awareness between the MIAMI Police Agency and the community at large; (c) To create and develop a higher level of skill in the area of threat recognition, risk assessment, officer survival, use of cv-ver, and problem solving under stress within the MIAMI Police Agency through the use of the Simulator; (d) To train selected personnel in the operation and routine maintenance of the Simulator and related equipment. 84-331 F. y:{ ..._........ 3. Requirements of SEPTEMBER. SEPTEMBER shall provide all pro- fessional, technical and clerical personnel, equipment and materials, necessary to design, develop and produce for MIAMI a Simulator meeting the objectives set forth in Paragraph 2 of this Agreement. The equipment and materials to be provided by SEPTEMBER are set forth in Exhibit B. In addition, SEPTEMBER shall provide all necessary training of personnel for the proper and continued operation and maintenance of the Simulator and related equipment. -SEPTEMBER shall complete its responsibilities under the specified tasks designated and in accordance with the schedule set forth in Exhibit A to this Agreement. 4. Confidential Information. MIAMI acknowledges that the operat- ing system and software for the Simulator is licensed to SEPTEMBER, which has the right _ to license the use of such software to MIAMI. MIAMI further acknowledges that development of the Simulator and in particular the soft- ware and proprietary information contained therein, has required substan- ® tial creative effort and financial investment. MIAMI covenants and agrees that it will, at all times and to the extent permitted by law, use its due diligence to maintain the confiden- tiality of such operating system and software, (.including any improvements and updating) and will not, without the prior written consent of SEPTEMBER disclose, or permit to be disclosed, the operating system or software to any other person, or entity. In the event of any unauthorized disclosure, SEPTEMBER shall be entitled to all remedies, at law and equity, including, but not limited to, ex parte restraining orders. 5. Production Changes. SEPTEMBER reserves the right, without prior approval or notice to MIAMI to modify, change, improve or update the Simulator provided that such changes (a) do not affect the physical or functional interchangeability or performance of the system, (b) are required for purposes of safety, or (c) are required to meet product specifications. SEPTEMBER agrees that the Simulator provided to MIAMI will include the presently available state of the art technology until such Simulator is installed, operational and accepted by MIAMI; provided that the determination to incorporate any advanced technology shall be made solely by SEPTEMBER to insure that such changes or modifications do not affect the operation and reliability of the Simulator. (2 ) 84-33 d" . I 6. Warranties. (a) The equipment and materials provided by SEPTEMBER as set forth in Exhibit B, are warranted for the earlier of (I) nine thousand (9000) runs or (2) one year from the Acceptance Date. SEPTEMBER'S sole responsibility under this warranty shall be to repair or replace, at SEPTEMBER'S option, any component which fails during the warranty period, because of a defect in workmanship and/or material. The replacement of any parts or components shall be with the presently available state of the art technology provided that SEPTEMBER shall determine whether such parts or components are compatible to the operation and realiability of the Simulator. (b) The software package and operating system provided by SEPTEMBER is warranted to conform to the description provided by SEPTEMBER in Exhibit B to this Agreement. The sole obligation of SEPTEMBER for the software package and operating system shall be to remedy any noncomformance reported to SEPTEMBER in writing, during the warranty period described above. (c) The warranties provided herein are contingent upon proper use of the Simulator and shall not apply if (i) adjustment, repair or parts replacement is required because of accident, unusual physical, electrical, magnetic, electromagnetic stress, neglect or misuse, (ii) serial numbers or warranty date decals have been removed or altered, (iii) the products, equipment, materials or parts are missing, (iv) the products, equipment, materials or parts have been installed by MIAMI, or (v) the Simulator has been moved, modified, relocated, or installed by MIAMI without the direct supervision of or prior written approval by SEPTEMBER. ( 3 ) 84-337 • / 7. Payment. SEPTEMBER agrees that in the event of a sale or lease of a Simulator, as herein defined in Exhibit B, by SEPTEMBER, to Dade, Broward or Monroe Counties, Florida, or any municipality in Dade, Broward or Monroe, SEPTEMBER agrees to pay MIAMI Five Per Cent (5%) of the gross aggregate amount of that sale or lease but not less than Twenty-eight Thousand Dollars ($28,000.00) per sale or lease. In con- sideration therefor, the CITY hereby agrees to make the site of install- ation, maintenance and operation of the Simulator available, upon reason- able notice, to all representatives of duly constituted law enforcement agencies of Dade, Broward or Monroe Counties, Florida, or any municipal- ity in Dade, Broward or Monroe County, for the purpose of demonstrating the use of the Simulator in MIAMI. MIAMI hereby agrees'to notify SEPT- EMBER of all potential customers in Dade, Broward or Monroe Counties prior to any purchase by them of a Simulator and to allow said prospec- tive purchaser to view and evaluate the Simulator under operational conditions in MIAMI. It is expressly understood and agreed that the availability of MIAMI's facilities (upon reasonable notice) is a good and valuable consideration entitling MIAMI to the agreed payment. In the event that SEPTEMBER does not elect to use MIAMI's facilities to demonstrate the use of the Simulator under operational conditions, the availability of MIAMI's facilities for that purpose shall be considered good and valuable consideration. MIAMI further agrees that it will disseminate information concerning the Simulator and its use of the Simulator to the law enforcement agencies of Dade, Broward and Monroe Counties and municipalities therein. Further, MIAMI agrees that it will also inform SEPTEMBER of any inquiries MIAMI receives from law enforce- ment agencies of Dade, Broward or Monroe Counties, or any municipalities therein, concerning the Simulator. ( 3.1) 84-33 7.1 r 8. Limitation of SEPTEMBER shall not be in breach of .Liability. a this Agreement by reason of anY failure which results from, directly or g findirectly, fire, explosions, strike, freight embargo, act of God, war, j civil disturbance, act of any government, material or labor shortages, f transportation contingencies, unusually severe weather, default of any Y. manufacturer, or supplier or sub -contractor, quarantine restriction,- epidemic, catastro h or otherwise, arising out of causes beyond the p P Y� r direct control of SEPTEMBER. 9. Waiver. MIAMI agrees that because of the simulated realism created by the Simulator which can cause physical and mental stress that any person participating in the Simulator program, other than authorized law enforcement personnel shall be required to sign a Waiver and Release of Liability on such form as shall be prepared by MIAMI and approved by SEPTEMBER. 10. Requirements of MIAMI. MIAMI agrees to provide the site, information and other materials as set forth in Exhibit C. 11. Approvals by MIAMI. SEPTEMBER has undertaken to perform its obligations under this Agreement in accordance with the schedule set forth in Exhibit A. MIAMI acknowledges that completion of the Simulator according to such schedule requires prompt and timely review of scripts and production material by its designated representatives. SEPTEMBER shall not be in default by reason of any failure of MIAMI to promptly and timely review and approve such materials. 12. Successors and Assigns. This Agreement shall be binding upon each of the parties hereto, their respective successors and assigns; provided that neither party shall assign or transfer their interest under the terms of this Agreement without the prior written consent of the other party. 13. Extensions of Time. In the event that SEPTEMBER shall be delayed in commencement of this Agreement or completion of any portion by reason of any work stoppage by MIAMI personnel, because of a public emergency or necessity, or in the event of a modification to this Agreement, SEPTEMBER shall be granted a reasonable extension of time for completion of its obligations under the terms of this Agreement. ( 4 ) 84-*337. I 14. Insurance. SEPTEMBER shall comply with all insurance requirements of the City of MIAMI. 15. Nondiscrimination. SEPTEMBER agrees not to discriminate in performance of its obligations under this Agreement on account of race, color, sex, religious creed, ancestry or national origin. In the event of a determination of such discrimination by arbitrators selected in accordance with the terms of Paragraph 17 hereof, MIAMI shall have the right to terminate this Agreement. 16. Contract Price. (a) MIAMI agrees to pay to SEPTEMBER a Basic Contract Price in accordance with the terms of this Agreement, exclusive of any of the possible Options, the sum of Five Hundred Thousand ($5 0 0,0 00) Dollars, (b) The following Options to the Agreement are available and shall be a- part of this Agreement if indicated below: MIAMI OPTION 1: Scenario No. 4 as described in Task Three -of oofof Exhibit A to this Agreement. The Contract Price for this Option 5 is Fifteen Thousand Two Hundred Fifty ($15,250.00) Dollars. 84-337.1 I MIAMI OPTION 6: SEPTEMBER shall provide maintenance of the Simulator following the By: S` expiration of the maintenance provided in as o p on Option 5 for a period terminating upon the earlier of (1) nine thousand (9000) runs or (2) one (1) year following the expiratin of Option 5. Such maintenance shall include replacement of all magnet software, replace- ment of 16mm software, reallignment of the entire system, complete reconditioning of the 16mm projectors, cleaning of all slides, re- placement of twenty-four (24) slide projectors with updated Kodak units. The Contract Price for this Option 6 is Twenty-four Thousand Four Hundred Fifty ($24,450.00) Dollars. MIAMI OPTION 7: SEPTEMBER shall process and trainTirougF the Simulator all of the MIAMI By: Police Department personnel under Task One in as t7o Optltn Y order to comply with MIAMI`S desire to provide rapid utilization of the Simulator. The Contract Price for this Option 7 shall be the sum of Thirty-five and 70/100 ($35.70) Dollars for each person processed through the Simulator. If Option 7 is exercised, Task One of Exhibit A shall be extended by thirty (30) days and each of the remaining Tasks shall likewise be extended for an additional thirty (30) day period. (c) The Total Contract Price under the terms of this Agreement, being the Basic Contract as provided in subparagraph (1) above and the following Options: 1 , 3, 4, 5, 6 & 7 . is $592,490.00/100 ' (d) The Total Contract Price shall be paid to SEPTEMBER as .� follows: (1) Thirty (30%) percent of the Total Contract Price within fourteen (14) days following execution of this Agreement; (2) Ten (10%) percent of the Total Contract Price upon completion of Task One; (3) Ten (10%) percent of the Total Contract Price upon completion of Task Two: (4) Ten (10%) percent of the Total Contract Price upon completion of Tasks Three and Four; (5) Ten (10%) percent of the total Contract Price upon completion of Task Five; and (6) The balance of all sums upon acceptance of the Simulator by MIAMI. ( 6 ) 84-337. 1 17. Termination. This Agreement may be terminated by MIAMI upon delivery by registered mail of a written notice of termination. The termination of this Agreement shall be effective fourteen (14) days from the date of receipt of such termination by SEPTEMBER unless otherwise agreed by the parties hereto. Such date shall hereafter be referred to as Termination Date. In the event of termination, SEPTEMBER shall be paid for all services provided prior to the date of receipt of notice of termination. In no case however, will SEPTEMBER be paid an amount in excess of the total sum provided by this Agreement. It is understood by the parties hereto that any payment made in accordance with this section to SEPTEMBER, shall be made only if SEPTEMBER is not in default under the terms of this Agreement. If SEPTEMBER is in default under the terms of this Agreement, MIAMI shall in no way be obligated and shall not pay to SEPTEMBER any sum whatsoever. 18. Arbitration. All claims, counterclaims, disputes and other matters in question between the parties hereto arising out of or relating to this Agreement or the breach thereof shall be decided by arbitration. The agreement to arbitrate shall be specifically enforceable under the prevailing law of any court having jurisdiction to hear such matters. Such arbitration shall be subject to the following provisions: (a) Notice of demand for arbitration must be submitted to the other party in writing within a reasonable time after the claim, dispute or other matter in question has arisen. A reasonable time is hereby determined to be fourteen (14) days from the date the party demanding arbitration knows or should have known the facts giving rise to his claim, dispute or question. In no event may the demand for arbitration be made after the time when institution of legal or equitable proceedings based on such claim, dispute or other matters in question would be barred by the applicable statute of limitations. (b) Within fourteen (14) days from the date demand for arbitration is received by the other party, each party shall submit to the other the name of one person to serve as an arbitrator. The two arbitrators together shall then select a third person. The three together shall then serve as a panel in all proceedings. Any decision concurred in by a majority of the three shall be a final decision. Any such proceedings shall be subject to the final then applicable rules of law. The costs of such arbitration shall be borne equally by MIAMI and SEPTEMBER. 84-33i'. t 1 '9 (c) The final decision rendered by said arbitrators shall be binding and conclusive and shall be subject to specific enforcement by a court of competent jurisdiction. 19. Entire Agreement. This Agreement together with Exhibits A. B and C attached hereto contains the entire Agreement between MIAMI and SEPTEMBER with respect to the transactions contemplated hereby and supersedes all previous written or oral negotiations, commitments, representations and agreements. 20. Execution in Counterparts. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, but all of which shall constitute one in the same instrument. 21. Disclosure. MIAMI agrees that SEPTEMBER may inform and disclose to its customers or potential customers the terms and provisions of this Agreement. 22. Miscellaneous. (a) Contract Date shall mean the later of the date of execution of this Agreement by MIAMI, or the date of initial payment of the purchase price by MIAMI. (b) Acceptance Date shall mean the date the Simulator is installed and operating on site in MIAMI, Florida and is accepted by the MIAMI CITY COMMISSION. 23. Construction of Agreement. The parties hereto agree that this Agreement shall be construed and enforced according to the laws, statutes and case laws of the State of Florida. 24. Indemnification. SEPTEMBER shall indemnify and save the CITY harmless from and against anv and all claims. liabilities, losses and cause of action, which may arise out of SEPTEMBER's activities under this contract, including all other 84-337. 7�' acts or omissions to act on the part of SEPTEMBER or any of them, including any person acting for or on his or their behalf, and, from and against any orders, judgments or decrees which may be entered and from and against all costs attorney's fees expenses and liabilities incurred in the defense of any such claims, or in the investigation thereof, except as provided by Sections 8 and 9, herein. Pa e ia►�_AIMIWLWC r 1 84�33,7.1 fg. tXHIBIT A TO AGREEMENT BETWEEN MIAMI AND SEPTEMBER TASK ONE DATA COLLECTION AND ANALYSIS SEPTEMBER shall compile general data and statistical information related to the police agencies of MIAMI. In addition, SEPTEMBER shall conduct a skills assessment, with its currently available simulator program, in an effort i to determine the specific strengths and weaknesses of MIAMI police personnel. The skills assessment shall include the evaluation of Three hundred (300) City of MIAMI law enforcement personnel. The performance of each officer will be video taped, documented and analyzed to establish baseline data. This information shall be the basis for development of the custom training scenarios used in the Simulator.. MIA*iI shall provide space satisfactory for the conducting of such evaluations with adequate security for the Simulator during this Task One evalua- tion period. Such space shall be subject to the approval of SEPTEMBER. ALL WORK UNDER TASK ONE SHALL BE COMPLETED WITHIN SIXTY (60) DAYS OF THE CONTRACT DATE. TASK TWO ACQUISITION AND FABRICATION OF HARDWARE Concurrent with compilation of the general data and statistical in- formation as provided in Task One, SEPTEMBER shall manufacture, acquire and • assemble all necessary equipment for the production of a custom Synthesized Media Environment System for MIAMI. The equipment and hardware will be assembled at SEPTE!MBER'S facility for delivery to MIAMI upon completion of the final software package. The total system, including equipment and hardware, shall be produced and assembled with a view towards performance, durability and cost effectiveness. A complete list of the hardware and equipment to be provided under this Agreement is attached as Exhibit B. TASK THREE SOFTWARE DEVELOPMENT AND PRODUCTION SEPTEMBER shall develop and produce three (3) police training scenarios. The three (3) training scenarios and the fourth (4th) scenario, if such Option is elected by MIAM1 , shall cover the following areas: Scenario 1. A felony car stop which shall include a car with tinted windows, vehicle search, vehicle chase involving City of MIAMI statutes relating to firearms discharge, and a foot chase. Scenario 2. A home disturbance which shall include cultural differences, language differences, felony foot chase, lock our of premises (incorporating City of MIAMI Police Department procedure regarding when a dwelling can be entered), and felony car stop from the scene of the home disturbance. Scenario 3. Suspicious circumstances which shall include drug exchange, prostitution/sexual abuse, man with a gun outside premises, and execution of search warrant. Optional Scenario 4 (if elected). Special problems which shall include civil disorder, terrorist bombing, terrorist events involving SWAT team, incidents involving police officers families, and youth gatherings. Each scenario shall include the following: 1. SCRIPT WRITING: SEPTEMBER shall complete a comprehensive analysis of the data obtained from Task I to assist the MIAM.I Police Department in deter- mining areas of concern. The training scenario scripts shall be developed from the baseline information of Task I and the elements of the scenarios described above. Such scripts shall be reviewed and approved by designated members of the MIIA.MI Police Department, which approval shall be completed in a timely manner so as to avoid any delay in completion of the Simulator. 2. PRE -PRODUCTION: SEPTEMBER, with the assistance of the MlA."SI Police Department, shall conduct a site survey to select locations and areas that have the required components for proper production of the training scenarios. TALENT SEARCH: SEPTEMBER shall conduct a talent search in MIAMI to hire and engage persons that reflect the ethnic, cultural, socio-economic and psychological make up of the population in the greater MIAMI area. 4. PHOTOGRAPHY: After approval of the scripts and completion of the Talent Search, SEPTEMBER shall photograph on site in Miami, Florida in accordance with industry standards as specified in the American Cinematographers Manual, 1981. 5. AUDIO/SOUND EFFECTS: Following approval by the MIAMI Police Department of the final shooting script, SEPTEMBER shall record all applicable audio on site in Miami, Florida. The recording will be done in accordance with the industry standards of the National Broadcast Association. ALL WORK UNDER THIS TASK THREE SHALL BE COMPLETED WITHIN ONE HUNDRED TWENTY (120) DAYS OF THE CONTRACT DATE. TASK FOUR SOFTWARE POST PRODUCTION After field production, SEPTEMBER shall process and optically register all images in accordance with industry standards. All special effects and visual treatments shall be incorporated into the production model and the software program shall be developed to correspond with the script design previously ap- proved by the MIAMI Police Department as provided under Task Three. SEPTEMBER at its production facility, shall then perform all post production processing, which shall include the following: A. Film Processing B. Color Balance C. Rough Edit D. Duplication E. Registration Duplication F. Matte Screening G. Numerical Sequencing H. Computer Programming I. Slide Sequence Alignment and Glass Mounting 84-33'7. f J. Tray Sequencing M. 16MIM Edit and Interlock with Computer Data Code ALL WORK UNDER THIS TASK FOUR SHALL BE COMPLETED WITHIN ONE HUA'DRED EIGHTY (180) DAYS OF THE CONTRACT DATE, PROVIDED THERE IS NO SUBSTANTIAL DELAY IN OBTAINING FINAL APPROVAL OF THE TRAINING SCENARIOS AS PROVIDED UNDER TASK THREE. TASK FIVE DOCUMENTATION AND TRAINING SEPTEMBER shall prepare an Executive Summary for use by MI4vfl. The Executive Summary shall be a comprehensive report of the Simulator, with specific recommendations for further development of the training model. SEPTEMBER shall also prepare twenty (20) instructional and training manuals for use with the Simulator to assist and instruct training personnel. ALL WORK UNDER THIS TASK FIVE SHALL BE COMPLETED WITHIN TWO HUNDRED (200) DAYS OF THE CONTRACT DATE. TASK SIX FINAL DELIVERY AND FINE TUNING At the direction of MIAMI, SEPTEMBER shall transfer the entire Simu- lator system from Flint, Michigan to a facility designated by MIAMI. Said facility shall comply with the specifications of SEPTEMBER as provided in Exhibit C of this Agreement. Delivery and installation of the Simulator shall include the following: A. The training of five (S) MIAMI personnel in maintenance and operation of the Simulator; site; B. The training of twenty (20) Simulator operators; C. I EXHIBIT B TO AGREEMENT BETWEEN MUMI AND SEPTEMBER SYSTEM DESCRIPTION: The Synthesized Media Environment System, "Simulator," is the most advanced training system ever developed for police training and critical decision making in the use of firearms. The system is a fixed, flexible matrix of seven (7) audio channels, one (1) data channel, twenty-four (24) slide projectors, and - one (1) motion picture projector all controlled by a micro processor computer. The images are animated to recreate lifesize situations on a wide screen. Police.officers interact with the system for the purpose of refining the decision snaking process as it relates to the use of deadly force. This technique introduces a high degree of s::ress and cognitive constriction so as to modify and compound the problem solving capabilities of the individual officers. The SME System is a computer controlled graphic simulator. The associated hardware support system listed in this Exhibit B is used for the specific purpose of refining the decision making process on human beings by controlling sequenced audio and visual information presented at sub -animation and animation speeds in the visual life spectrum created scenarios consisting of high speed 35 mm color slides presented on a screen controlled by a specific function micro computer. The image path is determined by a pre-programmed computer data tract. Eight (8) audio channels (7 sound, I data) are provided for selectible information presented through the audio system to the trainees. In addition, an infra -red television system records the trainees as they interact with the system. The full animation motion dependent portion of the system is a computer controlled lbmm motion picture projector. This arrangement allows for a unique interaction between all of the sub -support systems. All of the below listed hardware are self support components of the Simulator. By design they are warranted to perform their specific functions within the Simulator. EXHIBIT C TO AGREEMENT BETWEEN MIAMI AND SEPTEMBER MIAMI agrees to provide, under the terms of this Agreement, the following: (a) A permanent site for the installation, maintenance and operation of the Simulator. The Simulator site shall have good air filtration system that meets or exceeds OSHA standards. It is acknowledged and understood that the air filtration requirement is to minimize concentrations of mercury and lead oxide which can disrupt and impede the operation of the Simulator. The site shall be environmentally secure, with a minimum temperature of 45 F. and a maximum temperature of 80 F; (b) To provide SEPTEMBER with data baselines concerning the shooting and firearm history of the MIAMI Police Department. It is acknowledged that this information is for reference only and ,not for the purpose of identification of specific personnel. Such data, including the date, time of day, description of situation, weapons involved, assailant and relative distances will be used to develop the training scenarios in accordance with Exhibit A. (c) To at all times during the term of this Agreement provide a high level of cooperation between the MIAMI law enforcement personnel and SEPTEMBER. (d) To provide a liason person from the MIAMI Police Department for coordinating all elements of completion and implementation of this Agreement. (e) To provide necessary personnel for the data source document acquisition, uniformed personnel, and vehicles for production of the training scenario. (f) To techinical support, firearms, and blank cartridges as necessary for production for the training scenarios. (g) To provide radio communication access during the training and production portions of this Agreement, subject to reasonable restrictions which may be imposed by law or other agencies beyond the control of MIAMI. (h) To provide a high level of security and confidentiality for the Simulator while on site in MIAMI in accordance with the terms of this Agreement. 84-33` - /
