RESOLUTION NO. 84-315
A RESOLUTION AFFIRMING THE ACTION OF THE
CITY MANAGER IN EXECUTING THE RETROACTIVE
AGREEMENT, SUBSTANTIALLY IN THE FORM OF
THE ATTACHED AMENDMENT NO. 4 AMENDING THE
EXISTING AGREEMENT BETWEEN METROPOLITAN
DADE COUNTY AND THE CITY OF MIAMI FOR
ECONOMIC PLANNING ACTIVITIES; BY
EXTENDING THE TIME OF PERFORMANCE TO
DECEMBER 31, 1983; BY INCREASING THE
AGREEMENT AMOUNT TO $285,829 PLUS A LOCAL
MATCH; IN ORDER TO ACCEPT AN AWARD OF
FUNDS FROM AN ECONOMIC DEVELOPMENT
ADMINISTRATION 302 PLANNING GRANT THROUGH
METROPOLITAN DADE COUNTY FOR THE PURPOSE
OF ESTABLISHING AN ECONOMIC DEVELOPMENT
PLANNING AND IMPLEMENTING CAPACITY;
FURTHER DIRECTING THE CITY CLERK TO
IMMEDIATELY FORWARD A COPY OF THIS
RESOLUTION TO THE COUNTY CLERK.
WHEREAS, by Board of County Commissioners' Resolution
R-39-80; January 8, 1982, and City Commission Resolution 79-880;
December 27, 1979, execution of a City/County Agreement for
$75,000 plus a 25% local match was authorized for Department of
Planning and Trade and Commerce Development economic development
planning services for Fiscal year 1979-1980 funded through an
Economic Development Administration 302 Planning Grant to
Metropolitan Dade County; and
WHEREAS, by Board of County Commissioners' Resolution
R-1322-80; October 7, 1980, and City Commission Resolution
80-802; November 6, 1980 execution, of contract amendment No. 1
was authorized which a) amended the personnel table, b) extended
the time of performance to December 31, 1980, and c) increased
the contract amount by $19,280 to $94,280 plus the local match to
be provided by personnel working on other grants; and
WHEREAS, by Board of County Commissioners' Resolution
R-841-81 June 2, 1981, and City Commission Resolution 81-478;
May 28, 1981, execution of contract amendment No. 2 was
authorized which a) amended the personnel table; b) extended the
time of performance to March 31, 1981, and c) increased the
contract amount by $17,815 to $112,095 plus the local match to be
provided by personnel working on other grants; and

WHEREAS, by Board of County Commisioners Resolution
R-1084--82; July 20, 1982, and City Commission Resolution 82-118,
January 14, 1982, execution of contract amendment No. 3 was
authorized which a) amended the personnel table; b) extended the
time of performance to December 31, 1981, and c) increased the
contract amount by $97,350 to $191,630 plus the local match to be
provided by personnel working on other grants; and
WHEREAS, the Economic Development Administration, U.S.
Department of Commerce by letter of November 7, 1983, has made a
grant offer to Metropolitan Dade County, part of which will be
passed through to the City; and
WHEREAS, the Board of County Commissioners has accepted the
grant award and authorized the County Manager to execute contract
amendments; and
WHEREAS, the City Commission wishes to foster economic
development throughout the City by fostering economic development
planning and implementing capacity;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:
SECTION 1. The City Commission hereby affirms the action of
the City Manager in executing the retroactive agreement,
substantially in the form of the attached amendment No. 4,
amending the existing agreement between Metropolitan Dade County
and the City of Miami for economic planning activities; by
extending the time of performance to December 31, 1983, and by
increasing the agreement amount to $285,829 plus local match, in
order to accept an award of funds from the Economic Development
Administration 302 Planning Grant through Metropolitan Dade
County, for the purpose of establishing economic development
planning and implementing capacity.
Section 2. The City is directed to immediately forward a
copy of this Resolution to Richard P. Brinker, Clerk of the Board
of County Commissioners.

AMENDMENT NO. 4
RETROACTIVE AMENDMENT TO MEMORANDUM OF
AGREEMENT BETWEEN THE CITY OF MIAMI AND
METROPOLITAN DADE COUNTY FOR ECONOMIC
DEVELOPMENT PLANNING ACTIVITIES.
This retroactive AMENDME[T OF AGREEMENT made and entered in
the day of 1984, by and ij-.tween the Ci.i;..
of Miami, hereinafter referred to as the "CITY" and Metropolitan
Dade County, hereinafter referred to as the "COUNTY", both
political subdivisions of the State of Florida.
WITNESSETH:
WHEREAS, the COUNTY has heretofore entered into an Agreement
with the CITY, effective
October 1,
1979 for
the
implementation
of economic development
planning
activities
by
the CITY, funded
through a United States De,?artment of C:OInfilel"ce, ECalloml_C
Development Administration 302( a) planning Grant to tile.: COUNTY
pursuant to COUNTY Resolution R--39-80 adopted January 8, 1980;.
Resolution R-1.322-80 adopted October 7, 1980; and Resolution
R-841-81 adopted June 2, 1981, and the CITY has ratified the
Agreement by Resolution 79-880 adopted December 27, 1979;
Resolution 80-802 adopted November 6, 1980; Resolution 81-478
adopted May 28, 1981; and Resolution 82-48 adopted January 14,
1982; and
WHEREAS, this Agreement is in full force and effect; and
WHEREAS, the parties are desirous of entering into this
Amendment of Agreement to accomplish the purposes outlined herein
as allowed by the procedure in Section VI of the Agreement.
NOW, THEREFORE, the parties do mutually agree as follows:
1. Existing Paragraph 1 of Section I is hereby deleted and
a new Paragraph 1 of Section I is hereby substituted in
lieu thereof to read as follows:

1. 'To solicit and accept the amount of
$285,829.00 from the U.S. Department of
Commerce for and in behalf of.: the City of
Miami's economic development efforts.
A new Paragraph 81) is hereby added to Paragraph 8 of
Section II to read as follows:
8b. MAXIMUM COMPENSATION
The CITY agrees to accept as full payment for
services rendered in manner to the COUNTY
office of Community and Economic Development,
the actual amount of budgeted, eligible and
approved expenditures and encumbrances made
by the City of Miami. for the purposes of
carrying out the services hereunder during
the period of this Amended Agreement. It is
expressly understood and agreed that in no
event shall the total compensation and/or
reimbursement to be paid hereunder exceed the
maximum sum of $285,829.00 of Economic
Development funds for the period October 1,
1979 through December 31, 1983.
A new Paragraph is hereby added to Paragraph 9 of
Section II to.read as follows:
9b. Matching funds required total $130,406.00 (or
45.623%) of the budget of $285,829.00.
Existing Section V is hereby deleted and a new Section
V is hereby substituted in lieu thereof to read as
follows:

TIME OF PERFOR14ANCE
This Agreement shall be deemed effected as of
October 1, 1979. The services of the CITY
shall commence upon execution and receipt of
notification from the COUNTY Office of
Community and Economic Development, whichever
is later and shall be undertaken and completed
in light of the purposes of this Agreement
within the budget amount- authorized but in any
event all services required hereunder shall be
completed by December 31, 1983.

original Agreement and all subsequent amendments
thereto, subject to the amendments contained herein,
shall remain in full force and effect without

Approval of the resolution affirming the action of the City
Manager in executing the contract is recommended. Expeditious
action was necessary on the City's part to preserve continued
eligibility for future EDA funding.
It is requested that this item be added to the City Commission
agenda of March 29, 1984.
