J4- ' A RESOLUTION AUTHORIZING THE CHANGING OF THE COMPLETION DATE FOR THE CONSTRUCTION CONTRACT BETWEEN THE CITY OF 1111AMI, FLORIDA AND BETTER CONSTRUCTION, INC., FOR THE CONSTRUCTION OF JOSE MARTI RIVERFRONT PARK, PHASE II, TO SEPTEMBER 30, 1984; FURTHER WAIVING ANY AND ALL LIQUIDATED DAMAGES THAT MAY BE ASSESSABLE AGAINST BETTER CONSTRUCTION, INC., FOR THE LATE CONSTRUCTION OF JOSE MARTI RIVERFRONT PARK, PHASE I AS CONSIDERATION FOR THE CONTRACTOR'S ACCEPTANCE OF THE NEW ACCELERATED COMPLETION DATE FOR THE PHASE II PROJECT. WHEREAS, there exists a contract dated December 5, 1983, between the City of Miami, Florida, and Better Construction, Inc., for the construction of Jose Marti Riverfront Park, Phase II; and WHEREAS, Better Construction, Inc. was also the contractor on the Jose Marti Riverfront Park, Phase I project; and WHEREAS, the completion date stipulated in the Phase II contract occurs after the September 30, 1984 deadline for completion of the Phase II work as required by the provisions of the Land and Water Conservation Fund grant being utilized to partially fund the project; and WHEREAS, the City has been informed by the Department of Natural Resources, the administrators of the grant, that if the Phase II project is not completed by the deadline date of September 30, 1984 the City will lose the entire $680,000 grant; and WHEREAS, Better Construction, Inc. has agreed to an earlier completion date for the Jose Marti Riverfront Park, Phase II project that will meet the Federally dictated deadline for completion in exchange for the City of Miami not assessing any liquidated damages it may be entitled to for the contractor's late completion of Jose Marti Riverfront Park, Phase I; and FAilv C01'',TMISSION EETIh;r GI' ' i WHEREAS, the City Manager and the Director of the Department of Public Works find it is in the best interests of the City of Miami, Florida to accept such proposed agreement and accordingly recommend acceptance of the said agreement in order to meet the Federally mandated deadline so as not to lose the $680,000 grand funds; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The date of September 30, 1984 is hereby authorized as the new completion date in the contract between the City of Miami, Florida and Better Construction, Inc., for the construction of Jose Marti Riverfront Park, Phase II. Section 2. In exchange for the contractor's accelerated completion of the Phase II progress, the City of Miami, Florida, hereby waives any and all liquidated damages it may be entitled to for the late completion of Jose Marti Riverfront Park, Phase I, as constructed by Better Construction, Inc., under its contract with the City of Miami. The City of Miami_ h.as a contract with Better Construction, Inc., for the construction of Jose Marti Riverfront Park, Phase II. Under the terms of the contract the contractor does not have to be completed with the work until mid -October, or later, depending upon the delays he may experience between now and then for rain and other legitimate reasons. The project is partially funded by a Land and Water Conservation Fund grant, and the provisions of that grant require that the project be completed by September 30, 1984. We have been informed by the Department of Natural Resources, the administrators of the grant, that if the project is not completed by the deadline date the City will lose the entire $680,000 grant. Better Construction, Inc. is also the contractor on the Jose Marti Riverfront Park, Phase I project, which is essentially completed. They have agreed to accept an earlier completion date for the Jose Marti Riverfront Park, Phase II project so that the project can be completed by the Federally dictated deadline, if the City of Miami will waive any liquidated damages it may be entitled to for the late completion of Phase I. Cather, Director REFERENCES: Department of Public Works Letters ' ENCLOSURES: L The Jose Marti Riverfront Park, Phase II project was originally scheduled to be completed in August of this year. That completion date would have met the completion deadline of September 30, 1984 dictated by the $680,000 Land and Water Conversation Fund grant completion deadline being utilized to partially fund the project. We were unable to meet the schedule for two reasons: First, when bids were first received on the project in September, 1983, in accordance with the original schedule, they were found to be too high and i,.,ere rejected. Second bids were received in October, 1983, and the loc.: laid was found to be wi'Ghin the budget. As a result of having to hold the second bidding„ the award of the contract, was delayed from October until. November. A second delay was caused by the contractor's inability, prior to the City executing the contract documents, to supply proof of insurance as required by the contract. Contracts were sent to him on November 22, 1983, shortly after the award of the contract, and he returned them within a reasonable amount of time. However, when the documents were sent to Risk Management, his insurance was found not as required by the contract, and thus processing of the documents was delayed. It was not until January 23, 1984 that the contractor finally provided proof of proper insurance. Normal execution processing after that date took another two weeks, and we were not able to give the contractor executed documents and official notice to proceed until February 7, 1984. The contract documents stipulate that the contractor had 180 working days to complete the work, and that this period could not begin until he was given executed documents. The 180 working days, starting on February 17, 1984, (10 days after notice, as per the contract documents), without any allowance for rain time and any other legitimate days delay, would have required the contractor to be completed with the project in mid -October, too late to meet the Federal grant deadline. We have been notified by the Department of Parks and Recreation that if we do not meet the federal completion deadline, the City will lose the entire $680,000 grant. Accordingly, we have taken steps to change the contractor's completion date to comply with the deadline. Fortunately, we have the same contractor on Phase I and Phase II. Phase I is essentially completed, but the contractor may be liable to pay the City liquidated damages because of his late completion of it. The contractor has agreed to accept a completion date of September 30, 1984 for Phase II in exchange for the City not assessing any liquidated damages on the Phase I project. There are other conditions to the agreement as listed in the attached letters, but they can be handled by our administration of the contract. We are asking your concurrence in exchanging any liquidated damages we may be able to assess against the contractor on Phase I for the earlier completion date on Phase II. In anticipation of receiving it, we have prepared a resolution for the 14ay 10 Commission 1.1eeting that will authorize waiving an}, and all liquidated damages we may be entitled to on Jose t;art-i Riverfront Park, Phase I, and accepting the revised completion date on Jose Marti Riverfront Park, Phase II. We haveacted by resolution because it is our understanding that only the Commission has the right to waive liquidated damages or to modify a contract.
