A RESOLUTION RETAINING THE LAW FIRM OF BROAD AND CASSELL TO SERVE AS LOCAL BOND CO -COUNSEL TO ASSIST THE FIRM OF BROWN, WOOD, IVEY, MIT- CHELL & PETTY WITH RESPECT TO THE SALE OF $30,200,000 GENERAL OBLIGATION BONDS OF THE CITY OF MIAMI. WHEREAS, on February 3, 1984, the City Commission accepted the recommendations of the City Manager for the selection of local bond co -counsel to assist the City's out- of-state bond counsel, with respect to the sale and issuance of City bonds; and WHEREAS, on May 24, 1984, the City Commission approved the sale of $30,200,000 bonds of the City of Miami; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The law firm of Broad and Cassell is hereby retained to serve as co -counsel to assist the firm of Brown, Wood, Ivey, Mitchell & Petty, with respect to the sale and issuance of $30,200,000 General Obligation Bonds of the City of Miami. Gary 1 / REFERENCES: City Manager ENCLOSURES: Motion 84-138 directed this office to proceed to identify local law firms who would be interested in serving as Co -Bond Counsel with Brown, Wood, Ivey et . al. on General Obligation Bond issues. A Request for Proposal (RFP) was developed and advertisements were placed in The Miami Review, The Miami News, Diario Las Americas and The Miami Times. Additionally, The Dade County Bar Association, The Cuban Bar Association, and The Black Bar Association were each contacted and advised that the City was actively seeking local lala firms to serve as Co -Bond Counsel. The closing date for responding, to tlio RFP uas Friday, April 6, 19841 end eight (8) firms responded as of that date. Two additional response,, were delivered to this office subsequent to that date. A review by a special commmitte e wa�:-- perforn;ed on the data submitted by all ter; ( 10 ) law firms. The special committee was composed of Robert Clark (representing Jose Garcia -Pedrosa), Randolph Rnzencrar.tz , Carlos Garcia, Adrienne Macbeth and Manohar Surar.a. Briefly stated, among the data requested included resumes of the principles who will service the City, lists of specific bond issues and the role of the firm for that issue, data relative to size, expertise, and research capability of the firm, statement and supporting documents assuring minority participation and pro bono service to the community. Most firms provided the data requested. As shown on the RFP, the criteria for selection as Co -Bond Counsel included six items. Attached to this memorandum is a summary of the data submitted by each law firm for each item. Attachments: 1. Copy of Request for Proposal (RFP). 2. Names and addresses of law firms submitting proposals. 3. (To be provided by the Office of Law.) Responses to items a. and b. of the RFP - leggal expertise. 4. Responses to item c. of the RFP. 5. Responses to item e. of the RFP - minority partnership. 6. Responses to item f. of the RFP - pro Bono work. 84--594 Request for Proposal Bond Co -Counsel INTRODUCTION Attachment 1. The City of Miami wishes to utilize the services of law firms having principle offices in the Miami area to assist in matters relating to the sale of general obligation bonds and other debt instruments. Further, it is the desire of the City to provide an opportunity for interested law firms to submit their qualifi- cations for review. Those firms found best qualified in accor- dance with predetermined criteria, will be prioritized. The law firm of Brown, Wood, Ivey, Petty and Mitchell will serve as prime counsel and local firms will serve as co -counsel. QUALIFICATIONS a. Assurance that a senior partner with expertise in bond financing will be responsible for the legal work and will be accessible to the City to answer inquiries and discuss the progress of the issue from time to time. b. Evidence of depth of ].cg��l talent wJ,th capacity to handle -- bond work. c. Expertise in the; field of federal income tay., project funding or other applicable specialized areas. d. Have a principal office in the Miami area. e. Provide assurance of representative minority partnership in the firm. f. Provide evidence of volume of pro bonf'work performed within the City of Miami. SUBMISSION OF DATA The following data should be provided: 1. Resumes of senior partners of principals who will be servicing the City account. 2. Resumes of associates or other affiliates that may be servicing the City account. 3. Resumes of other principals in the firm that may be servicing the City account. 84-594 LI I] 4. List of specific bond issues within the last ten years that the firm or a principal has been an active parti- cipant. Show the following data: a. Purpose of issue (housing bonds, general purpose construction, etc.). b. Type of issue (G.O., Revenue). c. Size of issue and life of issue (S30M/20 years). d. Date sold and location. e. Number of bidders and interest rate of successful bidder. f. Governmental unit issuing. g. Role of firm or principal (counsel, co -counsel). h. Any problems associated with the sale and delivery of bonds. 5. Submit data rclatinC to the size of the law, firm. Data should include: a. Number of principals, partners, associates, etc. b. Office location(s). e. Research capabilities. d. Staff and clerical support. 6. Statement and supporting documents related to areas of expertise. 7. Statement and supporting documents assuring minority participation. (reference City Commission Ordinance 9775). 8. Statement and supporting documents relative to areas of pro bondb services to the community. METHOD OF SUBMISSION Qualifications should be submitted in five copies to: Randolph B.
