A RESOLUTION ISSUING A MAJOR USE SPECIAL
PERMIT, ATTACHED HEI:ETO AS EXHIBIT "A" AND
INCORPORATED BY REFERENCE APPROVING WITH
CONDITIONS, THE BAYSTDE PROJECT, PROPOSED BY
TNF_. AAYSTDE LTMTTED PARTNERSHIP AND HOWARD V.
GARY FOR THE CITY OF MIAMI, FOR APPROXIMATELY
499 BISCAYNE BOULEVARD; MAKING FINDINGS; AND
PROVIDING THAT THE PERMIT SHALL BE BINDING ON
THE APPLICANT AND SUCCESSORS IN INTEREST.
WHEREAS, it is the intent that the Major Use Special Permit
shall be the instrument for implementing by one action,
authorized for issuance by the City Commission, all changes in
the adopted Comprehensive Plan, zoning district classifications,
other zoning actions or other City ordinances that would
otherwise be necessary to the accomplishment of the objectives
sought in the application for Major Use Special Permit; and
WHEREAS, Bayside Limited Partnership and Howard V. Gary for
the City of Miami, have submitted an Application for a Major Use
Special Permit per Article 28: Major Use Special Permits, Zoning
Ordinance 9500, for the Bayside Project; and
WHEREAS, the Miami Planning Advisory Board, at its meeting
held on June 6, 1984, by a 5 to 2 vote, reviewed the preliminary
application and recommended that the Applicant be permitted to
file a Final Application; and
WHEREAS, the Miami City Commission at its meeting held on
June 14, 1984, after reviewing the preliminary application,
adopted Resolution 814-662permitting the Applicant to file a Final
Application; and established June 28, 1984, as the public hearing
date for consideration of the Final. Application; and
WHEREAS, the Miami Planning Advisory Board, at its meeting
held on June 20, 1984, following an advertised public hearing
- adopted Resolution No. PAB 51-84 by a 7 to C vote, recommending
approval of a 11,ajor Use Special Permit for the project; and
WHEREAS, the City Commission has conducted a public hearing,
having considered the Application for Major Use Special Permit;

WHEREAS, the City Commission has determined that all legal
requirements have been complied with; and
WHEREAS, the City Commi..ssi.on d^cm:3 it advisable and in the
best interests of the general welfare of the City of Miami to
issue a Major Use Special Permit as hereinafter set forth;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:
FINDINGS OF FACT
Section 1. The following findings of fact are made with
respect to the project:
a. The Commission has determined that the project is in
conformity with the adopted Miami Comprehensive
Neighborhood Plan.
b. The Commission has determined that the project is in
accord with the district zoning classification of Zoning
Ordinance 9500.
c. The City Commission finds that the project would not
create adverse impact on air quality, ground water,
soils, animal life, vegetation, wastewater management or
solid waste disposal, and further finds that it would
have a number of positive impacts including:
(1) Over 1,000 permanent jobs will be generated by the
project, the majority being filled by local
residents. Approximately 1200 construction jobs
will be created for an 18 month period, also
largely employing local building; contractors.
Approximately 200 merchants will occupy space on
the project, with a goal of 50 percent of the
businesses reserved for minority Black and Hispanic
participation.
(2) The cost of construction is estimated at
$32,000,000 with an estimated $10,000,000 allocated
for wages. Secondary labor and material
requirements will also have a positive impact on
x the economy of the four county region. The project

(4) The project will efficiently use necessary public
facilities; and
(5) The project will have a favorable impact on the
environment. and natural resources of the City; and
(6) The project will not adversely affect living
condition.3 in the neighborhood; and
(7) The project would not adversely affect public
safety; and
(8) That there is a public need for the project.
Section 2. A Major Use Special Permit, attached hereto as
Exhibit "A" and made a part hereof by reference, approving with
conditions, the Bayside Project, proposed by Bayside Limited
Partnership and Howard V. Gary for the City of Miami, for
approximately 499 Biscayne Boulevard, being all of Miamarina
Parkway Drive, certain portions of Bayfront Park designated as
' upland areas of Miamarina, the site of City -owned Bayfront
Municipal Auditorium, 2.36 acre portions of the Northerly Section
of Bayfront Park and portions of the new Port Bridge right-of-way
altogether comprising 16+ acres as per map on file with the
Department of Planning and Zoning Boards Administration, be and
the same is Hereby granted and issued.
Section 3. The Major Use Special Permit, as approved, shall
be binding upon the applicants and any successors in interest.
PASSED AND ADOPTED this 28th of June, 1984.

is estimated to attract 13,000,000 visitors per
year, and generate $200,000,000 per year in sales.
This visitor volume In projected to generate $500
in sale: per square foot of retail space per year.
Under the agreement with Daysi.de Limited
Partnership, the City of Miami wi_3.1 receive
$325,000 for the first two years, $650,000 for the
third and fourth and years, and $1,000,000 per year
*he fifth through thirty-fifth years, with a
total of are estimated $45,000,000 over the duration
of the lease. This represents a guarantee of an
average of approximately $1,000,000 per year over
the 45 year life of the agreement.
(3) Weekday parking demand is projected at
approximately 1,385 spaces, with only 145 spaces
being required off -site. Projected weekend parking
demand will be approximately 2,270 spaces with
1,030 spaces required off -site. The excess weekend
demand can easily be met in surrounding off -site
public and private parking facilities which are
mostly unoccupied on weekends. Within a 15 minute
walking distance of the project there are
approximately 12,500 spaces.
The City Commission finds that the adverse impacts
related to water demand, energy demand, solid waste
generation, demands on public services and traffic
generation will be mitigated by the conditions set forth
in Exhibit "A".
The City Commission finds that:
(1) The project will have a favorable impact on the
economy of the City; and
(2) The project will efficiently use public
transportation facilities; and
(3) The project will favorably affect the need for
people to find adequate housing reasonably
accessible to their places of employment; and

Let it be known that the Commission of the City of Miami,
Florida, has considered in public hearing on June 28, 1984; the
issuance of a*Major Use Special Permit pursuant to Section 2803,
Article 28 Major Use Special Permits: Detailed Requirements of
Zoning Ordinance 9500 said major use development to be located in
the City of Miami, at approximately 499 Biscayne Boulevard, being
Bayside Specialty Center
all of Miamarina Parkway Drive, certain portions of
Bayfront Park designated as upland areas of Miamarina,
the site of City -owned Bayfront Municipal Auditorium
and a 2.36 acre portion of the Northerly Portion of
Bayfront Park, and portions of the proposed Port Bridge
right-of-way altogether comprising approximately 16
acres as per documents on file with the Planning and
Zoning Boards Administration Department. All of the
foregoing subject to any dedications, limitations,
restrictions, reservations and easements of record.
and after due consideration of the recommendations of the
Planning Director and the Planning Advisory Board pertaining to
the Major Use Special Permit and after due consideration of the
consistency of this proposed development with pertinent
regulations, takes the following actions:

The project is further limited by applicable provisions and
procedures of the City of Miami Zoning Ordinance 9500, per
article 28, Major Use Special Permits and Ordinance 9768, Passed
December 12, 1983•
The City Commission of the City of Miami hereby finds that the
Bayside Specialty Center is a municipal activity which furthers
recreational. purposes in a Parks and Recreation District and that
the Bayside Specialty Center project is generally in keeping with
the surrounding area and that the minimum open space, maximum
height, off street parking requirements and limitations on signs
are generally in character with the zoning districts and sectors
of the adjacent neighborhood and hereby grants a Special
Exception per the Parks and Recreation Zoning District
regulations.
The project, as hereinto defined, meE.ts the requirements of
Zoning Ordinance 9500 and constitutes the conditions for a Major
Use Special Permit per Section 2803 of the Zoning Ordinance.
2. The Bayside Specialty Center "Request for Proposals" issued
by the City of Miami [larch 1983 and the subsequent Amendment
issued June 28, 1983 is incorporated herein by reference and
on file in the office of the City Clerk. Substantial
compliance with requirements contained in the Request for
Proposal is a condition of this approval.
3. The "Lease Agreement" between Bayside Limited Partnership and
the City of Miami and all exhibits attached thereto for the
Bayside Specialty Center is incorporated herein by reference
on file in the office of the City Clerk. Substantial
compliance with requirement contained in the Lease Agreement
is a condition of this approval.
4. The Bayside Specialty Center "Traffic Impact Study, May 1984"
submitted by Bayside Limited partnership is incorporated
herein as the development impact study. Substantial
compliance with representations contained in the Traffic
Impact Study is a condition of this approval.
THE APPLICANT SHALL:

5. Use only native species or acceptable non native species and
relocate and use plant species existing on —site in project
landscaping.
G. Notify the State Historic Preservation Officer and the Dade
County Archaeologist at least two weeks prior to the
expected date of con.^truction start, allow the site to be
monitored during, construction, and coordinate and/or
reasonably delay construction to allow for removal of any
significant remains.
7. Promote energy conservation and the use of public transit
and minimize air pollution by implementing, as feasible,
Transportation System Management, coordinated with the Dade
County Transportation Administration; encouraging the use of
mass transit, bicycles, and ridesharing through such
measures as provision of schedule and route information
within the project and secure and convenient bicycle storage
for visitors and employees in the garage.
8. Collaborate with the City to evaluate and incorporate
security measures and systems into the design and operation
of the project; security systems and construction documents
to be reviewed by the Miami Police Department (at their
option) prior to the time of issuance of a building permit.
THE CITY SHALL:
9. Waive platting requirements subject to filing a tentative
plat.
10. The Applicant shall submit a report, twelve (12) months from
the date of issuance of this Development Order and each
twelve (12) months thereafter until a final Certificate of
Occupancy is issued all affected permitting agencies and the
Planning Director, City of Miami Planning Department. This
report shall contain, for the preceding twelve months:
A general description of construction progress in terms
of construction dollars and employment.
A cumulative list of all permits or approvals applied
for,approved or denied.
A statement as to whether any proposed project
construction changes in the ensuing twelve (12) months
are expected to deviate substantially form the approvals
included in this Major Use Special Permit.
The Planning Director, City of Miami Planning Department, or
a project director to be named later, is hereby designated

to receive this report, and to monitor and assure compliance
with this Major Use Special Permit.
This Major Use Special Permit shall be null, and void if
substantial. development has not begun in two (2) ,years of
the issuance elate of this Major Use Special. Permit.
The Applicant shall give notice to Richard P. Brinker,
Clerk, Dade County Circuit Court, 73 'lest Flagler Street,
Miami, Florida, 33130, for recording in the Official Records
of Dade County, Florida, as follows.
a) That the City Commission of the City of Miami, Florida,
has issued a Major Use Special permit for the Bayside
Specialty Center project at approximately 499 Biscayne
Boulevard.
b) That Bayside Limited Partnership, Maryland limited
partnership, including Rouse Miami, Inc., an affiliate of
The Rouse Company of Columbia, Maryland, the sole general
partner of Bayside Limited Partnership is the developers
with offices in Columbia, Maryland 21044.
e) That the Major Use Special Permit with any modifications
may be examined in the City Clerk's Offices, 3500 Pan
American Drive, Dinner Key, Miami, Florida, 33133•
d) That the Major Use Special Permit constitutes a land
development regulation applicable to the property; that
the conditions contained in this Major Use Special Permit
shall run with the land and bind all successors in
interest; it being understood that recording of this
notice shall not constitute a lien, cloud or encumbrance
on real property, nor actual nor constructive notice of
any of the same.
The Applicant will incorporate all original and supplemental
information into the originally submitted Application into
one complete document and will provide copies within 90 days
of the date of issuance of this Major Use Special Permit to
the City of Miami.
The Application is incorporated herein by reference and is
relied upon by the parties. Substantial compliance with the
representations contained in the Application is a condition
for approval unless waived or modified by agreement among
among the parties.

CONCLUSIONS OF LAW
The Bayside Specialty Center Project, proposed by Bayside Limited
Partnership, complies with the Miami Comprehensive Neighborhood
Plan, is consistent with the orderly development end dials of the
City of Miami, and complies with Local and development
regulations being Zoning Ordinance No. O�500; �r,d
The proposed development does not unreasonably interfere with the
achievement of objectives of the adopted State Land Development
Plan applicable to the City of Miami.

BACKGROUND Certain amendments to Article 28 - Major Use
Special Permits deleting certain extraneous
preliminary procedures have been recommended in
Amendment "F" to Zoning Ordinance 9500.
Amendment "F" expired May 12, 1984, because of
the 90-day time limit within which the
Commission must legislatively decide an item.
Therefore, it is necessary to follow the longer
existing procedures.
The existing Ordinance 9500 establishes a Major
Use Special Permit process (Article 28) whereby
specified major uses require a two-step
recommendation by the Planning Advisory Board
and consideration and authorization by the City
Commission before construction can be
undertaken. 1-he Major Use -Special Permit
process includes, in one action, any changes in
the Comprehensive Plan zoning district
classifications, other zoning actions, and other
City ordinances that would be necessary for a
building permit application to be considered.

It is intended that major use special permits be required where specified uses and/or
occupancies involve matters deemed to be of city-wide or area -wide importance.
The City Commissiva shall be solely responsible for determinations on applications
for major use special permits. (See Article 28.)
The City Commission shall'refer all applications for major use special permits to the
Planning Adi+isory Board and to the director of the Depnrtrnent of Plaruling for
recommendations, and may mal-;e referrals to other agencies, bodies, or officers,
either, through the Department of Planning or dircctl�,, for review, anaZysis, and/or
