RESOLUTION NO. 84-�692
A RESOLUTION ALLOCATING AN AMOUNT NOT TO
EXCEED $93,000 FROM THE 3PECIAL PROGRAMS
AND ACCOUNTS CONTINGENT FUND, IN SUPPORT
OF THE PROGRAM OF THE LATIN CHAMBER OF
COMMERCE OF THE UNITED STATES (CAMACOL)
FOR FUNDING OF THE PERMANENT SECRETARIAT
OF THE HEMISPHERIC CONGRESS OF LATIN
CHAMBERS OF COMMERCE AND INDUSTRY; SAID
ALLOCATION BEING CONDITIONED UPON
SUBSTANTIAL COMPLIANCE WITH CITY OF MIAMI
ADMINISTRATIVE POLICY NO. APM-1-811, DATED
JANUARY 214, 1984; SAID ALLOCATION BEING
FURTHER CONDITIONED UPON THE SUBSTANTIAL
RESOLUTION OF THE OUTSTA14DING AUDIT
FINDINGS CITED BY THE CITY OF MIAMI IN A
MAY 29, 19811 AUDIT REPORT OF THE; 1982-83
PERMANENT SECRETARIAT PROGRAM; FURTHER
AUTHORIZING THE CITY MANAGER TO EXECUTE AN
AGREEMENT, IN A FORM ACCEPTABLE TO THE
CITY ATTORNEY, WITH SAID ORGANIZATION.
BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA:
Section 1. An amount not to exceed $93,000 is hereby
allocated from Special Programs and Accounts Contingent Fund, in
support of the program of the Latin Chamber of Commerce of the
United States (CAMACOL) for the funding of the Permanent
Secretariat of the Hemispheric Congress of Latin Chambers of
Commerce and Industry.
Section 2. The herein allocation is conditioned upon
substantial compliance with City of Miami Administrative Policy
No. APM-1-84, dated January 24, 1984.
Section 3. The herein allocation is further conditioned
upon substantial resolution of the outstanding audit findings
identified by the City of Miami in a May 29, 1984 audit report of
the 1983-84 Permanent Secretariat Program.

Section 4. The City Manager is hereby authorized to
execute an Agreement, in a form acceptable to the City Attorney,
with said organization, to implement the herein allocation.

Attached is a recommendation, legislation and agreement in connection with
the Permanent Secretariat of the Hemispheric Congress of Latin Chambers of
Commerce and Industry in the amount of $93,000 in support of this program.
On June 14, 1984, the City Commission passed Motion No. 84-630 approving in
principle this request.
This item is being submitted for Copniission approval with the understanding
that no disbursements %%ill be made until all outstanding audit concerns are
resolved. WIhile this item is not regularly scheduled on the June 28 agenda,
it is our understanding that it may come up as a pocket item.

COMPENSATION:
A. CITY shall pay GRANTEE, as maximum compensation for the
services required pursuant to Paragraph IT hereof, the
amount of $93,000 as reClected in the line -item budget
that is att:ached hereto and made part of this Agrement
(Exhibit 2).
B. Upon execution of this Agreement and with a written
request from the GRANTEE, the CITY shall advance 1/6th
of the appropriated funds to the GRANTEE. It is
under:rtood that within ten (10) wur•king days after
execution of this Agreement by both parties and upun
approval of the advance request, the GRANTEE: will be
eligible to receive payment of one sixth or $1>,50J of
the total contract amount of $93,000. Prior to final
reimbursement of fiscal year, verification for the

All e>:penditures must be verified by origin 1 invoice
with a cony of the non -cancelled check which was used to
pay that specific invoice:. In case than an invoice i r,
paid by various funding Sources, a copy of the invoice
may be submitted but indicate the ex�3ct amount paid
by various funding sources equaling the total of the
t invoice. No miscellaneous categories will be accepted
as a line -item in a budget. Request for line -item
changes are allowable, with prior review and approval by
the CITY .
C. Requests for payment shall be made on a monthly basis.
Reimbursement requests shall be submitted no later than
thirty (30)
days after the
last date
covered by such
request.
Reirrrbursement

GENERAL CONDITIOUS:
A. All. notices or other communicatibns which shall or may
be given purauan t to this Agreement shall be in writing

to time. Stich notice shall be deemed given on the day
on which personally served; or, if by mail, on the fifth

NONDI:LFGfthILITY:
That. obligations undertal<en by GRANTEE pursuant to this
Agrees,innt sh<}11 not be delegated to any other person or firm
unless CITY shall. first consent in writing to the performance of
such 1ervice or any part thereof by another person or firm.
VIII.
AUDIT NIGHTS
r CITY reserves the right to audit the records of GRANTEE at
any time during the performance of this Agreement and for a
period of one year after final payment is made under this
Agreement.
Prior to the release of any funds to the GRANTEE, the
GRANTEE shall provide the CITY a letter from an independent
Certified Public Accountant (CPA) which established that the
GRANTEE's internal controls are adequate to safe-uard its assets
and properly reconcile accountinf; transactions. Tfte CITY will
not release any funds to the GRAIlTE-1 prior to receipt of this
letter.
The CITY will audit all GRANTEE "� receiving $15,000 or more.
All GRANTEES receiving $25,000 or more agree to submit to
the City's Department of Community Development an ind pendent
audit, by a certified public accounti!nt., which must inci,rde the
expression of an opinion on the stat, m,,:.nts and ficcounts
of funds. Said audit s},all bp subc!ittr 1 to ':he City's D.e;) rtment

INDEPENDENT CONTRACTOR:
The GRANTEE' and his/her employees and agents shall be deemed
to be indcp�n:ient contractors, and not agents or employees of
CITY, and shall not at.taan any right` or benefits under the Civil
Service or Pension Ordinances of the CITY, or any rights
generally afforded classified or unclassified employees; further
he/she shall not be deemed entitled to the Florida lorkers'
Compens~tion benefits as ;.n employee of the CTTY.
XV.
TERMINk.'CI,'j;} OF CONTRACT:
CITY retains the right to terminate this Agreec.ent at any
time prior to the corr.pletion of the services required pursuant to
Paragr_q)h I-1 hereof wlthou� penalty to the CITY. In that event,
a sixty (60) day notice of t:ermin:ation of this Agree-ment shall be
in writ ng to the GRANTEE, who shall he paid for those services

XVI.
NONDISCRIPMINATION :
The GRANTEE agrees that he/she shall not discriminate as to
race, sex, color, creed or national origin in connection with
his/her performance under this Agreement.

The GRANTEE acknowledges that he/she has been furnished a

CONTINGENCY FUND:

XXI.
ASSURANCES AND CERTIFICATIONS:

with the pro1)osaI and Line Item Budget (both of which are
attached as Exhibits 1 and 2), approv.�•+. by the City Commission.
b) CITY funds will not be co -mingled ,.ritln any other funds
and that separate bank account.; and accounting records will be
maintained.

d) Periodic progress reports as requested by the CITY will
be provided.

authority.
f) Ho activity under this Agreement shall involve political

WAIVER:
No waiver
of any
provision hereof shall
be deemed to have
been made unless such
waiver be in writing
signed by the City
Manager. The
failure
of the CITY to insist upon the strict
performance of
any of the provisions or
conditions of this
Agreement shall
be not
construed as waiving
or relinquishing in
the future any
such covenants or conditions
but the same shall
continue and remain
in
full force and effect.
XXIII_
AMENDIMENTS:
Ho amendments to this Agreement shall be binding on either
party unless in writing and signed by both parties.
