WHEREAS, pursuant to public notice, proposals were received February 15, 1984 for the furnishing a City -Wide 800 MHz Communications System to the Department of Building and Vehicle Maintenance; and WHEREAS, invitations were mailed to sixteen (16) potential suppliers and only one proposal was received; and WHEREAS, the safety and welfare of the citizens of Miami are dependent on effective and efficient Fire Rescue and Inspection Services, Police, and other City Departments, radio communications; and WHEREAS, City of Miami existing radio system designs are 30 years old, considered to be obsolete and cannot be upgraded or expanded; and WHEREAS, requirements exist from Fire, Rescue and Inspection Services, Police and other City Departments to upgrade and expand radio communication capabilities; and WHEREAS, after careful analysis of communication requirements, it was determined that a City-wide 800 MHz Trunked Communication System would best support all Fire, Rescue and CITY COIAII IQSION MEETIi", '__�F JUL S0 /�1984p ](1['�� Inspection Services, Police and other City Departments' communications; and WH .REAS, funds for this purchase are available in the 1981 Firefighting, Fire Prevention and Rescue Facilities Bond Fund, tf e 19811 I'o1,i.0o Headquarters and Crime Prevention Facilities Frond Fund, and the 1983-84 Florida Power and Light Franchise Revenue Fund;. NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. That the proposal of Motorola Communications and Electronics, Inc. for furnishing a City-wide 800 MHz Communication System, on a contract basis over an 18 month period, for the Departments of Fire, Rescue and Inspection Services, Police and otlier City Deparii»ents at a total co :t, not to exceed $7,100,000.00 is hereby accepted and approved with funds therefor hereby allocated from 1981 Firefighting, Fire Prevention and Rescue Facilities Bond Fund, the 1984 Police Headquarters and Crime Prevention Facilities Bond Fund, and the 1983-84 Florida Power and Light Franchise Revenue Fund. Section 2. That the City Manager is hereby authorized to execute an agreement, in substantially the attached form, for the procurement of this system, with provision for the availability of funds for succeding fiscal years. This resolution is requested in order to provide Fire, Police and Local Government departments a new City-wide communica- tions system and associated radio equipment to replace the City's existing and obsolete radio communications systems. Contract period is 18 months with Fire and Local Government departments scheduled to be operational within 12 months. A Selection Committee was appointed from Public Safety and Local Government departments to evaluate proposals avid parti- cipate in contract negotiations. The Law Department partici- pated in review of RFP specifications and was present during negotiations for consultations to the committee members. The City's RFP specifications (83-811-20) wore released Dec- ember 4, 1983. Proposal. responses ,.ere subr,iitted February 15, 1984. Only one vendor responded, Motorola Cormmunicaticns and Electronics, Inc. The Motorola Proposal submitted meets or exceeds City RFP specifications. The proposed system takes into consideration all aspects and requirements that are necessary to support Public Safety and Local Government communication requirements. J To: Howard V. Funds for the purchase of this System are available from FY 83-84 Fire Bond Funds, FY 84-85 Police Bond Funds and FY 84-85 Florida Power and Light Company franchise funds. REFERENCES: ENCLOSURES: In 1983 a decision was made to upgrade the City's Communica- tions System from 450 MHz to 800 MHz. The new system would in- clude City-wide communication requirements for all departmental functions which require radio communications. After a careful analysis of requirements, it was determined a City-wide 800 MHz Trunked Communication System would best sup- port all Fire, Police and Local Government communications. This system would have all modern state-of-the-art technology with capabilities to provide future communication requirements over a 20 year cycle. A technology evaluation phase was initiated to determine equip- ment availability, feasibility and system capabilities of meet- ing Public Safety and Local Government communication requirements. Nine months was spent addressing communication requirements that are unique in the Public Safety environment. At the conclusion of this phase, RFP specifications were develop- ed. The national APCO (Associated Public Safety Communication Cfficers) project tt16 report was used as a basis for developing Public Safety requirements. RFP specifications were reviewed and approved by the Law Department prior to release. RFP specifications were released during the first week of Decem- ber, 1983. Proposal responses were due February 15, 1984. Only one vendor responded, Motorola Communications and Electronics, Inc. SELECTIO14 C0141-4ITTEE A Selection Committee was appointed from Public Safety and Local Government departments to evaluate proposals and participate in contract negotiations. Others that participated during selection and negotiations in- cluded the following: Chief W. Cox, Fire Department Lt. Michael Jones, Police Department Lt. Charles Palamara, Police Department Sgt. Bruce Wiggins, Police Department Fire Officer, Don Reid, Fire Department Jorge Quintero, Department of Computers. The Law Department was represented by Mr. Alex Vilarello, to ad- vise the Committee during negotiations and to participate in the development of the Communications System Agreement. NEGOTIATIONS ■ There were eight items to be negotiated as defined in paragraph 1.4. Four of the items were provisions that were immediately accepted by Motorola Communications and Electronics, Inc. The remaining items and resolution of issues were as follows: Liquidated damages were discussed at some length with a rewrite of paragraph as defined in the Agreement. Order of precedence was defined as the Agreement, City of Miami Specifications, Progress Payments (Attachment A) and Motorola Proposal with addendums. Progress Payments were agreed to as defined in Attachment "A" of the Agreement and are summarized in Table I. Remaining terms and conditions were negotiated with minor changes in wording. The Motorola disclaimer clause was re- moved in its entirety. Contract scope is defined in Appendix "D" of the attached Agreement and is summarized in Table II. The Selection Committee exercised a quoted option for adding a Microwave System ($782,339) in lieu of using Special Telephone Circuits to control the 800 MHz Communication System because of the following reasons: To: Howard V. Gary Page Three The inherent reliability of a microwave system over telephone circuits is greater. Special Telephone Circuits would cost the City $175,000 per year. A majority of Data Networks from the Data Center to Fire, Police and other departments will be incorporated into the Microwave System. Net savings from departmental budgets is $146,000 per year. The present Radio Control Circuits for existing radio systems are costing the City $90,000 per year. These circuits will be disconnected once the 800 MHO, system becomes operational. Total recurring yearly costs to the City using Special Telephone Circuits and Data Networks, instead of Microwave Systems, is $231,000, assuming no future increases in tele- phone line costs. The Microwave System cost is $782,339. Return on invest- ment (pay -back) is 3.4 years basedupon annual recurring costs for special telephone lines of $231,000. With a total cost savings of $231,000 per year to the City, and Microwave System reliability factors, The Committee, as a whole, supports the use of the Microwave System over Special Telephone Circuits to control the 800 MHz Com- munication System. FUNDING SOURCES Fire Department Bond Funds $2,500,000 Police Department Bond Funds 3,944,000 Microwave Sub -System (F.P.&L. Funds) 782,339 TOTAL AVAILABLE FUNDING $7,326,339 The Director of the Department of Management and Budget has as- sured the Selection Committee that funding for the Microwave System can be obtained from Florida Power and Light Company franchise revenues or other sources. Officer �� tat IYy ate Page 2 of 2 z. � 0 Communications System Agreement THIS AGREEMENT, made and entered into this day of , 1984, by and between Motorola Communications and Electronics, Inc., an Illinois corporation, hereinafter referred to ar,, "MOTOROLA", and the City of Miami, a municipal Corporation of the State of Florida, hereinafter referred to as "CITY". WITNESSETH: WHEREAS, the CITY desires to purchase a communications system; and WHEREAS, the parties hereto wish to enter into an agreement pursuant to which MOTOROLA shall perform the work and furnish the equipment and services as more fully set forth in the following attachments to this Agreement, which are hereby made a part of this Agreement: NOW THEREFORE, in consideration of the promises and mutual covenants and obligations herein contained, and subject to the terms and conditions herein stated, the parties hereto understand and agree as follows: I Section 1 STATEMENT OF WORK. (a) MOTOROLA shall provide all of the equipment as outlined in appendix D, Equipment List, and installation for those items purchased to be installed as -1- 09 0 a detailed in Appendix D for an 800 MHz trunked communications system to be provided to the CITY. The system to be installed will include the prescribed number of installed and non -installed radios, microwa.vc system, computer hardware and software, modular consoles for the dispatch positions to be installed in the CITY's facility, to control the system over the microwave system, base stations including antenna and isolator and cavity duplexer and cable (as needed) to be installed in CITY's facility. (b) The City shall: (1) Provide a designated Project Director, Mr. C.E. Cox. (2) Provide Ingress and Egress to CITY's facilities as requested by MOTOROLA and have its facilities available for installation of the equipment to be installed. (3) Provide adequate telephone lines for the equipment installation and operation, where applicable. (4) Provide a designated work area with adequate heat and light, and a secure storage area for equipment delivered for installation to the CITY. The CITY shall be liable for loss or damage to equipment delivered to each site for installation not more than 15 days prior to scheduled installation during and following installation when such equipment is on or within CITY's facilities. (5) Provide required air conditioning, space humidity and air filtration, at the CITY's Communications Center facilities for all necessary equipment as specified. (6) Provide all existing Burroughs and C.A.D. Data Bases in MOTOROLA defined machine-readable format. (7) Provide CITY consumables including, but not limited to, magnetic tapes, disk packs, paper and ribbon and adequate storage containers. (8) Remove existing 450 MHz system Equipment. (c) MOTOROLA has guaranteed coverage over 99 % of the current operating area -2- 84-839 99 % of the time for main transmitter site only. A system Acceptance Test Plan (ATP) will be submitted to the CITY ninety (90) days prior to initiation of the thirty (30) day test phase. The CITY will then have forty-five (45) days within which to accept, acccpt with exception, or reject the proposed ATP. Acceptance of the ATP will be as rumcd by MOTOROLA in the absence of notification otherwise. The successful completion of the ATP will be the sole criterion for system acceptance. (d) The CITY is currently planning to accept the system in total and therefore will not use the system or any sub -system prior to final total system acceptance. If however, during the course of this Agreement the CITY desires to commence use of any sub -system, the CITY will thereupon grant MOTOROLA acceptance of that sub -system at which time the warranty period for the sub -system will begin. (e) MOTOROLA will be responsible for the training of maintenance personnel in the use of the equipment purchased and assist in training of Operations personnel. A training plan and schedule will be provided ninety (90) days prior to commencement of training. The CITY will have forty-five (45) days to accept, accept with exception, or reject the plan. Acceptance will be assumed by MOTOROLA in the absence of notification otherwise. Section 2 PERIOD OF PERFORMANCE. (a) MOTOROLA shall complete the work in accordance with the following schedule: (1) Effective date- Authorization to Proceed (2) Completion of installation - Seventeen (17) months after Authorization to Proceed (3) Commencement of Acceptance Test - Eighteen (18) months after Authorization to Proceed. (b) Whenever MOTOROLA knows or reasonably should know that any actual or potential condition due to circumstances beyond its control as defined in Part II, -3- 11 Section 3, is delaying or threatens to delay the timely performance of the work, MOTOROLA shall within thirty (30) days give CITY notice thereof and may request a written extension of time to perform the work. Section 3 PAYMENT SCHEDULE. (a) MOTOROLA agrees to sell all of the equipment and perform the services as outlined in the Statement of Work and in Appendix D, and the CITY agrees to buy the aforementioned equipment and services for the total purchase price of Seven million one hundred thousand dollars ($7,100,000.00). (b) The CITY shall make payments to MOTOROLA as follows: (1) Two million dollars ($2,000,000.00) of the total purchase price within thirty (30) days of execution of this Agreement. (2) Progress payments in the amounts established on the attached Milestone Schedule (Attachment A). (3) The Agreement balance of Five hundred thousand dollars ($500,000.00) will be retained until acceptance of the system as defined in the Acceptance Test Plan (ATP), Agreement balance shall be due within thirty (30) days of receipt of invoice. Acceptance shall be predicated upon successful completion of the thirty (30) day ATP. City shall not commence operational use of the total system other than for testing and training prior to acceptance, except under the conditions set forth in Part I, Section 1(d). (4) Upon final system acceptance, should the CITY have concern with the possible nonperformance by NAOTOROLA during the warranty period referred to in Section 14 and 15 of Part II of this Agreement, CITY may, at its sole discretion retain the Existing Public Safety and Local Government communications equipment, which is planned for trade-in, until completion of the warranty period. Upon completion of the warranty period, or earlier at the CITY's sole discretion, the CITY may deliver to MOTOROLA all the -4- Public Safety and Local Government communications equipment. If the City elects to retain this equipment subsequent to expiration of the warranty period, the purchase price of this Agreement shall. be increased to a total purchase prim of seven million seven hundred sixty --cane thousand eight hundred one* dollars ($7,761,301.00). Such increase of six hundred sixty-one thousand eight hundred one dollars ($661,801.00) over the total purchase prior shall be paid to MOTOROLA within thirty (30) days of the termination of the warranty period referenced above. Section 4 PROJECT MANAGEMENT. (a) MOTOROLA's performance of the work shall be under the general technical direction of MOTOROLA's Project Manager, who is John P. Bellefontaine. The Project Manager is authorized to exercise technical direction of this project. MOTOROLA, at any time, may designate a new or alternate Project Manager without written notice. (b) All matters affecting the terms of this Agreement or the administration thereof shall be referred to MOTOROLA's cognizant Contract Administrator, Bob Russow, who shall have authority to negotiate changes in or amendments to this Agreement. Section S NOTICE ADDRESSES. In the event of an inconsistency in this Agreement, the inconsistency shall be resolved in the following order: (a) The Communications Systems Agreement dated 1984. (b) City of Miami Specification entitled RFP 83-84-20, Appendix A. (e) Progress Payment Milestones Schedule, Attachment A. (d) MOTOROLA Proposal dated 15 February, 1984, Addendums dated 19 April, 1984 and Equipment List, Appendix B, C and D respectively. 11 Section 1 STANDARDS OF WORK. MOTOROLA agrees that the performance of work described in this Agreement and pursuant to this Agreement shall be done in a professional manner and shall conform to Industry standards. MOTOROLA warrants that all equipment provided under this Agreement shall be new and in good working condition. All packaging and packing shall be in accordance with good commercial practice. Section 2 COST AND PAYMENT. 0 (a) The total cost to the CITY for the work shall be set forth in Part I, Section 3. CITY shall not be obligated to pay MOTOROLA for costs incurred in excess of the cost in Part I, Section 3 except for changes in the work made pursuant to Section 4 of Part II. (b) The CITY shall pay MOTOROLA the amount of each invoice received, within THIRTY (30) DAYS in accordance with the payment terms set forth in Part I, Section 3. (e) The prices srt forth in Part 1, Section 3 are exclusive of any amount for Federal, State or Local excise, sales, lease, gross income service, rental, use, property, occupation or similar taxes. Both parties will be responsible for taxes levied upon them in connection with this Agreement. Section 3 SHIPPING. MOTOROLA shall retain title to the articles until CITY makes full payment. After delivery to City for installation pursuant to Part I, Section 1, paragraph (b)(4) risk of loss and damage to articles shall be borne by the CITY. Section 4 CHANGES IN THE WORK. (a) The CITY may, at any time, by written order from the Project Director, make changes within the general scope of the work, including but not limited to revisions of, additions to, or deletions of, portions of the work, or changes in method of shipment or packaging and place of delivery. (b) Upon receipt of such notice of change, MOTOROLA shall immediately take all necessary steps to cornply therewith and to minimize the incurrence of costs allocable to work eliminated or suspended. (c) If any order under this Section causes an increase or decrease in the cost of or time required for the performance of any part of the work under this Agreement, -7- 84-839 a mutually agreeable adjustment shall be made in the Agreement price or delivery schedule, or both, and the Agreement shall be modified in writing accordingly. If the change effects price and/or delivery schcdt..fle, then MOTOROLA is not obligated to comply with any order hcrcundcr unless and until the parties reach agreement as to the aforementioned mutually agreeable adjustment and same is reflected as an Amcndmcnt to this Agreement. Section S EXCUSABLE DEFAULT. (a) No default in the performance of the terms and conditions of this Agreement on the part of MOTOROLA or the CITY shall be deemed to continue if and so long as MOTOROLA or the CITY, as the case may be, shall be delayed in or prevented from remedying the same by (a) strike or other labor disputes, (b) acts of God or the .public enemy, (c) any order, directive or other interference by municipal, state, federal or other governmental official or agency, or any other cause reasonably beyond the control of MOTOROLA or the CITY. (b) If and when the occurrence or condition which delayed or prevented the remedying of such default shall cease or be removed, it shall be the obligation of MOTOROLA or the CITY, as the case may be, without further delay, to i commence the correction of such default or to continue the correction thereof. Such delays will be subject to a mutually agreeable extension of the Agreement I for the period of the excusable delay. i Section 6 TERMINATION FOR CONVCNIENCE. (a) This Agreement may be terminated by the CITY at its sole discretion. (b) In the event that the CITY chooses to terminate this Agreement solely for the f convenience of the CITY, MOTOROLA will, upon notification, take all reasonable steps to minimize termination costs. The CITY shall be liable to MOTOROLA for -8- ®4-839 equipment and services provided to the date of notice to terminate and reasonable costs which may be borne by MOTOROLA for termination of subcontracts, removal of installation and test equipment, and other costs directly related to an unforeseen and abrupt termination; however, in no case will CITY be liable to MOTOROLA in an amount in excess of the Milestone, referred to in Part I, Section 3, which immediately follows the date of the notice of termination. Section 7 DEFAULT. (a) If MOTOROLA is wholly responsible for failure to make delivery or complete installation in accordance with this Agreement, the CITY may consider MOTOROLA to be in default, unless such failure has been caused by the conditions set forth in Part II, Section 5. (b) The CITY shall give MOTOROLA written notice of such default and MOTOROLA shall have THIRTY (30) DAYS to provide a plan of action to cure said default. If MOTOROLA fails to cure said default, the CITY may terminate any unfulfilled portion of this Agreement or complete the system through a third party. In the event the CITY completes the system through a third party, MOTOROLA shall be responsible for the amount in excess of the Agreement price, incurred by the CITY in completing the system to a capability not exceeding that specified in the MOTOROLA Proposal and addendums, Appendix B, C and D. Section 8 LIQUIDATED DAMAGES. If MOTOROLA fails to complete the project within 30 days after the time specified or any extensions granted, the City shall advise MOTOROLA of its intent to deduct from the total Agreement prig, the amount of five hundred dollars ($500.00) per day for every day the project remains incomplete, not as a penalty, but as liquidated damages. MOTOROLA shall not be responsible for such delays if they are caused by unforeseen -9- Ll and unavoidable delays beyond MOTOROLA's reasonable control as defined in Part II, Section S above. MOTOROLA will advise the Project Director of any delays and their impact and required cost and schedule extensions. Section 9 LICENSES/AUTHORIZATIONS. The CITY is solely responsible for obtaining any licenses or other authorizations required by the Federal Communications Commission (F.C.C.) and for complying with F.C.C. rules. Neither MOTOROLA nor any of its Employees is an agent or representative of the CITY in F.C.C. matters or otherwise. MOTOROLA, however, may assist in the preparation of the license application at no charge to the CITY. The CITY acknowledges that project implementation is predicated on proper F.C.C. licensing. Section 10 PERFORMANCE BOND. MOTOROLA agrees to execute and deliver to the CITY a Performance Bond in the amount of one hundred percent (100%) of the Agreement price upon execution of this Agreement. Said Bond shall be issued by a company authorized to do business under the laws of the State of Florida, and acceptable to the City Department of Risk Management. Section 11 INDEMNIFICATION. MOTOROLA shall indemnify and save harmless the CITY against any all claims, suits, actions, damages or causes of action arising during the term of this Agreement for any personal injury, loss of life, or damage to property sustained in or on the premises by reason of or as a result of contractor's use, activities and operations thereon and from and against all cost, attorney's fees, expenses, and liabilities incurred in the defense of -10- E such claim and the investigation thereof. Section 12 INSURANCE. MOTOROLA shall not begin work pursuant to this Agreement until It has obtained insurance coverage as specified below. (a) All required insurance shall be written on an occurrence basis. (b) All insurance polices required by this Section must be written by a company or companies rated at least "A" as to management, and at least "X" as to financial strength, in the latest edition of Best's Insurance Guido published by Alfred M. Best Company, Inc., 75 Fulton Street, New York, New York. (e) MOTOROLA will be expected to furnish a Certificate of Insurance to CITY clearly indicating conformance with these requirements. Certificates should be forwarded to the City of Miami, c/o Finance Department/Risk Management Division, 65 Southwest First Street, Miami, Florida 33130. (d) All liability insurance policies required in this Section shall be endorsed to name CITY as an Additional Insured. The Additional Insured endorsement may be qualified to restrict the rights of the City of Miami as insured to those hazards within the scope of this Agreement. (e) All policy or policies of insurance required by this section shall be written in a manner so that such policy or policies may not be cancelled nor materially altered without thirty (30) days advance written notice to the CITY of Miami, c/o Finance Department/Risk Management Division, at the above address. (f) Workers' Compensation - MOTOROLA shall obtain and maintain in force for the life of this Agreement Workers' Compensation Insurance as required by Chapter 440 Florida Statutes. (g) Liability - MOTOROLA shall obtain and maintain in force for the life of this Agreement Comprehensive General Liability Insurance coverage or its equivalent -11- with at least a combined single limit of one million dollars ($1,000,000.00) per occurrence for bodily injury and property damage- The policy shall include Contractual Liability coverage, Products and Completed Operations coverage and Personal Injury coverage. (h) Automobile Liability Insurance - MOTOROLA shall obtain ,and maintain in force for the life of this Agreement, Automobile Liability Insurance coverage or its equivalent covering all owned, non --awned, hired vehicles used in connection with work arising out of this Agreement. Coverage shall be written with at least a combined single limit for bodily injury and property damage liability of three hundred thousand dollars ($300,000.00) per occurrence. Compliance with the foregoing requirements shall not relieve MOTOROLA of its liablity and obligations under this Section or under any other Section of this Agreement. Section 13 EQUIPMENT COMPATIBILITY. MOTOROLA agrees that the equipment, as proposed, will perform in accordance with the City of Miami specifications and representations as stated in MOTOROLA's Proposal, Addendums and Equipment List included herein as Appendix A, B, C and D. The Agreement does not extend to the performance of the equipment as a part of a system in combination with products, elements or components not supplied by MOTOROLA under this Agreement. Section 14 (A) HARDWARE WARRANTY. MOTOROLA radio communications products purchased on this Agreement only are warranteed to be free from defects in material and workmanship for a period of ONE (1) YEAR, from the date of acceptance. Parts, including crystals and channel elements, -12- will be replaced free of charge for the full warranty period as will the labor to replace defective parts. Thereafter the City must pay for the labor involved in repairing the product or replacing the parts at the prevailing rates together with any transportation charg ,as to or from the place where warranty scrvicc is provided. This cxpress warranty is extended by MOTOROLA Communications and Electronics, Inc., 1.301 E. Algonquin Road, Schaumburg, Illinois 60196, to the original purchaser only, and only to those purchasing for purpose of leasing or solely for commercial, industrial, or governmental use. In the event of a defect, malfunction or failure to conform to specifications established by MOTOROLA, or if appropriate, to specifications accepted by MOTOROLA in writing, during the period shown; MOTOROLA, at its option, will either repair or replace the product and such action on the part of MOTOROLA shall be the full extent of MOTOROLA°s liability hereunder. This warranty is void if: (a) the product is used in other than its normal and customary manner; (b) the product has been subject to misuse, accident, neglect or damage; (c) unauthorized alterations or repairs have been made, or unapproved parts used in the equipment. In order to obtain performance of this warranty, the City must contact its MOTOROLA salesperson or MOTOROLA at the address first above shown attention Quality Assurance Department. (B) SOFTWARE WARRANTY. MOTOROLA is to provide software in connection with this Agreement, it is warranted to be free from reproducible defects for a period of one (1) year from acceptance in -13- accordance with the ATP. All material and labor to repair any such defects will be provided free of charge for the full warranty period, subject to the following disclaimer: (1) The program is used in other than its normal and customary manner. (2) A program has been subjected to misuse. (3) A program has been subject to modifications initiated by the customer or merged with othr_r programs without the express prior consent and written approval of MOTOROLA. Section 15 CONFIDENTIAL INFORMATION. All MOTOROLA proprietary computer programs and other material and information of confidential nature marked MOTOROLA PROPRIETARY and CONFIDENTIAL will be released, as required under this Agreement, and under the following conditions: (1) CITY shall exercise reasonable and prudent measures to keep these items in confidence. (2) CITY shall not disclose these items to third parties without prior written permission, unless MOTOROLA makes them public or CITY learns them rightfully from sources independent of MOTOROLA. (3) MOTOROLA, where necessary, retains the right to prescribe specific security measures for the CITY to follow to maintain the confidentiality. (4) CITY shall not be responsible for theft and illegal use of these items by CITY personnel. Section 16 COMPUTER SOFTWARE AND SOURCE LISTINGS. It is recognized that in the course of this Agreement between CITY and MOTOROLA, computer programs may be delivered to CITY on a licensed basis in printed form or in any of several possible machine-readable forms including, but not limited to, magnetic -14- tape or disk, paper tape, or read only memory (ROM) device. CITY shall then become a Licensee with respect to such computer programs_ Delivery of such programs by MOTOROLA and acccpt inr_e of same by CITY shall be madc only under the conditions set forth below «nlcss otherwisc agrcr_d in writing by MOTOROLA. IMPORTANT, IF CITY TAKES EXCEPTION TO ANY PORTION(S) OF THIS ARTICLE. CONTACT MOTOROLA'S CONTRACT ADMINISTRATION DEPARTMENT OR THE COGNIZANT CONTRACT ADMINISTRATOR AS IDENTIFIED IN THE SCHEDULE OR RETURN ANY PROGRAM DELIVERED HEREUNDER TO MOTOROLA IMMEDIATELY FOR A REFUND OF THE LICENSE FEE PAID BY BUYER THEREFOR. (1) Computer Programs Remain MOTOROLA's Property. The original in machine-readable form, and any copies made by CITY, in whole or in part, shall remain MOTOROLA's property. (2) License for Computer Program. MOTOROLA grants to CITY a non- transferable and nonexclusive license to use each computer program delivered to CITY hereunder (Licensed Program hereinafter). Each such license granted authorized CITY to use the Licensed Program in machine- readable form only in a single computer system and CITY agrees that it will use any such Licensed Program only in a single computer system. Such license may not be assigned, sublicensed or otherwise transferred by CITY without prior written consent of MOTOROLA, except as provided in (3) below. Additional copies of a Licensed Program may be purchased from MOTOROLA. No right to copy a Licensed Program, in whole or in part, is granted except as hereinafter expressly provided. (3) The right to copy or modify and the protection and security of Licensed Program are subject to the following conditions: (a) Any Licensed Program provided in machine-readable form may be copied in whole or in part, in printed or machine-readable form for CITY's use only, provided however, that no more than five (5) printed copies and five (3) machine-readable copies will be in existence under a license at any -15- i one time without prior written consent of MOTOROLA, other than copies resident in CITY's computer system. (b) CITY may modify or merge, with other programs any machine-readable form of a. Licensed Program to form an updated work. Any portion of such Licensed Program included in an updated work is subject to all terms herein. Upon termination of the license for such Licensed Program, CITY agrees to completely remove the Licensed Program or any portion thereof from the updated work. (e) With reference to any copyright notice of MOTOROLA associated with a Licensed Program delivered hereunder, CITY agrees to include the same on all copies it makes in whole or in part and to include the same on any updated work. MOTOROLA's copyright notice may appear in any of several forms, including machine-readable form within the Licensed Program. (d) CITY agrees not to provide or otherwise make available in any form any Licensed Program delivered to CITY in machine-readable form, or any portion thereof to any person other than employees of CITY or MOTOROLA without prior written consent of MOTOROLA. (4) Any license granted hereunder may be terminated by CITY upon THIRTY (30) DAYS prior written notice. MOTOROLA may terminate any such license if CITY is in default of any of the Terms and Conditions hereof and termination is effective if CITY fails to correct such default within thirty (30) days after written notice thereof by :IMOTOROLA. (5) Within THIRTY (30) DAYS after termination of any license, CITY will furnish to MOTOROLA a certificate certifying, with respect to each Licensed Program delivered to CITY in machine-readable form, that, through its best effort and to the hest of its knmvledge, the original and all copies, in whole or in part, in any form, including any copy in any updated work, have been destroyed except that, with prior written consent from -16- 21 MOTOROLA, CITY may retain an archive copy. (6) Notwithstanding the above, use of source Software requires execution of a separate .Source T. iccnse Agreement and CITY agrees that it will take appropriate action with its employers, by agreement or otherwise, to satisfy its obligations with respect to use, copying, modifications and protection and security of licensed programs, source listings, and optional materials. Section 17 NON-DISCRIMINATION. It is expressly understood between the parties hereto that MOTOROLA, in carrying out the provisions of this Agreement, covenants and agrees not to discriminate against any employee or applicant for employment because of race, creed, color, sex or national origin, and that similar provisions shall also be included by MOTOROLA in any subcontract. Section 18 MINORITY PROCUREMENT COMPLIANCE. MOTOROLA acknowledges that it has been furnished a copy of Ordinance No. 9775, the Minority Procurement Ordinance of the City of Miami, and agrees to comply with all applicable substantive and procedural provisions therein, including any amendments thereto. Section 19 CONTINGENCY CLAUSE. Funding for this Agreement is contingent on the availablilty of funds and continued authorization for program activities and is subject to amendment or termination due to lack of funds, or authorization, reduction of funds, and/or change in regulations. -17- 84-839 Section 20 CONFLICT OF INTEREST. MOTOROLA is aware of the conflict of interest laws of the City of Miami (City of Miami Code Chapter 2, Article V), Dade County Florida (Dade County Code Section 2- 11.1) and the State of Florida, and agrees that it will fully comply in all respects with the terms of said laws. Section 21 INDEPENDENT CONTRACTOR. MOTOROLA and its employees and agents shall be deemed to be independent contractors, and not agents or employees of CITY, and shall not attain any rights or benefits under the Civil Service or Pension Ordinances of CITY, or any rights generally afforded classified or unclassified employees; further MOTOROLA's employees and agents shall not be deemed entitled to the Florida Workers' Compensation benefits as an employee of CITY. Section 22 NON DELEGABILITY. That the obligations undertaken by MOTOROLA pursuant to this Agreement shall not be delegated to any other person or firm unless CITY shall first consent in writing to the performance of such service or any part thereof by another person or firm. Section 23 AUDIT RIGHTS. CITY reserves the right to audit the records of MOTOROLA, as it pertains to this Agreement, except for information concerning confidential payroll and product costing information, at any time during the performance of this Agreement and for a period of one (1) year after final payment is made under this Agreement. 84-839 Section 24 AWARD OF AGREEMENT. MOTOROLA warrant; that it has not employed or retained any person employed by the CITY to solicit or secure this Agreement and that it has not offered to pay, paid, or agreed to pay any person employed by the CITY any fee, commission percentage, brokerage fee, or gift of any kind contingent upon or resulting from the award of this Agreement. Section 25 SUCCESSORS AND ASSIGNS. This Agreement shall be binding upon the parties herein, its legal representatives, successors, and assigns. Section 26 COMPLIANCE WITH FEDERAL, STATE AND LOCAL LAWS. Both parties shall comply with all applicable laws, ordinances and codes of Federal, State and Local Governments. Section 27 TITLES AND PARAGRAPH HEADING. Title and paragraph headings are for convenient reference and are not a part of this Agreement. Section 28 WAIVER. No waiver or breach of any provision of this Agreement shall constitute a waiver of any subsequent breach of the same or any other provision hereof, and no waiver shall be effective unless made in writing. -19- Section 29 NOTICES. (a) All notices to the parties under this Agreement shall be in writing and sent to the names and addresses stated in Part I, Section 5. (b) Either party may change such name and address by notice to the other in accordance herewith, and any such change shall take effect immediately upon receipt of such notice. Section 30 GOVERNING LAW. This Agreement shall be governed by and construed in accordance with the laws of the State of Florida. Section 31 FULL AGREEMENT. This Agreement, Appendixes and Attachments, constitute the final expression of the agreement of the parties and supersedes all previous agreements and understandings relating to the work. The proposal must be dated on this page. 2.2 Table of Contents A listing of all major and sub -major topics and associated page numbers must be included. 2.3 Response to SnecifiCazions This section shall contain detailed responses to all re- quirements of the specifications. Areas of ncn-cemnliance must be addressed and/or alteratives defi.ted in detail to accomplish the same end result of the requirement _n ques- tion. 2.4 Overview This section is an introduction and synopsis cf the proposal. The proposed equipment shall be identified, together with the highlights of each of the following sections. The offerer shall include identification of the prLmary reasons why his equipment and service will best meet the specified requ...re- ments. In addition, his primary strengths with respect to 3 - 2 competitive factors shall also be presented and elabor- ated. A complete detailed statement of proposed system design and concept of operation shall be included in this section. 2.5 Equipment This section shall describe in functional detail the pro- posed 800 MHz Trunked System and related equipment. Com- plete technical information, using latest EIA measurement standards, where appropriate, shall he provided in this section. In addition, the complexity of expanding the system must be clearly described. FCC reaist.rati,on and/or type accoptanco numbers of all equipment proposed shall he speci.fiea. The purpose of this section is to permit the evaluator to totally understand the proposed equipment without the neces- sity of referring to other documents or brochures. 2.6 Service This section shall describe the service policies associa- ted with the proposed equipment as they would apply to the City of Miami. The number of service personnel trained in the proposed systems in this geographical area (Dade County) should he specified. The address of the offerers local service centers should also be provided. If these centers are available for in- spection, it shall be stated in this section. The number and type of spare parts available may also be identified. Please indicate if the current maintenance records at these centers are available for inssection. Present, in as much detail as necessaryr, the proposed sex - vice concept for the proposed systems. Include such items as guaranteed support response time, cn-site spare parts, possible customer maintenance, etc. The amount of space required for en -premises snare _:arts storage, maintenance equipment and personnel, shall also be identified. 2.7 Svstem Plan This section shall identify the exact tasks that the customer must per -form and/or be responsible `or in order to accomplish the delivery and system imnlementation. Twenty five percent (25%) of the total system cost will be paid upon completion of all work and accep- tance. of the operational system (s). 4.2.2 Payment Does Not Imnly Accentance of the work The granting of any progress payment or payments by the City of Miami, or the receipt thereof by the contractor, shall not constitute in any sense acceptance of the work or of any por- tion thereof, and in no way lessen the liability of the con- tractor to replace work or material which does not conform to the contract document, though the character of such work or material may not have been apparent or detected at the time such payment was made. Materials, components or workmanship which do not conform to the instructions or these contract re- quirements and specifications, or are not equal to the samples submitted to and approved by the City of Miami, will be rejec- ted and shall be replaced by the contractor without delay. 4.2.3 The vendor may assign his rights under this contract subject to prior written notice and approval by the Director, Build- ing & Vehicle Maintenance Department. However, no assign- ment of any contract rights shall relieve the vendor of any of its obligations to meet the speca.=:.cations for equipment, service, repair and replace the ecuipment as recuirea. This contract shall be awarded to the vendor as the :nest cualified lcwest responsible bidder and the vendor may act assign or transfer its performance obligations under this contract to any other entit-r. 4.2.4 In the event that the obligations and assets of the offerer are merged or assumed by some other lecal entity, the offerer agrees to provide written notice to the Director, vuil ding & Vehicle Maintenance Depart- ent and the City of Mi ami shall be given the right to al_ow their contract to continue under the new ownership or to to inat the contract wit :out penalty. The vender shall run actual performance tests on emLipment prior to bid awards at no cost to the purchaser or, as an alternate, the vendor shall, at the recmnst of the aurchaser, supply the Location where a typical installation a"' th.e equip- ment is available for evaluat-ion. Travel costs :or the City personnel will be the respcnsibi?ity oa the City cf ;Miami. 4.7 Warranty, All equipment, including material used, shall be guaranteed by the contractor against mechanical, alect::ical, electronic, and workmanship defects for a minimum period of one (1) year. Manufacturers' warranties in excess of one (1) year shall be provided to the purchaser at no additional cast. In the event defects became evident within the one-year way =a.nty period after date of acceptance, the contractor shall furnish all replacement parts and materials at no cost to the purchaser. Warranty shall begin at system acceptance. Under this war- ranty, the contractor shall provide all replacement parts, 'materials and labor for all components of the 800 MHz Trunked System for a period of one (1) year. 4.7.1 In -Warranty Maintenance and Service The contractor shall have a Customer Service Department which maintains a pool of critical systems components for immediate (one day) delivery. Upon notif.,cation, an cperating, fully tested unit shall be shipped to the purchaser. The defective unit shall be` returned to the factory for repai.w , thus re- plenishing the pool supply. All costs incur=ed will be borne by the contractor. During the warrants period the contractor shall be_ recruited to respond to the City of Miami Communication Services Divisions' requests for assis- tance in :maintenance and/or engineering services related to the system. 4.7.2 Out -of -Warranty Maintenance and Ser`.rice Out -of -warranty maintenance and service shall be available for the design life of the ecuio_mtent (as specified in the _ contractor's proposal) -From the location closest to the City of Miami. This location shall be identified by the bidder in their proposal. When repair, :modi Pica Lion or re -alignment of a unit is required, only those costs associated with the re- pair are to be charged. - 13 51 4.7.3 4.8 4.9 4.10 SuDvort Letter Vendor shall cause the equipment manufacturer to supply a letter of support duly authorized and executed which shall state that in the event of. material breach, default or fail- ure on the part of the vendor, said manufacturer will as- sume full respon.sibil.ity for completion of the 4.nstalla- tiron or maintenance of the emi_4 pment under warranty. This letter shall bec=.c a paw of the contract. Maintenance Maintenz.nce on the Trunked 800 wiz system will be provided for the first year under warranty with the exception of on - site labor performed by the City of Miami. Bidders shall submit a list of recommended spare_ parts com- ponents, and/or modules, together with itemized costs as part of their proposal. This list shall consist of all parts that would be required to adequately service the pro- posed system for a period of one (1) year. The successful bidder shall provide to the City of Miami the required amount of spare components on a consignment basis. At the completion of the one (1) year warranty period, the City of Miami shall determine those items which shall be purchased by the City of Miami and the remaining items shall be re- turned to the successful bidder. Limitation of Vendors' Liabilities If the performance of any part of this contract by vendor is prevented, hindered, delayed or otherwise made impracticable by reason of any strike, unavailability of materials, or sup- pli.es,-flocd, riot, fire, explosion, war, or any other cas- ualty, or any other cause of whatever nature that is beyond the control of vendor, and which cannot be overcome by reason- able diligence and without unusual expense, vendor shall be ex- cused f.Lem such performance during the 'continuance of any such happening or event, for as long as such even= shall continue to prevent, hinder or delay such performance, provided that _n the event of a strike, lockout, or other disturbance in the vendor, vendor stall provide service in accordance with. =.:e provisions of this contract by the use of supervisory personnel or anv other personnel which vendor shall deem necessa.—i. Subsequent failures shall resu?t in the fol- lowing: 1. During the warranty period, each subsequent fail- ure to respond or correct in a timely manner will obtain a one -month extension of the cost-free war- ranty maintenance period. 2. All information describing major :malfunction identification and subsequent tdcuble shoot- ing procedures.. In addition, five sets of a complete system manual which will contain all information an all sites as- detailed above. in addition, five sets of manuals.shall be provided for mobiles, portables and control station radios. 4.14 Revision Reau-4-ements The contractor shall be liable to the purchase for supply of . intormmaticn, material and labor necessary for mandatcr� revisions determined by the manufacturer at no cost to the Purchaser for a minimum of rive (5) years frcm date of equip- ment nurchase. All revisicn information pertaining to the equip-Ment shall be supplied to the purchaser at no cost as it beccmes avail- able.. (This includes corrections to the inst-ructional :man- ual, etc.) This inormation is to be furnished for as 'long as this equipment is being produced by the ;manufacturer. -t1a- 84-839 4.15 Delivery and installation The purchaser is responsible for all necessary installa- tion site Preparations with the exception of those prep- - erations an may be specifically assigned to the contrac- tor iz the technical requirements of the speci.f.ications. Th_s shall be followed by a successful perfmn orance pericad of ninety (90) days. 4.16 Equipment Acccotance and Performance Period NOTE: Equipment acceptance is and shall be understood and agreed to be acceptance of the total system by the City, not on an individual equipment and/or site basis. 4.16.1 The date of final equipment and/or system acceptance shall be defined as the date of written verification by the City of operation and completion of a successful performance period, to the City's satisfaction. 4.16.2 A performance period of ninety (90) days of successful oper- .ation after equipment installation and verification shall con- stitute'a successful performance period. 4.16.3 If a successful performance period cannot be accomplished within 120 days a= ter eciipment installation and system test and verification, contractor may be deemed iZ default and the purchaser may enforce the provisions of the per- formance and, par:nent (surety performance) hcnd at the option of the purchaser. 2.16. 3.1 Failures during the performance period sha11 :e classified as "Major" or "tillnor" . Detailed definition of "Major" or "Minor" faults will be provided during a pre --performance period conference. However, generally, a "Ma-ior" fault is any interWsption causing a loss of�communications or degraded ccmmunications. Other faults (portables, mobiles, etc.) which do not dis-rupt system communications axe "Minor" 19 - [ I faults, except that the occurrence of three (3) "dinar" faults in a twenty-four (24) hour period shall be con- sidered a "Major" fault. The City of Miami re- serves the right and shall he at liber-ty to inspect all materials and workmanship at any time during the manufac- turing or installation process and shall have the right, to reject all materials and workmanship which do not conform with the inst_-uct_Jons, contract requirements and specifica- tions, provided, however, the city of _Miami is under no ob- ligation to make such inspection, any inspection made shall not relieve the contractor from any obligation to furnish materials and wor.�nanship in accordance with the instruc- tions, contract requirements and specifications and indus- try accepted standards and procedures. Any conflict in standards shall he resolved as decided by the City of Miami. 4.17 Permits andLicenses The contractor shall be responsible for obtaining any nec- essary construction and installation perm_, is and licenses and shall comply with all local codes and ord-4-nances, with- out additional cost to the mu=chaser. 4.3.8 PROPOS,"L SECUR=- All proposals shall be accompanied by a ce=if ied Check, Cash- ier's Check or Surety Bond in the amount of five percent of the total price (for multiple proposals the Sur- ety Bond must be based an the highest price sul= i tted) I w 20 - payable to the City of Miami, and conditioned upon the success- ful vencbr� sw mi.tti.ng the specified Performance Bond within ten (10) days following Notice of Award, in the form and manner re- quired by the City. On -case -of -failure or refusal, to do so with- in the time stated, the security submitted with the offer will be forteited as liquidated damages because of such failure or de -- fault. 4.19 Performance and Payment Bond The contractor to whom the award is made shall execute and de- liver to the City of Miami a Performance and Payment Bond in the amount of 100% of the ' price. in lieu of the above ;mentioned Surety performance Bond, the contractor may, at his option, de- liver a Certified. Check in the amount of 100% of the ` price with the contractor's performance and Payment Bond duly executed. The Performance and Payment Bond Form shall be supplied by the City. NOTE: (1) The bonds required above shall be issued by companies authorized to do business under the laws of the State of Florida with the following qualifications as to management and financial strength: The company shall have a general policy- holders rating of no less than "A" and the amount of any required bond shall not ex- ceed 5% of the reported policyholders sur- plus as reported in the latest edition of Best's Rey Rating Guide, published by Al- fred M. Best Company, Inc. NOTE: (2) Attorneys--in-Fact who sign surety bonds must file with it a certified copy of their power of Attorney to sign such bonds. 4.20 Indemnification and Insurance The contractor shah not commence work under this contract until he has obtained the insurance specified below. The contractor shall maintain such required insurance in force during the life of this contract: No mcdificaticn or change in insurance shall be made without ninety (90) days written advance notice to the Risk M.anagemen, Division unless duration of job is to be less than ninety (90) days, in which case this written advance notice shall not be applicable. - 21 - a. Workers Compensation insurance - as required by Chapter 440, Florida Statutes. b. Comprehensive Gnneral. Liability Insurance - with at least a combined single for bodily injury, and property damage liability of $1,000,000 per occurrence. The Pro- ducts and Camp y ted Operations, and Contractual Liability exclusions shall be eliminated. The explosion., collapse and underground Liability exclusions may remain i , no such exposure exists. C. Automobile Liability lnsi ance - covering all ownod hired vehicles used in connection with the work, in the- amounts of $100,000 per person $300,000 per occurrenco fez bodily injury liability and $50,000 per occurrence for property damage liability. Requirement, for this automobile liability insurance will not be applicable if this contract or job does not and will not require the use of any contractor vehicle. d. The City shall be named as an Additional Insured or as its interest may appear on the policies as recited in Paragraph b , above. 4.20.1 All insurance polices required above, shall be issued by companies authorized to do business under the laws of the State of Florida, and be countersigned by a Local Insurance Agent or Broker domiciled in Dade County, Florida. The minimum qualifications as to manace- ment and financial strength of the Insurance Companies are as fol- lows: The company must be rated no less than "A" as to management, and no less than Class "X" as to strength, by the latest edition of Best's Insurance Guide, published by Alfred M. Best Company, Inc., 75 Fulton Street, New York, N. Y.. 4.20.2 Loss by fire, theft, vandalism, or any other cause shall he the responsibility of the contractor until such time as the delivery or work has been ccmpleted and accepted by the City. 4.20.3 The contractor shall indernni::v and save harmless the City against any and all c:.aims, suits, actions, damages or causes of aczicn arising during the term of this Ag-_ef?ment or any personal loss of life, or damage to property sustained in or cn the aremi- ses by reason of or as a result of contractor's use, activities and operations thereon; from and against all cast, attorneys fees, expenses, and liabilities inc,,:rred in the defense of such claim. and the investigation thereof. 4.20.4 k As soon as the successful vender - is notified by the Purchasing Division, he shall within ten (10) days furnish a Certificate of Insurance to the City Purchasing Agent, P. 0. Box 330708, Miami, rl. 33133. - 22 - 71 4.20.5 Any questions regarding the format of the Certificate should be directed to the Division of Risk Management 579-6058. A Purchase order will not be issued and no work shall cc=-ence until the Risk Management Division has notified the Purchasing Division that all insurance roc,-uirements have been met. 4.20.6 Carti.-Aricates of Ensurance shall clearly indicate that the contractor has obtained insurance, in the types, amounts and classifications, in strict compliance with this Article. Such Certificates shall make reference to the Requisition or RFP Number. - 2 3 -P 4.21 Patents and RoXalties The offerer , without exception, shall indemnify and save ha=less , the purchaser and its employees from liability of any nature or kind, including cost and expenses for or on account of any copy- righted or unpatented invention, process or article manufactured or used in the perfoa;:,9ance of the contract, Ln.cluding its use by the p rcha scar. If the offerer uses any design, device or materia-Is covered by letters, patent or copyright, it is mutually agreed and inderstood without exception that the prices shall include all royalties or costs arising from the use of such design, devicT. or materials in any way involved in the wozjkA and costs ad a=orney s fees in da_fense, or my. cla = thereof. 4.22 Price Time Extension (Additional Quantities and Inst ion) This specification describes the equipment requircments as of con- tract award date. It is, and shall be understood and agreed, that additional quantities of equipment and the installation thereof (if required) shall be furnished the City of Miami by the contractor for a period of two (2) years from date.of system acceptance at price(s)quoted in his Proposal. These prices shall include labor cost. 4.23 Liquidated Damages If the contractor fails to deliver and install the equipment or per- form the services within the time.specified or as agreed upon in this specification, it is understood, and the contractor hereby agrees, that the amount of $1,500 per day, to a maximum of 60% of the total system cost shall be deducted from the :ponies due the con- tractor for each intervening calendar day any work remains incomplete, not as a penalty, but as liquidated damages. Except the contractor shall not be liable if failure to perform arises out of cause beyond the control and without the fault or negligence of the contractor. (Acts of God, the public enemy, fires, flood, strikes, freight em- bargoes, etc.). in addition, Paragraph 3.9 applies to the installa- tion, warranty, requi_ements of this specification. The City or: Miami only upon the recommendation of the Director of Building Vehicle Maintenance Department, through a duly processed chance order, can extend the original date. The contractor is reguized to doc sent to the Director, Building & Vehicle Maintenance Department, and obtain wrilrten concurrence on any item that affects scheduling a.d/or project status at the tLre (within 24 hours) of an`.' event which a cots this provision, overall scheduling or project status. The fail- ure or the contractor to properly dcc,=ent and receive cone-arrence of any action that affects the project, in a timely manner, does not relieve the vendor from the penalties of 1iq- c_uidated damages. - 24 - 4.24 Oral Presentation Offerers shall be required to give an oral presentation concerning their offerFk The oral presentation shall be arranged by the ptaxchaser within ten (10) days after receipt o. proposals. The exact date for presenta- tions shall be mutually agreeable to both purchaser and contractors and. shall. £all within twenty (20) days after receipt of oroposa.ls. The presentations small be used to provide the purchaser with additional izforna tion for those areas of the con- tractors proposals which may require additional clari- fication as to design approach, method of implementa- tion, .reasons for bid exceptions, etc. ?presentations shall generally provide coverage of the economic, en- gineering, and operating aspects of their proposal.. The offerer shall allow sufficient time for the presen- tation of their proposals and for purchaser initiated questions concerning their proposals. However, the City of Miami reserves the right to adjourn or prolong such presentations if, in its opinion, it is an the best interests of the City of Miami. Contractors may dis- play typical pieces of .equipment proposed, examples of similar unique type of hardware untilized elsewhere, etc. The order or contractor presentation shall be determined by the purchaser on an impartial basis. 4.25 Program Manager The offerer shall, as a part of their proposal, designate an individual acceptable to the purchaser to perform the contractor's program management function. This individ- ual shall have recent direct experience is the manage- ment of systems of similar scope and complexity. A resume or this individual shall be submitted as 'Mart of their nrcrosal. Ignorance on the part of the offerer shall in no way relieve him from responsibility. 4.29 Indulgence Indulgence by the City of Miami or any non-compliance by the contractor does not constitute a waiver of any rights under this agreement. -e 26 - 5.0 SYSTEM F=CTIONIAL REQUIREMENTS 5.1 General The City -Wide Tr.unked 800 MHz System shall be designed with the capability to provide quality communications for Public Safety and Local. Government- users. The system design shall incorpor- ate all rc-quiroments and 11;e capa-ble oz oragressive (-_sctaansion and loading. P«blic Safety rec ui_remenr a are severe and must be addressed accordingly. ngly. As previously described, the system shall he Lziplemented in pha- ses. The initial design must take into consideration the final system; its progressive expansion and projected load. The sys- tem design must be clearly identified with detailed engineering and loading analysis. Potential risks shall be identified and --" analyzed with steps defining solutions to such problem areas. 5.2 System Overview The System.Overview shall contain an overall view of the entire system configurations. Sub -sets of the overview shall define top level functions of each system phase. Block diagrams, flow charts, illustrations and operational examples should be inclu- ded, if possible. 5.3 General Orerational Requirements It is the intent of the City of M ami to purchase, and implement a twenty channel 800 N.Hz Tru:Llced Communications system for use by the Fire, Police and Local Government Departments. As de- scribed in this doeament, the following features shall be in- corporated into the trunked system for the City of Miami.. 5.3.1 The control channel concept shall be used unless analysis shows that another control type technology is proven superior. 5.3.2 A Central switching Controller unio, with a local trurki.ng inter- face unit shall he provided to accept manual updates from a ter- minal and provision for interfacing into the Fire and Police De- par'=-ents Computer Aided Dispatch System(s) (CAD) . 5.3.3 Continuous channel assignments update capability shall. be provi- ded using digital control or data communication control for sig- naling. 5.3.4 The system shall have provisions for five main communication groups. 5.3.5 Each main group shall have the capability of assigning up to fifteen communication sub -groups or sub -fleets. 27 - 5.3.6 The proposed system shall be capable of interfacing with the Firs Department's CAD System, which is driven by a Burroughs 7900 Computer, The Burroughs interface, its protocol and peri- meters will be distributed during site inspections. The typi- cal sequence of dispatch operation shall he as follows a) The call taker processes the call by entering the appro- priate incident i.nformation, into CAD. b) CAD present: the incident to the dispatcher terminal, along with the recommended apparatus equipment~ to ser- vice the incident. Fire apparatus equipment includes aerial companies, hose companies, engine companies, rescue companies and other special, designated companies. e) The dispatcher reviews the incident and the apparatus selected; changes apparatus selection, if required; pro- ceeds with signaling the appropriate s tation. (s) , voice dispatching and notifying CAD of the dispatch. d) All stations and Fire and Rescue apparatus radio equip- ment shall normally be monitoring and assigned on one dispatch sub -fleet. Upon dispatch, all radios assigned to designated apparatus shall be dynamically switched to a separate tactical sub -fleet by the Central Switching Controller to allow communication between all radios assigned to the incident. e) The Central Switching Controller shall obtain its In- puts from the trinking interface control unit which derives its controls from the CAD System or local manual inputs from the dispatcher. CAD and manual inputs to the trvnking interface unit contain apparatus reference desig- nators such as "ENGINE 1, HOSE 2, AERIAL 4, CHIEF 1, RES- CUE 9, etc.", for each dispatch incident. The trunking Interface unit shall translate the reverence designators to radio I.D. numbers of appropriate apparatus. These I.D.'s shall be sent to the Central Switching Controller to develop commands and be transmitted via the control channel to the individual radios for sub -fleet activation. f) Dispatched apparatus shall remain on the tactical sub - fleet until the incident is cleared cr higher priority override frem F.O.I.C., or dispatcher, deems a change is required. g) Once an incident has been cleared, all apparatus radio units shall be commanded by CID or manual to return to the dispatch sub -fleet. h) Single dispatched apparatus unit(s) radios shall remain an the dispatch sub -fleet for the duration of the inci- dent. Only multiple apparatus dispatches shall be as- signed tactical sub -fleets. 28 - • i) Additional incident dispatches shall command the ap- paratus radios to the next available tactical sub - fleet. j) Operator a ssi ytcd mobile phone service shall be pro- vided in a half duplex made to all radios. Request for telephone service will be made tbrough the dis- patcher on the dispatch subfleet and the dispatcher will manually assign the requesting unit a subfleet for private mobile communications into the telephone system. k) Unit -to -unit pri,vata communications shall be provided via dispatcher action. 5.3.7 Those RF channels assigned to the system shall be automa- tically selected in accordance with their availability so that all system users will have access to all assigned voice channels in accordance with the established system priority protocol. 5.3.8 The command or signaling language shall permit each system to assign no less than 4,000 discrete dispatched position addresses, regardless of system size. 5.3.9 All dispatch positions and mobile or portable units shall be capable or being assigned group, fleet, subgroup or sub - fleet address designators that will permit communications between individual dispatch positions, groups of dispatch positions, individual mobile or portable units, groups of mobile or portable units, or combinations thereof. All units operating within the same group will receive both sides of -all communications (except digital inforxation) addressed to or frcm the group. 5.3.10 when one or more voice channels in the system is not in use, any system user shall automatically have access to a voice channel within one-half second after momentarily activating a microphone switch (or other recruest for channel device) . The system design must autcmatically ccmzensate for any sig- naling attempt lost due to si.-nultanecus attempts to access. Should a voice channel not be available, the caller shall be placed in a queue and be given an indicaticn that his request has been received and cueued. Caber shall be notified autcmatically when he has been assigned a valid channel. The system shall continue to request an avail- able channel autcmatically until channel assicn.ment has been established. 5.3.11 Any time that a unit is out of contact with the control channel signaling system, an indicaticn ,aill be presented to the unit. 5.3.12 Once the central switchina controller has selected an RF channel for c=iunications between snits, �hosr� units will remain on t hat channel or t:he duration of each ti.Tne and an adjustable. wait time, or hang tame , from one to four seconds shall be provided for reception time. - 29 - 5.3.13 The system shall incorporate five levels of priorty. Assign- ments of these levels of priority will be made at the We Operations Canter. The structure of the command and signal- ing language shall assure access to the data control system in accordance with the; level of priority involved. The five levels of priority are: a) Emergency Call b) Tactical Priority c) Command Priority d) Operational Priority e) Normal or Routine 5.3.14 All emits in the Fire system shall have the capability of seiz- ing access to the system vice, an instantaneous emergency switch. Activation of this switch will permit direct access to dispatch and F.O.I.C. positions ;vithin.one-half second. This level of precedence is intended for use only in those instances wherein immediacy of emergency communications is necessary in preserva- tion of safety or life. 5.3.15 The tactical feature shall be used during all Police Operations and is regarded as second precedence level. This level is in- tended for use by those units in the system requiring priority but not immediate access to the communications channel based on the performance or the mission of their agency or group. Fire Depaxtment Operations shall use this priority as a prime level. 5.3.16 Command priority (executive and supervisory) is the level of precedence that shall be at the discretion of the procuring agency. . 3.3.17 The system shall be capable of providing an operational priority level of precedence to Public Safety functions which will be placed in queue above routine activities. The distinction of these classes of service shall be established in the system con- troller via the system central control. •The system shall main- tain sufficient channels for each user to provide for preestab- lished operational requirements. 5.3.18 Routine shall be the lowest level of precedence and is to be used by Local Government functions. 5.3.19 The Central Switching Controller shall have the capability to re- ceive requests for access to the system from mcbile or portable units via the signaling system and frcm dispatch locations. M will identify an unused channel and direct the signaling system to move the addressed unit or units to the selected RF channel. - 30 - e1 a w • 5.3.20 The Central Switching Controller shall incorporate those features needed to permit the switching of discrete units and/or groups of units. it will assign channels in accor- dance with priorities and group assignment procedures es- tablished by the system user. 5.3.21 In the event of failure of a portion of the base station voice channel Wither the trazsmitter or J;ecn iver o.+: any portion of their rol.atod equipment), the Central Switching Controller shall detect such failure and give indication of the defective channel at the system control center. The con- troller will not select a defective channel nor designate it for use; but will continue to assign traffic to the .^.cemainIng operating channels at a reduced level of operation. 5.3.22 Should any portion of the RE link of the signaling system be- come defective, signaling shall automatically he shifted to another channel (s) while concurrently shifting other system components in accordance with a predetermined protocol. in- dication will be provided at the system Control center of such failures. 5.3.13 Provisions shall be made for bypassing the Central Switching Controller in the event of its failure. This will permit de- signated dispatch locations to have direct access to prede- termined RF channels for operation in the conventional mode. Failure of the signaling system will cause an indication in all units at all dispatch positions. It must be possible to then switch all elements of the system to a conventional mode of operation within one minute. 5.3.24 Provisions shall be made for cross -connecting, or patching, the trunked 800 :Hz System into the Fixe Department's existing 450 MHz operational channels (four each). It is recommended that tsunked RF Control Stations be used and audio patching be ac- complished in the central control console alter receiver vot- ing has occurred. The Central Switching Controller shall be capa- ble of operating with a secondary or remote back-up switching controller. A power source, which cannot be interrupted, shall be provided in. the avant of power failure. 5.4.3 Base Station Antenna Systems The base station antenna system shall, include those elements re- quired to carry the radio frequency signal from the base receiv- er/transmitter to and including the radiating antenna (trans- ducer(s)). The antenna system configuration must provide for simultaneous duplex operation of all channels without degrada- tion on anv one channel. Transmitter combiners and receiver combiners with pre-amplifier/couplers shall be used. Cavitv filters and cabling shall be included with the bid. 5.4.4 Mobile Transmitter/Receiver (Mobile Unit) a. Mobile units will be designed in accordance with the re- quirements of Part 90 of the FCC Rules and the approprs- ate ZIA, NBS and related agency specifications. Each operation is isolated. Exact con- sole configurations for Fire and Police dispatch operations shall be determined during site inspections by vendors. Com- plete designs and configurations by position must be presented with proposals. a. The Fire Depaxnment shall have four and. five }gay dispatch positions, four bay FOTC position, dour bay CZNTREX opera- tor position, throe bay ECC position and a back-up four bay position for training. Each position shall have the capability of performing all functions related to Fire Communications Operation. The present system uses the Motorola Centracem Consoles. Additional consoles and piece parts will be required. The esthetic value of the Operation Center must be preserved. The contractor shall be responsible for all installation including the mounting of CAD terminals in the consoles. A full implementation and cut -over plan must be presented with the proposal. b. The Police Department shall have four five bay dispatch positions, supervisor console and an information console. Additional consoles and piece parts may be required. Each position shall have the capability of performing all func- tions related to Police Communication Operations. The con- tractor shall be responsible for installation of all com- munication components in the consoles. An implementation and cut -over plan must be presented with the proposal. c. Each console position shall be free standing, desk -size with turret. Electronics may be mounted in the console or remotely located. All control switches shall be with- in easy reach of the operator and all switch labels are to be engraved showing station or function. A failure in one console shall not impair the elecuronic opera- tion of adjacent console positions. d. Each console position shall have provisions to monitor and control the fo'_lcwing: 1. As required, remorse control units for twenty (20) 800 kHz Trunked Base Stations requiring four ( 4 ) wire audio full duplex transmit and receive with tone control. Provisions shall be made to accommodate an additional twenty (20) base stations for back-up. 2. A separate loud speaker in a :patching housing and a paLi-i-type microphone shall be provided.
