INDUSTRIAL FAIR SCHEDULED FOR DECEMBER
8-9, 1984, AT PEACOCK PARK, TO BE PRO-
VIDED FROM THE OPERATING BUDGETS OF THE
DEPARTMENTS OF POLICE, FIRE, SOLID
WASTE, BUILDING AND VEHICLE MAINTENANCE,
AND PARKS AND RECREATION, AND THE QUALI-
TY OF LIFE CONTINGENCY FUND; SAID ALLO-
CATION BEING CONDITIONED UPON SUBSTAN-
TIAL COMPLIANCE OF THE CITY OF MIAMI
ADMINISTRATIVE POLICY NO. APM-1-84,
DATED JANUARY 24, 1984, AND FURTHER
AUTHORIZING TWO (2) DAYS NON-EXCLUSIVE
CONCESSION PRIVILIGES, INCLUDING A TWO
(2) DAY PERMIT TO SELL BEER AND WINE IN
CONNECTION WITH SAID EVENT.

S WHEREAS, Panorama Multi -Media, Inc., has requested the
i
necessary in -kind services and fee waivers in conducting the
# Magic Ile Cultural -Industrial Fair, December 8-9, 1984, at Pea-
cock Park; and
WHEREAS, the City Administration has favorably evaluated
this request which is in substantial compliance with Administra-
tive Policy No. APM-1-84;
{ NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
t OF MIAMI, FLORIDA:
Section 1. The necessary fee waivers and in -kind services
are hereby provided from the operating budgets of the Departments
of Police, Fire, Solid Waste, Building and Vehicle Maintenance,
and Parks and Recreation; and the Quality of Life Contingency
# Fund.

1 Section 2. The provisions of the herein fee waivers and in -
kind services are conditioned upon substantial compliance with
City of Miami Adminstrative Policy No. APM-1-84, dated January
24, 1984.
Section 3. Non-exclusive concession rights for the two 2
day period of December 8-9, 1984, or approved alternate date(s);

This Agreement entered into this day of , 1984,
by and between the City of Miami, a municipal corporation of Dade
County, Florida, hereinafter referred to as "CITY" and Panorama
Multi Media, Inc., a Florida corporation hereinafter referred
to as "GRANTEE".
WITNESSETH:
WHEREAS, the City Commission, by Resolution No. of ,
allocated to Panorama Multi Media, Inc., for the necessary

fee waivers and in -kind services in connection with the Magic Ile
i
Cultural -Industrial Fair, to be held on December 8-9, 1984 ,
provided from the operating budgets of the Departments of Police,
Fire, Solid Waste, Building and Vehicle Maintenance, and Parks

and Recreation.
WHEREAS, the City Commission by Resolution No. of
, authorized the City Manager to enter into an
agreement with Panorama Multi Media, Inc.;
NOW, THEREFORE, the City Of Miami and Panorama Multi Media, Inc.
do mutually agree as follows:
1. TERM
The term of this Agreement shall be from November 16, 1984
through December 10, 1984.
2. NON-EXCLUSIVE CONCESSION RIGHTS
A) CITY hereby grants to GRANTEE non-exclusive concession privi-
leges for a two (2) day period of December 8-9, 1984, during the
hours of the scheduled Magic Ile Cultural -Industrial Fair in
Peacock Park. Should inclement weather or any unforeseen reason
cause the rescheduling of said event, the City Manager or his
appointed designee shall authorize approval for said rights to be
in full force and effect for the agreed upon rescheduled date.

C) GRANTEE shall obtain the necessary licenses and permits as
prescribed by City Code for this event.
D) The GRANTEE shall pay for all other costs associated with
staging the event in Peacock Park..
E) GRANTEE shall name the City of Miami as co-sponsor of said
event on any and all publicity.
F) GRANTEE shall
provide
a complete portfolio to the City
of
;Miami Department
of all
press releases and coverage within
30
days after the completion of the event.
G) GRANTEE shall provide a statement to the City of Miami, De-
partment of Community Development of revenues and expenditures
related to said event within 30 days after the completion of the
event.

4. COMPENSATION,
{
A) CITY shall provide GRANTEE, all necessary fee waivers and in -
kind services for City services in conducting the event.

B) The GRANTEE shall be responsible for all costs other than City
services provided under this agreement.
j
C) The City of Miami, Department of Community Development shall
'
handle payment to all City Departments for and on behalf of
GRANTEE to cover the cost of in -kind services delivered in con-
nection with the event.

D) Such grant shall be paid in accordance with the approved line
item budget attached and incorporated as a part of this Agree-
ment.

E) CITY shall have the right to review the time records and
related records of GRANTEE pertaining to any payments by CITY.

5. TH11MINATION OF CONTRACT
CITY retains the right to terminate this Agreement at any time
prior to the completion of tie services without penalty to CITY.
In that event, notice of termination of this Agreement shall be

in writing to GRANTLE who shall be paid for expenses incurred

prior to the date of the receipt of the notice of termination.

In no case, however, will CITY pay GRANTEE an amount in excess of

7. AWARD OF AGREEMENT
GRANTEE warrants that it has not employed or retained any person
employed by CITY to solicit or secure this Agreement and that it
has not offered to pay, paid, or agreed to pay any person em-
ployed by CITY any fee, commission, percentage, brokerage fee, or
gifts of any kind contingent upon or resulting from the award of
this Agreement.
8. NON -DE LEGABILITY
The obligations undertaken by GRANTEE pursuant to this Agreement
shall not be delegated to any other person or firm unless CITY
shall first consent in writing to the performance of such servic-

es or any part thereof by another person or firm.

9. CONSTRUCTION OF AGREEMENT
i
This Agreement shall be construed and enforced according to the

laws of the State of Florida.
10. SUCCESSORS AND ASSIGNS
This Agreement shall be binding upon the parties herein, their

heirs, executors, legal representatives, successors, and assigns.

11. AUDIT RIGHTS
A) GRANTEE Shall provide CITY with a letter from an independent
certified public accountant (C.P.A.) which establishes that
GRANTEE'S internal controls are adequate to safeguard its assets

and properly record funds. CITY will not release any funds to
GRANTEE prior to the receipt of this letter.

B) CITY reserves the right to audit the records of GRANTEE at any

time during the performance of this Agreement and for a period of

three years after final payment is made' under this Agreement.

C) CITY will audit all GRANTEES receiving $15,000 or more.

D) A11 GRANTEES receiving $25, 000 or more agree to submit to the
City of Miami Department of Community Development an independent

audit, by a certified public accountant, which must include the

expression of an opinion on the financial statements and accounts
of funds. Said audit shall be submitted to the City of Miami

to GRANTEE by CITY while GRANTEE was in default of the provisions
herein contained, shall be forthwith returned to CITY.
16. NON-DISCRIMINATION
GRANTEE agrees that there shall be no discrimination as to race,
sex, color, creed or national origin in connection with any
operations under this Agreement.
17. MINORITY PROCUREMENT COMPLIANCE
GRANTEE acknowledges that he/she has been furnished a copy of
Ordinance No. 9775, the Minority Procurement Ordinance of the
City of Miami, and agrees to comply with all applicable substan-
tive and procedural provisions therein, including any amendments
i thereto.

18. WAIVER
j
No waiver of any provision hereof shall be deemed to have been
made unless such waiver be in writing signed by the City Manager.

The failure of CITY to insist upon the strict performance of any
of the provisions or conditions of this Agreement shall not be
construed as waiving or relinquishing in the future any such
covenants or conditions but the same shall continue and remain in
full force and effect.
19. CONTINGENCY CLAUSE
Funding for this Agreement is contingent upon the availability of
funds and continued authorization for program activities and is

subject to amendment or termination due to lack of funds or
authorization, reduction of funds, and/or change in regulations.

This Agreement entered into this day of 1984,
by and between the City of Miami, a municipal corporation of Dade
County, Florida, hereinafter referred to as "CITY" and Panorama
Multi Media, Inc., a Florida corporation , hereinafter referred
to as "GRANTEE".
WITNESSETH:

B) GRANTEE is hereby authorized to conduct the following kinds of
businesses and to provide the following kinds of services:
(i) vending by Haitian entrepreneurs as assigned by Panorama
Multi Media, Inc., to include, but not limited to, arts, crafts,
food and beverage, and industrial wares; to be sold from assigned
booths or designated areas.
C) It is expressly understood that all proposed concession activ-
ity must be submitted to the Department of Parks and Recreation
for approval no later than (15) fifteen working days prior to the
event.
D) Pursuant to Resolution No. , beer may be sold by as-
signed vendors. No wines, liquor, or other alcoholic beverages
of any kind shall be sold, offered, or given away by authorized
concessions in Bicentennial Park. No gambling shall take place,
including any drawing for prizes. All concessions assigned by
GRANTEE shall have current licenses normally required by the City
or State for such concessions as required by Section 38-45 of the
City Code.
E) It is expressly understood and agreed that no part, panel,
building, structure, equipment, or space is leased to GRANTEE, —
that this privilege is that of a concessionaire, and not a Les-
see, that Grantee's right to operate the concession(s) shall
continue only so long as the concession's operation complies with
the undertaking, provisions, agreements, stipulations and condi-
tions of this Agreement.
F) GRANTEE agrees to service and maintain the area, via a volun-
teer clean-up crew or contracted services, paid for by GRANTEE,
so as to leave the area in the same cleanliness and condition in
iwhich it was accepted.
3. GRANTEE AGREES:
A) GRiiNThE shell provide -a Magic: I]c',Cultural.-lndustrial Fair, on
Dec(_-iab,!r 8-9, 1984, at Pece(.ock Park.
B) GRANTEE shall insure the safety and welfare of the partici-
pants and the attending crowds by securing the services of the
City's Police, Fire, Solid Waste, building and Vehicle Mainte-
nance, and Parks and Recreation Departments, in the manner pre-
scribed by said departments.

C) GRANTEE shall obtain the necessary licenses and permits as
prescribed by City Code for this event.

6. GENERAL CONDITION
A) All notices or other communications which shall or may be
given pursuant to this Agreement shall be in writing and shall be
delivered by personal service, or by registered mail addressed to
the other party at the address indicated herein or as the same
may be changed from time to time. Such notice shall be deemed
s given on the day on which personally served; or if by mail, on
the fifth day after being posted or the date of actual receipt,
whichever is earlier.

jurisdiction
to be invalid, illegal or otherwise unenforceable
under the
laws of the State of Florida, such provisions, pares -

necessary in order to conform with such laws or if not
modifiable
to conform with such laws, then the same shall be
deemed severable and in either event the remaining terms and
provisions
of this Agreement shall remain unmodified and in full

the termination of this Agreement or final receipt of CITY funds,
whichever is applicable.
12. INDEMNIFICATION
GRANTEE shall indemnify and save CITY harmless from and against
any and all claims, liabilities, losses, and cause of action,
which may ,arise exit_ oL GR.ANTLE'S activities under this Agreement,
including all other acts or ommissions to act on the part of
GRANTEE, including any person acting for or on his/her behalf
and, from and against any orders, judgements or decrees which may
be entered and from and against all costs, attorney's fees,
expenses and liabilities incurred in the defense of any such
claims, or in the investigation thereof.
13. CONFLICT OF INTEREST
GRANTEE is aware of the conflict of interest laws of the City of
Miami (Miami City Code Chapter 2, Article V), Dade County,Florida
(Dade County Code Section 2-11.1) and the State of Florida, and
agrees that he/she will fully comply in all respects with the
-
terms of said laws.

14. INDEPENDENT CONTRACTOR
GRANTEE and its employees and agents shall be deemed to be inde-
pendent contractors, and not agents or employees of CITY, and
shall not attain any rights or benefits under the Civil Service
or Pension Ordinances of CITY, or any rights generally afforded
classified or unclassified employees; further its employees and
agents shall not be deemed entitled to Florida Worker's Compensa-
tion benefits as an employee of the CITY.

15. DEFAUIIP PROVISIONS

A) During the term of this Agreement, GRANTEE shall maintain

bonding and insurance coverages in the amounts as determined by
the Risk Management Division of CITY. CITY shall be named as an
additional insured.
B) GRANTEE shall furnish certificates of insurance and bonding,
as required, to CITY prior to commencing any activities under
this Agreement.
22. ASSURANCES AND CERTIFICATIONS
GRANTEE assures and certifies that:
A) All expenditures of funds will be made in accordance with the
proposal and line item budget (both of which are attached hereto
as Exhibits 1 and 2) as approved by the City Commission.

B) CITY funds will NOT be co -mingled with any other funds and
that separate bank accounts and accounting records will be main-
tained.

C) Expenditures of CITY funds will be properly documented and
such documentation will be maintained.
D) Periodic progress reports as requested by CITY will be provid-
ed.
4 E) GRANTEE will be personally liable for any City funds expended
that were not consistent with the program approved by the City
Commission or any funds expended not in accordance with proper
accounting standards as determined by a competent auditing au-
thority.
F) No activity under this Agreement shall involve political
activities.
G) GRANTEE possesses legal authority to enter into this Agree-
ment; a resolution, motion, or similar action has been duly
adopted or passed as an official act of GRANTEE'S governing body,
authorizing t))e execution of this Agreement, including all under-
standings and assurances contained herein, and directing and
authorizing the person identified as the official representative
of GRANTEE to act in connection with GRANTEE and to provide such
additional i►iformation as miry be required.

23. AMENDMENTS
No amendments to this Agreement shall be binding on either party
unless in writing and signed by both parties.

crafts, food, and industry will be: highlighted to hope-
fully create an exposure of Haitian enterprise to the
Miami business community. This will be a free -to -the -
public event.

waivers and in -kind services be provided
from the operating budgets of the De-
partments of Police, Fire, Solid Waste,
Building and Vehicle Maintenance, and
Parks and Recreation to Panorama, Inc.,
j in conriection with Magic Ile Cultural

Peacock Park on December 8 and 9, 1984,
} further authorizing two (2) days non-
exclusive concession privileges, includ-

Panorama, Inc., proposes to produce a two (2) day, December 8 and 9,
1984, cultural and industrial fair to highlight Haitian arts, crafts,
and industry, as well as Haitian cultural and culinary arts. Both
the private sector of Haiti and Miami will participate. Events
include a Folk Ballet performance and an avante-garde fashion show at
the Everglades Hotel on December 7, 1984, as well as a two (2) day
event with industrial displays, food booths, and entertainment at
Peacock Park. Entrance to the exhibits is free. Estimated atten-
dance is from 3,000 to 5,000 people for the two days.
The
Parks and Recreation Department recommends that $25,100 in fee
waivers and in -kind services be provided from the
operating budgets

This recommendation is based upon:
• A cash match of 3 to 1 proposed by the producers.
The generation of approximately $137,000 in revenues to City
businesses.
0 The benefit to both the cultural and economic image of the City,
as trade will be promoted between Haiti and several local and
international businesses.
• The sufficient expertise in producing this kind of event demons-
trated by the producers.
It is therefore recommended that the City provide the necessary fee
waivers and in -kind services , and authorize the concession privileg-
es and beer and wine permit, as per the attached resolution.

A number of Haitian, Haitian -American
companies, and business leaders with the purpose
of opening lines of trade, conuiiunication, and
better understanding between Miami and Haiti,
find themselves preparing a Haitian Fair that
would take place in Miami during the first week
of December. The Fair would bring together in
Miami manyrepresentatives from the different
sectors of the Haitian economy and the Haitian -
American community now residing in South Florida.
The purpose is to show how private enterprise
could serve as an effective catalyst in demonstrating
the potential gains to the consumer, to the
businessman, and to the investor in dealing with
Haitian business -- both in Miami and in Haiti.
The event would take place in one of the City
of Miami parks. It would consist of different,
easily assembled, ornamental booths in which the
different companies could display their goods and
services and would have representatives to answer
questions from the general public. There would
be public folk -oriented shows brought especially
from Haiti and different examples of Haitian arts
ranging from painting to sculpture, and literature
that would be highly instructive and beneficial to
give exposure to the citizenry of Miami to the rich
cultural traditions of a neighboring country and
an important, integral group within our community.
Typical, native food and non-alcoholic beverages
would be served for picnic purposes. These would
be sold by local Haitian restaurants that would
also have stands on the Fair grounds.
In conjunction with the Haitian Fair, the
organizing committee is putting together a gala
evening at the Everglades Hotel in which a Folk
Ballet performance and an avante-garde fashion
show would be provided for Miami's business, social
and professional community.

The timing for the Fair is optimal since during
early December the Center for Fine Arts is assembling
a Haitian Art exhibit, there will be a number of
activities sponsored by the Haitian -American Chamber
of Commerce, and the Little Haiti community in Miami.
It would be an intense period to highlight and bring
to the public's eye this very colorful and interesting
sector of our community.
In addition to the business incentives and the
promise for new jobs and opportunities for this
dynamic city, the Fair would bring badly needed
understanding of the Haitian culture and traditions.
It would be an enriching activity that would
integrate and bond the many ethnic sectors that
compose Miami. A Haitian Fair would, once again,
confirm the image of Miami as an international,
forceful, active gateway to the Americas and a city
that is open to diversity and benefits tremendously,
at every level, from its pluralism.
The organizers of this Fair do hereby submit the
activity to all the pertinent City, County, and State
ordinances governing this type of gathering and look
forward to working and co-operating with all officials
in making this a successful and enjoyable Fair.
