A RESOLUTION A THORIZING THE CITY MANAGER TO
EXECUTE A LEA AGREEMENT, IN SUBSTANTIALLY
THE FORM ATTACH , BETWEEN THE CITY OF MIAMI
AND BAYSIDE CE ER LIMITED PARTNERSHIP ON
BEHALF OF ROUSE- AMI, INC., AN AFFILIATE OF
THE ROUSE COMPAN OF COLUMBIA, MARYLAND, FOR
THE PLANNING AN DESIGN, CONSTRUCTION,
LEASING AND MANAG MENT OF A PARKING GARAGE
AND SURFACE PARKING FACILITIES, TO BE KNOWN
AS "BAYSIDE SPECIA TY CENTER PARKING GARAGE
AND AREA B SURFACE OT" LOCATED ON A CITY -
OWNED LAND PARCEL C TAINING APPROXIMATELY
3.76 ACRES AND CERTA N PORTIONS OF AREA B
ADJACENT TO BISCAYNE B LEVARD AND MIAMARINA,
AND FURTHER SPECIFYING HAT THE TERMS OF THE
CONTRACT WILL RESULT I A FAIR RETURN TO THE
CITY BASED ON TWO INDEPE ENT APPRAISALS.
WHEREAS, the City Commission dete\rmined in March 1983, that
it is advantageous to the City to de elop the City -owned land
parcel containing approximately 3.76 acr s and certain portions
of Area B adjacent to Biscayne Bouleva d and Miamarina and a
portion of Bayfront Park for the planning nd design, construc-
tion, leasing and management of a waterfront specialty center and
parking garage to be known as "Bayside Sp cialty Center" and
authorized the issuance of a request for propo als; and
WHEREAS, the City Commission by Resol
authorized the City Manager to execute a leake agreement in
substantially the form presented to them for the retail center
and parking garage as one lease; and
WHEREAS, separate lease agreements for the r tail center
land parcel and the parking garage land parcel became a require-
ment of financing; and
WHEREAS, this resolution covers the parking gar
which was induced in the lease agreement approved by Resklution
No. 84-585; and
WHEREAS, the City Manager recommends that the City
lion authorize the execution of the proposed Lease Agree
which agreement provides for the planning and design, construc-
tion, leasing and management of the Bayside Specialty Center

Parking Garage although simply bearing the title "Lease Agree-
ment," in substantially the form attached, and further specifies
that the terms of the contract will result in a fair return to
the City based on two independent appraisals.
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:
Section 1. The City Manager is hereby authorized to
execute a Lease Agreement, in substantially the form attached,
upon Commission approval of all exhibits to the agreement,
between the City of Miami Department of Off -Street Parking, City
of Miami, Inc., an affiliate The Rouse Company of Columbia,
Maryland, for the planning and design, construction, leasing and
management of a parking garage to be known as "Bayside Specialty
Center Parking Garage" located on a City -owned land parcel
containing approximately 3.76 acres adjacent to Biscayne
Boulevard and Miamarina, and further specifying that the terms of
the contract will result in a fair return to the City based on
two independent appraisals.
PASSED AND ADOPTED this 7th day of December , 1984.
