A RESOLUTION ACCEPTING THE PLAT ENTITLED COCONUT
GROVE ARCADE, A SUBDIVISION IN THE CITY OF
MIAMI; AND ACCEPTING THE DEDICATIONS SHOWN ON
SAID PLAT; AND ACCEPTING THE COVENANT TO RUN
WITH THE LAND POSTPONING THE IMMEDIATE
CONSTRUCTION OF CERTAIN IMPROVEMENTS UNTIL
REQUIRED BY THE DEPARTMENT OF PUBLIC WORKS; AND
AUTHORIZING AND DIRECTING THE CITY MANAGER AND
CITY CLERK TO EXECUTE THE PLAT AND PROVIDING FOR
THE RECORDATION OF SAID PLAT IN THE PUBLIC
RECORDS OF DADE COUNTY, FLORIDA.
WHEREAS, the City Department of Public Works recommends the
acceptance of the plat:
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The plat entitled COCONUT GROVE ARCADE is
resubdivision of a portion of Block 14, Edward Pent Homestead (A-
45) and resubdivision of property in NE 1 /4 , Section 21, Twp 54S,
Rge 41E, recorded in P.B. 35 at Page 539 City of Miami, Dade
County, Florida, which subject plat by reference is made a part
hereof as if fully incorporated herein and which plat, together
with the dedications shown thereon, and the dedications to the
perpetual use of the public of all existing and future planting,
trees and shrubbery on said property, is hereby accepted and
confirmed by the City of Miami, Florida.
Section 2. The Covenant To Run With The Land executed by
Coconut Grove Arcade, Inc., postponing the immediate rebuilding of
the existing historic building ("I Ching Building")and the
encroachment of same into the zoned r/w of Grand Avenue (Tract "B")
until such time as required by the Department of Public Works of
the City of Miami is hereby accepted and the proper officials are
directed to record said covenant after plat has been recorded in
the Public Records of Dade County, Florida.

The Department of Public Works recommends
the approval of the plat by the City
Commission of Miami, Florida, and
certifies its correctness as to form.
The proposed record plat entitled COCONUT GROVE ARCADE is a
resubdivision of a portion of Block 14, Edward Pent Homestead (A-
45) and resubdivision of property in NE 1/4, Section 210 Twp 54S9
Rge 41E., recorded in P. B. 35 at Page 53. The plat consists of
4ft two tracts totalling 2.2+ acres. It is zoned SPI-2 and HC-1.
The plat is being forwarded to your office for City Commission
action.
Also attached are the following itemized papers necessary to
present the Plat to the City Commission of Miami:
(1) Resolution accepting the plat.
(2) Print of proposed record plat.
(3) Agreement form pertaining to subdivision
improvements.
(4) Covenant to run with the land pertaining to
Heritage Conservation Area and Building.
(5) Opinion of Title.
(6) Portion of City Zoning Sheet No. 46 showing
property platted colored in red.

REPORT OF PROPOSED RECORD PLAT OF
COCONUT GROVE ARCADE
LOCATED AT GRAND AVENUE & VIRGINIA STREET
A SUBDIVISION IN THE CITY OF MIAMI, FLORIDA
The accompanying Plat entitled COCONUT GROVE ARCADE was
prepared by Biscayne Engineering Company. It is in correct
form for submission to the City Commission and is forwarded
with a recommendation that it be approved. •
PERTINENT INFORMATION REGARDING THE PLAT:
(1) The property platted is a resubdivision of a
portion of Block 14, Edward Pent Homestead (A-
45) and a re -subdivision of property in the NE
1/4, Section 21, Twp 54 South, Rge 41 East,
Miami, Florida.
(2) The location of the streets and widths conform
with the standards of the Department of Public
Works of the City of Miami, Florida.
(3) As certified to by Yvon Le Caer, Registered
Land Surveyor, this plat complies with the
plat filing laws of the State of Florida.
(4) The City Zoning Board of Miami, Florida, after
Public Hearing, has recommended the closing of
a ten foot wide public alley. This action was
confirmed by City Commission Resolution No.
84-1501.
(5) The attached Certificate of Title Examination
dated December 20, 1984, signed by Ronald M.
Barron, Attorney, indicates that the fee
simple title to the property platted is
correctly vested in Coconut Grove Arcade Inc.,
a Florida Corporation.
(6) The area platted is encumbered by mortgages
and the mortgage holders have executed the
plat and joined in its dedications.
(7) In accordance with the requirements of Chapter
54, of the Code of the City of Miami, Florida,
a Letter of Credit in the amount of $51,300
has been executed by Coconut Grove Arcade,
Inc., Principal, and Barnett Bank of South
Florida, N.A. This Letter of Credit will
accompany the agreement between the City of
Miami, Florida and the Principal to guarantee
the construction of asphaltic concrete
pavement, removal of existing sidewalk,
removal of existing curb & gutter, sidewalk,
curb and gutter, 6" x 12" concrete header,
storm drainage structures and landscaping.

(8) The location of the property is shown colored
in red on the accompanying copy of a portion
of City of Miami, Florida Zoning Sheet No. 46.
(9) The attached resolution has been prepared for
the acceptance of the plat by the City
Commission of Miami, Florida.

AGREEMENT FOR CONSTRUCTION OF CERTAIN IMPROVEMENTS
PURSUANT TO PROVISIONS OF
CHAPTER 54, SECTION 54-30
THE CODE OF THE CITY OF MIAMI, FLORIDA
WHEREAS, COCONUT GROVE ARCADE, INC., a Florida corporation
(hereinafter referred to as the "Principal" and/or "Owner"),
concurrently with the delivery of this Agreement, has applied to
THE CITY OF MIAMI, FLORIDA (hereinafter referred to as the
"City"). for the acceptance -and confirmation by the Commission of
said City, of a certain proposed plat of a subdivision to be known
as COCONUT GROVE ARCADE SUBDIVISION a copy of which proposed plat
is attached hereto and made a part hereof as Exhibit "A"; and
WHEREAS, Chapter 54, Section 54-30, THE CODE OF THE CITY OF
MIAMI, FLORIDA, requires that any proposed plat submitted to said
Commission for acceptance and confirmation, shall be accompanied
by an Agreement entered into by the Owner of land being platted,
with the Director of the Department of Public Works on behalf of
said City, for the construction of certain improvements therein
enumerated, the performance of which Agreement shall be secured by
a good and sufficient Performance Bond, Cashier's Check or
Irrevocable Letter of Credit;
NOW, THEREFORE, the Principal hereby covenants and agrees
with said City as follows:
1. - Within one (1) year from the effective date of the
acceptance and confirmation of said plat by the Commission of said
City, or prior to the issuance by the City of Miami of a
Certificate. of Occupancy for the premises, the Principal will
construct, or cause to have constructed at his own expense and in
accordance with standard specifications of said City, all
improvements as are listed and described upon the estimate of cost
of said improvements, a copy whereof is attached hereto as Exhibit.
"B" and made a part hereof. Although one year is allowed for the
completion of the aforementioned improvements, it is not in the
public interest that such construction work should be prolonged to.

e extent that it would have a disorganizing effect upon the
ighborhood. After the work is started, the Principal hereby
agrees to prosecute said work progressively so as to complete it
in a reasonable length of time as determined by the Department of
Public Works. The Principal hereby agrees to abide by all of the
provisions of the "Guide for Work in the Public -Right -of -Way", a
copy of which is attached hereto and by this reference made a part
hereof.
2. In accordance with the provisions of said Chapter 54,
Section 54-30, THE CODE OF THE CITY OF MIAMI, FLORIDA, the
Principal herewith tenders to the City a Letter of Credit in lieu
of a Performance Bond or Cashier's Check, duly executed by the
Barnett Bank of South Florida, N.A. (the "Bank"), in the'amount of
Fifty One Thousand Three Hundred Dollars ($51,300.00), which
amount is not less than one hundred (100%) percent of the
estimated cost of the construction of the improvements listed in
the attached -Exhibit "B", plus twenty-five (25%) percent for
engineering and contingent costs and damages, and upon completion
of the construction of said improvements. and, subsequent to' the
submission by the Principal to The City of Miami Department of
Public Works of a letter from a Registered Land Surveyor
certifying that the Permanent Reference Monuments indicated on the
Plat have been installed and properly placed, said Letter of
Credit shall be released.
3. In the event the Principal shall fail or neglect to
fulfill his obligations under this Agreement, the conditions of
said Letter of Credit shall be such that the Bank shall, within
thirty (30) days after receipt of written notice from the Director
of the Department of Public Works of said City of the failure or
of the neglect of the Principal to perform this Agreement,
construct, or cause to be constructed, the improvements set forth. -
in Exhibit "B" hereof, pay to the City a sum up to the aggregate
amount of Fifty One Thousand Three Hundred Dollars ($51,300.00).
4. The City shall have the right to collect the sum

Exhibit "B", said sum to be estimated by the Department of Public
Works of the City, which shall include engineering and contingent
costs and any damages direct or indirect, not to exceed
twenty-five (25%) percent thereof, plus reasonable attorneys' fees

Agreement; provided further that the City Commission of Miami,

constructed, after public advertisement and receipt of bids, the

it shall have the right to

DECLARATION OF COVENANTS
THIS DECLARATION OF COVENANTS is executed and delivered this
.4 day of December, 1984 by COCONUT GROVE ARCADE, INC., a
Florida corporation ( "Owner") , in Favor of THE CITY OF M11AMI ,
FLORIDA, a municipality organized and existing under the laws of
the State of Florida (the "City").
W I T N E S S E T H:
WHEREAS, Owner is the fee simple owner of those certain
parcels of real property, lying, being and situate in Dade County,
Florida, and more particularly described individually as Parcels 1
through 7, respectively (collectively, the "Property"), on that
certain Tentative Plat of Owner dated October 170,1984
(the "Tentative Plat"), performed by Biscayne Engineering Company,
Order No. 01-61071. Copies of the legal descriptions for Parcels
1 through 7 are attached hereto as Exhibits A-1 through A and
incorporated herein by this reference; r
WHEREAS, the Plat and Street Committee of the City has
approved Owner's Tentative Plat, subject to certain revisions and
conditions of the Property set forth in its letter to Owner dated
November 13, 1984 (the "Approval Letter"), a copy of which is
attached hereto as Exhibit "B" and incorporated herein by this
reference; and
WHEREAS, Owner is desirous of complying with the requirements
of the Approval Letter by executing those certain covenants
running with the land as more particularly set forth below, in
order for Owner's final plat -to be -approved by the City and
recorded in the Public Records of Dade County, Florida;
NOW, THEREFORE, intending ta- be legally bound, Owner does
hereby covenant as follows:
1. The foregoing recitals are true and correct and are
incorporated herein by this reference.
2. Owner hereby covenants, represents and warrants to the
City as follows:
(a) In the event that any portion of the existing
historic building (the "I Ching Building") located on Parcel 7
(Exhibit A-7) which currently encroaches into the zoned
right-of-way of Grand Avenue (the "Encroaching Portion") as
reflected on the Tentative Plat is damaged, demolished or
destroyed, Owner shall not rebuild or reconstruct any such portion
or any other improvement thereon insofar as the same may recreate
the foregoing encroachment. Upon the demolition or destruction oJ62
the entire Encroaching Portion, Owner shall thereafter dedicate to
the City the real property underlying the Encroaching Portion so
that the zoned .right-of-way of Grand Avenue bounding Parcel 7 is
consistent with that bounding the remainder of the Property.
Nothing in this subparagraph (a) shall obligate
Owner to violate or contradict any order, rule, regulation,
ordinance or statute of any governmental or municipal body,
including but not limited to, the Heritage Conservation Board of
the City, or to do or refrain from doing any act necessary or
appropriate to render the Property in a safe and orderly
condition.
(b) Owner shall maintain ingress and egress as
currently provided by those certain public alleys designated as
Parcels lA and 7A on the Tentative Plat, copies of the legal -
descriptions therefor being attached hereto as Exhibits C-1 and

C-2, respectively, and incorporated herein by this reference until
such time es the buildings currently existing on Parcels 1 through
7 (other than the I Ching Building) as reflected on the Tentative
Plat have been det"olished at which time this covenant shall
expressly terminate and become of no further force or effect.
This covenant shall not be construed in any way to restrict or
inhibit Owner's right to thereafter construct a building or
buildings over and upon the said alleys or to otherwise close
ingress and egress therefrom.
3. The covenants contained herein shall run with the land
and be binding upon the owner, its successors and assigns until
released by the City or the said buildings are destroyed,
whichever shall first occur.
