A RESOLUTION AUTHORIZING THE ISSUANCE OF A
REQUEST FOR LEASE PROPOSALS IN SUBSTANTIALLY
THE FORM ATTACHED AND AS DIRECTED BY THE CITY
COMMISSION IN ITS MEETING OF FEBRUARY 14,
1985 FOR THE LEASE OF THE GROUND FLOOR RETAIL
SPACE IN THE CONVENTION CENTER PARKING GARAGE
LOCATED ON A SITE BOUNDED BY SOUTHEAST SECOND
STREET, SOUTHEAST FIRST AVENUE, DOWNTOWN
DISTRIBUTOR I-95 (S.R.D. 854) AND
HALL-BELCHER TRACT (HOWARD JOHNSON'S INC.
PROPERTY).
WHEREAS, Section 53(d) of the City of Miami Charter entitled
"Sales and Leases of Real Property" provides for the disposition
of real property owned by the City and that any such disposition
shall be conditioned upon compliance with the provisions of such
section; and
WHEREAS, Section 53(d) of the Charter requires competitive
bidding procedures to be followed with respect to the disposition
of real property owned by the City; and
WHEREAS, Section 18-78 of the City of Miami Code entitled
"Methods and procedures for sales and leases" of realty sets
forth the principles for competitive sealed bidding; and
WHEREAS, the City owns approximately 1,860 square feet of
rental space on the ground floor in the Convention Center Parking
Garage which the City has constructed on a site bounded by
Southeast Second Street, Southeast First Avenue, Downtown
Distributor I-95 (S.R.D. 854) and Hall -Belcher Tract (Howard
Johnson's Inc. Property); and
WHEREAS, the City desires to lease approximately 1,860
square feet of rental space on the ground floor in the Convention
Center Parking Garage;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:
Section 1. The City Manager is hereby authorized to
issue a Request for Lease Proposals in substantially the form
attached and as directed by the City Commission in its meeting of

Property).
The Miami World Trade Center project consists of an 10 level Parking
Garage constructed by the City and a 35-story Office Tower being
constructed by CenTrust Savings in the air rights above the garage. The
Office Tower (a.k.a. CenTrust Tower) is well under way with construction
expected to be completed by the Spring of. 1986. Although the City has
beneficial use of the parking areas, portions of the Garage remain
unfinished because there is some work that can not be completed until
the Office Tower is constructed. The unfinished work includes
approximately 18,700 sq.ft. of City owned shell retail space and 5570
sq.ft. of public arcade on the ground level. It is vital that the City
proceed with the Leasing of the retail space and finishing of the
arcade so that this space can be developed in conjunction with the
completion of the Office Tower.
The existing shell retail space consists of unfinished floor slab,
perimeter walls, the underside of floor structure above, with utilities
stubbed into the space. It would be in the best interests of the City
to lease the entire retail space with the lessee responsible for the
finishing, sublease, operations, management, and maintenance. The
lessee would also be required to complete the adjacent public arcade
finishes. The lease would be for an initial period of 30 years with
options for two (2) renewals totaling 55 years ending on July 1, 2070.
The lease period coincides with the Office Tower Lease. The rent
derived from the lease is required to be paid into the Convention Center
and Parking Garage Revenue Bonds - Reserve Fund to support the bond
issue.

Since the CenTrust tower is planned to be completed as a luxurious
landmark building, the City will establish high level minimum standards
for the quality of the improvements, amount of investment, return to the
City, type of tenants, and for quality of operation and maintenance.
It is recommended the City Commission authorize the issuance of a
Request for Proposal for the Lease of retail space in the Convention
Center Parking Garage so that this space can be finished in conjunction
with the completion on the Office Tower and provide rental revenue to
the City at the earliest feasible date.

I PUBLIC NOTICE
The City of Miami (the "City") is offering to lease approximately
18,700 square feet of leasable Space")
retail space ("Retail on
the ground floor of the Convention Center Parking Garage (the
"Garage"). ). The Retail Space is located along a public arcade
owned by the City (the "Arcade"). The Arcade has an area of
approximately 5,170 square feet. The successful bidder
("Successful Bidder") will be to finish, -lease,
required sub
operate, manage and maintain the Retail Space and to finish
provide security for and maintain the Arcade including the store
fronts of the Retail Space ("Store Fronts"). The Arcade and the
Retail Space are identified on the Ground Floor Plan attached as
Exhibit A.
The initial lease of the Retail Space (the "Lease") will expire
in 2015 and will contain two options for renewal. The first
renewal period will expire in 2045 and the second will expire in
2070. The options may be exercised by the Successful Bidder so
long as the Successful Bidder is not in default under the Lease
or a renewal of it.

II OVERVIEW
A Summary
The City of Miami, Florida (the "City"), is soliciting sealed
proposals for the leasing, finishing, sub -leasing, operation, --
maintenance and management of approximately 18,700 square feet
of leasable retail space ("Retail Space"), located along a
public arcade (the "Arcade") on the ground floor of the
Convention Center Parking Garage located at 100 S.E. 2nd
Street, Miami, Florida (the "Garage"). The Arcade has an area
of approximately 5,570 square feet. The exact number of square
feet of Retail Space will be calculated based on actual
measurement after construction.
CenTrust Tower, a world trade center ("Centrust Tower") is
currently under construction in the air space, above the
Garage. CenTrust Tower, which will contain approximately
600,000 square feet of office space, is expected to be among
Miami's most luxurious office buildings. Its design,
construction and appointments will be first class in every way
and the Arcade and the type of retail establishments in the
Retail Space ("Retail Uses") should to be appropriate for
placement in a building of this quality.

The successful bidder ("Successful Bidder") will be required to
finish the Arcade and the store fronts of the Retail Space
("Store Fronts") in accordance with the "Architectural Outline
Specifications for City of Miami Convention Center Ground Floor
Arcade", Exhibit B and the "Rendering of the Ground Floor
Arcade", Exhibit C. The Successful Bidder will also be
required to maintain and provide security for the Arcade during
the term of the lease.
The proposed lease agreement (the "Lease") will have an initial
term of 30 years and will expire in 2015. The Lease will
contain two options for renewal which may be exercised by the
Successful Bidder so long as the Successful Bidder is not in
default under the Lease or a renewal of it. The first option,
if exercised will expire in 2045 and the second will expire in
2070.
The Lease shall be awarded to the responsible and responsive
proposer whose proposal offers the City the highest total
compensation for the Lease. In making such determination, the
City's shall consider the following: the dollar amount of
return offered to the City, the experience of the proposer, the
professional reputation of the proposer, the qualifications of
the proposer, an evaluation of the proposed method of providing
the finishes indicated in Exhibits B and C and an evaluation by

B Requirements
Each proposer shall propose a minimum yearly rental to the City
of $17.50 per square foot and a monthly rental calculated as a
percentage of monthly gross rentals from the Retail Space.
Each month, the City will collect whichever is greater. Any
proposals below the minimum $17.50 per square foot per year
will be disqualified however, an amount greater than $17.50 per
square foot may be proposed. The square foot yearly rental
shall be subject to adjustment based on the Consumer Price
Index.
It is anticipated that

Automobile tire sales; _
(6)
Barbeque stands or barbeque pits;
(7)
Billiard rooms or pool rooms;
(8)
Dog and pet stores or hospitals;

Electrical appliance and fixture stores;
(10)
"Convenience type" grocery stores;
(11)
Health Clubs or health Studios;
(12)
Housing or sleeping quarters;
(13)
Locksmith shops;
(14)
Nightclubs;
(15)
Pubs and bars except in conjunction with a
restaurant;
(16)
Secondhand stores;
(17)
Sharpening and grinding shops. r`
Other proposed Retail Uses will be considered on a case by case
basis by the City and, in any event, all sub -leases must
receive prior approval from the City.

If the Successful Bidder desires to sub -lease a portion, or all
of the Retail Space, including space for the installation of a
remote banking machine, "instant teller" or similar banking
terminal, ("Banking Facility") to a bank, savings and loan or
other financial institution ("Financial Institution"), CenTrust
Savings and Loan Association through CenTrust Realty and
Construction Company ("CenTrust"), the developer of CenTrust
iTower, shall first be given the right to lease the ("Banking
Location") at a reasonable rent. Once CenTrust has declined to
lease the Banking Location, the Successful Bidder may lease the
Banking Location to another Financial Institution. Regardless
of whether CenTrust exercises its option to lease the Banking
location, only one Financial Institution shall be permitted to
lease a portion or all of the Retail Space.

The proposer understands that this Request for Proposals is
issued and proposals are submitted, subject to all the rights
of CenTrust as assignee of the "Lease Agreement between the
City and Dade Savings and Loan Association" a copy of which is
available for inspection and copying in the office of Allan
Poms, 2701 S. Bayshore Drive, Suite 401, Miami, Florida 33133,
(305) 372-4590. During the installation of the finishes to the
Arcade and the Store Fronts, the Successful Bidder will be
required to coordinate its activities with CenTrust and the
City.

The Successful Bidder shall be responsible for all necessary
maintenance and repairs related to the operation, management
and sub -leasing of the Retail Space and the Arcade. The
Successful Bidder shall supply all custodial and janitorial
services as are customary in first class shopping malls in
order to maintain the Retail Space and the Arcade in a clean
and sanitary condition throughout the day and night.
It is understood that the Arcade and the Retail Space are part
of and related operationally to CenTrust Tower, the Garage and
the Convention Center ("Connected Facilities"). The Successful
Bidder will be required to coordinate the maintenance and
custodial opeartions for the Arcade and the Retail Space with
the operation of the Connected Facilities.
IThe Successful Bidder will be required to provide insurance of
the types and at the coverage limits designated by the City.
MThe insurance policy shall name the City and the Department of
Off Street Parking as additional insureds, and a copy of the
insurance certificate shall be filed with the City when a lease
Nis executed.
The Lease will specify that no construction, repairs,
alterations or improvements ("Work") may be undertaken in the
Retail Space or the Arcade unless the Work first be:

Dade County, Florida; and
2. Approved by the City
of Miami, Department of Off
Street Parking; and
3. Submitted to CenTrust
Realty and Construction Company
for review and comment
only if the Work may affect the
structural adequacy or
safety of CenTrust Tower; and
4. In compliance with
all applicable rules and
regulations.

The Successful Bidder will be
expected to pay for all costs,
including but not limited
to appraisals, surveys and
advertising expenses incurred
by the City of Miami in the
process of this solicitation of
proposals.

Whether forwarded by mail or personally
delivered, the sealed proposal must be received
by the Office of the City Clerk, City of Miami
City Hall, 3500 Pan American Drive, Dinner Key,
Miami, Florida 33133, prior to the date and time
stated in the Public Notice.
2. QUALIFICATIONS: Prospective proposers shall not
have conflicts of interests as described in Article V, of the
Code of the City of Miami, entitled "Conflicts of Interest".
3. ONE PROPOSAL: Only
one proposal from an
individual firm, partnership, or corporation
under the same or
different names, will be considered.
If it is found that a
proposer has an interest in more
than one proposal, all
proposals in which such a proposer
is interested will be
rejected.
4. PRICE PROPOSAL: Prices
shall be stated in both
words and figures in the appropriate
places in the Proposal
form. In the event that there is a
discrepancy between the
proposal written in words and the proposal written in figures,
the greater shall govern.

5. BID BOND: Each proposer shall submit along with
its proposal a Bid Bond in the amount of $10,000 in either bond
or Cashiers Check. The bond of unsuccessful proposers will be
returned when a lease is executed.
6. SIGNATURE OF PROPOSER: The proposer must sign
the Proposal in the space provided for signatures.
If the proposer is an individual, the words "Sole
Owner" shall appear after his signature.
If the proposer is a partnership, the words
"Authorized Partner" shall appear after the signature
of one of the partners.
If the proposer is a corporation, the signature
required is the officer, officers, or individual
authorized by its by-laws or the Board of Directors,
with official corporate seal affixed thereto.
7. PERFORMANCE BONDS: The City will require the
Successful Bidder to post a performance bond in an amount
sufficient to guarantee faithful performance of the terms and
conditions of the Lease including those pertaining to the
finishing of the Arcade and Store Fronts. A cash deposit with
the City will meet this requirement.

8. REJECTION OR ACCEPTANCE OF PROPOSALS: The right
is reserved by the City of Miami to accept any proposal deemed
to be in the best interest of the City, to waive any
irregularities in any proposals, to reject any or all
proposals, or to readvertise for proposals, if desired. In

The Successful Bidder will receive an official letter
from the City of Miami giving notice of the acceptance
of its proposal and awarding the privilege of
executing a lease to be prepared by the City.
Any proposal which is incomplete, conditional, obscure
or which contains irregularities of any kind, may be
cause for rejection of the proposal. In the event of
default of the Successful Bidder, or refusal to enter
into a lease with the City of Miami, the City reserves
the right to accept the proposal of any other proposer
or readvertise using the same or revised
documentation, at its sole discretion.

10. INTERPRETATION OF PROPOSAL DOCUMENTS: Each —
proposer shall thoroughly examine the Request for Proposals and
inspect the Retail Space, the Arcade and the Connected
Facilities. The proposer shall then make judgements as to all _
matters relating to the location and character of the services
required. If the Request for Proposals is unclear or obscure,
or contains errors or omissions which need clarification,
written clarification may be obtained from Property and Lease

11. PROTECTION OF RIGHTS .OF CITY: The City reserves
the right to include in any contract document such terms and
rconditions as are necessary for the proper protection of the
City.

GROUND 00 RC DE
The Convention Center Parking Garage and the CenTrust Tower being
constructed in the air rights above the Garage were designed by
I.M. Pei & Partners, Architects with Spillis, Candela & Partners,
associated architects. The interior design is by Angelo Dongia
with Urban Architects as consultants.
These outline specifications are only to indicate the intent and
the quality of the architectural finishes in the ground floor
Arcade as illustrated in the rendering (Exhibit C). Working
drawings and specifications will be provided by the architects.
MASONRY WORK
Concrete block walls and partitions will occur at some spot areas
along arcade, at display windows, and at arcade side and
plastered or drywall furred at opposite side of arcade wall, as
indicated on the drawings. See Ground Floor Plan (Exhibit A).
MARBLE
Arcade floor will be composed of two types of Marble, quarried in
Italy, and laid in a checker board pattern as indicated in
rendering (Exhibit C). Marble Type I will be green and Marble
Type II will be white "Cremo".
MMETAL
CEILINGS
A network of metal ceiling panels along arcade will have a
stainless steel No. 8 mirror polished finish and die cast
octagonal fittings will combine to create a perfect ceiling
surface.
ARCHITECTURAL METALS
Round columns along arcade will receive a stainless steel No. 8
mirror polished finish column covering; arcade glass window walls
will have top, intermediate and bottom continuous metal bands of
bronze mirror polished, lacquered finish; arcade walls where

glass window wall system is not used will receive a stainless
steel No. 8 mirror polished finish veneer; and display show
windows will receive a stainless steel No. 8 mirrored polished
finish on special trims around full openings.
FINISH HARDWARE
Finish Hardware for special revolving doors and swing doors will
have a bronze mirror polished, lacquered finish, other hardware
shall be brushed a stainless steel.
INTERIOR WINDOW/WALL SYSTEMS & GLAZED DOORS
Interior window/wall systems and glazed doors will be clear fully
tempered glass with horizontal bronze mirror polished, lacquered
finished bands and will have dimensions and patterns as shown on
drawings. (Final door locations as required for tenants).
REVOLVING DOORS - ARCADE STOREFRONT ENTRANCES
Circular bronze enclosure shall be custom fabricated with the
inside face of bronze mirror polished and lacquered; removable
for access to controls. Provide wings of revolving doors with
clear safety glass set in bronze mirror polished frames and
lacquered push bars, emergency collapsing device and with lock
and operating mechanism including overhead mounted speed control.
The quality of materials, construction, and engineering shall be
equal to that manufactured by International Steel Company.
FINISHES
Bronze and stainless steel surfaces shall be finished and shall
match appearance, color and texture of samples approved by
Architect.
MECHANICAL AND ELECTRICAL NOTES:
The Arcade space is unairconditioned. Relocation and
of installation of finished fire sprinkler heads in the metal
ceilings is required. The lighting will be recessed incandescent
