RESOLUTION NO. 85-286
A RESOLUTION TO AMEND THE AGREEMENT WITH
THE DOWNTOWN MIAMI BUSINESS ASSOCIATION,
INC. (DMBA), IN A FORM ACCEPTABLE TO THE
CITY ATTORNEY, TO EXTEND THE EXPIRATION
DATE OF THE CONTRACT AGREEMENT FROM
FEBRUARY 28, 1985 TO APRIL 1, 1985 AND
TO INCLUDE AS PART OF THIS AGREEMENT,
ADVERTISEMENTS FOR THE 1985 EASTER
HOLIDAYS AND THE PROMOTIONAL ACTIVITIES
UNDER THE FLAGLER STREET BANNERS
DEMONSTRATION PROJECT FOR WHICH THE CITY
WILL CONTRIBUTE $1,750 AS A LOCAL MATCH
TOWARD THE FUNDING OF THIS PROJECT.
WHEREAS, the City is committed to economic development and
the expansion of trade and commerce; and
WHEREAS, the City Commission passed Resolution No. 84-535
authorizing the City Manager to enter into an agreement with DMBA
for the purpose of instituting a year-round advertisement
campaign for the downtown area; and
WHEREAS, the
City continues
to recognize the
potential
economic impact of
patronage of the
downtown business
district by
the local South Florida community; and
WHEREAS, they can benefit from all the promotional
activities that will result from the implementation of additional
advertisement activities;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
MIAMI, FLORIDA:
Section 1. The City Manager is hereby authorized to amend
the contract agreement with the Downtown Miami Business
Association, Inc. (DMBA) to extend the expiration date of the
contract agreement from February 28, 1985 to April 1, 1985 and to
include as part of this agreement advertisements for the 1985
Easter Holidays and the activities under the Flagler Street
Banners Demonstration Project for which the City will co

AMENDMENT
An Amendment to an agreement dated August 23, 1984 between
the City of Miami, hereinafter referred to as the "CITY" and the
DOWNTOWN MIAMI BUSINESS ASSOCIATION, hereinafter referred to as
the "CONTRACTOR".
WHEREAS, the City Commission passed Resolution No. 84-535
on May 10, 1984 authorizing the City Manager to enter into an
agreement with the CONTRACTOR for the implementation of a year-
round advertisement campaign for downtown; and
WHEREAS, the City continues to recognize the potential
economic impact of increased patronage in the downtown business
district by the local South Florida community; and
WHEREAS, the City can benefit from all the promotional
activities that will result from the implementation of
additional advertisement activities.
THEREFORE, in mutual consideration of the covenants made
herein and in the agreement of which this is an amendment, the
parties hereto understand and agree as follows:
That the Agreement between the parties above stated, is
hereby amended to extend the expiration date of the contract from
February 28, 1985 to April 1, 1985 and to include as part of this
agreement advertisements for the 1985 Easter Holidays and the
activities under the Flagler Street Banners Demonstration Project
for which the CITY will contribute $1,750 as a local match toward
the funding of this project.

It is further understood that all the terms and conditions
outlined under the original agreement and all subsequent
amendments thereto will remain in full force and effect without
modifications.
IN WITNESS WHEREOF, the parties have caused this amendment
to be executed by the respective officials therefore duly
authorized.

On May 10, 1984 the City Commission passed Resolution No. 84-535
authorizing the City Manager to enter into a contract with DMBA for
the purpose of instituting a year-round advertising campaign designed
to develop business for the downtown area.
As originally intended, the scope of promotional activities under
this contract was to cover the major holidays throughout the year.
The term of the contract is from May 14, 1984 to February 28, 1985,
only a nine month period which excludes the Easter holidays.
The DMBA has requested an extension of the contract period in order
to be able to place advertisements during the 1985 Easter Holidays.
Advertisements placed during this major holiday should give maximum
exposure to downtown Miami and help in attracting business to the
area.
Along with the above request, DMBA is asking the City to accept its
participation in the Flagler Street Banners Demonstration Project,
which took place from November, 1984 to January, 1985, as an activity
in compliance with the objectives and part of the special advertising
campaign contract.

The Project consisted of the placement of fifty (50) special.ly
designed banners by the Center For Fine Arts throughout selected
sites on Flagler Street. The goal of the project was to promote
special events and enhance the image of downtown Miami. Metro -Dade
County and the City of Miami reachedi-an agreement -:with the
participants in the project to contribute $1;750- each toward the
funding of the project costs. If the City Commission approves DMBA's
activities in this project as part of its advertisement contract, the
$1,750 will be paid from the $50,000 already allocated.
It is therefore, recommended that the City Commission amend the
550,000 Special Funding Request contract of DMBA to include the
following:
A. To extend the contract terms from February 28, 1985 to April 1,
1985.
B. To include advertisements for the 1985 Easter holidays.
C. To include the activities of DMBA in the Flagler Street Banners
Demonstration Project.
