J=85-297 3/21/85 rr/073/D-A RESOLUTION NO. 85-4135 A RESOLUTION AUTHORIZING THE CITY MANAGER TO EXECUTE AN AGREEMENT, IN A FORM ACCEPTABLE TO THE CITY ATTORNEY, WITH METROPOLITAN DADE COUNTY TO ACCEPT $250o000 UNENCUMBERED IN DIRECT PAYMENTS IN CONSIDERATION OF THE CITY HAVING PROVIDED COUNTYWIDE CONVENTION SERVICES THROUGH THE CITY'S CONVENTION BUREAU DURING FISCAL YEAR 1983-84. WHEREAS, Metropolitan Dade County requested that the City provide Convention Services to the County in Fiscal year 1983-84 for a consideration of $250,000 in direct payment; and WHEREAS, the County has prepared an agreement for execution with the City to implement the payment of this amount; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The City Manager is hereby authorized to execute an agreement, in a form acceptable to the City Attorney, with Metropolitan Dade County to accept $250,000 unencumbered in direct payments in consideration for the City"s having provided countywide convention services through the City's Convention Bureau during Fiscal year 1983-84. The Tourist Development Council of Metropolitan Dade County and the Board of County Commissioners have approved an allocation of $250,000 to be included in the FY 1983-84 Budget of the City's Convention Bureau. The City, through its Convention Bureau must provide full convention services to all interested parties, countywide, with the exception of Miami Beach, Surfside and Bal Harbour. Services are defined as: 1. Solicitation and formal presentation to meeting planners. 2. Promotion of convention events. 3. Provide registration and housing assistance to conventions. 4. Submission of budgetary plans and quarterly reports to Dade County Tourism Department. Copy of Agreement, drawn by Dade County, is attached. 85-4J.3 f LETTER OF AGREEMENT BETWEEN METROPOLITAN DA)E COUNTY, FLORIDA AND THE CITY OF MIAMI, FLORIDA WHEREAS, Ordinance 84-22 amended Category Four of the Dade County Tourist Development 'fax Plan authorizing additional funds to reinforce activities of the City of Miami Convention Bureau, and WHEREAS, the City, through its Convention Bureau, advertises, promotes and services conventions in Dade County, and WHEREAS, the County is desirous of entering into an agreement with the City for convention services provided to the County, NOW, THEREFORE, IN CONSIDERATION of the mutual agreement contained herein, it is agreed between the parties as follows: I. DADE COUNTY AGREES: 1. To provide $250,000 as provided in Section III of this Agreement to the City of Miami Convention Bureau for convention services provided during the fiscal year ended September 30, 1984. I1. THE CITY OF MIAMI AGREES: 1. To have provided the following services through its Convention Bureau during the fiscal year ended September 30, 1984. a. Made formal presentations to solicit conventions. b. Promoted and publicized convention events. c. Distributed brochures and promotional materials to prospective conventions and conventions in progress. d. Provided registration assistan a to conventions. e. Provided hotel and housing assistance. 2. To account for County's funds, provided by this agreement through its Convention Bureau during the fiscal year ended September 30, 1984, in the amount of $250,000 for operational and promotional expenditures, such as r3 = ' personnel, travel, promotional activities, advertising, and other related _y expenses. 3. To submit a report to the Director of the Dade County Department of Tourism of actual expenditures incurred by the City's Convention Bureau during H x the fiscal year ended September 30, 1984, in order to develop a comprehen- sive marketing plan. 85-413 0 4. To provide details on the number of reportable conventions held during FY 1984 as a result of the Convention Bureau's efforts, number of participants, duration, estimated expenditures and anticipated return outlook. In addition, a list of future conventions booked with number of participants, duration and estimated expenditures. 5. To provide reasonable additional reports and documents as may be requested by the County Manager. 6. To make specific presentations as may be required before the Board of County Commissioners. 7. To permit authorized representatives of Dade County to inspect and audit all books, records, documents and other supporting data and documentations relating to the City of Miami's performance under this Agreement as it relates to County's funds. III. PAYMENT SCHEDULE Upon receipt of all requested reports and documents as listed in paragraph II of this Agreement, Dade County will deliver a County Warrant in the amount of $250,000. IV. INDEMNIFICATION AND HOLD HARMLESS 1. It is expressly understood and intended that the City of Miami, through its Convention Bureau, is only a recipient of funds and is not an agent of Dade County. Z. In the event a claim or lawsuit is brought against Dade County, the City of Miami hereby agrees to in,emnify, save harmless and defend any and all claims, liabilities, causes of actions, and judgments of any nature whatsoever which may arise out of the operations of this Agreement. The City shall pay all costs, judgments, attorney fees, and any expenses incurred by Dade County in connection with such claims and suits. V. ORDINANCES The City of Miami agrees to abide by and be governed by all applicable laws, including but not limited to Section 2-11.1 and Chapter II a, Code of Metropolitan Dade County, which are incorporated herein by reference as if fully set forth herein. 85"413 0 0 VI. REMEDIES The City of Miami agrees to reimburse Dade County for all unallowable expenditures which may be determined by the County at a later date. VII. SIGNATORIES IN WITNESS WHEREOF, Metropolitan Dade County and the City of Miami have entered into this agreement on this day of 1984.
