RESOLUTION NO.
A RESOLUTION REQUESTING THE BOARD OF TRUSTEES
OF THE INTERNAL IMPROVEMENT TRUST FUND TO
WAIVE THE DEED RESTRICTIONS CONTAINED IN
DEED NO. 19447, RECORDED IN DEED BOOR 3138#
AT PAGE NO. 257, TO PERMIT THE DEVELOPMENT OF
THE BAYSIDE SPECIALTY CENTER.
WHEREAS, the City Commission determined irk Match, 1.983, that

t is advantageous to the City to develop approximately 12.9
acres located on a portion of Bayfront Park and adjacent to
Biscayne Boulevard and Miamarina for the development of a
waterfront specialty center and parking garage to be known as
Bayside Specialty Center, and authorized the issuance of a
Request for Proposals; and
WHEREAS, the City Commission, by Resolution No. 84-585,
authorized the City Manager to execute a Lease Agreement between
the City of Miami and Bayside Center Limited Partnership on
behalf of Rouse -Miami, Inc., an affiliate of The Rouse Company of
Columbia, Maryland, for the planning and design, construction
leasing and management of the Bayside Specialty Center; and
WHEREAS, Bayside Specialty Center is expected to provide up
to 200,000 square feet of new commercial and public space; and
WHEREAS, the City Manager executed a Lease Agreement for the
Specialty Center in January, 1985; and
WHEREAS, the City represents in the Lease Agreement that it
has good and rnerchantible fee simple title to the leased prop-
erty, and that the title is free and clear of all covenants,
easements, liens, clouds of title, or other restrictions, with
certain exceptions; and
WHEREAS, said Lease Agreement may be perceived to violate a
deed restriction contained in Deed No, 19 447, recorded in Deed
Book 3130, at Page 257, in the Public Records of Dade County,

tent Fund of the state of Florida conveyed certain land located
in Dayfront parr to the City of Miami; and
WHEREAS, a portion of the land conveyed by that Deed is
included in the land leased for the development of the Bayside
Specialty Center;
NOVA, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OP MIAMI, FLORIDA:
Section 1. The City Manager is hereby authorized and
directed to request the Board of Trustees of the Internal
Improvement Trust Fund to execute a waiver of the deed restric-
tion contained in Deed No. 19447, recorded in Deed Book 3130, on
Page 257, of the Public Records of Dade County, Florida, to
permit the development of the Bayside Specialty Center on
approximately 12.9 acres of City -owned land located on a portion
of Bayfront Park adjacent to Biscayne Boulevard and Miamarina.
