firm of Greenberg, Traurig, Askew, Hoffman, Lipoff, Rosen &

the preliminary negotiations in connection with the Downtown
s Development of Regional Impact (D.R.I.) due to the novel and
. complex issues involved in establishing the Scope of Project and
the employment of the law firm of Sparber, Shevin, Shapo &
Heilbronner, P.A., to serve as special counsel for the City on an

as -needed basis during the remainder of the Downtown DRI process,
with monies therefor hereby allocated from the Special Programs

The City has entered into a be!Veloper's Agreement with the
State of I:lorida, I epartMtht of CotmUftity Affaits, the Downtown
Development Authority, and 8ayside Center titt<ited Partnership
whereby the ilayfront Park Redevelopment Ptojeet, the 8ayside

Specialty Center and the parking garage may be constructed and
. operated prior to a proposed issuance of a Development Regional
Impact (b.R.I.) Order tot the City of Miami Downtown D.R.t.

'rhe executed developer's agreement provides that the
application for Development approval for the Downtown b.R.l. must
be submitted within One (l) year from the date of execution of
said Agreement. Downtown i?.R.l.'s, although provided for in the
Florida Statute are relatively new and in fact have only been
'
completed by two cities at this time -- Tampa and 3acksonville.-
Accordingly, the novel legal issues and complexities surrounding.
the initial preparation of the application for development
approval require the use of special counsel to assist in the
} •-
resolution of these issues. Therefore, it is recommended that
'
the law firm of Greenberg, Traurig, Askew, Hoffman, Lippoff,

Rosen & Quentell,,P.A. be employed to establish the Scope of
Project and thereafter the law firm of Sparber, Shevin, Shapo &
Heilbronner, P.A. be retained as special counsel for the City to

assist in this matter on as -needed basis during the remainder of
the D.R.I. process. Monies therefor are to be allocated from
the Special` Programs and Accounts Contingent Fund No. 921008
(Downtown Masterplan/D.R.I.)'.
