A RESOLUTION AUTHORIZING THE CITY MANAGER TO
EXTEND THE TERM OF THE EXISTING PROFESSIONAL
SERVICES AGREEMENT WITH VINCENT E. GRIMM JR.
FROM AUGUST 1, 1985 THROUGH JULY 31, 1986 FOR
PROFESSIONAL CONSULTANT SERVICES PRIMARILY IN
CONNECTION WITH THE WORLD TRADE CENTER PROJECT
AT THE SAME FIXED MONTHLY PAYMENT AS PROVIDED
BY SAID AGREEMENT AND ALLOCATING MONIES
THEREFOR FROM PREVIOUSLY APPROPRIATED FUNDS.
WHEREAS, the City of Miami has a 'vital interest in the
completion of the World Trade Center Tower and the Parking
Garage Project; and
WHEREAS, there have been delays and the Project involves
complex relationships and contractural agreements; and
WHEREAS, Vincent E. Grimm, Jr. has been involved with this
project since its inception and it is in the best interest of the
City that his involvement be preserved, continued, and maintained;
and
WHEREAS, by Resolution 83-57, the City Commission authorized
the City Manager to enter into a Professional Services Agreement
with Mr. Grimm for professional consultant services, primarily in
connection with the World Trade Center with a provision therein
for extension through July 31, 1985; and
WHEREAS, on January 14, 1983 a Professional Services Agreement
was executed for a term of 2 years with a provision therein for
extension through July 31, 1985; and
WHEREAS, by Resolution 85-29 the City Commission authorized
the City Manager to extend the existing Professional Services
Agreement through July 31, 1985; and
WHEREAS, said Agreement established a fixed monthly payment
of $2,500 for said services;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE
CITY OF MIAMI, FLORIDA;

8edtion l: The City Manager is hereby authorized to extend
the existing Professional Services Agreement with Vincent E. Grimm, Jr.
from August 1, 1985 through July 31, 1986 for professional consultant
services primarily in connection with the World Trade Center Project:
Section 2. Compensation for said services shall be at the
same fixed monthly payment of $2,500 and as provided by the
existing Agreement.
Section 3. Monies for the herein Agreement are hereby
allocated from funds previously appropriated for the World Trade
Center Tower and the Miami Convention Center Parking Garage Projects.

1. This Agreement shall commence February 1, 19�3 and
shall terminate January 31, 1985. This Agreement may be extended
to July 31, 1965, if determined necessary by the CITY.

2. This Agreement is for the purpose of providing pro-
fessional consulting services to the CITY through the City
Manager for special projects, specifically for the Trade Center
to be constructed on top of the City of Miami Convention Center

3. In the event that secretarial services are necessary
for the preparation of any memorandum or reports, said services
shall be provided at the discretion of the City Manager, at city
oAffices.

4. The CONSULTANT shall be available on call at the
discretion of the City Manager. It is not the intention of this
Agreement that the CONSULTANT work a full 40 hour week. The time
he works will be dependent on the demands of the job.
S. The CITY shall pay the CONSULTANT, as compensation Two
Thousand Five hundred Dollars ($2,500) per month- to be paid on
the first business day of each month, for the previous month.
6. There will be no expenses paid to the CONSULTANT in
addition to the monthly emolument, unless they are incurred in

direct relationship to this Agreement for travel outside of Dade
County. In such case, the CONSULTANT will be reimbursed A.

9. Because of - the cohplexity of this project and its
association with the convention center, it is agreed that in the
event of any legal action in relation to this Agreement against
the CITY or the CONSULTANT, by th ira parties, the CITY will
provide the CONSULTAN with legal representation of the CITY Ia

10, This Agreement- may be terminated by either partf with
30_days written notice, without penalty to the CITY. Upon
termination, the CONSULTANT will be paid for his last month
performed. It is hereby understood by and between the CITY and
the CONSULTANT that any payment made in accordance with this
Section to the MNSULTA:IT shall be made only if said CONSULTANT
is not in default under the terms of this Agreement. If the
CONSULTANT is in default under the terms of this Agreement, then
the CITY shall in no way be obligated and shall not pay to the
CONSULTANT any sum whatsoever.
IN WITNESS WHEREOF, the parties hereto have caused these

TOWER PROJECT, FOR A PERIOD OF 2 YEARS
COMMENCING FEBRUARY 1, 1983 THROUGH
JANUARY 31, 1985 WITH A PROVISION THEREIN
FOR EXTENSION THROUGH JULY 31, 1985, SAID
AGREEMENT ESTABLISHING A FIXED MONTHLY
PAYMENT FOR SAID SERVICES; ALLOCATING
MONIES THEREFOR FROM PREVIOUSLY
APPROPRIATED FUNDS.
WHEREAS, Assistant City Manager Vincent E. Grimm, Jr.
will retire from the City of Miami on January 17, 1963 after
many years of faithful and effective service; and
WHEREAS, the City of Miami, as well as the Dade Savings
and Loan Association, has a vital interest in the completion
of the World Trade Center Tower Project; and
WHEREAS, Mr. Grimm has been involved with this Project
since its inception; and
WHEREAS, it is to the best interest of the City that
this Project involvement by Mr. Grimm be preserved, continued
and maintained;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE
CITY OF MIAMI, FLORIDA:
Section 1. The authorization set forth in Section 3
hereof is based upon the following findings:
(a) The services of Vincent E. Grimm, Jr. are
unique in character as they relate to
certain pending Capital Improvement
Projects of the City of Miami which
projects will be the primary object of
his services under the herein agreement.
(b) The City of Miami cannot avail itself of
such services without entering into the
herein proposed agreement, the execution
of which would be in violation of City
Code Section 2-302 were there not a
waiver of t- h a requirements and the
prohibition contained in said Section
2-302.

(01 The herein proposed agreement will be to
the best interest of the City of Miami*
Section 2. Based upon the findings set forth in
Section 1 hereof, the requirements and prohibition contained
in Section 2-302 of the City Code are hereby waived.
Section 3. The City Manager is hereby authorized to
enter into an agreement, subject to the City Attorney's
approval as to form and correctness, for professional
consultant services with Vincent E. Grimm, Jr., primarily in
connection with the World Trade Center Tower Project for a
period of 2 years commencing February 1, 1983 through
January 31# 1985 with a provision therein for extension
through July 31, 1985, said agreement establishing a fixed
monthly payment of $2,500 for said services.
Section 4. Monies for the herein agreement are hereby
allocated from funds previously appropriated for the World
Trade Center Tower and the Miami Convention Center Parking
Garage Projects.

Contractor). The Citv has many problems and concerns and there is
now significant litigation in connection with the project.
The City entered into a Professional Services Agreement with
Vincent E. Grimm, Jr. because he has been involved with the
project since its inception and it is in the best interest of
the City that his involvement be continued. '.''he e:tistin, Agreement
established a fixed monthly payment of $2500 for said services and
will terminate on July 31, 1985. It is therefore reco-=ended that
the Agreement with Mr. Gri=. be extended for 12 months at the same
fixed monthly rate in order to assist the City in resolving the
mane problems and concerns related to the project.
For reference, attached is a copy of the existing Professional
Services Agreement (dated 1/14/83) with Mr. Grinn. Monies are
available for these services in the City of Miami/University of
Miami James L. Knight International Center Construction Account.
