A RESOLUTION RATIFYING, APPROVING, AND
CONFIRMING THE ACTION OF THE CITY MANAGER IN
EXECUTING THE ATTACHED AGREEMENT BETWEEN THE
STATE OF FLORIDA DEPARTMENT OF COMMUNTTY
AFFAIRS, THE CITY OF MIAMI, THE DOWNTOWN
DEVELOPMENT AUTHORITY, AND RAYS1nR CENTER
LIMITED PARTNERSHIP ESTABLISHING THE DOWNTOWN
AREA INCLUDED WITHIN THE DOWNTOWN DEVELOPMENT
AUTHORITY BOUNDARIES AS A DEVELOPMENT OF
REGIONAL IMPACT (DRI) AND ALLOWING THE
BAYFRONT PARK REDEVELOPMENT PROJECT, THE
PARKING GARAGE, AND THE BAYSTDE SPECIALTY
CENTER TO BE DEVELOPED AND OPERATED (EXCEPT
FOR THE AMPHITHEATER) PRIOR TO THE ISSUANCE
OF A DRI DEVELOPMENT ORDER FOR THE PROPOSED
CITY OF MIAMI DOWNTOWN DRI.
WHEREAS, pursuant to a Lease Agreement dated January 14,
1985, the City is leasing approximately 13.1 acres of City owned
property in Bayfront Park to Bayside Center Limited Partnership,
upon which Bayside is to construct and operate a waterfront
Specialty Center; and
WHEREAS, pursuant to a Lease Agreement dated January 14,
1985, the City is leasing approximately 11.2 acres of Citv owned
property in and adjacent to Bayfront Park to Bayside, upon which
Bayside is to construct and operate a parkinq garave containing
approximately 1,200 car spaces; and
WHEREAS, the City has proposed to make improvements to a
portion of Bayfront Park which includes construction of an
amphitheater comprised of up to 3,000 permanent spectator seats,
and a 7,000 capacity expansion area, stage, and ancillary
facilities and 20 + acres of passive Park; and

WHE RFaS, on BPptember 20, 19840 the City received a
monitoring letter from thee Department of- Community Affairs
indicating that the Bayside Specialty Center, the Parking rarage
and the amphitheater were presumed to be a Development of
Regional Impact (DRI); and
WHEREAS. construction of the Bayside Specialty Center, the
Parking Garage, the Bayfront Park Redevelopment Project and the
related side improvements must commence by May 31, 1985, and
certification that all governmental approvals have been obtained
must be made prior to June 1, 1985, or the City may fail to
receive a six million dollar Urban Development Action Grant
(UDAG) the United States Department of Housing and Urban
Development preliminarily approved on October 4, 1984; and
WHEREAS, Rayside has indicated its inability to obtain
financing for the Bayside Specialty Center or the Parkinq Garaqe
and its unwillingness to proceed with the development of the
Bayside Specialty Center and Parkinq Garage unless the
uncertainty regarding DRI review raised by the Department of
Community Affairs aforesaid monitoring letter is obviated; and
WHEREAS, in anticipation of the economic stimulation of
downtown Miami which should result from construction of the

Bayside Specialty Center and the Bayfront Park Redevelopment
Project, the Miami Downtown Development Authority is prepared to
submit an Application for Development Approval (ADA) for a City
of Miami Downtown DRI pursuant to Section 380.06(21), Florida
Statutes; and
WHEREAS, the interests of the City and the State will be
better served and more fully protected by avoidinq lenqthy and
uncertain litigation and stimulating economic growth in the City
of Miami by entering into a developers agreement whereby the

and the Parking Garage may be constructed and (with the exception
of the Amphitheater) operated prior to the issuance of a DRI;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:
Section 1. The City Commission hereby ratifies, approves
and confirms the action of the Citv Manaqer in executing the
attached agreement between the State of Florida Department of
Community Affairs, the City of Miami, the Downtown Development
Authority, and Bayside Center Limited Partnership establishing
the Downtown Development Authority boundaries as a Development of
Regional Impact (DRI), which agreement allows the Bayfront Park
Redevelopment Project, the Parkinq Garage, and the 13ayside
Specialty Center to be developed and operated (except for the
amphitheater) prior to the issuance of a DRI Development Order
for the proposed City of Miami Downtown DRI.

This Agreement is made and entered into this ___. day
of 1985, between the City of Miami, a municipal
corp)ation (hereinafter "the CITY")', the City of Miami Downtown
Development Authority, an authority created pursuant to Chapter
65-1090 of the general laws of the State of Florida and Section
14-25 of the City of Miami Code (hereinafter "the AUTHORITY") and
the Department of Community Affairs of the State of Florida
(hereinafter "the DEPARTMENT").
►wITNESSETS;
WHEREAS, the CITY is the owner of the real property known as
"Bayfront Park", a portion of which is legally described on
Exhibit A, attached hereto and incorporated herein by reference;
and
WHEREAS, pursuant to a Lease Agreement dated January 14,
1985 ("Retail Lease"), the CITY is leasing approximately 13.1
acres of CITY owned property in Bayfront Park to Bayside Center
Limited Partnership, a Maryland limited partnership (hereinafter
"Bayside") upon which Bayside is to construct and operate a
waterfront Specialty Center (hereinafter and therein described as
"Bayside Specialty Center"). The property upon which the Bayside
Specialty Center is to be constructed is designated as "Retail
Parcel", "Area A-4" and "Area A-5" on the survey attached hereto
as Exhibit B and is more particularly described in the Retail
Lease.
WHEREAS, pursuant to a Lease Agreement dated January 14,
1985 ("Parking Garage Lease") the CITY is leasing approximately
11.2 acres of CITY owned property in and adjacent to Bayfront
Park to Bayside, upon which Bayside is to construct and operate a
parking garage containing approximately 1,200 car spaces and a
surface parking lot ("Parking Garage"). The property upon which
the Parking Garage is to be constructed is designated as the
Garage Parcel and Area B and is shown on Exhibit B and is more
particularly described in the Parking Garage Lease.

WHEREAS# the CITY has issued a Major Use Special Permit
pUtsuaht to City of Miami Zoning Ordinance No. 9500, permitting
the construction of the Bayside Specialty Center and Parking
Garage comprised of 200,000 t square feet of new retail com-
mercial space and 35,000 t square feet of rehabilitated

restaurant space and approximately 1,200 car parking spaces; and
WHEREAS, the CITY has proposed to make certain improvements
to the portion of Bayfront Park described on Exhibit A pursuant
to a plan entitled "Bayfront Park Redevelopment Project" prepared
by Fuller 5 Sadao, P.C. and Pancoast Albaisa Associates,
Architects, (hereinafter "Bayfront Park Redevelopment Project")
which includes construction of an amphitheater comprised of up to
3,000 permanent spectator seats, 7,000 permanent terraced seats,
stage, and ancillary facilities ("Amphitheater") and 20 t acres
of passive park; and
WHEREAS, on September 20, 1984, the CITY received a monitor-
ing letter from the DEPARTMENT indicating that the Bayside
Specialty Center, the Parking Garage and the Amphitheater were
presumed to be a Development of Regional Impact ("DRI"). The
CITY has at all times maintained that : (i) the Bayside Specialty
Center and the Parking Garage are considerably below the
thresholds for shopping center development set forth in Rule 27F-
2.12, Florida Administrative Code; (ii) the Bayside Specialty
Center and the Parking Garage are separate developments from the
Amphitheater inasmuch as they are to be constructed, and as to
the Bayside Specialty Center operated, by Bayside; and (iii) the
proposed Amphitheater contains only 3000 permanent spectator
seats and is therefore substantially below the threshold for a
"single performance facility" pursuant to Rule 27F-2.02, Florida
Administration Code; and
WHEREAS, the DEPARTMENT maintains that the 10,000 Amphi-
theatre seats meets the presumptive threshold for a "single per-
formance facility" pursuant to Rule 27F-2.02, Florida Administra-
tive Code. This dispute remains unresolved; and

WHEREAS, construction of the Bayside Specialty Center, the
t` Parking Garage, the Bayfront Park Redevelopment Project and the
related site improvements must commence by May 31, 1985 and
certification that all governmental approvals have been obtained
must be made prior to June 1, 1985, or the CITY may fail to
receive a six million dollar Urban Development Action Grant
("UDAG") the United States Department of Housing and Urban
Development preliminarily approved on October 4, 1984; and
WHEREAS, Bayside has indicated its inability to obtain
financing for the Bayside Specialty Center or the Parking Garage
and its unwillingness to proceed with the development of the
Bayside Specialty Center and Parking Garage unless the uncertain-
ty regarding DRI review raised by the DEPART`4ENT's aforesaid
monitoring letter is obviated; and
WHEREAS, the Bayside Specialty Center and Parking Garage
will stimulate the economy in the City of Miami and encourage
additional private investment in downtown Miami; and
WHEREAS, in anticipation of the economic stimulation of
downtown Miami which should result from construction of the
Bayside Specialty Center and the Bayfront Park Redevelopment
Project, the AUTHORITY is prepared to submit an Application for
Development Approval ("ADA") for a City of Miami Downtown DRI
pursuant to Section 380.06(21), Florida Statutes; and
WHEREAS, the CITY wishes to retain the right, at its option,
to expand the DRI to an areawide DRI in the event proposed
changes to existing areawide legislation are adopted by the State
Legislature; and
WHEREAS, the interests of the CITY and the State will be
better served and more fully protected by avoiding lengthy and
uncertain litigation and stimulating economic growth in the City
of Miami by entering into this Agreement whereby the Bayfront
Park Redevelopment Project, the Bayside Specialty Center and the
Parking Garage may be constructed and (with the exception of the
Amphitheatre) operated prior to the issuance of a DRI De elc�p ent
' Order for the proposed City of Miami Downtown DRI.
NOW, THEREFORE, the DEPARTMENT finds that this Agreement is
in the interest of the State, is necessary and beneficial to the
DEPARTMENT, and reasonably applies and effectuates the provisions
and intent of Chapter 380, Florida Statutes. The CITY, the
AUTHORITY and the DEPARTMENT agree as follows:
1. The AUTHORITY shall submit an ADA for a Downtown DRI
covering the area shown on Exhibit C attached hereto and incor-
porated herein by reference (hereinafter "the Downtown Area").
Said ADA shall be submitted within twelve (12) months of the
effective date of this Agreement. The effective date shall be
the date that this Agreement is executed and acknowledged by the
last party to sign it. Said ADA shall consider the improved
Bayfront Park pursuant to the Bayfront Park Redevelopment
Project, Bayside Specialty Center and the Parking Garage as
existing facilities.
2. In the event the Downtown ADA is not filed within 12
months of the effective date hereof, subject to extensions of
time for cause by agreement among the parties, the CITY will
submit an ADA for a DRI for the Bayside Specialty Center, Parking
Garage and Bayfront Park Redevelopment Project within 16 months
from the effective date of this Agreement.
3. The CITY may construct the Amphitheatre pursuant to the
plan entitled "Bayfront Park Redevelopment Plan" attached hereto
as Exhibit D, but shall not operate the Amphitheatre or allow it
to be operated prior to issuance of a Final Development Order.
The CITY shall not allow any substantial changes to be made to
the Amphitheatre or the area designated as "City Improvement
Area" on Exhibit D, attached hereto, without the prior written
consent of the DEPARTMENT which shall not be unreasonably with-
held or delayed.
4. The DEPARTMENT shall Clot seek to exercise its enforce-
ment powers pursuant to Section 380.11, Florida Statutes or
otherwise delay, modify, supplement or impede construction of the
improvements to the Bayside Specialty Center, the Parking Garage
located on the Retail Parcel, the Garage Parcel, Areas A-4, A-5
and B, and the related site improvements including, but not
limited to: demolition of the auditorium, construction of
utilities, access roads, Baywalk and fill in the area designated
as "Bayside Improvement Areas" on Exhibit D and all utilities
outside the Bayside Improvement Area servicing the improvements
• located within the Bayside Improvement Area, all of which may be
constructed and operated regardless of when the ADA for a City of
Miami Downtown DRI, Areawide DRI, or the ADA contemplated in
Section 2 hereof is submitted and a Development Order issued.
Nothing within this Agreement will be construed to entitle the
DEPARTMENT to enjoin, modify or otherwise prevent construction or
operation of the Bayside Specialty Center, the Parking Garage and
the related site improvements, even if the Agreement is breached
by the CITY or terminated, so long as the Bayside Specialty
Center is constructed substantially in accordance with the site
plan attached hereto as Exhibit E. This section shall survive
termination of this Agreement. The delineation of "City
Improvement Area" and "Bayside Improvement Area" on Exhibit D is
not intended to expand, limit or otherwise modify the rights and
obligations of the City and Bayside pursuant to the Retail Lease
and the Parking Garage Lease.
5. The DEPARTMENT shall not seek to exercise its enforce-
ment powers pursuant to Section 380.11, Florida Statutes, or
otherwise delay modify, supplement or impede construction of and
use or operation of the following elements of the Bayfront Park
Redevelopment Project located within the area designated as City
Improvement Area on Exhibit D: (excluding the Amphitheatre)
clearance and demolition, grading, treatment of existing plant

Material including relocation, new planting and sodding, irriga-
Lion, earthwork and related construction site drainage and
utilities, reinforced concrete and masonry work (including
service building, light tower and surrounding building and park
walkway system) and site furniture which shall for the purposes
of this Agreement be deemed to be all on the property described
in Exhibit A except for the property located within the Bayside
Improvement Area.
However, if the CITY fails to comply with the terms and
conditions of this Agreement or if the DEPARTMENT determines that
the Agreement was based on materially inaccurate information
submitted by the CITY or the AUTHORITY, the DEPARTMENT may,
subject to the limitations contained in Section 4 hereof, (i)
terminate this Agreement; or (ii) initiate proceedings to enforce
this Agreement; or (iii) enjoin the development described in this
section (including the Amphitheater) pursuant to Section 380.11,
Florida Statutes.
6. Pursuant to • Rule 9J-2.18 (formerly Rule 9B
16.18(7)(e)), Florida Administrative Code, the CITY and the
AUTHORITY agree to pay the cost and a reasonable attorney's fee
resulting from any suit brought and successfully prosecuted by
the DEPARTMENT against the CITY and/or the AUTHORITY to enforce
this Agreement.
The parties agree that the damages caused to the DEPARTMENT
by a breach of the provisions in Sections 1 and 2 are uncertain,
speculative, and not easily susceptible of proof. In the event
that the 16 month time frame and any agreed upon extension there-
to as provided for herein are not met:
A) If the CITY and AUTHORITY are proceeding toward and
intent on submitting a Downtown ADA, the CITY and the AUTHORITY,
jointly and severally, shall be liable for liquidated damages of

8) If the CITY and AUTHORITY are proceeding toward and
intent on submitting an ADA for the Bayside Specialty Center,
Parking Garage, and Bayfront Park Redevelopment Project, the CITY
and the AUTHORITY, jointly and severally, shall be liable for
liquidated damages of $1000.00 per day until the ADA is sub-
mitted.
The DEPARTMENT shall consider extensions to the filing dates
set forth in Sections 1 and 2 upon showing of good cause by the
CITY and AUTHORITY. Such agreement to extend shall not be un-
reasonably withheld by the DEPARTMENT.
The provisions of this paragraph shall be in addition to all
other remedies available to the DEPARTMENT. All sums comina due
pursuant to this paragraph shall be payable to the Growth Manage-
ment Trust Fund established by Section 186.911, Florida Statutes.
7. Bayside, its successors and/or assigns, agree to comply
with the conditions relating to the construction and operation of
the Bayside Specialty Center attached hereto as Exhibit F.
Bayside is executing this Agreement for the sole purpose of
effectuating the provisions of this paragraph 7.
8. This Agreement shall inure to the benefit of and be
binding upon the successors, assigns, designees, and lessees of
the parties hereto and the CITY shall be obligated to inform any
_ assigns, designees to lessees of the terms of this Agreement and
to require that such parties agree to be bound by the terms of
this Agreement, except that the obligations of the CITY and the
AUTHORITY hereunder with respect to the preparation and sub-
mission of the ADA and/or with respect to the liabilitv of the
CITY or the AUTHORITY for liquidated damages shall not be binding
on any other designee, lessee or licensee.
9. This Agreement and all obligations pursuant to it,
unless otherwise expressly provided herein, shall terminate upon
issuance of a non -contested Final Development Order, or if ap-
pealed, upon resolution of the appeal.

10. The CITY shall record this Agreement in the Public
Records of Dade County, Florida, and shall provide the DEPARTMENT
with a copy of the recorded Agreement within two (2) weeks of
execution of this Agreement.

1Design, construct, and maintain the stormwater system to
meet the following standards:
Retain all stormwater runoff from a five-year storm
(minimum). Drainage wells are acceptable provided
that the sediment tank(s)/well system is designed
to separate and retain floating oils and greases,
and allow settling of suspended solids. Oils and
greases will be skimmed and settled solids will be
removed from sedimentation tanks at least once per
week.
- Vacuum sweep all garage surfaces before each wash -
down.
Construct planter walls, berms, or other structures
to prevent direct discharge of runoff to surface
waters, except for the mooring areas along the dock
(i.e. quay).
Construct fish cleaning station(s), if any, within
the premises leased from the City by 'Bayside, to
ensure disposal of fish cleaning residue in the
sanitary sewer system.

Incorporate the following energy conservation measures
into project design and operation, provided, however,_
that the existing 35#000 square foot restaurant is not
required to be retrofitted:
Design air conditioning system so that individual
tenant spaces may be cooled independent of one
another, so as to minimize cooling of unoccupied
areas.
Air conditioning energy efficiencies (EER) of at
least 10.0.
Measures that effectively yield, in the cooling
mode, R-11 in walls and R-19 in ceilings.
: Central energy management systems that will provide
time of day scheduling.
Make available to tenants natural gas or other non-
electric energy sources for cooking and water
heating in restaurants.
Individual electric metering of tenants.
Lavatory water flow of 0.8 gallons per minute or
less and water closets that use no more than three
and one-half gallons per flush.
Exterior shading to reduce the amount of direct
sunlight entering air conditioned areas.
Light -reflecting and/or light colored wall and roof
surfaces (with solar absorbtion coefficients less

racks or storage areas and a minimum of 60 lockers
for project employees.

on Attachment 2 shall be obligated to comply with

materials or hazardous wastes are to be used, dis-
played, handled, generated, or stored shall be
constructed with impervious floors, without drains,
to ensure containment and facilitate cleanup of any
spill or leakage.

Prohibit any outside storage of hazardous materials
or hazardous waste.

Require all hazardous waste generators to contract
with a licensed public or private hazardous waste
disposal service or processing facility and to
provide to Dade County DERM copies of one of the
following forms of documentation of proper bazar-

On September 20, 1984, the City received a monitoring letter from the
Florida Department of Community Affairs indicating that the Bayside
Specialty Center, the Bayside Parking Garage and the Bayfront Park
Redevelopment Project were presumed to be a Development of Regional
Impact, (D.R.I.).
While the City has maintained that taken individually these projects
would not constitute D.R.I.'s the State contends that since the City has
acquired a $6,000,OCC U.D.A.G. grant by aggregating the projects, the
projects should be considered together as to the economic, social and
environmental impact.
The attached agreement, known as a Developer's Agreement, has been
negotiated between the parties to allow the construction of Bayside and
Bayfrcnt Park while incorporating their impact review into an overall
D.R.I. for downtown Miami.
