A RESOLUTION SETTING FORTH THE COMPENSATION
BENEFITS AND EMOLUMENTS TO BE RECEIVED BY CESAR
ODIO AS CITY MANAGER OF THE CITY OF MIAMI,
FLORIDA.
WHEREAS, on November 26, 1985 the City Commission
passed and adopted Resolution No. 85-1175 which appointed Cesar
Odio as the City Manager; and
WHEREAS, the City wishes to set forth below agreed
terms and conditions of Cesar Odio's employment;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE
CITY OF MIAMI, FLORIDA:
Section 1. The City of Miami hereby recognizes that
certain expenses of a non -personal and generally job -affiliated
nature are incurred by a City Manager, and hereby acknowledges
and confirms its willingness to pay $2,500 per year to Cesar Odio
as a discretionary expense account. All business -related travel
expenses including subsistence shall be paid by the City in
£< addition to the above.
Section 2. Vacation will be 25 working days per year and
may be acpumulated year to year.
Section 3. (a) Cesar Odio is expected to participate in
certain professional associations and organizations necessary and
desirable for his continued professional participation, growth,
and advancement, and for the good of the City. Specifically the
City authorizes payment of annual membership costs as well as
initiation fees for such professional associations to be selected
by Cesar Odio, such as the Florida City Managers Association,
International City Management Association or the American
'Y Management Association.
(b) Further, the City authorizes payment of
._, membership participation costs in a luncheon club to be selected
by Cesar Odio. This membership shall be in a club which neither
in policy or practice discriminates against persons or activities

Section 4. It is hereby recognized that the duties
of a City Manager require him to have the exclusive and
unrestricted use of an automobile at all times during his
employment with the City. Accordingly, the City shall lease an
American -made full size automobile. The City shall pay the cost
of liability, property damage, and comprehensive insurance and
shall pay for gas and maintenance of said vehicle.
. Section 5. (a) The City shall provide and pay for a term
life insurance policy in the face amount of twice the salary of
Cesar Odic. The City shall be the sole owner of the insurance
policy and shall share equally in the death benefits, if payable.
One-half of any benefits paid under the policy shall be paid to
beneficiaries named by Cesar Odio and the remaining one-half of
any benefits paid shall be received by the City.
(b) The City shall also provide and pay for a
disability income insurance policy; such policy to provide for
replacement of 75% of the annual gross salary of Cesar Odio and
be payable to him should a disability resulting from any cause
prevent him from satisfactorily performing his duties as City
Manager of the City of Miami.
Section 6. (a) The City, shall provide and pay for a
hospitalization, surgical, and comprehensive medical insurance
for Cesar Odio and his dependents with benefits equal to those
which are now or which in the future may be provided to general
employees of the City.
(b) Sick Leave to be awarded to Cesar Odio
shall be the same as that given to other City employees and the
City sick leave rules shall also be applicable to Cesar Odio.
Section 7. So long as Cesar Odio's actions are in
conformance with the stated policies of the City Commission, if a
lawsuit is filed against Cesar Odio, arising out of his duties as
City Manager, the City will defend him unless the City Commission
elects to pay for outside counsel,'if recommended by the City
Attorney.

Section 8. Cesar Odio shall be paid an annual salary
of Ninety -Two Thousand Dollars ($92,000).
Section 9. Cesar Odio may continue as member in the
City of Miami General Employees and Sanitation Employees
Retirement Trust (GESW), in which case the City will reimburse
Cesar Odio for his ten percent (10%) employee contribution, or he
may, at his option, participate in any other retirement program
which heretofore has been authorized by Ordinance of the City of
Miami.
10. (a) If Cesar Odio is dismissed from

employment as City Manager prior to retirement age 55, the City
will provide him with a City -owned deferred compensation contract
that would provide the same benefits he would have received from
GESW, had he worked to age 55, based on his last compensation
rate. Cesar Odio will contribute towards the cost of this
deferred compensation contract by transferring to the City the
accumulated employee contributions returned by GESW to him, upon
separation. No such severance benefit shall be provided if Cesar
Odio is terminated for acts constituting gross negligence or
criminal .conduct.
(b) The herein benefits and emoluments are
effective as of December 14, 1985.

With the exception of a severance benefit muti_ial.ly funded by Mr.
Odio and the City which would only become operative in the event
of severance prior to age 55, the provisions of the attached
Resolution implement the November 26, 1985 actions taken by the
City Commission in its appointment of Cesar odio as City Manager.
You will also note that the benefits and emoluments contained in
this Resolution become effective December 14, 1985, the date Mr.
odio's appointment became effective.
