A RESOLUTION AUTHORIZING THE CITY MANAGER TO EXECUTE THE NEGOTIATED AGREEMENT, IN A FORM ACCEPTABLE TO THE CITY ATTORNEY, BETWEEN THE CITY OF MIAMI AND ZUCHELLI HUNTER AND ASSOCIATES, INC. TO PROVIDE SERVICES RELATED TO THE ECONOMIC STUDY OF THE MIAMI RIVER. WHEREAS, the services for an economic consultant will provide a data collection and analysis of economic conditions existing along the Miami River; z and WHEREAS, the results from the economic consultant are needed now to begin the preparation of a Comprehensive Growth Management Plan for the area; k i and WHEREAS, the development of the goals and objectives to be pursued were based on recommendations by the Marine Council and the Miami River Management Committee established by Governor Bob Graham; and WHEREAS, the funding for conducting the study are derived from a $35,000 grant from the United States Department of Commerce through the Florida Department of Environmental Regulation, $20,000 matching contribution from Dade County, and $20,000 from the City of Miami Special Program and Accounts; Matching Funds for Grants FY'85; and t rt WHEREAS, by Resolution No. 85-736, dated July 18, 1985, the City 4 Commission authorized the issuance of a Request for Proposals for consulting services; and WHEREAS, the City Manager appointed Sergio Rodriguez, Director of the Planning Department, as Chairperson for the Consultant Selection Committee; and WHEREAS, through public advertisement and direct mailing the City solicited expressions of interest from qualified consultants; and WHEREAS, a twelve member Selection Committee, appointed by the City Manager and Chaired by Sergio Rodriguez, Director of the Planning Department, has evaluated the qualifications of those who responded to the City's Request for Proposal; and WHEREAS, on February 130 1986, by Resolution No. 86-143, the City Commission selected the firm of Zuchelli Hunter and Associates based upon the recommendations of the Selection Committee, and authorized the City Manager to I Cffr COM}► SSIOii Page 1 of 2 MEETING OF MAR 18 19" negotiate a Professional Services Agreement with said firm to provide an economic study of the Miami River River along with the designated subconsultants; and WHEREAS, the Agreement, in a form acceptable to the City Attorney, between the City of Miami and Zuchelli Hunter and Associates, Inc. was negotiated in a fair and reasonable manner; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The City Manager is hereby authorized to execute the negotiated agreement, in a form acceptable to the City Attorney, between the City of Miami and Zuchelli Hunter and Associates, Inc., to provide services for the economic study of the Miami River, using previously allocated funds to cover the cost of such services. Odio City Manager DATE: MAR 12 1986 FILE: SUBJECT: RESOLUTION - ECONOMIC STUDY OF THE MIAMI RIVER - AUTHORIZATION TO EXECUTE AGREEMENT REFERENCES: CITY COMMISSION MEETING - ENCLOSURESMARCH 18, 1986 It is recommended that the City Manager be authorized to execute the negotiated a regiment, in a form acceptable to the City Attorney, between the City and Zucheili Hunter and Associates Inc., to provide services related to the Economic Study of the Miami River, using previously allocated funds to cover cost of such services. By Resolution No. 85-7360 passed by the City Commission on July 18, 1985, the Consultant Selection process was initiated. On February 139 1986, by Resolution No. 86-143 the City Commission selected the firm of Zuchelli Hunter and Associates based upon the recommendations of the Selection Committee, and authorized the City Manager to negotiate an agreement with said firm to provide services along with the designated subconsultants. The negotiated agreement, in a form acceptable to the City Attorney has been signed by the consultant, favorably reviewed by the Law Department, and now requires ratification by the City Commission. The Planning Department will be managing the services of an economic consultant for the Miami River. Some of the goals and objectives to be pursued have been recommended by the Miami River Management Committee and the Marine Council as stated below: The study will provide an inventory of existing economic conditions such as land use, amount of development, value, sales trends, property/business surveys to determine employment characteristics and relationships to support industries, and market changes. Examination of regional trends in marine industrial growth, marine Onk services and facility needs, with comparsion of these to uses on the Miami River. The feasibility of site specific/mixed use developments with potential incentives supportive of enhanced marine uses will be identified. The study will also determine existing and projected constraints to use of waterfront properties. Also, future demand for marine related activities 17 86. 189. . A marine industrial, service, and recreational development strategy shall be recommended by areas of the river. A detailed explanation of the scope of services is contained in the attached agreement. The time period for completion of- this work is approximately 180 calendar days from the date of execution of the agreement. Funding for the entire project is derived as follows: Grant from the United State Department of Commerce, through the Florida Department of Environmental Regulation $35,000 Matching monies from Dade County 20,000 Matching monies from the 20,000 City of Miami, Special Program and Accounts, Matching Funds for Grants FY'85 Total Funding 750000 The information and recommendations formulated from this study will serve as a basis for a comprehensive growth management plan for the Miami River that has been initiated by the Planning Department. This plan will propose comprehensive development policies and implementation measures to achieve Tong term objectives for optimizing access to, use of, and protection of the waterfront with special focus given to open space public access, mixed uses, boat facilities and services, specialty retail opportunities and urban design controls. CONSULTANT and the CITY have the right to mutually extend this Agreement for additional time periods as may be required. It is understood that upon completion of this Agreement's specific Scope of � w , Services, this Agreement can be extended for additional Scope amendments for the purposes of assisting the CITY in related work assignments and for supplementary per diem consultation services as necessary or otherwise agreed {. by the CONSULTANT and the CITY. It is mutually understood that these additional services may be required and that this Agreement shall remain in force for a reasonable time beyond the specified time period with final Agreement duration to be specified mutually by the CONSULTANT and the CITY. -2- II. SCOPE OF SERVICES: , A. CONSULTANT RESPONSIBILITIES CONSULTANT will be under the general supervision of the Director of Planning and the direct supervision of the Project Manager appointed by the Planning Director. The detailed scope of services for the CONSULTANT and subconsultant is identified below: PHASE 1 EVALUATE EXISTING CONDITIONS Task 1.1 Project Initiation Upon authorization to proceed, the CONSULTANT will meet with the CITY. Purpose of this meeting will be to: clarify study goals and objectives, receive a thorough understanding of all preliminary objectives concerning development along the Miami River and the comprehensive planning process to be undertaken by the CITY. Establish key issues affecting economic and market opportunities along the Miami River. Obtain any other information that can be reflected in the work plan. Prepare a reporting schedule and become knowledgeable of documents, studies, reports, and data collected by the CITY to be used by the CONSULTANT for the study. Identify key individuals and agencies for the duration of the study. Task 1.2 Review Existing Data/Economic Base The CONSULTANT will undertake an indepth review and evaluation of all pertinent and available data with a concentration on marine oriented uses. Key available informational resources will be identified. The consultant will review and examine previous city, county and state reports/documents/studies; selected data from the property tax appraiser file; the Miami Urban Information System data file; the City's Occupational License file; -1970 and 1980 Census of Population and Housing; 1977 and 1982 Economic Census; population and employment projections; and other relevant materials. Historical and current aerials, as well as base maps at an #WIN appropriate scale, will be provided by the CITY. The CITY will provide this data as available. A full listing of specific data, _3- SCr-1t-1111a `.. maps and reports to be provided by the CITY is attached to this Agreement and made a part hereof as per Exhibit "B". Data necessary { to carry out the economic analyses, but determined to be incomplete, will be identified at this time. Data to be collected will be incorporated into the work plan and the work schedule may be adjusted. Task 1.3 Field Surveys The CONSULTANT will undertake field surveys of the primary study area and vicinity by water and land. The CONSULTANT will review and t examine existing conditions and survey land use, type and intensity 4 of development, building, and infrastructure conditions. City concerns and interests as to river edge conditions, vacant parcels, areas for special attention, recreational opportunities and other considerations shall be discussed and identified. Mapping of . existing conditions, land use, river edge conditions, and land ownership as well as other physical and site conditions affecting economic and market development opportunities will be carried out. tF A specific listing of maps to be provided by the CONSULTANT is attached to this Agreement and made a part hereof as per Exhibit 11C11 • r Task 1.4 Business Surveys/Interviews The CONSULTANT will conduct on -site interviews of a representative sample of property owners and businesses within the study area with an emphasis on marine related uses. The list of targeted survey respondents will be reviewed and approved by the CITY. Information to be obtained but not limited to: 'name of business and address 'number of years at current location 'A- "x:$t� general conditions of property 'primary business/service provided 'ownership (corporation, sole proprietor) 'number of permanent and temporary employees 'primary trade area r, 'linkages to support firms (local, regional, international) =} 'major competitors -4- R .sales volume 'seasonal variation in sales and employees 04 'historical and perceived changes characteristics/conditions in these 'plans to expand, relocate 'perceived obstacles to expansion, enhanced competitive positions. The surveys will be tailored to each general industry types including: boat and ship repair, ship construction, marine equipment manufacturing, salvage and towing, marine construction, fisheries, marine fueling and commercial dockage, and marine freight/trade operations. The interviews will define the development context of the various subsegments of the riverf ront to determine the Miami River's market position within the local and regional economy. Information gathered from business surveys and interviews will be summarized in a project technical memorandum and provided to the CITY. A listing of specific technical memoranda to be provided by the CONSULTANT is attached to this Agreement and made a part hereof in Exhibit "C". Task 1.5 Recreational Boating Survey There are an estimated 14 marinas along the River. In this task, a marina inventory will be conducted by the CONSULTANT. Through on - site visits, the following type of information will be sought: 'name and address of marina 'number of years at present location 'total number of slips, wet, dry and live -aboard 'ramp and lift capacity 'daily and monthly/annual rates for permanent and transient dockage 'annual and seasonal occupancy rates 'repair and fuel services average size of boats 'overall condition of property and adjacent land use 'perception of operator on competition and opportunities for expansion 5- Task 1.6 Land Use Analysis An analysis of existing land use will identify potential opportunity sites within the primary study area along the Miami River. Individual and overall site opportunities and constraints will be evaluated to include but not necessarily be limited to: physical conditions; river access; site views; parking; vehicular and pedestrian access and circulation; land ownership; utility availability; functional and physical linkages; surrounding uses; land improvement values; and other development and market oriented considerations which could affect future development potential and land uses. Task 1.7 Real Property Analysis Utilizing selected data provided by the CITY from the Dade County Property Tax Appraiser file, the CONSULTANT will evaluate key real estate property factors within the primary study area. This would include a determination of assessed land and improvement values; recent property sales; and land and building value trends. An inventory of vacant and/or under utilized development sites along the River will be identified. Major land ownership will also be identified from available data. This real estate analysis is designed to further determine development opportunities and constraints and provide value, lease rates and sales price information. Task 1.8 Development Opportunities/Constraints The CONSULTANT will determine development opportunities and constraints within the Miami River primary study area. This will include an assessment of the relative market position and strength of the Miami River area within the regional economy. Particular emphasis will be placed on the competitive market position of marine and marine -related uses. The position of the study area will be determined relative to: market image; land value; lease rates; sales prices; access; parking; pedestrian access; circulation; public spaces; amenities; functional linkages; surrounding uses; and, other development and market -oriented considerations. -6- SG-16S t A technical memorandum will be prepared summarizing the findings and conclusions of the Phase 1 tasks. Task 2.2 Recreational Boating The market potential for recreational boating within the study area will be examined by the CONSULTANT. The level of activity in terms of boat sales, marina slips, boat registrations, recreational days, characteristics Of -.0 activity, etc., will be evaluated. Public policy options affecting i actvities will be delineated. recreational boating market Projections will be made of the level and character of recreational boating activity within the primary study area by five-year increments through the year 2005. These projections will be in terms of land and space absorption, boat slips and other pertinent indices by five-year increments through the year 2005. An overview will be presented of economic, financial and public policy factors T which can affect development programs/absorption elements. Task 2.3 Commercial Uses The CONSULTANT will examine the market potential for non -marine commercial uses within the primary study area. This will include an evaluation of market opportunities for office, retail, entertainment and eating and drinking activities. The feasibility of mixed -use developments combining marine activities with commercial uses would be examined. Potential public policy incentives which could affect opportunities will be delineated, along with market commercial public policy actions which could be utilized to have commercial 4 ii uses further support marine activities Task 2.4 Industrial Uses The CONSULTANT will examine the market potential for marine N industrial uses within the primary study area. This will include a those industrial uses marine market evaluation to determine requiring riverfront access from those which could operate in other locations. Based upon market and development trends derived from ij the business surveys and information available from the "City-wide r) Industrial Land Use Needs Study", those types of industrial uses is desiring to stay or expand and/or relocate will be identified. Existing and potential opportunities and constraints that could encourage waterfront and non -waterfront industrial -related uses would be identified. W8_ 86-16di 0 0 Task 2.5 Residential Uses The CONSULTANT will examine the market potential for residential . uses within the primary study area. This will include an evaluation of regional and study area trends and opportunities for residential activity. Particular attention will be placed on the market opportunities for mixed -use ri verf ront development combining marine related uses with residential will be examined. A series of public sector development incentives would be examined as it relates to affecting residential market potential. Task 2.6 Institutional/Public Uses The CONSULTANT will identify the need and opportunity for institutional and public uses within the primary study area. This examination will include: an evaluation of existing public park plans; an identification of public policy goals and objectives; and, a determination of the desire for public access along the river edge. This will include an examination of the needs and opportunities for public recreation activities and facilities, both active and passive. Key opportunity sites for public/institutional uses will be identified concentrating on present public land ownership. Task 2.7 Development Potential/Interrelationships Based upon the results of the previous market evaluation subtasks and overall site opportunities and constraints analysis conducted in Phase 1, the CONSULTANT will determine overall land and space use absorption within the primary study area by development type and land use concentrating on marine related uses. This absorption schedule will be in the form of a development program which identifies the magnitude and character of market opportunities. This absorption program will identify land and space absorption by five-year increments through the year 2005 for selected uses such as: marine freight/trade operations, boat building and repair, marine equipment and manufacturing, salvage and towing, marine construction, fisheries, marine fueling and dockage, marinas, speciality retail, residential low density, residential high density, office, institutional and recreational boating equipment -9- 86 16f) UHF � £# and services. The development program/absorption schedule woul d t� evaluate the synergism created by mutually supportive uses. .a �.. Particular attention will be placed on identifying feasible mixed r use development opportunities, combining marine use activity t with non -marine -related uses. The development potential/interrelationship analysis will be .' summarized in a project memorandum which will identify development by five-year increments through the year opportunities by space use ?* 05A preliminary overview will be presented 20. p of economic, financial, market and public policy factors which affect development programs/absorptions. The development program/market opportunities r analysis will be in sufficient detail to allow the subsequent preparation of master land use plan proposals, transportation/access plans, public improvement programs, zoning district legislation and capital improvement programming. Task 2.8 Strategy Review Session 4 A checkpoint meeting/strategy review session will be held between the CONSULTANT and Technical Review Committee to review the findings �w and recommendations to date, and obtain agreement as to the development opportunities and constraints which exist within the + primary study area. The purpose of this meeting will be to fully brief the CITY and Technical Review Committee on all relevant criteria determining market and development opportunities and the related to _II basis for preliminary market projections. Initial issues development strategies will be reviewed and examined prior to ` preparing a detailed development strategy in Phase 3. s1F31e' s =,' i Phase 3 DEVELOPMENT STRATEGY Task 3.1 Development Nodes Based upon the findings of the previous two tasks the CONSULTANT will identify preliminary development concepts and potential development nodes within the primary study area. The development ` nodes will establish alternative land and space use policies 3, including opportunities for mixed -use developments with emphasis on incorporation of water dependent uses, and/or marine related. -10- f3f I .[[f Intensities and interrelationships of uses will be delineated. It is envisioned that a series of mixed-use/alternative use development i nodes will be delineated along the riverfront representing a public policy to effectuate market opportunities in relation to established r 1t, City goals and objectives. }fir. t Task 3.2 Land Use Proposals The CONSULTANT will prepare preliminary land use development proposals. This will include an area specific marine related use analysis within the primary study area. Specific marine, and mixed marine/non-marine use types would be identified. The land use proposals would consider development with water orientation, river access and vehicular access in order to achieve public policy goals. Preliminary land use/development strategy recommendations would be .. identified. Task 3.3 Funding Strategy The CONSULTANT will summarize proposed methods of financing public 1 - w and private sector development within the Miami River study area. z... Potential financing techniques for public sector improvements and other necessary public financial actions in accordance with pre- ��` } determined public pol i ci es will be identified including but not ,s necessarily limited to: proceeds of tax -increment bonds; potential K revenue anticipation notes; types of revenue bona issues; types of loans; types of grants; special assessments; non -local financial 9 assistance sources; joint agreements with other governments; joint development of mixed -use projects; sales of property and/or services; leasing of land or other benefits; solicitation/development offerings; and, other authorized and legal �d 3 X 9Y # actions for funding. Likewise, strategies for assisting in funding of private sector elements will be identified. This could include 4 w the utilization of Urban Development Action Grants, tax abatements, enterprise zones, coastal zone funding assistance, Army Corps of Engineers assistance and other loan and grant problems. x Task 3.4 Development Strategy/Management Plan �Ntl Based upon the market evaluation and financial analysis, a r F� will be preliminary implementation/development strategy plan -11- Tz� �5 M b - S 3? 3� �1 S } r 1 l prepared by the CONSULTANT outlining the sequential steps necessary for project implementation and the roles and responsibilities of the various parties. A marketing and promotion strategy will be outlined addressing timing, target groups and type of orientation of presentation materials and the like. The marketing and merchandising program will identify the timing and phasing of project components to achieve desirable market penetration and reinforce public development goals and objectives. Specific public policy actions and development strategies such as the creation of special development districts, the encouragement of mixed -used development, development incentives, special zoning district legislation, design standards, overlay zone standards, design guidelines, public access standards, mixed -use performance guidelines, historic site and district designation, community redevelopment plans and the like will be identified. Necessary project management activities and requirements will be outlined. This will include an identification of any necessary institutional, legislative and organizational changes required to facilitate achievement of identified market opportunities. Task 3.5 Draft Report/Review Session The CONSULTANT will prepare a draft report summarizing the findings and recommendations of the development opportunities/constraints analysis, the market evaluation and the preliminary development strategy. The draft report will contain necessary tabular and graphic support material to display and demonstrate market opportunities and development strategy recommendations. The bound report will be accompanied by presentation -sized graphic materials. Basic market projections, financial analysis and capital improvement funding strategies will be prepared on floppy disks suitable for use on IBM or Apple -compatible personal computers. This will enable the City to maintain and update a project data file and continue to monitor project implementation and development. The findings and conclusions of the draft report will be reviewed in a checkpoint meeting/strategy session between the CONSULTANT and the CITY and Technical Review Committee in order to review and evaluate -12- market findings and preliminary development plan recommendations and confirm consensus approval of market findings and development A approaches. The purpose of this meeting is to fully brief the CITY on relevant factors to be contained in the final plan report and to receive necessary input to allow a suitable/appropriate modification to the draft report document. Issues related to market analysis and development strategies will be reviewed and evaluated in order to assist in the finalization of the comprehensive market analysis and development strategy report and to set the stage for subsequent master land use plan proposals to be prepared by the CITY. PHASE 4 FINAL REPORT/PRESENTATION Task 4.1 Final Report � Based upon the review and evaluation of the draft report and the findings of the indepth strategy review session, the CONSULTANT will prepare a final project report in a form suitable for adoption by the CITY. The material will include necessary presentation and graphic materials to assure a clear understanding of market findings and preliminary development strategy recommendations. A brief Executive Summary of the report will be prepared by CONSULTANT suitable for public distribution. The CITY will have an appropriate time to review the final draft report. Based upon comments received, all appropriate changes will be incorporated into a final project document. Upon receipt of a marked -up copy of the final report, CONSULTANT will make any appropriate modifications on the final project report and appropriate support and presentation plan documents along with a camera-ready original of the project report. Task 4.2 Presentation The CONSULTANT will present final study findings and recommendations in a public meeting/hearing to be arranged by the CITY. The CONSULTANT will prepare necessary and appropriate presentation and graphic materials in order to assure a clear understanding of market .findings and development strategy recommendations and gather consensus report for project findings to enable its near -term incorporation into master land use plan reports. The CITY will be -13- 0 0 responsible for organizing and scheduling this meeting including distribution of notices, provision of space and printing of any handout materials. MEETINGS ,. The CITY will be responsible for delivery to the CONSULTANT reproducible base maps at an appropriate scale, subject to review and approval by the CONSULTANT. 3. The CITY will be responsible for reproducing the appropriate number of copies of the Draft Report and Final Report. 4. The Scope of Services and corresponding lump sum fees are based on the delivery of the CONSULTANT, by the CITY, of the items listed in Exhibit "B". These items shall be delivered within thirty days of the Notice to Proceed. 5. The CITY will be responsible for providing up to five (5) rol 1 s of film for both black and white/ photographs and color slides; and processing of the same. In addition, the printing of base maps and copying of technical memoranda and reports shall be the CITY's responsi bi 1 i ty. COMPENSATION: A. CITY shall pay CONSULTANT, as maximum compensation for the services required pursuant to Paragraph II hereof, SIXTY FIVE THOUSAND (E65,000) DOLLARS. The breakdown of fees for CONSULTANT and subconsultant is shown in Exhibit "D". The CITY shall not be obligated to incur costs which would cause its total payment under this Agreement to exceed this ceiling amount. The CONSULTANT shall not be obligated to perform services or to incur costs which would cause its total compensation under this Agreement to exceed the Agreement ceiling amount. B. AWARD OF AGREEMENT: CONSULTANT warrants that it has not employed or retained any person employed by the CITY to solicit or secure this Agreement and that it has not offered to pay, paid, or agreed to pay any person employed by the CITY any fee, commission percentage, brokerage fee, or gift of any kind contingent upon or resulting from the award of this Agreement. X. CONSTRUCTION OF AGREEMENT: This Agreement shall be construed and enforced according to the laws of the State of Florida. OOON XI. INDEMNIFICATION: The CONSULTANT shall indemnify and save CITY harmless from and against any and all claims,, liabilities, losses, and causes of action which may arise out of CONSULTANT's activities under this Agreement, including all other acts to act on the part of CONSULTANT, including any person acting or omissions a' for or on its behalf, and, from and against any orders, judgments, or decrees -t k, -18- WL which may be entered against CITY; and from and against all costs, attorneys' fees, expenses and liabilities incurred by CITY in the defense of any such ' claims, or in the investigation thereof. XIII. CONFLICT OF INTEREST: A. CONSULTANT covenants that no person under its employ who presently exercises any functions or responsibilities in connection with this Agreement has any personal financial interests, direct or indirect, with CITY. CONSULTANT further covenants that, in the performance of this Agreement, no person having such conflicting interest shall be employed. Any such interests on the part of CONSULTANT or its employees, must be disclosed in writing to CITY. B. CONSULTANT is aware of the conflict of interest laws of the City of Miami (City of Miami Code Chapter 2, Article V), Dade County Florida (Dade County Code Section 2-11.1) and the State of Florida, and agrees that it shall fully comply in all respects with the terms of said laws. XIV. INDEPENDENT CONTRACTOR: CONSULTANT and its employees and agents shall be deemed to be independent contractors, and not agents or employees of CITY, and shall* not attain any rights or benefits under the Civil Service or Pension Ordinances of CITY, or any rights generally afforded classified or unclassified employees; further he/she shall not be deemed entitled to the Florida Workers Compensation benefits as an employee of CITY. TERMINATION OF CONTRACT: CITY retains the right to terminate this Agreement, upon fifteen (15) days notice to'the CONSULTANT, at any time prior to the completion of the services required pursuant to Paragraph II hereof, without penalty to the CITY. In that event, notice of termination of this Agreement shall be in writing to CONSULTANT, who shall be paid for those services performed prior to �. the date of termination. Upon receipt of such notice, CONSULTANT shall immediately discontinue all services thus affected (unless notice directs otherwise), and deliver to the CITY all data, reports, summaries and other information and materials as may have been accumulated by the CONSULTANT in performing this Agreement, whether completed or in process. If the termination is due to the failure of the CONSULTANT to fulfill its Agreement/obligations, the CITY may cancel and terminate this Agreement, take over work and complete the Agreement, and all payments, advances and + other compensation due to the CONSULTANT by the CITY while CONSULTANT was in n default of the provisions herein contained shall be forthwith suspended. ENTIRE AGREEMENT: This instrument and its attachments constitute the sole and only Agreement of the parties hereto relating to said grant and correctly sets forth the rights, duties, and obligations of each to the other as of its date.
