RESOLUTION NO.
A RESOLUTION AUTHORIZING THE CITY MANAGER
TO NEGOTIATE AND EXECUTE AN AGREEMENT WHICH
IS ACCEPTABLE TO THE CITY ATTORNEY AND
SPECIAL COUNSEL CONCERNING CERTAIN LITIGATION
BETWEEN THE CITY OF MIAMI AND CENTRUST
SAVINGS BANK OR ITS SUBSIDIARIES.
BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA:
Section 1. The City Manager is hereby authorized to
negotiate and execute an agreement which is acceptable to the
City Attorney and special counsel concerning certain litigation
between the City of Miami (hereinafter referred to as "CITY") and
CenTrust Savings Bank or its subsidiaries (hereinafter referred
to as "CSB"), said agreement to resolve certain matters in
dispute and to provide as follows:
(a) CSB is required to make rental payments
to the CITY in connection with its use of the World Trade Center
(hereinafter referred to as "Center"), within thirty (30) days of
the execution of said agreement.
(b) The CITY and CSB will sulit the cost of
covering
the CITY'S
parking
garage in
said Center with
fire
resistive
materials
in order
to meet
the requirements of
the
South Florida Building Code with the CITY and CSB utilizing an
engineer to determine the extent of fire resistive materials
needed for said compliance.
(o) The CITY will ascertain whether remedial
ventilation work is needed to be performed in the parking garage
and if needed, the CITY will perform said work at its own
expense.
(d) The CITY and CSB will jointly pursue,
through litigation, recovery of the cost for the work and/or

services whioh result from implementation of the provisions of _

paragraphs (b) and (o) above against such parties as may be
responsible for the conditions giving rise to such work and/or
services with the understanding that if recovery is obtained, the
proceeds recovered will be equally divided between the CITY and
CSB.

held on May 22, 1986, which is self explanatory.
The herein Resolution and Agreement are being forwarded to you in

Biscayne Boulevard exit ramp to the I-95 Expressway (i.e.

codesignated as "CENTRUST FINANCIAL CENTER". The address of the
CenTrust Tower shall be "One CenTrust Financial Center".

Under the terms of the Agreement between the City and CenTrust
Savings, dated July 23, 1986, and authorized by City Commission
Resolution No. 86-385 passed and adopted on May 22, 1986, the
City Manager is authorized to execute all documents necessary to
co -designate as "CENTRUST FINANCIAL CENTER" the City block
bounded on the North by Southeast 2nd Street, on the South by the
Biscayne Boulevard exit ramp to the I-95 Expressway (i.e.
Distributor Ramp), on the West by Southeast 1st Avenue, and on
the East by Dupont Plaza (Southeast 2nd Avenue) and all documents
necessary to co -designate the address of the Crust Tower as
"One CenTrust Financial Center".
The executed Agreement and Resolution No. 86-385 are on file in
your office. Please take the appropriate action to notify the
affected Government Agencies.

ENCLOSURES.
Late yesterday afternoon, an agreement, su?eject to your
approval, was reached by this office in conjunction with 5p,ecial
°} Counsel, whereby certain disputed matters in pending litigation
over this project would be resolved.
The essential points of this proposed agreement are as
follows:

a. Centrust Savings Bank and/or its subsidiaries is
required to make rental a
q payments to the City in connection with
its use of the World Trade Center within ten (10) days of the
execution of said agreement.
b. The City and Centrust Savings Bank and/or its sub-

sidiaries will split the cost of covering the City's parking
garage in said Center with fire resistivity materials in order to
meet the requirements of the South Florida Building code with the

City and Centrust Savings Bank and/or its subsidiaries utilizing

that if recovery is obtained, the proceeds recovered will be

it subsidiaries.
It is my opinion, and the City Manager concurs, that this
agreement is in the best interest of the City and your adoption
of the attached resolution approving the same is recommended.
