Included with this memorandum is a copy of my July 23, 1986
letter to John Iannone, representing the Shangri-La Museum
Foundation. Mr. Iannone has presented to the City a proposal
that would provide for the permanent berthing of the carrier
Shangri-La at Bicentennial Park. At first impression this
appears to be a economically viable proposal that can be a major
attraction in downtown Miami.
I have asked Mr. Iannone to make individual appointments with
each Commissioner prior to. the September Commission meeting so
that you may be fully aware of his proposal before formal
presentation is made to the City Commission.

This letter will serve to express the serious interest of the
City of Miami in pursuing the feasibility of providing a
permanent home for the historic WWII Aircraft Carrier USS
Shangri-la (CVA-38) on the Miami waterfront as a Sea Air Space
Museum.
The Foundation will be invited to address the City Commission
'
meeting of September 11. 1986 to present a full proposal. Such a
proposal should include at least the followings
(1) Proposed

(2) U.S. Navy. indications of support.
(3) Feasibility of financing via 6320

I enjoyed meeting and talking with you in my office upon your recent visit
to Washington about your intention, as President and Chief Executive Officer of
the Shangri-La Museum Foundation, to permanently berth the USS Shangri-La at
Bicentennial Park in Miami. It was most interesting to hear the details of your
proposal to convert this historic WWII carrier to a sea -air -space museum. I
agree that its preservation is a worthwhile effort --both for its great
historical value and as a major attraction to downtown Miami and to our beauti-
ful State of Florida.
As you presented it to me, your proposal appeared to be economically
sound and thoughtfully and carefully prepared down to the smallest detail. After
confirming with the Miami City Manager's, representative that securing a permanent
home for the USS Shangri-La in Miami has the city's enthusiastic support, I
spoke with the Secretary of the Navy to enlist his assistance in halting the
process of preparing the ship for scrap. Secretary Lehman was very cooperative
and assured me he would do what he could in our behalf.
John, I warmly commend you upon your dedicated work to save the historic -4
Shangri-La and upon the manner in which you have continued to pursue your goal
in the face of recent setbacks. It is a pleasure to be able to work with you.

I would like to take this opportunity to congratulate
you and your staff on your efforts to establish the Shangri-
La Sea -Air -Space Museum in Tampa, Florida. The establishment
of this museum would be an excellent revenue generating
tourist attraction for the Tampa area, as well as a means
of preserving a part of American history.
As you know, the U.S.S. Shangri-La participated in many
decisive battles toward the latter stages of World War 11.
In a fitting tribute to the dedicated service of this historic
warship and of the individuals who served aboard her, the U.S.S.
Shangri-La received the American Campaign Service Medal, the
World War II Victory Medal, the Navy Occupation Service Medal,
the China Service Medal (Extended), the National Defense Medal,
and the Navy Expeditionary Medal (Cuba).
John, I urge you to continue to work diligently on this
endeavor. Your perseverance and determination will help ensure
that the contributions made by this battleweary aircraft carrier.

Dear Mr. Iannone:
The Secretary of the Navy recently approved the disposal of
ex USS SHANGRI-LA. SHANGRI-LA can now be offered for donation
for use as a,memorial; however, all requirements for use as a
memorial must be met. Before the Navy can consider possible
transfer of SHANGRI-LA to the Shangri-La Museum Foundation, Inc
(SMF), the following information, as a minimum must be provided:
- Evidence that a permanent, acceptable mooring site for
display of SHANGRI-LA has been secured.
- A•plan of action to refurbish SHANGRI-LA to a condition
acceptable for public display.
- Approvals from Federal, State, local
organizations/agencies including environmental agencies for
display of SHANGRI-LA in Tampa.
- Evidence that adequate financial means will be available
for towing; mooring, refurbishment and other costs required for
final display of SHANGRI-LA.
At such time the aforementioned information has been
received, you can be assured that Navy will give every con-
sideration to the possible transfer of SHANGRI-LA to the SMF.
Please be advised that pursuant to.statutoey authority to
donate a vessel, no government funds can be expended either
before or after the transfer of a ship for use as memorial.
Additionally, a ship donated for use•as a memorial must be main-
tained in a condition acceptable to the Navy.
Ex USS SHANGRI-LA will be held for possible donation until
June 1, 1985.
I trust that the foregoing will assist you in your efforts to
memorialize ex USS SHANGRI-LA. .

On behalf of Arch W. Roberts & Co., I am happy to reaffirm our commitment to
provide financing for the relocation of the aircraft carrier U.S.S.
Shangri--La to the City of Miami, where it will be refurbished and converted
into a Sea -Air -Space Museum as part of the Bi--Centennial Park Oomplex.
As'described, the project would be completed along the lines similar to those
followed for the aircraft carrier U.S.S. Intrepid project in New York.
Our commitment contemplates that the financing will be accomplished through
the issuance of tax exempt bands by the Foundation in accordance with Revenue.
Ruling 63-20 of the Intenzal Revenue Service. Accordingly, the bonds will
not be industrial revenue bands and will not be affected by the 1954 Tax
Reform Act.
You may consider this commitment firm in all respects, subject only to your
saftwient acceptance of the details of the plan of financing and the term
and conditions of the required legal d=xnents, the preparation of a
favorable financial feasibility report based upon acceptable assumption, and
our entering into a mutually acceptable band purchase agreement at the.time
of bond sale.
We are prepared to move forward with the financing with all dude diligence as
soon as arrangements have been made for an appropriate site and look forward
to a successful financing.

As of January 1, 1984, you are liable for taxes under the Federal Insurance
Contributions .Act (social security taxes) on remuneration of $100 or more you pay
to each of your employees during a calendar year. You are not liable for the tax

Organizations that are not private foundations are not subject to the excise

Tax, only if your gross -receipts each year are normally more than $25,000. If a
return is required, it must be filed by the 15th day of the fifth month after the
end of your annual accounting period. The law imposes a penalty of $10 a day, up to
a maximum of $5,000, when a return is filed late, unless there is reasonable cause
for the delay.
You are not required to file Federal income tax returns unless you are subject
to the tax on unrelated business income under section 511 of the Code. If you are
subject to this tax, you must file an income tax return on Form 990-T, Exempt
Organization Business Income Tax Return. In this letter, we are not determining
