Note (Series 1985) (the "Subordinate Obligation Note")
Dear Mr. Blaisdell:
You have recently inquired as to whether it would be possible to have released
from escrow certain of the proceeds of the above-captiohed $10,000,000 currently
held, in escrow. As I indicated to you in my letter of November 25, 1986, Sun

City of Miami..(the "City") has adopted the proposed Pledge Ordinance which pl edges

water and gas (the,,"Additi'onal Revenues") in order to assure the maintenance
of a 125; debt, service coverage ratio on the $10,000,000 Subo'rdinate Obligation..
Note of the Authority as required by the Note Resolution of:the:Authority, dated
December 23 1985, the Subordinate Obligation Note to Sun Bank and Note Purchase
Agreement, related thereto. In addition, the Authority must adopt a resolutionl
and execute a pledge agreement under the terms of which the Auth0 rity pledges
to Sun
Bank the Additional Revenues.
The Note 'Resolution and Note Repurchas,e Agreement provide that no advance shall
be, made from the Trust Fund until and unless there exists a Gross Debt Service
Coverage Ratio than 125% of no n .1ess of the required annual debt service, on, al 1,
outstanding obligations of the Authori ty. The Note 'Resolution provides that
,
before a disbursement be made,, the Purchaser shall provide to the Trustee a
certificate, stating that the, condition to disbursement Set out i n the Note
Resolutio'n have been fulfilled.
We hav e concluded that until the Additional Revenues are pledged to 'the Purchaser,
by the, Authority, the appropriate 125%, debt service coverage on e th $10 000100b
Subordinated 'Obligation Note currently outstanding would not be maintained:
Consequently,,: we are notin a position to provide., the Trustee with a certificate:
