a. 1. SUBMISSION OF PROPOSALS: Submit Proposal on the Proposal Fora
as furnished in - the Bidder's envelope, together with a Bid
Security,as described in Item 6, next page. A spare Proposal
Form is furnished for Ri dder to retain for his file copy. DO
NOT USE PROPOSAL FORM IN BOUND SPECIFICATIONS.. Submit the
Proposal and Bid Security, in the envelope provided, which shall
be sealed and marked so as to clearly indicate its contents and
the name of the Bidder.
(a) If forwarded by mail, the abovementioned envelope
shall be addressed to the City Commission, % City Clerk, City of
Miami, City Hall, 3500 Pan American Drive, Miami, Florida 33133,
and sent by registered mail, to arrive any time prior to 5:00
P.M. -of the last working day preceding the date for opening of
Bids, as stated in the Advertisement for Bids.

(b) If forwarded other than by mail at any time prior to
the date for opening of Bids, it shall be delivered to the City
Clerk at the above location.
(c) If delivered on the date of opening of Bids, it shall
be. delivered to the City Clerk at the location and on the date
and prior to the time, all as stated in the Advertisement for
Bids.
2. LICENSES: As a prerequisite to the submission of a Bid, the
Bidder shall hold a valid Certificate of Competency issued by
the appropriate examining board of Metropolitan Dade County.
As a prerequisite to the signing of a Contract, the Bidder
and all his listed Subcontractors shalt hold a current County
Municipal Occupational License as issued by Metropolitan Dade
County for the performance of work in the City of Miami.
All Bidders shall investigate the necessity of compliance
with the requirements of the Florida Construction Industry
Licensing Board, which fixes registration and certification
procedures by the State of Florida.
3. ONE PROPOSAL: Only one Proposal from an individual firm,
partnership or corporation under the same or different names
will be considered. If it is believed that a Bidder is
interested in more than one Proposal for the work involved, all
Proposals in which such a Bidder is interested wfli be rejected.

4. PRICE BID:
The price bid for each item shall be stated
in
both words
and figures in the appropriate places in
the
Proposal form. In the event that there is a discrepancy
between the
price written in words and the price written
in
figures, the
former shall govern. In case of error in
the
extension of
prices, the unit price will govern.
S . SIGNATURE OF
BIDDER: The Bidder must sign the Proposal
in
the space provided
for the signatures.
If the Bidder is an individual, the words "Sole Owner"
shall appear after his signature.
If the Bidder is a partnership, the work "Partner"
shall appear after the signature of one of the
partners.
If the Bidder is a corporation, the signature required
is the officer, officiers or individual authorized by
its by-laws or the Board of Directors, with official
corporate seal affixed thereto.
6. BID SECURITY: Each Proposal shall be accompanied by a Bid
Security which may be a Certified Check, a Bid Bond, or a
Bid Bond Voucher.

If a Bid Bond is furnished, it shall be on the form
provided and signed by a licensed agent of the State of
Florida as Attorney -in Fact for the company writing same,
and written by a properly licensed insurance agent located
in Dade County. A Bid Bond must be accompanied by an
affidavit, executed by a qualified officer of the company
tendering such bond or by Attorney - in -Fact of such company,
setting forth the amount of capital and the amount of
surplus held by said surety company as of the last published
report. The Attorney -in -Fact, or other officer who signs a
Bid Bond.for a surety company, must file with such Bond, a
copy of his power of attorney authorizing him to do so. The
address and telephone number of the local representative of
the surety company furnishing the Bid Bond shall be
inscribed on the certificate furnished to the City.
Information regarding the Bid Bond Voucher Program may be
obtained through the City's Minority Procurement Compliance
Officer, as per Resolution No. 84-873, a copy of which is
included in these contract documents.

The City reserves the right to reject any and all surety
tendered to the Ci ty. Certified Checks will be returned
within ten (10) days after the City of Miami and the accepted
Bidder have executed the written contract and the accepted
Bidder has filed an acceptable Performance Bond, when
required. If sixty (60) days have passed after. the date of
the formal opening of the bids, and no contract has been
awarded, the Certified Checks of all Bidders wi 1 1 be returned
on demand.

7.
BID SECURITY FORFEITED LIQUIDATED DAMAGES: Failure to execute
a Contract and file an acceptable Performance Bond, when
required, as provided herein, within ten (10) days after
written notice of award has been given, shall be just cause
for the annulment of the award and the forfeiture of the Bid

Security to the City of Miami, Florida, which forfeiture shall
be considered, not as a penalty, but in mitigation of damages
sustained. Award may then be made to the next lowest
responsible Bidder on all bids may be rejected.
8.
RIGHT TO ACCEPT OR REJECT PROPOSALS: Proposals which are
incomplete, unbalanced, conditional, obscure, or which contain
additions not requested, or irregularities of any kind, cr
which do not comply in every respect with the Instructions to
Bidders and all other Contract Documents, may be rejected a t

9.
WITHDRAWAL OF PROPOSAL: Any Proposal may be withdrawn prior
to the time scheduled in the Advertisement for Bids for the

(60) days have passed after the date of opening the Proposals,

provided that a Resolution accepting said Proposal has not
been adopted by the Commission of the City of Miami.
10.
AWARD OF CONTRACT: Written notice will be given to the lowest

11. INTERPRETATION OF CONTRACT DOCUMENTS: Each Bidder shall

thoroughly examine the Contract Documents, and judge for

himself all Matters relating to the location and the
character of the proposed work. If the Bidder should be of
the opinion that the meaning of any part of the Contract

Documents is doubtful or obscure, or that the Plans contain
errors or reflect omissions, he should report such opinion
or opinions to the Engineer, at least five (5) days before
the date for the formal opening of bids, in order that

appropriate addenda may be issued by the Engineer, if
necessary, to all prospective Bidders before bids are filed

with the City. The Engineer will not be responsible for
oral. interpretation given either by himself or a member of

his staff, the issuance of a written addendum being the only
official method whereby such an interpretation will be
given.
12. OATH OF ALLEGIANCE: Ordinance No. 4980 requires the
successful Bidder to execute an Oath of Allegiance to the
United States of American before a Contract can be executed.
13. EQUAL E11PLnYMENT OPPORTUNITY: Bidders are required to
submit to the City of Miami proof and supporting :.

documentation in such form and in such manner as the City 1
may require, evidencing that the bidder does not
discriminate against persons on the basis of race, color,
creed, sex, age or nationality, in employment, including the

upgrading, demotion, recruiting, transfer, layoff,
termination, pay raise or advertisement for employment of
persons.
Included in such documentation shall be a listing of
minority persons, including Women, Black American, Spanish
surnamed individuals and American Indians, who may be
presently employed, along with the job classifications of
these minority individuals.
The bidder shall, additionally provide to the City of Miami
an affirmative action program developed and designed to
increase minority participation in its employment program
L and further designed to include minority persons. in all
facets of the bidders operation.
The fore?oing information shall be considered significant in
the City s determination of the most qualified bidder.

ARTICLE 3. PARTIAL AND FINAL PAYMENTS: In accordance with the

(a) On or before the loth day of each calendar month,
the City shall make partial payments to the
Contractor on the basis of a duly certified and
approved estimate of work, performed during the
preceding calendar month by the Contractor, less
ten (100) percent of the amount of such estimate
which is to be retained by the City until all work
has been performed strictly in accordance with
this Agreement and until such work has been
accepted by the City.
(b) Upon submission by the
Contractor of evidence

that all payrolls,
material bills and other costs incurred by the

with the construction of
the work have been paid
in full, and also, after
all guarantees that may be required in the
Specifications or by the Contractor have been
furnished and are found

days after completion by
the Contractor of all
work covered by this
Agreement and acceptance
of such work by the City.
ARTICLE 4. TIME OF COMPLETION: The Contractor shall commence.the
work to be performed under --this Contract within the number of
consecutive calendar days after date of written notice from the
Director of the Department of Public Works to begin work. as noted
in the Proposal, and shall fully complete the Contract in
accordance with the Contract Documents within the number of
working days as set forth in the Proposal.
It is mutually agreed between the parties hereto, that time is the
essence of this Contract, and, in the event that construction of
the work is not completed within the time herein specified, it is
agreed that from the compensation otherwise to be paid to the
Contractor, the City may retain for each day thereafter, Sundays
and holidays included, that the work remains uncompleted, the sum
set forth in the General Conditions of the Specifications, as
modified by Division 2 - Special Provisions, which sum represents
the actual damage which the City of Miami, Florida, will have
sustained r)er day by failure of the Contractor to complete the
work within the time stipulated, and this sum is not a penalty,
but will be the liquidated damage the City will have sustained in
event of such default by the Contractor.

ARTICLE S. ADDITIONAL BOND: It is further mutually agree.1
between the parties hereto, that i f, at any time after the
execution of this Agreement and the Performance Bond hereto
attached, when required for its . faithful performance, the City
shall deem the surety or sureties upon such bond to be
unsatisfactory, or if, for any reason, in the opinion of the
Engineer, such bond ceases to be adequate to cover the performance
of the work, the Contractor shall, at his expense, within five (5)
days after receipt of notice from the Engineer so to do, furnish
an additional bond or bonds in such form and amount, and with such
surety or sureties as shall be satisfactory to the City. In such
event, no further payment to the Contractor shall be deemed to to
due under this Agreement until such new or additional security for
the faithful performance of the work shall be furnished in manner
and form satisfactory to the City.

Instructions to Bidders, Proposal, Bid Bond, Contract,
Performance Bond, Specifications, Addenda and Plans, therein
referred to and made an part thereof, and such alterations as may
be made in said Plans and Specifications as therein provided for,
and shall indemnify and save harmless the said Owner against and
from all costs, expenses, damages, injury or conduct, want of
care or skill, negligence or default, including patent
infringement on the part of said Principal, agents or employees,
in the execution or performance of said Contract, including
errors in the Plans furnished by the Principal, and further, if
such "Contractor" or Contractors" shall promptly make payments to
all persons supplying him, them, or it, labor, material and
supplies used directly or indirectly by said Contractor,
Contractors, Sub -contractor or Subcontractors in the prosecution
of the work provided for in said Contract, this obligation shall
be void; otherwise, the Principal and Surety jointly and
severally agree to pay the Owner any difference between the sum
to which the said Principal would be entitled on the completion
of the Contract, and that which the Owner may he obliged to pay
for the completion of said work by Contract or otherwise, and any
damage, direct or indirect, or consequential, which the said
Owner may sustain on account of such work, on on account of the
Failure of the said Contractor to properly and in all things,
keep and execute all of the provisions of said Contract.
And the said Principal and Surety hereby further bind
themselves, their successors, executors, administrators and
assigns, Jointly and severally, that they will amply and fully
protect the said Owner against, and will pay any and all amounts,
damages, costs and judgements which may be recovered against or
which the Owner may be called upon to pay to any person or
corporation by reason of any damage arising from the performance
of said work, repair or maintenance thereof, or the manner of
doing the same, or the neglect of the said Principal or his
agents or servants, or the improper performance of the said work
by the Principal or his agents or servants, or the infringements
of any patent rights by reason of the use of any material
furnished or work done as aforesaid or otherwise.
And the said Principal and Surety hereby further bind
themselves, their successors, heirs. executors, administrators
and assigns, jointly and severally, to repay the Owner any sum
which the Owner may may be compelled to pay because of any lien
for labor or material furnished for the Work embraced by said
Contract.

And the said Surety, for value received, hereby stipulates and
agrees that no change, extension of time, alteration or addition
to the terms of the Contract or to the work to be performed
thereunder or the specifications accompanying the same shall in
any wise affect its obligations on this hond, and it does hereby
waive notice of any such change, extension of time, alteration or
addition to the terms of the Contract or to the Work or to the
Specifications.

not received payment for his labor,
materials, or supplies shall
within 45 days after beginning to
furnish labor, materials or
supplies for the prosecution of the
work, furnish the contractor
with a notice that he intends to look
to the bond for protection.

the labor or after complete
delivery of the materials or supplies,
deliver to the contractor and ' to the surety written notice of the
performance of the labor or

unless both notices have

NOTE:
Two Pre -bid Conferences and Workshops will be held to assist
prospective bidders on Minority Participation, Bidding Procedures
and Technical Issues related to the Construction Documents.
These meetings will be held at Uptown City Hall, 6116 NW 7th
Avenue, Miami, Florida 33127. These meetings will begin
promptly at 5:30 P.M. and all potential bidders are strongly
urged to attend and participate in order to become familiar with
the unique requirements of this project.
NOTE:
A contract will be awarded for the Base Bid or the Base Bid plus
one or more of the Additive Alternates, whichever is in the best
interest of the City and depending on the availability of funds.
STARTING AND CONSTRUCTION TIMES:
The Bidder agrees to start work within ten (10) consecutive
calendar days after date of written notice from the engineer to
begin work. The work may be started on any working day within
this ten (10) consecutive calendar day period. The Bidder shall
complete the contract in accordance with the plans and
specifications therefor, within three hundred and sixty five
(365) calendar days, and this time is of the essence. The three
hundred and sixty five (365) calendar day period shall begin on
the first working day after the above -noted loth calendar day.
All work shall be in full and complete accordance with all terms
and conditions set forth in and covered by the contract
documents.
Should the contractor fail to complete the work on or before the
date specified, it is agreed that for each calendar day that any
portion of the work shall remain incomplete, after the time
specified in the proposal, with any extension of time which may
be allowed by the City for completion of the work provided for in
the contract documents, the sum per day, given in Division 2 -
Special Provisions, shall be deducted from the monies due the
contractor, not as a penalty but as liquidated damages and added
expense for inspection..

CITY OF MIAMI
MINORITY/WOMEN PROCUREMENT PROGRAM
The City of Miami is in required to certify all minority and
female vendors interested in providing goods and services to the
City as per requirements of the Minority and Women Business
Affairs and Procurement Ordinance #10062 which established a
fifty-one percent (51%) (Hispanic-17%9 Black-17K, and Women-17%)
annual procurement goal.
Hispanic and Black women -owned businesses are required annually
to self -elect the ownership classification, i.e., minority or
female, for which they wish to be considered. Once certified in
either the minority or female category, these vendors will be
limited to participating in set -asides or vendor goals in that
category for one year. Any changes to the original certification
application must be registered with the City of Miami. Failure
to do so may result in a recommendation that the vendor be
removed from the City's eligible and certified vendor list.

4. If there has been a transfer of ownership and/or shares of stock
from male to female, non -minority to minority, or within the
# family unit, in order to create eligibility, the applicant is not
eligible to apply for certification until one (1) year from the
cafe of the transfer, except in cases where the mare/minority
principal dies, becomes disabled, or otherwise unable to perform
the duties of his/her position.

�. Applicants must meet all of the following general criteria in '
order to become certified:
A. Applicants must be minorities or females with substantial
investments in the company.
S. To be certified as a minority or woman -owned firm, at least 51
percent (51%) of the business/association must actually and
legally be owned by Hispanic, black, and/or women (of any
ethnicity). In addition, the active management and daily
operations of the firm/associationmust be controlled by one or
more of those individuals. A -firm-which is f ty-one percent
t , owned by minor t es and/or women, but which is actively
managed and operated by non -minorities, does not qualify to be
certified by the City of Miami.
C. Joint ventures between certified minority/women-owned
businesses/associations and non-minority/women-owned
businesses/associations are permitted if 515 ownership is
minority or women; however, the dollar value of a City of
Miami bid/contract award, credited toward the City's
minority/women procurement goal, will be computed based upon
the minority/women firms/associations percentage ownership and
control in the joint venture.
D. Minority and/or women applicants must possess and demonstrate
dominant control over the business as required in the
application. E. Minority and/or women applicants must be substantial investors
in the company.
F. The business must be an ongoing concern, providing the
product/service under which it is requesting certification.
G. Firma desirous of competing under the set -aside provisions of
the Ordinance must have been registered and certified by the

NORTH DISTRICT POLICE SUBSTATION
Project Update - January 8, 1987
Pursuant to the project schedule (See Attachment) the following
activities have taken place:
A. Advertisements for bidding, a copy of which is attached,
appeared in the Miami Times and the Miami Review on
December 18, 1986.
B. The Department of Development received the plans and
specifications from Joseph Middlebrooks and Associates
(the consultant for this project) on December 19, 1986.
C. (1) Pre Bid Workshop was held December 30, 1986 at Uptown
City Hall, 6116 N.W. 7th Avenue. This meeting was
held at 5:30 PM to minimize interference with the
work schedules of prospective contractors. There
were twenty five (25) contractor in attendance.
(2) The following is a summary of issues covered in a
presentation by City Staff:
a. The project is a set aside project requiring
the general contractor to be a 51% black owned
company. There must be 51% black labor,on-
site, throughout the duration of the
project. All general contractors bidding on.
this project must be pre -certified by the City
of Miami, through the Dept. of General
Services. All sub -contractors participating
on this project must sign an affidavit
certifying their status as a minority owned
business.
b. Contractors were informed that the insurance
requirements were lowered on City of Miami
construction projects from one million ($1.0m)
to five hundred thousand ($500,000)Dollars.
c. This project requires a 100% performance
bond. Contractor's were also advised of the
City's bid bond voucher program which can be
utilized for this project.
(3) Major concerns expressed by contractors were:
1. The bid schedule does not allow contractors
enough time to prepare all the necessary
information required for this project.
Additionally, there are several other set
aside projects which are due within days of

2. One of the contractors questioned the need for
the City to charge liquidated damages (which
are assessed by the City Commission)
subsequent to the completion of construction ,
on the basis of delay by the contractor.
D. 1.
A second Pre -Bid Workshop was held January 7,1987 at
5.30 PM at Uptown City Hall. This meeting was
primarily to review all information discussed
during the December 30th workshop and the same
basis issues were presented once more, with emphasis
given to the deadline for pre -certification of
General Contractors, which is January 9, 1987.

The consultant for the project entertained technical
questions, however, a formal response will be given

to all prospective contractors through the issuance

of an addendum.

At this and the previous meeting contractors were

given a list of contact persons for this project and

encouraged to telephone or meet with them for
assistance in the preparation of forms included in
the bid documents.
3.
One areas of concern raised by the contractors
related to the need for sub -contractors signing
affidavits that must be included in the bid, along
with other documents confirming the status of
minority owned firms.
4.
Another topic discussed in detail was the first
source hiring requirement and the follow up which

the City intends to do to ensure that new positions
created are offered first to local/City of Miami
Residents.

ADVERTISEMENT FOR BIDS
Sealed bids for construction of NORTH DISTRICT (LIBERTY CITY) POLICE
SUBSTATION B-3218 will be received by the City Manager and the City Clerk of
the City of Miami, Florida at 11:00 a.m. on the 20th day of January, 1987, at
the City Clerk's Office, first floor of the Miami City Hall, 3500 Pan American
Drive, Dinner Key, Miami, Florida, 33133, at which time and place they will be
publicly opened and read.
The project consists of the construction of the North District Police
Substation located on Dr. Martin Luther King Jr. Boulevard (N.W. 62 Street)
between N.W. 10 Avenue and 11 Avenue. The work generally includes the
following: site clearance, preparation and earthwork; the construction of a
22,000 sq.ft., 2 story building partially integrated with a two level parking
structure, with capacity for 156 vehicles; overall site improvements including
at -grade parking, planting and irrigation; mechanical, electrical, and related
equipment.
The estimate for this project is between $3,500,000 and $4,000,000. City
requirements permit bidders to furnish performance and bid bonds in accordance
w4th Resolution No. 86-983.

All bids shall be submitted in accordance with the Instructions to Bidders and
Specifications. Plans and specifications may be obtained from the office of
the Director of Public Works, 275 N.W. 2 Street, Miami, Florida, 33128, on or
after December 22, 1986. There will be a $70 deposit required for each set.
Deposits will be refunded only upon return of plans and specifications to the
a Department of Public Works, unmarked and in good condition within two (2)
weeks after the opening of the bids.
Prospective bidders are alerted to the provisions of Ordinance No. 10062
regarding allocation of contracts to minority and women vendors. This has been
designated a black set -aside construction project. Bidding will be restricted
to City of Miami certified majority (51%) black -owned corporation and joint
ventures. This certification process must be completed prior to the
submission of the bid.
The City will expect prospective bidders to submit an Affirmative Action Plan,
as defined in said Ordinance, and as required in the Instructions to Bidders.
A minimum of 51% of the value of the work must be carried out by black -owned
businesses; a minimum of 15% of the value of the work must be carried out by
the prime contractor; and a minimum of 51% black work force must be
maintained, at the site, on an on -going basis.
