IN SUBSTANTIALLY THE FORM ATTACHED HERETO AND IN ACCORDANCE WITH GRANT REQUIREMENTS, PROVIDING FOR THE FUNDING OF THE PASS -THROUGH GRANT WITH THE STATE OF FLORIDA FOR THE STAGING OF THE 1987 GRAND PRIX. WHEREAS, Miami Motorsports, Inc. annually stages a Miami Grand Prix; and WHEREAS, the State of Florida, Department of Commerce, Division of Economic Development has awarded the City of Miami a pass -through grant in the amount of $250,000 for promoting and facilitating the Miami Grand Prix; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The City Manager is authorized and directed to execute a grant agreement, in substantially the form attached hereto and in accordance with grant requirements, providing for the funding of the pass -through grant with the State of Florida for the staging of the 1987 Grand Prix. DEC 3 11986 FILE: SUBJECT Grand Prix Agreement REFERENCES: ENCLOSURES: RECOMMENDATION: The City Manager be authorized and directed to execute a grant agreement with Miami Motorsports, Inc. for the staging of the 1987 Grand Prix. BACKGROUND: On July 28, 1986 the City of Miami was awarded a grant from the State of Florida, Department of Commerce, Division of Economic Development, on a pass -through basis to be utilized to assist in promoting, facilitating and operating motorsporting events. Funding in the amount of $250,000 has been received from the State of Florida. Accordingly, a proposed grant agreement between the City of Miami and Miami Motorsports, Inc. has been developed, providing for Miami Motorsports to utilize the grant funds according to the State legislature's intent. The attached resolution authorizes the City Manager to execute the grant agreement between the City of Miami and Miami Motorsports. 17 87v2p .J GRANT AGREEMENT 41 BETWEEN CITY OF MIAMI, FLORIDA AND MIAMI MOTORSPORTS, INC. THIS AGREEMENT, made and entered this day of 1986, by and between CITY OF MIAMI, Florida, a political subdivision of the State of Florida ("CITY"), and MIAMI MOTORSPORTS, INC., a Florida Corporation ("MMI"). WITNESSETH: WHEREAS, CITY acknowledges receipt of a grant in the amount of $250,000 from the State of Florida, Department of Commerce, Division of Economic Development, for the specific purposes of promoting and facilitating automobile racing events and specifically the Miami Grand Prix. NOW, THEREFORE, IN CONSIDERATION of the mutual agreement contained herein, the parties heretofore agree as follows: I. CITY AGREES: To provide an amount not to exceed two hundred fifty thousand Dollars ($250,000.00) for the purpose of staging motor sporting events. II. MMI AGREES: A. To use the grant funds in accordance with the Legislatures intent; a copy of the Legislative language and Department of Commerce letter are attached hereto as Exhibit I and made a part hereof. B. To act as an independent contractor and not as an employee of City in the _performance of the tasks and duties which are the subject of the Agreement. MMI shall be liable, and agrees to be- liable for, and shall indemnify, defend and hold City harmless from all claims, suits, judgments, or damages arising from MMI's performance, whether 97 4P 10 by its officers, employees, contractors, subcontractors, or agents, of the tasks and duties which are the subject of this Agreement. III. PAYMENT: Upon execution of this Agreement, funds in the amount of TWO HUNDRED FIFTY THOUSAND ($250,000.00) DOLLARS will be made available to MMI. ODIO, CITY MANAGER 2.0 TERM: The term of this agreement shall commence upon execution and continue until completion of expenditure of grant funds for the legislatively appropriated purpose. 3.0 NOTICES: All notices between the parties shall be by either confirmed Telex or Certified Mail, return receipt requested, delivered to the address of the parties as set forth in Section 1.0 above. 4.0 SCOPE OF WORK: Grantee will expend grant funds in accordance with proviso and intent language attached to item 208E of Exhibit "A". 5.0 GRANT REQUIREMENTS: Grantee Agrees: a) To maintain financial records and reports related to funds paid to any parties for work on the matters which are the subject of this agreement and submit an audit report to the Grantor covering the period of grant fund expenditure. b) To maintain books, records, documents and other evidence according to generally accepted accounting principles, procedures and practices which sufficiently and properly reflects all costs of any nature expended in the performance of this Agreement, and retain said copies for a period of three (3) years after termination of this Agreement. c) The aforesaid records, books, documents, and other evidence shall be subject at all times to inspection, review, or audit by State personnel of the Office of the Auditor General, Office of Comptroller, or other State personnel. 67-20 d) To include these aforementioned audit and record keeping requirements in contracts and l'ubcontracts thereto entered into by the Grantee with any party for work required under terms of this Agreement. e) To act as an independent contractor and not as an employee of the Grantor in the performance of the tasks and duties which are the subject of this Agreement. Grantee shall be liable, and agrees to be liable for, and shall indemnify, defend, ,and hold Grantor harmless from all claims, suits, judgments, or damages arising from the Grantee's performance of the tasks and duties which are the subject of this Agreement. 6.0 PAYMENTS: Upon execution of this agreement and waiver of provisions of section 8, Chapter 86-168, Laws of Florida (1986) by the State Comptroller, funds in the amount of $250,000 will be made available to Grantee. 7.0 THE PARTIES AGREE: a) Termination for Refusal to Grant Public Access. This Agreement may be terminated by the Grantor for refusal by Grantee to allow public access to all documents, papers, letters, or other material subject to the provisions of Chapter 119, Florida Statutes, and made or received by Grantee in conjunction with this Agreement. b) Availability of Funds. The Grantor's liability under this Agreement is contingent upon the continued availability of appropriated funds at the time of payment. The Grantor shall be the final authority as to availability of such funds at the time of payment. c) Legal Requirements. With respect to its interpretation, construction, effect, performance, enforcement, and all other matters, this Agreement shall be governed by, and be contistent with, the whole law of the State of Florida, both 8 7 w 2 0 ,�, --r procedural and substantive. Any and all litigation arising under this Agreement shall be brought iri•the-appropriate State of ,Florida court in Leon County, Florida. d) Modification. This Agreement may -be modified upon the written and mutual consent of the parties. e) Duplicate Originals. This Agreement is executed in duplicate originals.
