TOOL. FOR THE FUTURE DEVELOPMENT OF VIRGINIA KEY: CREATING A
VIABLE WATERFRONT WITH RECREATIONAL AND PUBLIC SPACES: AND
PROTECTING AND ENHANCING THE NATURAL RESOURCES LOCATED ON
THE ISLAND..
WHEREAS. the City of !Miami ("City") recognizes the key role of parks in providing educational,
cultural, recreational, and other well-being programs to our citizens and visitors and in enhancing the
Quality' of life of our citizens: and
WHEREAS, pursuant to Resolution No. 05-0606, adopted January 13, 2005, the City Commission
authorized the City Manager to execute a negotiated Professional Services Agreement with the firm of
Edward D. Stone, Jr. and Associates, Inc. dfbfa EDSA to provide a Master Plan for Virginia Key,
pursuant to the Request for Qualifications No 03-04-028 (the "RFQ"). and
'A/HEREAS, the Miami Waterfront Advisory Board: at its meeting on October 5, 2009, adopted a
Motion by a unanimous vote, to approve the Virginia Key Master Plan as presented with additions and
inclusions: and
WHEREAS, the City Commission, at its meeting on October 8, 2009, adopted a motion to defer the
presentation and approval of the final roaster plan to the first City Commission meeting in May 2010
and to (1) immediately allow a mountain bike facility on the North Point, (2) immediately move forward
with the remediation of the landfill and utilize the $45 million in N-Ijarni-Dade County funds for same,
and (3) to ensure the Virginia Key Beach Park Trust has the flexibility to construct, operate, or maintain
the proposed Civil Rights Museum complex and any other facilities as the Trust may deem necessary,
in order for the Museum to survive, and
WHEREAS. The Virginia Key Master Plan, as originally prepared by EDSA, revised through
additional public participation resulting in a consensus master Jan and attached hereto is hereby
approved as a guiding tool for the future development of Virginia Key, creating a viable waterfront with
recreational and public spaces, and for the protection and enhancement of natural resources located
on the island: and
l,'VHEREAS, the City Commission. at its meeting on February 12, 2010, adopted a motion to
postpone the presentation and approval of the final Virginia Key Master Plan to the second meeting in
July 2010. and
`NHEREAS. the Miami IiVaterfront Advisory Board, at its meeting on July 13, 2010, adopted Motion
No 2010-01 by a vote of five to one (5-1) recommending APPROVAL of the Virginia Key Master Plan;
and
WHEREAS. the Virginia Key Master Plan was presented to the Miami Parks Advisory Board, at its

WHEREAS, the Miami Planning, Zoning and Appeals Board. at its meeting on July 21, 2010
adopted Motion No. 10-001 by a vote of eight to one (8-1) recommending APPROVAL~ with conditions:
1) No lighting in the playing field area. and 2) Public ramp to be provided with a minimum of thirty (30)
trailer parking spaces of the Virginia Key Master Plan;
NOW. THEREFORE, BE IT RESOLVED BY THE COMNIISSION OF THE CITY OF MIAMI
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are hereby
adopted by reference thereto and incorporated herein as if fully set forth in this Section.
Section 2. The Virrjinia Key Master Plan, as originally prepared by EDSA, revised through
additional public participation resulting in a consensus master plan, and attached hereto, is hereby
approved as a guiding tool for the Future development of Virginia Key, creating a viable waterfront with
recreational and public spaces, and For the protection and enhancement of natural resources located
on the island.
Section 3 This Resolution shall become effective immediately upon its adoption and signature of

To accept the Virginia Key Master Plan as
presented with the following additions and
inclusions:
• Welcome Center on the Marine Stadium site and
restoration of Marine Stadium.
• A transportation plan to and from the Marine
Stadium, Parr and Passive use areas.
• No Hotel or Hotels on site.
- Inclusion of one or two of the identified Boat
Ramps included in the Master Plan.
. Re- inclusion of the BMX and Mountain Bike
trails.
• Creation of an Implementation Committee.
Cleaning up the landfill and examine possible
leaking from the site into the bay.
Proper remediation.
• Increase the buffer areas between nature areas
(i.e. mangrove) and the proposed playing fields.
- Historic Virginia Key Beach continued restoration.

provide for a minimum of 648 dry storage racks.
Marina shall maintain the existing 190 wetslips and
build approximately 300 additional wetslips. The size
and number of any and all additional wetslips shall be
subject to all applicable rules and regulations,
including, but not limited to, zoning, permitting,
aquatic preserve limitations, and other regulatory
requirements.
The successful Proposer shall allow the NMM.A boat
show event (`Boat Show") access and use of the
Property annually during the seven (7) days of the
Boat Show, inclusive of President's Day weekend.
The successful Proposer shall also accommodate the
Boat Show during the three (3) week set up period and
the two (2) week tear down period for a total not to
exceed six (6) weeks. This restriction shall be
coterminous with the Lease.
The successful Proposer shall enter into a cross -
access agreement with Specialty Restaurants
Corporation- dlbla Rusty Pelican Restaurant ("Rusty

Deposit: The Successful Proposer shall provide an irrevocablelunconditional Cashier s
Check, drawn on a financial institution authorized to do business in Florida (or
may do the same by x ire transfer or similar means), providing for Two i4illion
Dollars ($2.000,000). which shall be due upon execution of the Lease.
Referendum Deposit: Section 3(f)(111) and 29-B of the Charter of the Cite of Miami requires that any
lease that the Citz- Commission approves pursuant to this RF'P shall not be valid
unless approved by public vote through a referendum process ("Referendum"),
currently scheduled for November 7. 2017, The Successful Proposer shall pal a
one hundred and tivenh--five thousand dollar ($125,000.00) deposit in order to
place the lease terms on the ballot for approval. ("Referendum Deposit") after
receiving approval by the Cihv Commission And unused portion of the
Referendum Deposit. after deducting all costs for the Referendum. shall be
returned to die Successful Proposer. In the event additional funds are required to
place the question on the ballot (i.e., to account for increased costs of printing or
other costs imposed), the Successful Proposer shall be required to promptly pav
the additional funds to the Cite within ten (10) days' written notice. Failure to do
so will disqualify the Proposer from further consideration.
Wet & Dr Storage: The marina shall provide the most efficient and cost effective number and size of
dry storage racks and wet slips in light of market conditions. The size and number
of all NAet slips shall be subject to all applicable laws, roles and regulations.
including, but not limited to, zoning, permitting_ aquatic preserve limitations. and
other regulator- requirements.
Access Road: The Successful Proposer shall either: (1) preserve and maintain the access road
indicated as Parcel 2 in the survey attached as Exhibit "A"_ or (2) provide for and
construct. subject to applicable permits and other regulator- approvals, an
alternative access road in a substantially similar vicinity as that indicated as Parcel
2 in the survey attached as Exhibit "A". The Public, including the agents,
employees; and invitees of the adjacent Rusty Pelican Restaurant. shall be freeI%
afforded and granted access to, over, and across the above -mentioned access road.
Public Boat Ramp: The Successful Proposer shall be required to plan_ design, permit and construct a.
public boat ramp and floating dock on the Property to the northwest of Miami
Marine Stadium as an additional component of the Virginia Kev Master Plan,
Boat Show: The Successful Proposer shall allow the National Marine Manufacturer's
Association (`NMMA") boat show event ("Boat Show'') access and use a portion
of the Propem- annually- during the seven (7) days of the Boat Show. inclusive of
President's Day weekend. The Successful Proposer shall also accommodate the
Boat Show during the three (3) week set up period and the two (2) Creek tear down
period for a total not to exceed six (6) weeks- This restriction shall be coterminous
with the Lease for as long as the Boat Shove is held at Virginia Key, even if the
Boat Show is held elsewhere but later returns to Virginia Key during the Lease
