RESOLUTION N0,
A RESOLUTION CLOSING, VACATING, ABANDONING
AND DISCONTINUING THE PUBLIC USE OF THAT
ALLEY LYING WITHIN THE BLOCK BOUNDED BY SOUTH
MIAMI AVENUE, SOUTHEAST 13TH STREET, BRICKELL
AVENUE, AND SOUTHEAST 14TH STREET, MIAMI,
FLORIDA, ALL AS A CONDITION OF APPROVAL OF
TENTATIVE PLAT NO. 1283 - "BRICKELL 1390."
WHEREAS, the Miami Zoning Board, at its meeting of
March 16, 1987, Item No. 7, in accord with the conditions
established by the Plat and Street Committee, adopted Resolution
No. ZB 39-87, by a nine to zero (9-0) vote, RECOMMENDING APPROVAL
of the official vacation and closure of the alley as hereinafter
set forth; and
WHEREAS, the City Commission finds that it is in the best
interest of the general welfare of the City of Miami and its
inhabitants to grant the vacation and closure of the alley in
question and deems it advisable to do so;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:
Section 1. That alley lying within the block bounded by
South Miami Avenue, Southeast 13th Street, Brickell Avenue, and
Southeast 14th Street, Miami, Florida, is hereby closed, vacated,
abandoned and discontinued for public use, all as a condition of
approval of tentative Plat 1283, "Brickell 1390."

and Street Committee approved the above
tentative plat subject to the following:
1. Public hearing for approval to close right-
of-way.
2. Public hearing to be delayed pending
written veriflcatica from Utilities, Fire
and Police Departments of easements and/or
emergency access.

APPROVAL IN ACCORD WITH THE CONDITIONS
ESTOLISHED BY THE PLAT MD STREET CURRITTEr.
Property owner and is not deemed necessary for
the overall public interest. The vacation and
closure would provide for a unified site while
still providing public access. . The abutting
properties are adequately served by adjacent
public streets.

PUBLIC WORKS APPROVAL. The Department is in agreement with
'Fie �3'fy of Miami Plat and Street Committee
recommendation for approval of the alley closure
subject to the conditions of the committee.
DADE COUNTY PUBLIC
WORKS No objection.
ZONING BOARD At its meeting of March 16, 1987 the Zoning
Board adopted Resolution ZB 39-879 by a 9 to
0 vote, recommending approval of the above
to the City Commission subject to Plat and
Street Committee recommendation.
Three proponents were present at this meeting.

TBIS AMENDMENT is entered into this 1st day of February,
1985 by and among INTRAMERICA INVESTMENTS, INC., a Florida corp-
oration, ("iiI"), ARMANDO CODINA ("Codina") and John Ellis Bush
("Bush"). .
1. The Agreement and Certificate of Limited Partnership
of 1390 Brickell Ltd. is hereby amended by adding a new Subsec-
tion 16.11 which shall read as follows:
16.11 Option Agreement. The Partnership, III, Codina
and 3ush consent to and recognize the rights of J. E.
NOUSTON FINANCIAL GROUP, INC., its successors or assigns,
pursuant to that certain Option Agreement attached hereto as
Exhibit "A" and incorporated herein (the "Option
Agreement*). In the event of a conflict between the terms
and provisions of the Partnership Agreement and the Option
Agreement, the Option Agreement shall take precedence.
2. All sections of this Amendment shall be effective as.

(2) all federal, state and municipal tax returns of the
Company.
The foregoing powers herein granted are always subject to
and conditioned upon the following responsibilities which
the hereinabove attorney -in -fact must do and perform:
The attorney -in -fact shall furnish the managing director(s)
with the facts and figures of any and all transactions she
may enter into for and on behalf cf the Company including
all documents, cheques, instruments, papers or statements
which bind the Company and/or the managing director(s) to
an obligation to do or not to do.
The attorney -in -fact by her acceptance and by acting
pursuant to the powers hereinabove granted:
Agrees to indemnify and hold harmless the managing
director(s) or any of its officers or any of them against
any liability, actions, proceedings, claims, demands or
expenses, of whatever nature, legal or otherwise including
legal expenses and costs which they or any of them may
incur or be subject to as a consequence of this limited
power of attorney or as a result of the performance by the
attorney -in -fact of the powers herein granted.
Subject to the right of the Company to terminate this
special power of attorney at an earlier time, the foregoing
special power of attorney shall become effective on the
date of execution as set forth hereinbelow and shall
terminate on February 11, 1998 but such termination shall
not impair any action taken or agreement entered into by
said attorney -in -fact prior to that date, or the date of

The City of Miami Plat and Street Committee, at its meeting of
November 5, 1986, approved the above tentative plat subject to.
the following revisions being made to the tentative plat,
additional information being provided and/or variances being
granted. Please be advised that the processing of your
tentative plat cannot proceed until these conditions have been
satisfied.
-Public hearing for approval to close right-of-way.
-Public hearing to be delayed pending written verification
from Utilities, Fire and Police Departments of easements
and/or emergency access.
In addition to the above requirements, you shoulbe be aware of
the following:
1. State and local laws require the installation of various
physical improvements in the public rights -of -way when
property is platted. These subdivision improvements
include paving, drainage, landscaping, sidewalks, etc. In
some cases this could represent a substantial investment on
your part.
2. The alteration, relocation or installation of utilities
such as storm and sanitary sewers, electric, telephone,
water, etc., caused by this plat will be at the property
owners expense: Utility easements to be granted by
separate• instrument And referenced in 80wners Plat
Restrictions" on final plat. A 160 Water Main will be
required in S.E. 14 Street from Miami Avenue to Brickell

3. A building permit will not be issued on the property being
platted until the final plat is recorded. Also, the
Certificate of Occupancy for any building construction will
be issued only after all the required subdivision
improvements have been completed.
4. Approval for fire flow requirements must be obtained from
the Fire, Rescue and Inspection Services Department prior
to the issuance of a building permit.
5.• Additional items must be provided to the City of Miami
Department of Public Works before the final plat is
submitted to the City Commission for approval. You will be
notified in writing as to what these items are after the
amount of the bond has been determined for the necessary
subdivision improvements.
6. Tentative plat approval is only valid for one (1) year from
the date of the Plat and Street Committee Meeting at which
time it was approved.

WHEREAS, Owner seeks to replat said property; however, any
replat is subject to approval of the Miami -Dade Water and Sewer
Authority Department ("Department").
NOW THEREFORE, in consideration of the Department's approval
of the replat, Owner hereby covenants and agrees that upon as-
surance of a building permit for the property and upon
commencement of construction and/or development or both on the
property, the owner shall construct and install a 16-inch water
main and appurtenances, including connections to fire hydrants,
within the right-of-way of S.E. 14th Street, between an existing
20-inch water main located in the median of Brickell Avenue and

subject to.approval of the Department. Owner shall comply with
all applicable laws, ordinances, rules and regulations.
The County agrees to make an oversizing credit to Owner
based on the difference between the 16-inch and 12-inch water

Florida, 33130, hereinafter called GRANTOR, and METROPOLITAN DADE
COUNTY, a political subdivision of the State of Florida,
hereinafter called GRANTEE:

THAT the GRANTOR, for and in consideration of the sum of ONE
DOLLAR ($1.00) and other good and valuable considerations, the
