RESOLUTION NO. 87-L U 2 _
A RESOLUTION AUTHORIZING THE CITY MANAGER TO
EXECUTE; A PURCHASE AND SALE AGREEMENT AND
QUIT CLAIM DEED IN FEE SIMPLE IN A FORM
ACCEPTABLE TO THE CITY ATTORNEY WHEREBY A
PORTION OF THE FORMER FLORIDA EAST COAST
(F.E.C.) PROPERTY, MORE SPECIFICALLY
DESCRIBED IN THE ATTACHED LEGAL DESCRIPTION,
WILL BE CONVEYED TO DADE COUNTY FOR THE
PURPOSE OF CONSTRUCTION OF THE COUNTY PORT OF
MIAMI BRIDGE IN ACCORDANCE WITH THE PLANS AND
SPECIFICATIONS AS SUBMITTED TO THE CITY
COMMISSION THIS DATE AND PURSUANT TO THAT
CERTAIN CITY/COUNTY AGREEMENT DATED AUGUST
23, 1984 AND IN COMPLIANCE WITH PHASE II AS
SPECIFIED THEREIN, SAID AUTHORIZATION BEING
CONDITIONED UPON PAYMENT TO THE CITY OF 5.9
MILLION DOLLARS AS CONSIDERATION FOR SAID
CONVEYANCE AND PERFORMANCE OF SUCH OTHER
CONDITIONS AS SPECIFIED HEREIN.
BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The City Manager is nereby authorized to execute
a purchase and sale agreement and quit claim deed conveying fee
simple title to a portion of the former F.E.C. property, more
specifically described in the attached legal description, in a
form acceptable to the City Attorney; such conveyance being for
the sole purpose of construction of the Port of Miami bridge in
accordance with the plans and specifications as submitted to the
City Commission this date and pursuant to that certain
City/County agreement dated August 23, 1984 and being subject to
easements in favor of the City of Miami for the purpose of
conducting the Miami Grand Prix or similar events and also being
subject to an easement in favor of F.E.C. for the port access
railroad and further being subject to a reverter provision in the
event that the County fails to construct or have constructed the
Port of Miami bridge as described in Phase II of that certain
City/County agreement dated August 23, 1984 or fails to use the
property conveyed for transportation purposes providing ingress
and egress to the Port of Miami.

Section 2. The herein authorization is subject to payment
to the City of 5.9 million dollars and the execution of an
agreement by Dade County to assume full responsibility for any
cost or expense for modification or improvements to the public
right of way deemed necessary by the F.E.C. or the City of Miami
and further, subject to Dade County agreeing to assume full
responsibility for any cost and expense for modification or
relocation necessary for the running of the Miami Grand Prix or
similar event.
Section 3. The City Commission hereby finds that the only
revenue producing potential of the property conveyed herein is
that of surface parking revenue which is insignificant as
compared to the public purpose served by providing sorely -needed
access to the Port of Miami and does hereby expressly authorize
the conveyance of said property for 5.9 million dollars which
amount is slightly below the highest appraised value of said
property.

It is respectfully recommmended that the City Manager be autho-
rized to execute a purchase and sale agreement and quit claim
deed, in fee simple, in a form acceptable to the City Attorney
conveying to Dade County a portion of the City -owned former
Florida East Coast (F.E.C.) property for the construction of the
new Dade County Port of Miami Bridge as described in the attached
resolution and legal description.
BACKGROUND:
The City and Dade County entered into an agreement dated August
23, 1984 expressing the intent to convey certain lands from the
City to Dade County for the sole purpose of constructing right-
of-way improvements and a bridge providing ingress and egress to
the Port of Miami and further providing for the purchase price to
be determined by appraisals.
The herein authorization is subject to payment to the City of
$5.9 million and the execution of an agreement by Dade County to
assure the County's responsibility for all costs for modifica-
tions and improvements necessary to the public right-of-way, the
F.E.C. right-of-way, and any required modifications necessary to
accommodate the Miami Grand Prix.
It is recommended that the City Manager be authorized to execute
the purchase and sale agreement.
