It is respectfully recommended that the City Commission adopt the
attached resolution authorizing the City Manager to issue a
request for proposals (REP) for a concession manager or
concession managers to coordinate and/or operate the concession
activities in connection with the Papal visit. The resolution
further authorizes the City Manager to negotiate and execute an
agreement with the proposer who submits cne most advantageous
proposal for the City of Miami.
Background:
The Department of Parks, Recreation and Public Facilities has
prepared the attached resolution and request for proposals. To
defray some of the City's expenses resulting from the Papal visit
scheduled for September 10-11, 1987, the City intends to permit a
concession manager or concession managers to coordinate and/or
operate food, beverage and merchandise concessions for a fee to
be paid to the City. A request for proposals will be issued to
solicit proposals from concession managers to coordinate and/or
operate the concession activities in connection with the Papal
visit. Deadline for the receipt of proposals will be July 15,
1987.
Responses to the RFP will be ranked by a selection committee.
The City Manager will negotiate and execute an agreement with the
proposer who submits the most advantageous proposal for the City.

PUBLIC NOTICE
SECTION I
The City of Miami (the "City") is proposing to contract with a
qualified professional firm or individual to manage concession
operations on designated rights--of-way and City -owned property
within a restricted area of Downtown Miami on September 10, 1987
during the papal visit. "Management" of such operations will
include, but is not limited to, the designation and selection of
qualified vendors, location of specific sites for vendor
operations, and supervision of vendors and sales on Sept. 10,
1987. Concession operations are intended to provide food and
non-alcoholic beverages to the public viewing the motorcade, and
may include sales of merchandise. Individual vendor sites shall
be approximately 10 ft. x 10 ft. and are to be restricted to and
confined within the areas indicated on the attached Exhibit
Proposal packets can oe obtained from the City of Miami Clerk,
3500 Pan American Drive.
Sealed proposals shall be submitted to the Office of the City
Clerk of the City of Miami located on the first floor of the
Miami City Hall, 3500 Pan American Drive, Dinner Key, Miami,
Florida 33133 on or before 2:00 PM, July 15, 1987.
Any questions pertaining to this Request for Proposals may be
directed to Dianne Johnson of the Department of Parks, Recreation
an Public Facilities, 1390 NW 20 Street, Miami, Florida 33125 or
by telephoning (305) 579-6900.
The City Manager of the City of Miami, Florida, reserves the
right to cancel this Request for Proposals before the opening of
proposals, to accept any proposal deemed to be in the best
interest of the City, to waive any irregularity in any proposal
and to reject any and all proposals.

OVERVIEW
SECTION II
A SUMMARY
The City of Miami, Florida (the "City"), is soliciting sealed
proposals for the operation and management of food, beverage and
merchandise concessions (the "Concessions") on September 10, 1987
on public rights -of -way and City -owned property as specifically
designated by the City of Miami and located within the boundaries
given below (the "Property"). (See Exhibit I).
Boundaries:
SE/NE 2nd Avenue from SE 2nd Street to NE 36th Street
NE 36th Street from NE 2nd Avenue to Biscayne Bay
Shoreline
Biscayne Bay Shoreline from NE 36th Street to Chopin Plaza
Chopin Plaza from Biscayne Bay to Biscayne Blvd.
SE 2nd Street from Biscayne Blvd. to SE 2nd Avenue
The proposed agreement (the "Agreement") will cove
period needed to adequately set up and manage
operations for September 10, 1987, approximately
months. Actual concession operations are confined

The Agreement shall be awarded to the responsible and responsive
proposer whose proposal is ranked First by a Selection Committee.
The proposals will be graded in the following categories, among
others% compensation to the City, scope and variation of
concession operations, experience and financial capabilities of
the proposer. (the "Successful Proposer").
The City Manager reserves the right to cancel this Request for
Proposals before the opening of proposals, to waive any
irregularities in any proposal and reject any or all proposals
and readvertise.
Sealed proposals shall be submitted to the Office of the City
Clerk of the City of Miami, located on the first floor of the
Miami City Hall, 3500 Pan American Drive, Dinner Key, Miami,
Florida 33133 on or before 2:00 PM, July 15, 1987.

B RgOUIREMENTS
Successful Proposer will be required to propose a guaranteed
minimum return to the City to be paid in advance, excluding any
sales taxes which are to be paid by Successful Proposer.
Successful Proposer is expected to adhere to food and beverage
standards and all laws and regulations covering retail concession
operations. The City of Miami will reserve the right to cancel
the agreement for violations of such standards and/or laws.
Successful Proposer is expected to operate the concessions from
approximately 10:00 am to 9:00 pm, or, dictated by the City of
Miami, which shall notify Concessionaire of any modifications.
Operating hours may also be affected by the flow of attending
crowds.
Successful Proposer is expected to be responsible for all
necessary services and equipment related to the operation and
management of the Concession Operations. All vendor booths shall
be self-contained in terms of electrical, water or other utility
services. All vendors shall maintain the individual vending
areas in a clean and sanitary condition. Vendors shall prgvides
their own trash receptacles and shall leave trash in plastic bags
in locations designated by -the City or in dumpsters provided by
the City.
Successful Proposer will not be allowed to sell any goods outside
of the designated areas. All advertising must be approved by the
City Manager or his duly authorized representative.
It shall be fully noted and understood that any merchandise
commemorating the papal visit shall be in good taste and a sample
of each "souvenir" item shall be sent to the City for review
prior to sale. The City of Miami and the Archdiosese of Miami
will not endorse any given merchandise item.
Successful Proposer will be required to provide insurance
coverage at limits designated by the City. The policy shall name
the City as an additional insured, and a copy of the certificate
shall be filed with the City when a lease is executed.
Successful Proposer will be required to submit a narrative in
support or explanation of the overall operation. The narrative
must follow the instruction in Section V, entitled PROPOSAL,
subsection (2).

C. OPPRATONG PARAMETERS
1. INDIVIDUAL CONCESSION OPERATIONS
(a) Location of PERMITTEE stands, which must not restrict
vehicular or pedestrian traffic, are to be approved by
DEPARTMENT. Once a location has been approved, PERMITTEE
cannot move his/her/its stand without DEPARTMENT'S approval.
(b) Beer, wine and/or other alcoholic beverages may not be sold.
(c) PERMITTEE shall have valid vendor's occupational licenses
issued by the City of Miami and Dade County unless this
requirement is deemed inapplicable by the City Manager or
his/her designee.
(d) PERMITTEE shall abide by all pure food and san'_:.ary laws,
including those concerning food and beverage handlers.
(e) PERMITTEE shall clean up all garbage and debris within 20
feet of PERMITTEE'S stand(s), and provide garbage containers
as required by the DEPARTMENT.
(f) PERMITTEE shall provide a size and price schedule of all
items sold. Said sizes and prices must he approved by
DEPARTMENT.
(g) PERMITTEE shall make available to DEPARTMENT, a daily
opening and closing inventory of all food, cups or novelties
on a form to be supplied by said DEPARTMENT.
(h) PERMITTEE shall keep a record of gross concession sales of
all concession merchandise by category.
(i) PERMITTEE shall allow the CITY to inspect, check or
inventory all concession merchandise and to inspect the
concession facilities and premises prior to opening, during
the operation of and after the closing of concession stands.
(j) PERMITTEE shall use only paper or plastic cups, plates or
containers and only plastic forks, knives or spoons. No
bottles or cans will be given or sold to the public.
( ) PERMITTTEE shall ensure that fire extinguishers shall be
placed wherever food is cooked, whether charcoal, gas, or
propane grills or other heating devises are used.
(k) PERMITTEE be responsible for payment of all sales taxes on
merchandise sold.
(1) PERMITTEE shall be responsible for all utility requirements
of concession operation(s) other than those currently
available at the site(s) and shall obtain the approval of
the City Manager or his/her assignee prior to installation
of any such requirement.
(m) PERMITTEE shall provide DER4&TMENT with a list of all sub-
PERMITTEES and the merchandise to be sold by same prior
their conduct of operations on the premises.

( ) PERMITTEE shall submit a sample of and souvenir and/or
commemorative merchandise to CITY for inspection prior to
sale.
6. DESIGNATED CONCESSION AREAS
Unless otherwise approved'by the City, concession operations will
be restricted to the below listed locations:
a. Designated sites within the confines of Bayfront Park and
along Biscayne Blvd. from SE 1st St to the start of Bayside
property.
b. Five (5) parking lots along Biscayne Blvd. between SE 1st
Street and NE 2nd Street.
c. Area south of Off -Street Parking Lot #24 and Old Port
Boulevard
d. Designated areas within Bicentennial Park, which will also
be used for parking
e. Southwest corner of Biscayne Boulevard and NE 13th Street
f. Designated locations along NE 18th Street, including median
strips, landscaped right-of-way triangles, sides of road
beginning not less than 45 feet from biscayne boulevard.
g. Along the curbs of other side streets,, except on those
streets prohibited, provided that stands shall be placed no
closer than 45 feet and no farther that 75 feet from
Biscayne Boulevard, and no driveways or sidewalks shall be
blodked. Strets less that 30 feet wide may have stands only
on one side.
h. Designated areas on Watson Island, which will also be used
for parking
i. Designated sites within Margaret Pace Park, which will also
be used for parking
j. Designated sites within Stearns Park, which will also be
used for parking

INSTRUCTIONS TO PROPOSERS
SECTION III
1. SUBMISSION OF PROPOSALS: Submit proposals consisting
of sections:
a) "Declaration"
b) "Proposal"
Where forms are furnished as titled above, please
complete per the form's instructions and submit same.
Additional documentation submitted by the Proposer
relating to any one of the sections should be attached
to the completed form where applicable.
Whether forwarded by mail or personally delivered, the
envelope must be received by the Office of the City
Clerk, City of Miami City Hall, 3500 Pan American
Drive, Dinner Key, Miami, Florida 33133, prior to the
date and time stated in the P:blic Notice.
2. QUALIFICATIONS: Prospective proposers shall have no
record of pending lawsuits, criminal activities, etc.,
and shall not have conflicts of interests which Can be
of embarrassment to the City of Miami. This latter
qualification may be satisfied by submission of a
notarized affidavit to the effect with the proposal
submitted.
3. ONE PROPOSAL: Only one Proposal from a corporation or
individual under the same or different names, will be
considered. If it is found that a Proposer is
interested in more than one proposal, all proposals in
which such a Proposer is interested will be rejected.
4. PRICE PROPOSAL: Prices shall be stated in both words
and figures in the appropriate places in the Proposal
form. In the event that there is a discrepancy between
the price written in words and the price written in
figures, the former shall govern.
5. SIGNATURE OF PROPOSER: Prospective proposer must sign
the Proposal in the space provided for signatures.
The signature required is the officer, officers, or
individual authorized by its by-laws or the Board of.
Directors, with official corporate seal affixed
thereto.

6. PERFORMANCE BOND: The City reserves the right to
demand of the Successful Proposer a performance bond in
the amount sufficient to guarantee faithful performance
of the terms and conditions of the lease agreement. A
cash deposit with the City will meet this requirement.
7. REJECTION OR ACCEPTANCE OF PROPOSALS: The right is
reserved by the City of Miami to waive any
irregularities in any proposals, to reject any or all
proposals, or to readvertise for proposals, if desired.
S. AWARD: The Lease shall be awarded to the responsible
and responsive Successful Proposer, whose proposal i.s
ranked first by a Selection Committee comprised of City
staff from at least the following agencies: Finance,
Property and Lease Management, and Parks, Recreation
and Public Facilities. Proposals will be reviewed on
the basis of compensation to the City, concession
operations (i.e. number and placement of individual
booths, variety of goods offered, committment of staff
to supervise operations on the day of the event, and
experience and financial capabilities of proposer)
"Successful Proposer").
The Successful Proposer will receive an official letter
from the City of Miami notifying him of the acceptance
of this proposal and awarding him the privilege of
executing a Lease to be prepared by the City.
Any proposal which is incomplete, conditional, obscure
or which contains irregularities of any kind, may be
cause for rejection of the proposal. In the event of
default of the Successful Proposer, or his refusal to
enter into the City of Miami contract, the City
reserves the right to accept the proposal of any other
proposer or readvertise using the same or revised
documentation, at its sole discretion.
9. WITHDRAWAL OF PROPOSAL: Any proposal may be withdrawn
prior to the final time for receipt, as scheduled in
the Public Notice.
10.INTERPRETATION OF PROPOSAL DOCUMENTS: Each prospective
.proposer shall thoroughly examine the proposal
documents and judge for himself all matters relating to
the location and character of the services he agrees to
perform. If the proposer should be of the opinion that
the meaning of any part of the proposal documents is
doubtful, or obscure, or contains errors or omissions,
he will be provided the opportunity to request
clarification from Property & Lease Management.

11. PROTECTION OF RIGHTS OF CITY: The City Manager
reserves the right to include in any contract document
such terms and conditions as he deems necessary for the
proper protection of the City of Miami, (see Exhibit
3).
12. The City reserves the right to require submission of
the following documents:

the only persons interested in this proposal are named herein,
that no other person has any interest in this proposal or in the
lease to which this proposal pertains, that this proposal is made

collusion or fraud,
The proposer further declares that he has complied in every
respect with all the Instructions to Proposers issued prior to

TERMS AND CONDITIONS
TO BE CONSIDERED IN
THE AGREEMENT
INSURANCE
The Lessee shall maintain during the term of the Lease Agreement
the following insurance:
A General Liability Insurance on a Comprehensive General
Liability coverage form or its equivalent, with a
combined single limit of at least One Million
($1,000,000) Dollars for bodily injury and property
damage liability. Products and completed operations
coverage, personal injury, contractual liability, and
premises medical payments coverages shall be included.
The City shall be named as an Additional Insured.
B. Automobile Liability Insurance covering all owned, non -
owned and hired vehicles in amounts of not less than
$100,000 per accident and $300,000 per occurrence for
bodily injury and $25,000 property damage.
C. All Risk Property insurance coverage on a replacement
cost basis for real and personal property located on the
designated premises leased to the Lessee by the Lessor.
The City shall be named as a primary insured on such
policy.
D. The policy or policies of insurance required shall be
written in a manner such that the policy or policies may
not be canceled or materially changed without sixty (60)
days advance written notice to the Lessor. written
notice shall be sent to the Risk Management Division,
Department of Finance.
Evidence of compliance with the insurance requirements shall be
filed with the Insurance Manager of he City of Miami prior to
execution of the Agreement. Such insurance shall be subject to
the approval of the Insurance Manager. All insurance policies
required must be written by a company or companies rated at least
"A" as to management and Class "V" as to financial strength, in
the latest edition of the Best's Insurance Guide, published by
Alfred M. Best Company, Inc., 75 Fulton Street, New York, N.Y.
Compliance with the foregoing requirements shall not relieve the
Lessee of its liability and obligations under this section or
under any other portion of the Agreement.

MDERNI FICAVON
Concessionaire covenants and agrees that it shall indemnify, hold
harmless, and defend the City, its agents, officers and
employees, from and against any and all claims, suits, action,
damages or causes of action arising during the term of the
agreement for any personal injury, loss of life, or damage to
property sustained in or about the Property, by reason of or as a
result of the Concessionaire's operations thereof, and from and
against any orders, judgments or decrees which may be entered
thereon, and from and against all cost, attorney's fees, expenses
and liabilities incurred in and about the defense of any such
claim and the investigation thereof.
DAMAGES OR LOSS TO CONCESSIONAIRE'S PROPERTY
Concessionaire releases the City from any and all liability, cost
or expenses for damage, or loss to the Concessionaire's property
for any cause whatsoever.
UTILITIES
Concessionaire shall pay for all utilities consumed on the
premises as well as connection and installation charges therecL.
Concessionaire shall ensure that indivival vendor stands sha" be
self-contained in terms of electrical and water service. Sub-
permittees of Concessionaire shall provide suitable .,trash
receptacles and plastic garbage bags and remove all trash and
debris from their areas of operation to locations designated by
the City. Waste collection from said designated areas shall be
provided by the City.
ASSIGNMENT AND SUBLETTING OF PREMISES
Concessionaire, at any time during the term of the agreement,
sublet any part of the premises, or assign the lease agreement or
any portion or part thereof, except and by virtue of written
authorization granted by the City Manager to the Concessionaire.
Concessionaire may grant permits, in a form acceptable to the
City, to individual concession vendors for operation of stands
within the designated areas. Concessionaire shall provide the
City with a listing of individual operations, which shall
include, but shall not be limited to, the following information:
Name of vendor, type of goods sold, copy of vendor occupational
license.
RULES AND REGULATIONS
Concessionaire agrees that it will abide by any and
regulations pertaining to the concession operations
effect, or which may at any time during the term
agreement be promulgated.

DEFAULT PROVISION
In the event that Concessionaire shall fail to comply with each
and every term and condition of the agreement or fails to perform
any of the terms and conditions contained herein, then City, at
its sole option, upon thirty (30) days written notice to
Concessioaire may cancel and terminate the agreement, all
advances, improvements or other compensation shall be forfeited
by Concessionaire not as a penalty but as liquidated damages.
NON-DISCRIMINATION
Concessionaire agrees that there will be no discrimination
against any person on account of race, color, sex, religious
creed, ancestry, national origin, mental or physical handicap in
the use of the demised premises and the improvements thereon. it
is expressly understood that upon presentation of any evidence of
discrimination the City shall have the right to terminate the
lease agreement.
AWARD OF AGREEMENT
Concessionaire agrees that it has not employed or retained any
person employed by the City to solicit or secure the agreement
and that it has not offered to pay, paid, or agreed to pay any
person employed by the City any fee, commission, percentage,
brokerage fee, or gift of any kind contingent upon or resulting
from the award of making the lease agreement.
CONFLICT OF INTEREST
Concessionaire covenants that no person under its employ who
presently exercises any functions or responsibilities in
connection with the agreement has any personal financial
interests, direct or indirect, in the agreement. The
Concessionaire further covenants that, in the performance of the
agreement, no person having such conflicting interest shall be
employed. Any such interests on the part of the Concessionaire
or its employees must be disclosed in writing to the City.
Concessionaire is aware of the conflict of interest laws of the
City of Miami (Miami City Code Chapter 2, Article V), Dade
County, Florida (Dade County Code, Section 2-11.1) and the
Florida Statutes, and agrees that it will fully comply in all
respects with the terms of said laws.
Concessioaaire, in the performance of the agreement, shall be
subject to the more restrictive law and/or guidelines regarding
conflict of interest promulgated by federal, state or local
government.

INDEPENDENT CONTRACTOR
Concessionaire and its employees and agents shall be deemed to be
independent contractors, and not agents or employees of the City,
and shall not attain any rights or benefits under the Civil
Service or Pension Ordinances of City, or any rights generally
afforded classified or unclassified employees; further it shall
not be deemed entitled to the Florida Workers Compensation
benefits as an employee of Lessor.
MINORITY PROCUREMENT COMPLIANCE
Concessionaire acknowledges that it has been furnished a copy of
Ordinance No. 10062, the Minority and Women Business Affairs
Procurement program Ordinance of the City of Miami, and agrees to
comply with all applicable substantive and procedural provisions
therein, including any amendments thereto.
COMPLIANCE WITH FEDERAL, STATE AND LOCAL LAWS
Both parties shall comply with all applicable laws, ordinances
and codes of federal, state and local governments.
